Description
The Contractor shall furnish all necessary means and methods required to develop, prepare and negotiate a series of Tax advantaged Leases or other alternative financing Transaction. The work includes but is not limited to: 1. Having recent and extensive experience in domestic tax advantaged lease transactions. Experience in either lease in-lease out or Pickle Lease-Service Contract structures is acceptable. Retained Counsel will also have experience in other forms of alternative financing. 2. Having experience working with the Federal Transit Administration concerning the federal financial interest in federally-assisted transit assets subject to Tax Advantaged Leasing or other forms of alternative financing. 3. Render opinions as requested concerning the tax ownership attributes of property covered by the lease or alternative financing. 4. Render opinions as requested concerning the use of tax-exempt debt for the debt portion of the lease. 5. Render opinions relating to other tax issues as required for the evaluation, negotiation, and closing of tax advantaged leases or other alternative financing transactions. 6. Render opinions as to the Authority?s ability to purchase as defeasance investments foreign bank certificates, foreign government bonds, and the Authority?s lease payment receivables. 7. Review for form and legal sufficiency Tax Advantaged Leasing documents or other alternative financing documents submitted to the Authority as a part of the proposals. 8. Assist or conduct as lead negotiator negotiations regarding Tax Advantaged Leasing or other alternative financing transactions. 9. Draft legal documents necessary for the consummation of leasing or other alternative financing transactions as requested. 10. Render other related legal opinions as requested. Period of performance: 2 Year Base + 3 (1) year Options
