See Section C for requirements.MILSTRIP: N0018304RQSL001PURCHASE REQUEST NUMBER: N0018304RQSL001 NET AMT FOB: Destination Section C - Descriptions and Specifications CLAUSES INCORPORATED BY REFERENCE 52.222-48 Exemption from Application of Service Contract Act Provisions for Contracts for Maintenance, Calibration, and/or Repair of Certain ADP, Scientific and Medical, and/or Office and Business Equipment - Contractor Certification AUG 1996 CLAUSES INCORPORATED BY FULL TEXT CONTRACT SPECIFICATIONS 1. SCOPE OF WORK 1.1. The Contractor shall provide interpretation of Polysomnograms (PSG) for the Naval Medical Center (NMCP), Portsmouth, Virginia (hereafter referred to as "the MTF" (Military Treatment Facility)). 1.2. The contractor will read and report approximately 48 PSGs per month in the Boice Sleep Laboratory. All attempts will be made for clinical history and prior PSG results to be available to assist in study interpretation. Each study will have been sleep staged by a PSG technician in conjunction with R&K criteria and respiratory scored by American Academy of Sleep Medicine scoring guidelines. The contractor shall review the PSG recordings in their entirety and interpret each PSG and provide a complete written study interpretation using a Government-provided form (to be supplied upon request). The contractor will come to the lab to interpret studies on site. A PhD sleep specialist must have his or her work over signed by a licensed physician sleep specialist. 1.3. The contractor shall furnish a sufficient number of fully trained physicians/PhDs as specified in Section 2.0 to ensure that one qualified individual provides services on a regular basis as specified herein. 2. QUALIFICATIONS. Contractor physicians shall possess the following minimum qualifications: 2.1. Graduation from a medical school approved by the liaison Committee on Medical Education of the American Medical Association or the American Osteopathic Association or permanent certification by the Educational Commission for Foreign Medical Graduates (ECFMG) or graduation from an accredited graduate college with a PhD degree (or an equivalent degree) with doctoral specialization in a health related field. 2.2 Board certification or current board eligibility in sleep medicine by the American Board of Sleep Medicine (ABSM). 2.3. Physicians must possess a current, unrestricted license to practice medicine in any one of the fifty States, the District of Columbia, the Commonwealth of Puerto Rico, Guam or the U.S. Virgin Islands. PhD sleep specialists must posses a current state license to provide human services (e.g., licensed clinical psychologist). 2.4. A minimum of 12 months experience within the last 12 months as a sleep specialist affiliated with a sleep laboratory accredited by the ABSM. 3. INDEPENDENT CONTRACTOR. The services rendered by the Contractor are rendered in the capacity of an independent Contractor. The Government will evaluate the quality of both professional and administrative services for purposes of contract inspection and acceptance. The Government retains no direct control over professional assessments and/or recommendations. The Contractor shall be solely responsible for any and all liability caused by the acts or omissions of its agents or employees. The Contractor shall not in any manner represent or infer that it is an instrumentality or agent of the United States Government. The Contractor shall recognize that the commanding Officer of the MTF maintains administrative and operational responsibility for all activities within the command and may take such actions as necessary to preserve and maintain the integrity of the command, subject to the limitations prescribed by law and U. S. Navy Regulations. 4. INSURANCE 4.1. The Contractor shall maintain during the term of this contract medical liability insurance issued by a responsible insurance carrier of not less than the following amount(s) per specialty per occurrence: $1,000,000. 4.2. Liability insurance may be on either an occurrence basis or on a claims-made basis. If the policy is on a claims-made basis, an extended reporting endorsement (tail) for a period of not less than 3 years after the end of the contract term must also be provided. 4.3. Evidence of insurance documenting the required coverage for each health care provider who will perform under this contract shall be provided to the Contracting Officer prior to the commencement of services under this contract. If the insurance is on a claims-made basis and evidence of an extended reporting endorsement is not provided prior to the expiration of this contract. Final payment under this contract shall be withheld until evidence of the extended reporting endorsement is provided to the Contracting Officer. 4.4. The policies evidencing required insurance shall also contain an endorsement to the effect that any cancellation or material change adversely affecting the Government's interest shall not be effective until 30 days after the insurer or the Contractor gives written notice to the Contracting Officer. If, during the performance period of the contract the Contractor changes insurance providers, the Contractor must provide evidence that the Government will be indemnified to the limits specified in paragraph 4.1, for the entire period of the contract, either under the new policy, or a combination of old and new policies. 5. RECORDS 5.1. All record produced in the performance of this contract and all evaluations of patients are the property of, and subject to the exclusive control of the Government. The Contractor may retain a copy of all such records or evaluations, but may not provide further copies or disclose the information from such records or evaluations to third parties. All requests from other treatment facilities or other individuals for patient records shall be handled in accordance with procedures specified by applicable MTF instructions. 5.2. Confidentiality Of Information: Unless otherwise specified, all financial statistical, personnel and/or technical data which is furnished, produced or otherwise available to the e contractor during the performance of this contract are considered confidential business information and shall not be used for purposes other than performance of work under this contract nor be released by the Contractor without prior written consent of the Commander of the MTF. Any presentation of any statistical or analytical materials, or any reports based on information obtained from the studies covered by this contract, will be subject to review and approval by the Commander of the MTF before publication or dissemination. 5.3. If a subpoena or court order is received for the production of a medical record, the Contractor shall refer the subpoena or court order to the Contracting Officer for action. 5.4. Neither the Contractor nor Contractor employees shall make any disclosure regarding the contract, the MTF, or MTF patients, employees, or staff members without prior approval of the Commander. All inquiries from the media shall be forwarded to the Contracting Officer. 6. CONTRACTOR EMPLOYEES. 6.1. The Contractor shall not employ persons convicted of violations of criminal statutes, felonies, or misdemeanors involving crimes against persons or moral turpitude. At his own expense, the Contractor shall conduct such background checks of prospective employees as may be necessary to ensure compliance with this paragraph. 6.2. The Contractor shall not employ alien in the performance under of the contract in violation of the Immigration Laws of the United States. 6.3 The Contractor shall not hire any employee for performance under this contract whose employment would result in a conflict with Government or Department of Defense Standards of Conduct. 6.4. The Contractor shall be responsible for payment of all wages and salaries, taxes, withholding payments, penalties, fees, fringe benefits, professional liability insurance premiums, contributions to insurance and pension or other deferred compensation plans including, but not limited to, Workers' Compensation and Social Security obligations, licensing fees, etc., and the filing of all necessary documents, forms and returns pertinent to all of the forgoing. The Contractor shall indemnify and hold the Government harmless from and against any and all claims by Contractor employees for the payment or filing of any of the foregoing compensation. The Contractor agrees to pay all applicable federal, State, and local income taxes, including any and all other Government fees, taxes, or expenses levied against it. 7. INVOICING. 7.1. The Contractor shall submit to Receipt Control (see section G for details) a monthly invoice for PSG and PSG/CPAP interpreted using form DD 250, available at http://web1.whs.osd.mil/icdhome/DD-0999.htm. 7.2. The Contractor shall not bill patients for services rendered under this contract. 8. OTHER PROVISIONS. 8.1. The Contractor shall not, while performing services under this contract, advise, recommend, or suggest to persons eligible to receive medical care at Government expense that such persons should receive care from the Contractor or Contractor employees at any place other than at the MTF. 8.2. The Contractor and Contractor employees shall make no use of any Government facilities or other Government property in connection with services other than those required under this contract.
