- WORK STATEMENT ?Technical Assistance? for Advisory and Assistance Services by Non-Governmental Sources for Ethiopia.? Project Title: Ethiopia: Aluto Langano Geothermal Plant Technical Assistance 1 Scope of Work The U.S. Trade and Development Agency (?USTDA?) requires services under this non-personal services Contract to assist the Ethiopian Electric Power Company (EEPCO) to evaluate bids it will receive for a recent international tender provided by EEPCO. The tasks required for this consultancy will be carried out in two phases including: Phase A ? review, with EEPCO personnel, of the bids received in response to the EEPCO tender for the repair study and selection of three top bidders (in order to priority) and Phase B - assistance to EEPCO in negotiating a contract with the winning bidder to carry out the study. The Contractor shall: [Phase A] 1.1 become familiar with the Aluto Langano Geothermal Power Pilot Project (ALGPPP) by reviewing existing documentation describing the history, operation, maintenance and problems experienced by the ALGPPP, talking with appropriate EEPCO personnel, and visiting the ALGPPP site; 1.2 design a written form that will be used to EEPCO personnel and the Consultant and guide the bid review process. Review the form with relevant EEPCO personnel and obtain their approval for its use; 1.3 design a proposed schedule of bid review meetings in Addis Ababa that will be submitted to and approved by the EEPCO project manager. If requested by EEPCO, assist EEPCO with the scheduling of bid review meetings and the identification of key EEPCO personnel to participate; 1.4 together with relevant EEPCO personnel, review technical and financial bids received for the EEPCO tender using the approved form and in accordance with the approved bid review schedule. Discuss pros and cons of each bid in relation to the elements called for in the tender document and provide professional opinions regarding attributes and problems with each bid from the perspective of the suitability and cost-effectiveness of the proposed procedures, staffing and time required to analyze and suggest solutions to the plant's problems. Submit written evaluations of the bids reviewed to EEPCO management; 1.5 analyze optional proposals that may be submitted by bidders to assess the feasibility of expanding the production capability of the ALGPPP to the proposed 30 MW level; 1.6 work with EEPCO to decide on the top three bidders (in order of priority). Identify and describe in writing issues that should be raised with each in relation to their bids during eventual contract negotiations; 1.7 prepare a report (?Interim Report") including bid documents reviewed and analyzed and comparative ratings related to content and cost including discussions held with EEPCO on same. Include a review of optional proposals for expanding the production capacity at the ALGPPP; One copy of the report is to be distributed to USTDA and one copy to be distributed to EEPCO. [Phase B] 1.8 review previous contracts negotiated and signed by EEPCO with private contractors to become familiar with standard EEPCO / Ethiopian terms and conditions; 1.9 help EEPCO upgrade the Contract Agreement included in the tender document to ensure it conforms to Ethiopian law, EEPCO requirements, and that it will ensure the contactor will carry out the terms of the contract in a professional manner that meets EEPCO expectations; 1.10 meet and get to know EEPCO personnel who will participate in contract negotiations with the winning bidder. Ascertain their areas of experience and expertise and whether other personnel should also be involved; 1.11 prepare a schedule for contract negotiations with the winning bidder bearing in mind that unforeseen circumstances may arise requiring changes to the schedule; 1.12 on behalf of EEPCO, participate in negotiations with the winning bidder to ensure the final agreement that is negotiated will result in a report that satisfies EEPCO requirements and will lead to repair of the ALGPPP; 1.13 prepare a separate report to USTDA inclusive of the work conducted for the technical assistance and with recommendations to USTDA about future USTDA involvement in the Aluto Langano project and in the geothermal sector in Ethiopia at large. Such recommendations should be in line with USTDA funding criteria and should include a full Terms of Reference and budget for each recommended project, as outlined in Section 3; and 1.14 prepare a report ("Draft Report") including a) work carried out during negotiations with the winning bidder, issues that arose, their resolution and suggestions for training to improve EEPCO skills in this area; and b) final summary including the work carried out, EEPCO personnel involved, site visits, and conclusions. 1.15 Prepare a report (Final Report?) and provide five (5) copies to EEPCO and three (3) copies to USTDA, including both a public and confidential version. 2 Delivery & Performance Requirements 2.1 Kick-Off Meeting with the USTDA Program Office-Upon award, the Contractor shall contact USTDA?s Contracting Officer?s Technical Representative (COTR) to discuss details of the Contract assignment. The COTR shall provide the Contractor with names and addresses of the project sponsor(s), other pertinent entities to contact in the United States and overseas, and any other relevant details that may impact upon the proposed project(s). 2.2 Pre-Visit Report-Prior to departure to Ethiopia, the Contractor shall provide the COTR a pre-visit written report of 3-5 pages containing the proposed schedule or itinerary and a preliminary strategy for carrying out the work. 2.3USTDA Responsibility-USTDA will advise the U.S. Embassy in Ethiopia of the Contractor?s proposed travel itinerary prior to departure and request that the Economic and Commercial Section of the Embassy provide the Contractor with names and addresses of appropriate host country officials with whom to meet. 2.4 Contractor?s Host Country Travel-The Contractor shall travel to Ethiopia to meet with relevant project officials and with the U.S. Embassy. This Technical Assistance is required immediately. The Contractor is expected to travel soon after Contract Award early May 2004. The Contractor shall contact the Economic and Commercial Section at the U.S. Embassy upon arrival and prior to departure for briefing and debriefing meetings. While the Embassies may be able to assist the Contractor in arranging some initial meetings with host country officials, the Contractor is responsible for arranging the meetings as well as logistics for the visit, i.e., hotel accommodations, transportation, and interpretation services. In some cases, the Contractor may need to Contract with a local entity to assist with these logistics. Local entities may not provide the technical work of substance for the assistance. It is expected that EEPCO will shall undertake its best efforts to provide reasonable support for the Contractor, such as local transportation, office space, and secretarial support. 2.5 USTDA Report Objectives 2.5.2 Contractor shall, in reference to clause 1.15, provide a report to theUSTDA, which will: 2.5.2.1 assess and justify whether or not USTDA should provide funding for a feasibility study of the proposed project(s); 2.5.2.2 assess any alternative or other activities which the Contractor sees as viable options for USTDA consideration; and 2.5.2.3 provide recommendations on the above information in a final report that analyzes all relevant issues, as cited in Sections 1 through 2.5.2.1. 2.5.3 Contractor recommendations shall be based upon USTDA funding criteria, which are that the project must: 2.5.3.1 be likely to receive implementation financing, and in addition, have a procurement process that provides ?equal access? to U.S. firms; 2.5.3.2 represent an opportunity for sales of U.S. goods and services that is many times greater than the initial investment of USTDA assistance; 2.5.3.3 be a development priority of the project sponsor and country where the project is located and have the endorsement of the U.S. Embassy in that nation; and 2.5.3.4 involve U.S. companies that are facing strong competition from foreign companies receiving subsidies and other support from their governments. 3 USTDA Report (With Reference to Clause 1.13) The USTDA Report shall include the following information for each project recommended for future USTDA funding: 3.1 Executive Summary The Contractor shall submit an executive summary of the report?s findings and recommendations. Project Description The Contractor shall submit a description and history of the project, including, among other things, host country and/or other project sponsors, sector, project location, source of raw materials, infrastructure requirements, proposed technological approach, legal and regulatory framework (licenses, permits, etc.), implementation schedule, economic fundamentals (estimated capital cost, operating costs, expected revenues, etc), and any other key variables or issues that the Contractor deems critical as part of a thorough activity/project evaluation. 3.3 Developmental Impact The Contractor shall submit an assessment of the development impact of the project on the host country. In this section, the Contractor shall discuss two aspects of ?developmental impact?. 3.3.1 Primary Developmental Benefits - The Contractor will discuss the most important benefits that the project will provide to the host country. Items of interest to USTDA include, but are not restricted, to the following: number of new jobs created by the project; technology transfers; and new service etc. 3.3.2 Alternatives ? Are there competing ways to achieve host country objectives? At the Definitional Mission stage, it will not be possible to address these questions definitively, but the Contractor, at a minimum, is expected to define and comment on the broad alternatives available to the host country project sponsor. 3.4 Project Sponsor?s Commitment -The Contractor shall submit a description of the host country project sponsor(s) business/government operations or authority and an assessment of the project sponsor?s ability to implement the project. 3.5 Implementation Financing-The Contractor shall submit a review of the financing options for project implementation, including an assessment of the overall cost estimate of the project and, for projects involving potential U.S. equity investment, the project?s proposed debt-equity structure to ensure that it corresponds to the requirements of the prospective lenders (this aspect is critical to USTDA?s decision making). As part of this review, the Contractor is required to contact officials from the potential financing institutions, including, where appropriate, multilateral lending institutions, Ex-Im Bank, OPIC, and private/commercial sources, to assure that the project sponsors have adequately explored their financing options. The Contractor shall provide names and phone numbers of contacts at the potential lending institutions and summarize their comments. The Contractor must determine the most likely source(s) of implementation financing and ensure that the terms of reference for any proposed feasibility study fulfill the requirements of the most likely source(s). 3.6 U.S. Export Potential-The Contractor shall submit a best estimate of potential procurement of U.S. goods and services for project implementation. This estimate should be supported by a breakdown by category and dollar value of goods and services likely to be imported for the project and an illustrative list of potential U.S. suppliers of the goods and services for those goods and services listed as likely U.S. exports. A report of discussions with a reasonable number of U.S. companies that could be exporters, and their level of interest in the project, should also be included. 3.7 Foreign Competition-The Contractor shall discuss the foreign competition for goods and services likely to be procured for project implementation by category, including a discussion of U.S. industry competitiveness in each category, taking into account geographic factors, local industry capabilities, technology and licensee issues, past procurement tendencies of the project sponsor, and how the procurement is likely to be conducted. 3.8 Impact on the Environment-The Contractor shall submit a statement regarding the likely consequences the proposed project may have on the environment and ensure that the terms of reference for the feasibility study include, at a minimum, a preliminary review of the project?s impact on the environment, with reference to local environmental requirements and those areas requiring evaluation by the potential lending agencies. The feasibility study should identify potential negative impacts and discuss the extent to which they can be minimized. 3.9 Impact on U.S. Labor-The Contractor shall submit an assessment of the impact of the project on U.S. labor. 3.10 Qualifications-The Contractor shall submit the feasibility team qualifications required to conduct the study and the evaluation criteria to be used by the Project Sponsor in cases of completed studies.
