Description
The Office of Federal Housing Enterprise Oversight (OFHEO) has a requirement to secure services to continue its Special Examination of Fannie Mae regarding its accounting policies and practices, financial statements, internal controls, and other safety and soundness matters. Such services include review of issues relating to mortgage finance, structured finance, corporate governance, internal controls, executive compensation, securities law, generally accepted accounting practices, and litigation. The services will also include the provision of specialized legal advice to the Director of the OFHEO in connection with the Special Examination of Fannie Mae. These services include work in the area of mortgage finance, structured finance, derivatives, corporate governance, executive compensation, and litigation support. It is the intention of OFHEO to negotiate this requirement on a basis of other than full and open competition pursuant to the authority of 41 U.S.C. 253 (C) (1). The proposed source is Weil, Gotshal & Manges LLP, 1501 K Street, N.W., Suite 100, Washington, D.C. 20005. Weil, Gotshal & Manges LLP is the only source identified to perform this effort for the following reason: They are the only organization that has the combination of securities, corporate governance, and structured finance practice areas, as well as a unique understanding of the regulatory environment of the government sponsored enterprises, needed to provide the services that OFHEO requires. Organizations that determine they meet the specific requirements must furnish detailed information concerning their capabilities. This is not a request for proposal (RFP) nor a promise to contract. OFHEO will not pay any costs associated with the preparation and submission of organizational data. Responses must be submitted within 15 days of publication of this notice. No solicitation exists. All responses from responsible sources will be fully considered. Responsible sources cannot have provided services to Fannie Mae for any of the past seven years and must be willing to forgo the provision of services to Fannie Mae for at least two years after the completion of performance of this contract, unless provided with written approval by the Director of OFHEO. Responsible sources must be willing to provide up to 8 people on a full time basis for six months with an option of extending the work. The contract could be extended at the option of OFHEO for a total contract period not to exceed 6 years. Information received as a result of this notice of intent will be considered solely for the purpose of determining whether to conduct a competitive requirement. No additional synopsis will be published. Any RFP will be issued to all qualified firms that respond to this synopsis of intent.
