- The U.S. Department of Commerce, International Trade Administration (ITA), Office of the MAC/ MAC/Latin America/Caribbean program has a requirement to provide Business Ethics Training Workshops. The contractor shall provide a focused, approximately one week training on Business Ethics, to be performed in the three following cities: Managua, Nicaragua; Panama City, Panama; and Asuncion, Paraguay, and two options to provide Business Ethics Training Workshops in Guatemala City, Guatemala and San Salvador, El Salvador in accordance with attached Statement of Work entitled ?Business Ethics Workshops for Central and South America?. This is a combined synopsis/Solicitation for commercial acquisition prepared in accordance with Subpart 12.6 of the Federal Acquisition Regulation, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. Solicitation number TAIP3500-05-90563 is issued as a Request for Quote. This solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 20005-05. This requirement is a 100% small business set-a-side. The associated North American Industry Classification System Code (NAICS) is 611430 and small business size standard is $6M. The Contractor shall provide services in accordance with the Statement of Work included as part of this synopsis. Business Ethics workshops for Central and South America Statement of Work: The U.S. Department of Commerce?s (DOC) Good Governance Program works to increase market access and ensure a level playing field for U.S. companies operating globally. In Latin America, the Good Governance Program is currently working in Nicaragua, Panama, and Paraguay to promote good business practices and private sector leadership in fighting corruption. The Program?s practical six-phase business ethics initiative builds awareness and dialogue on business ethics and transparency, provides skills and tools to enable the private sector to adopt good business practices, and helps build private-public sector cooperation to combat corruption. The program assists the private sector to develop a general set of ethics guidelines that individual businesses may agree to adopt voluntarily and offers training and resources on business ethics. The purpose of this Statement of Work is to procure a trainer for a focused, approximately one week training on Business Ethics, to be performed in the three of the following cities: Managua, Nicaragua; Panama City, Panama; and Asuncion, Paraguay, with options for one week training on Business Ethics in Guatemala City, Guatemala and San Salvador, El Salvador. The proposed training will be a 4-5 day workshop with a select group of businesspeople (10-20 individuals) to develop an ethics program with an implementation plan for a small local business in the training country. It is anticipated in the context of developing a code and an ethics program, that a thorough examination of related ethics issues will be undertaken. Likely participants will include local private sector and non governmental organizations (NGO) representatives who are already active in the Good Governance Program and have some familiarity with basic business ethics issues. All participants must commit to multiplying the knowledge gained in this training by giving workshops in their companies, business associations, and other relevant groups after the training. Ideally, although not required, the Trainer would be an experienced business ethics practitioner with Spanish language fluency. Training should be consistent with principles found in the DOC publication, Business Ethics: A Manual for Managing a Responsible Business Enterprise in Emerging Market Economies (http://www.ita.doc.gov/goodgovernance/business_ethics/manual.asp). Creative ideas for program design are welcome. Trainings will occur in 2005-2006, with the first session slated for fall 2005. Objectives of training, To produce a workable ethics program and implementation plan for a small business. To impart the skills and information necessary for trainees to create appropriate codes of conduct and ethics programs and to advise others on codes of conduct and ethics programs. To give trainees a firm resource base and contacts to seek out additional resources. To provide a dynamic and interactive learning environment which fosters communication and promotes team-building and future collaboration. The trainer shall develop a 4-5 day training program that includes, but is not limited to the following: 1. The production of a code of conduct and/or ethics program and implementation plan for a small Central American or Paraguayan business. Participants should come away with an understanding of issues to consider when developing and implementing codes and/or ethics programs as well as the resources and competence to create and implement an effective code of conduct and/or ethics programs for a specific business. 2. Reference materials and handouts that include discussion on the following topics at a minimum: a) The value for businesses in implementing a code of conduct and/or ethics policies; b) Issues to consider when developing a code of conduct including strategies for stakeholder communication; c) Communicating, planning, and developing steps with company employees that lead to adoption of codes of conduct, including (i) vision statement, (ii) declaration, (iii) code development using the DOC?s Basic Guidelines of Codes of Business Conduct (http://www.ita.doc.gov/goodgovernance/adobe/basicguideng2.pdf) as foundation, and (iv) employee review; d) Identifying and designing appropriate implementation programs for codes of conduct through one or more methods designed for the small business; e) Monitoring and tracking system for a small business; and f) Periodic update, review and evaluation. 3. A discussion of the U.S. and/or international industry experiences on implementation of ethics and business codes of conduct, and what specific benefits are accrued by companies that adopt and implement internal codes of conduct; 4. A program design that will serve as a model for future training programs in other countries. A detailed draft of the training program shall be submitted for approval to the Office of the Western Hemisphere (OWH) within two weeks following awarding of the contract. The final program design and detailed agenda shall be due one month prior to the training start date and should incorporate participant input. The U.S. Government owns the rights in all the training materials developed under the Work Statement as provided by FAR 52.227-17, which clause is expressly made a part of this Work Statement. The U.S. Department of Commerce (DOC) shall provide the contractor with a list of Trainees. Any substitutions shall be made with as much notice as possible. The DOC shall provide logos where available and needed. The use of any logos provided by the Department of Commerce shall be for promotional material, handouts, signs and similar items. Logos are not for the personal use of the contractor or outside government use. The DOC and in-country partners will actively contribute to the design of the training and expect to work in partnership with the trainer(s). Training focus will be adapted to the specific country and needs of training participants. The DOC and in-country partners will provide training space and equipment as needed. The trainer shall provide a copy of the PowerPoint Presentation and any additional materials for distribution at least two weeks prior to the training for reproduction purposes. Reproduction of training materials will be provided by the DOC and its in-country partners. The award shall be based on best value. The contractor shall be evaluated using the following criteria list in descending order of importance. Criteria: 1. Training Plan. 2. Past performance. 3. Demonstrated experience and knowledge working in Latin America, including understanding of the business environment and practices in Latin America. 4. Professional public speaking Spanish language fluency. 5. Demonstrated ability to train individuals whose native language is not English. The contractor shall provide a separate Technical & Price Proposal. 1. A detailed plan outlining implementation of contract requirements listed in this Work Statement, referencing methodological reasoning. 2. Three past performance references for the same or equivalent professional services rendered, No more than three years old. 3. Trainer resume(s) highlighting any experience working with the private sector in Latin America and Spanish language skill level. 4. A fixed-price for three sessions (4-5 days each) of the training with a detailed cost breakdown including design/development and actual expenses, as well as estimates for options to conduct an additional two sessions in different countries and, 5. Indication of availability and desire to conduct the training in multiple Latin American countries during 2005-2006. Times to be negotiated with contractor(s) and country participants. **Fixed-price estimates should include all Contractor expenses for three sessions of 4-5 days, including travel, professional fees for facilitation days and design and development, emergency medical insurance, translation of materials, and other possible fees and expenses associated with fulfilling the requirements of this Statement of Work. It is the Contractors responsibility to maintain at its own expense the minimum amounts necessary of insurance required to perform the required services. The U.S. Government will provide reimbursement for transport, lodging, and per diem for meals and incidental expenses up to the GSA-determined rate for the trainer. All travel shall be in accordance with Federal Travel Regulations. The selected vendor will be required to provide receipts and an invoice for travel and lodging at the completion of the training. All interested parties shall provide a quote for the following line items: Line Item 0001 Produce a workable ethics program and implementation plan for a small business, with in 2 weeks after award (14 days). Line Item 0002 Perform one week (5 days) training on Business Ethics in Managua, Nicaragua. Line Item 0003 Perform one week (5 days) training on Business Ethics in Panama City, Panama. Line Item 0004 Perform on week (5 days) training on Business Ethics in Asuncion, Paraguay. With two optional Line Item 0005 Perform one week (5 days) training on Business Ethics in Guatemala City, Guatemala. And optional Line Item 0006 Perform one week (5 days) training on Business Ethics in San Salvador, El Salvador. The Government reserves the right to elect either one or both of these options. Offerors are advised to include a completed copy of the provision at 52.212-3. Failure to submit a completed copy of the representations and certifications may result in Offerors being considered non-responsive. The Clause 52.212-4, Contract Terms and Conditions-Commercial Items, applies to this acquisition. The Clause 52.212-5, Contract Terms and Conditions Require to Implement Statues or Executive Orders-Commercial Items Applies to this acquisition, with the following clauses incorporated by reference as an addenda: 52.217-7; 52.219-6; 52.222-3; 52.222-19; 52.222-21; 52.222-26; 52.222-35; 52.222-36; 52.222-37; 52.225-13; 52.227-17; 52.232-33. The Government anticipates a Firm Fixed Price purchase order with a 12 month period of performance will be awarded.
