- AMENDMENT 2 is issued to include HSAR 2052.215-70 - Key Personnel or Facilities. HSAR 3052.215-70 - KEY PERSONNEL OR FACILITIES (DEC 2003) (a) The personnel or facilities specified below are considered essential to the work being performed under this contract and may, with the consent of the contracting parties, be changed from time to time during the course of the contract by adding or deleting personnel or facilities, as appropriate. (b) Before removing or replacing any of the specified individuals or facilities, the Contractor shall notify the Contracting Officer, in writing, before the change becomes effective. The Contractor shall submit sufficient information to support the proposed action and to enable the Contracting Officer to evaluate the potential impact of the change on this contract. The Contractor shall not remove or replace personnel or facilities until the Contracting Officer approves the change. The Key Personnel: Engineering Technician (End of clause) SUBSTITUTION OR ADDITION OF PERSONNEL AND KEY POSITIONS a. The offeror agrees that during the contract performance period no personnel substitutions will be permitted unless such substitutions and necessitated by an individual?s sudden illness, death or termination of employment. In any of these events, the contractor shall promptly notify the Contracting officer and provide the information required by paragraph (d) below. b. If personnel for whatever reason becomes unavailable for work under the contract for a continuous period exceeding thirty (30) calendar days and are expected to devote substantially less effort to the work than indicated in the proposal, the contractor shall propose a substitution of such personnel, in accordance with paragraph (d) below. c. All proposed substitutions shall be submitted, in writing to the Contracting Officer at least fifteen (15) calendar days prior to substitution. Each request shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, a complete resume for the proposed substitute and any other information required by the Contracting Officer to approve or disapprove the proposed substitution. All proposed substitutes (no matter when they are proposed during the performance period), shall have qualifications equal to or higher than qualifications of the person being replaced. d. In the event a requirement to increase the specific level of effort for a designated labor category, but not the overall level of effort of the contract occurs, the offeror shall submit to the Contracting officer a written request for approval to add personnel t the designated labor category. The information required is the same as that required for paragraph (c) above. The additional personnel shall have qualifications greater than or equal to at least one (1) of the individuals proposed for the designated labor category. e. The Contracting Officer shall evaluate requests for submission and addition of personnel and promptly notify the offeror, in writing, whether the request is approved or disapproved. f. If the Contracting Officer determines that suitable and timely replacement of personnel who have been reassigned, terminated or have otherwise become unavailable to perform under the contract is not reasonably forthcoming or that the resultant reduction of productive effort would impair the successful completion of the contract, the contract may be terminated by the Contracting Officer for default or for the convenience of the Government, as appropriate. Alternatively, at the Contracting Officer?s discretion, if the Contracting Officer finds the contractor to be at fault as described above, he/she may equitably adjust (downward) the contract price to compensate the Government for any delay, loss or damage as result of the contractor?s action. g. Coast Guard has identified the following key positions that will be held responsible for the duration of the contract. They are essential to the ongoing conduct of the project and will assure consistent management control and direction. Key Positions are as follows: Engineering Technician The positions specified above are essential to work being performed on location. These key positions shall NOT be reassigned or diverted without the written authorization of the Contracting Officer. Prior to removing any of the specified positions from performance of this contract, the Contractor shall provide 30 calendar days advance notification to the Contracting Officer and shall submit justification in sufficient detail to permit evaluation of the impact on the Program. REQUIRED STANDARD OF WORKMANSHIP Unless otherwise specifically provided in this contract, the quality of all services rendered hereunder shall conform t the highest standards in the relevant profession, trade or field of endeavor. All services shall be rendered by individuals fully qualified in the relevant profession, trade or field, and holding any licenses required by law. The contractor, not the government, shall provide supervision of employees. CONTRACTING OFFICER'S TECHNICAL REPRESENTATIVE The Contracting Officer hereby designates the following individual as Contracting Officer's Technical Representative Determined at Time of Award DAMAGE TO CONTRACTOR SUPPLIES, MATERIALS, EQUIPMENT AND PROPERTY The Government will not be responsible in any way for damages to the contractor?s supplies, materials, equipment and property or to contractor or employee?s personal belongings that are caused by fire, weather, theft, accident, or other disaster/misfortune. The term ?contractor? includes subcontractors. EMPLOYEE IDENTIFICATION Contractor shall provide each Contractor employee with an identification card before employee commences work at ARSC. Each employee shall have card in his possession at all times while performing contract work. Contractor employees shall be issued ARSC Identification card as part of Orientation to ARSC. Card is to be visibly displayed at all times when performing contract work. Card shall be returned to COTR upon employee dismissal or completion or termination of contract. Contractor personnel and their subcontractors must identify themselves as contractors or subcontractors during meeting, telephone conversations, in electronic messages or correspondence related to this contractor. Contractor occupied facilities (on Government installation) such as offices, separate rooms, or cubicles must be clearly identified with Contractor supplied signs, name plates or other identification, showing that these are work areas for Contractor or subcontractor personnel. SECURITY REQUIREMENTS Contractor shall provide a list of names of all employees to the COTR prior to the contract start date. List shall be updated as necessary. Contractor shall be responsible for employee background check (criminal and financial) for any contractor employee requiring admission to the U.S. Coast Guard facilities to perform work under this contract. Contractor shall certify on company letterhead that the background check has been accomplished and that there are no negative financial situations or criminal offenses in that employee?s background. If there are any negative or criminal offenses found in the background check then the contractor shall explain why these findings will not impact the hiring of this individual and the company will take full responsibility for the hiring decision. All background investigations must be completed prior to commencing work under this contract. Employees shall be aware that divulging information without proper authority could result in administrative or disciplinary action. In accordance with Homeland Security Acquisition Regulation (HSAR) 3052.237-70 QUALIFICATIONS OF CONTRACTOR EMPLOYEES (NOV 2004) (Deviation) including Alternate (NOV 2004) Deviation, employees not requiring access to government IT resources but who will require access to government facilities or access to sensitive information, shall complete revised Non-Disclosure Agreement, DHS Form 11000.6 dated August 2004. (MD 11042.1 5.E. Safeguarding Sensitive But Unclassified (For Official Use Only) Information). In accordance with Homeland Security Acquisition Regulation (HSAR) 3052.237-71, INFORMATION TECHNOLOGY SYSTEMS ACCESS FOR CONTRACTORS (NOV 2004) (Deviation) contractor employees shall read and execute DHS Form 11000-6 Sensitive But Unclassified Information Non-Disclosure Agreement (NDA) as a condition of access to such information and prior to accessing government computer systems. Examples of information considered to be FOUO are listed in DHS MD 11042.1 Safeguarding Sensitive But Unclassified (For Official Use Only) Information. U.S. COAST GUARD INFORMATION SYSTEMS SECURITY Contractor shall only access those areas of Coast Guard Information Technology resources (e.g., computer equipment, networking equipment, telecommunications equipment, cabling, network drives, computer drives, network software, computer software, software programs, intranet sites, internet sites) explicitly stated in this contract and/or approved by the COTR in writing as necessary for performance of the work under this contract. Any attempts by contractor personnel to gain access to any information technology resources not explicitly authorized by the statement of work, other terms and conditions in this contract or approved in writing by the COTR is strictly prohibited. In the event of violation of this provision, the Coast Guard will take appropriate actions with regard to the contract. IDENTIFICATION CARD/BADGE Every contractor employee shall obtain an Identification Card/Badge (ID Card) from the U.S. Coast Guard Aircraft Repair & Supply Center, Personnel Resources Division, Building 63, at commencement of work. The term ?contractor? includes subcontractors. Not later than 10 calendar days after first contract start date, of work, the contractor shall contact the host?s Security Badge Office (252) 335-6582 or 335-6716) and arrange for security ID cards to be issued to all contractor employees. Each contractor employee shall wear the ID card conspicuously on his/her outer clothing above the waist at all times while working on the installation. Personnel may be challenged and removed from the work area or denied access to the installation if the ID card is not worn. In the event that a contractor employee loses his/her ID card, the contractor shall report the lost ID card to the Contracting Officer and /or the COTR who will arrange for replacement ID cards. The contractor shall return all government-provided ID cards to the Government either at the completion for the contract or upon termination of an individual?s employment whichever comes first. VEHICLE REGISTRATION The contractor shall ensure all contractor-provided vehicles used in performance on this contract and contractor employees? vehicles to be driven on the installation, to include motorcycles, are registered with the installation security office, building 35 in conformance with local procedures in effect at the time of registration. The term ?contractor? includes subcontractors. The Government will not permit access to the installation without proper vehicle identification. Evidence of a valid driver?s license, vehicle registration card, state safety inspection certification, government-provided ID card, and proof of insurance are required for registration. The contractor shall ensure all installation-issued decals are removed from the vehicles and returned to the installation security office at completion of the contract, termination/completion of employment, or a change in the vehicle used for access to the installation. Motorcycle owners/operators shall comply with all installation requirements. Contractor employees shall maintain insurance on all privately owned vehicles (POVs) brought on the installation property; the contractor shall maintain insurance on all contractor-owned vehicles brought on the installation property and including rental vehicles. PARKING AND TRAFFIC CONTROL The contractor and its employees shall abide by installation parking regulations. The term ?contractor? includes subcontractors. All vehicles shall be parked in designated parking areas only. The contractor and its employees shall conform to state and federal driving regulations and any applicable Coast Guard regulations. HIRING AND STAFFING APPROVAL a. The contractor shall maintain records for all personnel hired. At a minimum, the contractor shall maintain records that support the personnel hired met the minimum qualification of the position. These records shall be made available to the Contracting Officer or designee upon request. b. The contractor is responsible for providing personnel under this contract who meet or exceed the minimum qualifications. All contractor personnel assigned to this contract will be subject to review by the Contracting Officer or his designee. Contractor personnel found not to meet qualifications or performance standards shall be removed from performing under this contract. Monies associated with personnel found not to meet the labor category qualifications will be disallowed.
