Description
THIS NOTICE IS A REQUEST FOR INFORMATION ONLY The United States Department of Agriculture (USDA), Rural Development Agency (Agency) is seeking attorney's to provide legal support services in a number of legal practice areas including corporate, corporate/project finance, tax, bankruptcy and debt restructuring, cooperative law, secured transactions, real estate, mortgage banking, energy law and environmental law. The services would include the necessary legal support services relating to Applications by Borrowers for financial assistance and approvals required pursuant to the terms of outstanding loan and security instruments. Request for Information Pursuant to FAR 15.209 this Request for Information (RFI) references FAR 52.215-3 REQUEST FOR INFORMATION OR SOLICITATION FOR PLANNING PURPOSES (OCT 1997) (a) The Government does not intend to award a contract on the basis of this solicitation or to otherwise pay for the information solicited except as an allowable cost under other contracts as provided in subsection 31.205-18, Bid and proposal costs, of the Federal Acquisition Regulation. (b) Although "proposal" and "offeror" are used in this Request for Information, your response will be treated as information only. It shall not be used as a proposal. (c) This solicitation is issued for the purpose of: obtaining Statements of Interest as well as Capability Statements from businesses that are capable of providing the various legal services identified above that are required for the future solicitation. Small businesses are encouraged to respond. (End of provision) The purpose of this notice is to obtain Capability Statements from businesses that are capable of providing legal services that include: corporate, corporate/project finance, tax, bankruptcy and debt restructuring, cooperative law, secured transactions, real estate, mortgage banking, energy law and environmental law. The Agency anticipates awarding multiple contracts under which the Contractor will be responsible for legal services for the Rural Utilities Services Branch. SPECIFIC TASKS include the following: A. Reviewing a Borrower's Application and all statutes, regulations, loan agreements, security instruments, third party contracts and additional documents and information relevant to the Application; B. Analyzing legal issues, including compliance with applicable statutory, regulatory, contractual, and policy requirements, in connection with Programs' consideration of the Borrower's Application and its impact on Programs? financial and programmatic interests; C. Coordinating with local counsel on jurisdiction specific legal issues such as local tax and real property law; D. Negotiating, drafting and reviewing, on behalf of the Government, all agreements and documents necessary to implement Programs? actions in response to the Application, including preparing the necessary documentation relating to requested Programs? approvals (with the consent of Programs and OGC, other interested parties may be permitted to draft certain documents); E. Insuring the proper authorization, execution, and delivery of all documents and agreements required to implement Programs? actions in response to the Application including without limitation, project sponsor and third-party legal opinions and appropriate regulatory approvals; review of due diligence; F. Reviewing project sponsor and third-party legal opinions and related correspondence, documents, pleadings, filings and other representations on issues arising from projects or proposed projects; G. Delivery, as stated in each individual task order of such legal opinions, memoranda, documents and proofs with respect to the foregoing as Programs shall deem appropriate; and H. Delivery, as stated in each individual task order, copies of all closing papers, administrative records or other documents with respect to the foregoing as Programs shall deem appropriate in both paper and electronic media. The Agency seeks a Contractor that has the experience and capability to perform the work and be responsible for the work of other subcontractors. Given the Agency's intention of awarding multiple IDIQ contracts, the Capability Statement of businesses interested in this acquisition shall contain proof of ability to perform the above services and shall be submitted to the individual identified below: (i) experience with the legal services required for the solicitation (ii) experience in identifying, managing the work of subcontractors for similar efforts and/or complexity. Additional time and cost for training will not be considered. The Contractor's experience shall be documented by identifying with specificity: (1) the contracts under which the experience was obtained, (2) the dates of performance, (3) the contract number, (4) the contracting entity, point of contact, and telephone number, (4) a brief description of services provided, and (5) the contract value. Full and complete responses are necessary to demonstrate to the Agency the contractor's capabilities in all aspects of the services required. Therefore, company brochures and/or standard capability statements are not desired or accepted. The Contractor shall identify its Small Business designation such as 8(a), veteran-owned small business, service-disabled veteran-owned small business, HUBZone small business, small disadvantaged business, and women-owned small business concerns, etc. Deadline and Contact Information: All responses are due to Chanda M.
