Description
This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. This solicitation and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-26. This requirement is issued as a Request for Quotation (RFQ). SCOPE: The Walla Walla District Corps of Engineers Agency is committed to promoting and supporting the physical and mental fitness of its employees. This Statement of Work (SOW) provides for Organizational Memberships in qualified fitness facilities to promote physical fitness for civilian employees within the Agency. 2.0. STANDARDS: 2.1 Contractor shall conform to all applicable regulations. 2.2 Contractor shall maintain all required commercial licenses and permits in accordance with customary commercial business practices. 3.0. REQUIREMENT: 3.1. Organizational Membership: The Commander of the Agency has authorized participation in the Fitness and Health Program for civilian personnel within or near the local commuting area of the Army Corps of Engineers District Office, Walla Walla, Washington. The local commuting area includes the following communities: Clarkston, Lewiston, Pullman, Tri-Cities (Pasco, Richland, Kennewick) Hermiston, and Walla Walla. Other included communities outside the District commuting area are Idaho Falls, Boise and Coeur dAlene, Idaho. Contractor shall provide all fitness facilities, equipment, locker areas, showers and membership privileges to civilian employees of the Agency. Participation will vary on location of fitness facilities. See Participation below. 3.2. Period of Performance. The Agency intends to award up to 15 contracts to cover a one-year period of performance, to include four additional optional year periods that may be exercised at the discretion of the Agency. In the event the Agency exercises additional option years, a modification will be executed to incorporate the new period of performance. 3.3. Prorated Memberships: Organizational membership fees shall be determined by prorating fees for each employee participant beginning with the month the employee joins the Contractors facility through the end of the employees participation. Organizational memberships shall be on a month-to-month basis. The Agency will not be responsible for annual membership contracts entered into by the participants, any annual renewals of membership contracts, cancellation fees, or any other fees associated with employee participant memberships. It shall be the responsibility of the Contracting Officer of the Agency to notify the Contractor if an employee leaves employment or otherwise becomes disqualified for fitness services. Upon such notice, the Contractor shall properly reduce reimbursement for that prorated portion. 3.4. Payments : The Agency will reimburse the Contractor up to $25.00 a month, not to exceed $300.00 per year for each employee participant. If additional monies are due the contractor, over and above the payments described in this section, it will be the responsibility of the employee participant to pay the remaining fees. See paragraph 3.7 Invoicing. 3.5. Pre-Authorization: All Agency employees shall provide the Contractor a Pre-Authorization Card from the Agency before joining the Fitness Facility. This card will authorize the Contractor to invoice the Agency for reimbursement of each employee participants prorated fee. 3.6. Sale of Memberships: Agency Participants are not authorized to sell or transfer their membership to other Agency employees or any other private party during the period of performance of this contract. Contractor shall advise the Agency of any attempts to change ownership by Agency employees. 3.7. Invoicing: Contractor shall submit an original invoice to the Agency on a monthly or quarterly basis. See FAR Clause 52.212-4, Contract Terms and Conditions-Commercial Items, subparagraph (g) Invoice. Payments will be made by the Agency directly to the Contractor in arrears. Advance payment is not authorized. The Contractor shall include the employee participants name on each invoice for services billed. 3.9. Point of Contact: The contractor shall provide a single point of contact for all membership orders, service requests, and billing questions during regular business hours. PARTICIPATION: It is anticipated that approximately 31 civilian employees may participate in fitness facilities within the Tri-City communities to include: Pasco, Richland, and Kennewick, Washington, and Hermiston, Oregon. The communities of Clarkston, Lewiston and Pullman Washington may anticipate approximately 12 civilian employees. Other included communities outside the Walla Walla District commuting area are: Boise, Idaho Falls and Coeur dAlene, Idaho. These areas may anticipate approximately 12 civilian employees. Walla Walla, Washington anticipates approximately 125 civilian employees. Solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-29. The provision at FAR 52.212-2, Evaluation-Commercial Items is not applicable to this requirement. The Provision 52.212-3 Alt 1 applies to this acquisition. Note: An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically at https://orca.bpn.gov; if an offeror has not completed the annual representations and certifications electronically at the ORCA website t https://orca.bpn.gov, the offer shall complete only paragraphs (c) through (m) of this provision and submit with its offer. FAR Clause FAR 52.212-4, Contract Terms and Conditions-Commercial Items applies to this acquisition (no addenda). The following applicable FAR clauses are incorporated by reference: 52.204-4, Printed or Copied Double-Sided on Recycled Paper, 52.204-7, Central Contractor Registration; 52.204-7004Alt A, Central Contractor Registration (52.204-7) Alternate A, DFAR 252.232-7010, Levies on Contract Payments The following FAR Clauses 52.217-8, Option to Extend Services; and 52.217-9, Option to Extend the Term of the Contract; are incorporated by full Text as follows: 52.217-8 Option to Extend Services. OPTION TO EXTEND SERVICES (NOV 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 calendar days prior to expiration. (End of clause) 52.217-9 Option to Extend the Term of the Contract. OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000) (a) The Government may extend the term of this contract by written notice to the Contractor within 30 calendar days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension. (b) If the Government exercises this option, the extended contract shall be considered to include this option clause. (c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years. DFARS Clause 252.212-7001 Contract Terms and Conditions Required to Implement Statutes or Executive Orders Applicable to Defense Acquisitions of Commercial Items applies with the following applicable clauses in paragraph (b): 52.203-3 Gratuities; 252.232-7003, Electronic Submission of Payment Requests; and 252.247-7023 Alt III Transportation of Supplies by Sea.
