Description
Sources Sought Notice for Omnibus Legal Services Contracts in Support of the Troubled Asset Relief Program (TARP) This is a sources sought notice. This announcement is for market research and preliminary planning purposes. No proposals are being requested or accepted in response to this notice. THIS IS NOT A SOLICITATION FOR PROPOSALS AND NO CONTRACT WILL BE AWARDED AS A RESULT OF THIS NOTICE. The U.S. Department of Treasury has an ongoing requirement for legal services in support of the Office of Financial Stability (OFS). This ongoing legal support is to assist with the implementation of the Troubled Asset Relief Program (TARP) and associated programs by OFS. No reimbursement will be made for any costs associated with providing information in response to this notice or any follow up information requests. Treasury plans to solicit offers in April 2009 for the award of multiple indefinite-delivery indefinite-quantity (ID/IQ) contracts. This solicitation will be issued pursuant to Federal Acquisition Regulation (FAR) Part 15, Contracting by Negotiation, using full and open competitive acquisition procedures. Contracts awarded are intended to provide Treasury with specialized legal expertise to support current and future programs for a term of up to five (5) years. The solicitation will identify six task areas to which prospective offerors may propose: 1. Investment Transactions and Guarantees - Investments in public entities - Private equity transactions - Asset purchases, guarantees and divestitures 2. Debt Transactions - Secured lending transactions - Subordinated debt - Loan restructuring - Loan syndication and trading 3. Bankruptcy - Debtor-in-possession financing - General bankruptcy advice including analysis of claims relating to existing OFS programs 4. Real Estate - Mortgages, mortgage renegotiations and foreclosures, including attorneys licensed in the relevant jurisdictions - Investments in mortgage-related assets 5. Structured Products - Asset-backed securities - Structured finance - Financial and derivative products 6. Regulatory - Regulation of Banks and Bank Holding Companies - Regulation of Investment Advisers and Broker/Dealers - Tax analysis including analysis related to structuring of investments Treasury anticipates that the solicitation will require offerors to provide information on the capabilities of their firms and their key personnel, resources, past performance, and labor rates offered for each task area on which they would like to propose. All firms will be required to propose an organizational conflicts of interest (OCI) mitigation plan. Treasury will award contracts to the combination of firms which represent the best value to the Government. Treasury expects to issue firm, fixed price task orders against these contracts to the maximum extent practicable. The North American Industrial Classification System (NAICS) code for this acquisition is 541110 (Offices of Lawyers). The small business size standard for this acquisition, based upon the NAICS code, is $7,000,000. Small business firms will be required to certify their small business size status as of the date that the solicitation closes. Large business firms will be required to provide small business subcontracting plans in response to the solicitation. All firms must be registered in the Central Contractor Database (CCR), http://www.ccr.gov/, to be awarded a government contract. The purpose of this notice is to gain knowledge of the interest, capabilities, and qualifications of prospective offerors for this requirement. Treasury is particularly interested in understanding the capabilities and qualifications of interested small business concerns, including woman and minority owned small businesses, and service-disabled veteran-owned small businesses (SDVOSB). The type of solicitation issued will depend upon the responses to this notice of all firms, but particularly of interested small businesses. Interested vendors are requested to provide a written response to this notice which shall be limited to 5 pages. The response should include: 1) Vendor's name, address, point of contact, phone number, and e-mail address; 2) Vendor's small business size status, including whether the vendor is a woman owned, minority owned, or SDVOSB firm; 3) Whether the firm is interested in working as a prime contractor or a subcontractor*; 4) Which task areas on which the firm is interested in proposing; and 5) A description of the vendor's capabilities under each task area for which the firm expresses interest. * Please Note: Treasury will maintain a list of any firm that represents that it has an interest in being a subcontractor or part of a teaming arrangement for purposes of the contemplated procurement. Treasury will provide such a list to any prospective offeror upon request. As a result, any firm that responds to this sources sought notice should indicate whether it consents to its inclusion on such a publicly-available list. The list will be posted at the government point-of-entry (http://www.fedbizopps.gov/) and/or Treasury’s web site (http://www.treasury.gov/). Interested prospective offerors shall respond to this sources sought notice no later than 12:00 Noon ET on March 26, 2009. All information in response to this notice must be sent via e-mail.
