Description
This is a combined synopsis/solicitation for the procurement of commercial items prepared in accordance with the format in FAR Subpart 12.6, as supplemented with additional information included in this notice. This requirement will be satisfied using commercial acquisition procedures specified in FAR Parts 12 and 13. This announcement constitutes the only solicitation; firm-fixed-price proposals for the procurement of the following items are being requested and a written solicitation will not be issued. Solicitation number HSCG38-09-Q-300027 is being assigned to this procurement for tracking purposes only and this synopsis/solicitation is being issued as a Request for Quotation (RFQ). When soliciting quotes or offers, round-off prices to the nearest U.S. dollar value. The incorporated clauses and provisions are those in effect through Federal Acquisition Circular 2005-31. The North American Industry Classification System Code is 336412. The business size standard is 1000 employees. This solicitation is an unrestricted solicitation. Award will be made to the offeror proposing the best value to the Government considering price and delivery schedule. All responsible sources may submit an offer, which will be considered. These items are utilized on the USCG C-130J aircraft. The Government intends to issue a Firm Fixed Price Contract to the Original Equipment Manufacturer of the required items. The proposed sole source contractor is Rolls-Royce Corporation, 2355 South Tibbs Ave, Indianapolis, IN 46241-4821. All responsible sources may submit an offer, which will be considered. Offers may be submitted on company letterhead stationery indicating the National Stock Numbers, Nomenclatures, Part Numbers and Unit Pricing. Items required: Item 1.) Used, reconditioned, overhauled, or remanufactured material is not acceptable. The Coast Guard does not own, nor can it provide drawings or technical data related to this requirement. Required delivery is 45 days After Receipt of Order (ARO). Early deliveries will be accepted. Deliver to the USCG Aviation Logistics Center, Attn: Receiving Section, Bldg. 63, Elizabeth City, NC 27909-5001. Early deliveries will be accepted. Packaging, packing, and preservation shall be in accordance with best commercial practices. Packaging material shall not consist of the following: popcorn, shredded paper, Styrofoam of any type, or peanut packaging. Labeling shall include the appropriate National Stock Number, Part Number, Nomenclature, Quantity, Purchase Order and Line Item Number. Labeling data shall be attached to the outside of the shipping containers. Bar coding is not required. This solicitation incorporates one or more clauses by reference, with the same force and effect as if they were given in full text. FAR 52.212-4 Contract Terms and Conditions-Commercial Items (Oct 2008) is tailored as follows: FAR 52.211-15, Defense Priority and Allocation Requirement (Apr 2008); FAR 52.245-1 Government Property (June 2007); FAR 52.247-34, FOB Destination (Nov 1991); FAR 52.212-5, Contract Terms and Conditions Required to Implement Statutes or Executive Orders-Commercial Items (Mar 2009); (b) (1), (4), (10), (16), (17), (18), (19), (20), (21), (22), (23), (24), (25), (26), (29), (30), (32) (35), (36), and (37). FAR 52.233-3, Protest After Award (Aug 1996). HSAR 3052.209-70 Prohibition on Contracts with Corporate Expatriates. (JUN 2006) (a) Prohibitions. Section 835 of Public Law 107-296, prohibits the Department of Homeland Security Act, from entering into any contract with a foreign incorporated entity which is treated as an inverted domestic corporation as defined in this clause, or with any subsidiary of such an entity. The Secretary shall waive the prohibition with respect to any specific contract if the Secretary determines that the waiver is required in the interest of national security. (b) Definitions. As used in this clause: “Expanded Affiliated Group” means an affiliated group as defined in section 1504(a) of the Internal Revenue Code of 1986 (without regard to section 1504(b) of such Code), except that section 1504 of such Code shall be applied by substituting `more than 50 percent' for `at least 80 percent' each place it appears. “Foreign Incorporated Entity” means any entity which is, or but for subsection (b) of Section 835 of the Homeland Security Act, 6 U.S.C. 395, would be, treated as a foreign corporation for purposes of the Internal Revenue Code of 1986. “Inverted Domestic Corporation.” A foreign incorporated entity shall be treated as an inverted domestic corporation if, pursuant to a plan (or a series of related transactions)— (1) The entity completes the direct or indirect acquisition of substantially all of the properties held directly or indirectly by a domestic corporation or substantially all of the properties constituting a trade or business of a domestic partnership; (2) After the acquisition at least 80 percent of the stock (by vote or value) of the entity is held— (i) In the case of an acquisition with respect to a domestic corporation, by former shareholders of the domestic corporation by reason of holding stock in the domestic corporation; or (ii) In the case of an acquisition with respect to a domestic partnership, by former partners of the domestic partnership by reason of holding a capital or profits interest in the domestic partnership; and (3) The expanded affiliated group which after the acquisition includes the entity does not have substantial business activities in the foreign country in which or under the law of which the entity is created or organized when compared to the total business activities of such expanded affiliated group. “Person”, “domestic”, and “foreign” have the meanings given such terms by paragraphs (1), (4), and (5) of section 7701(a) of the Internal Revenue Code of 1986, respectively. (c) Special rules. The following definitions and special rules shall apply when determining whether a foreign incorporated entity should be treated as an inverted domestic corporation. (1) Certain Stock Disregarded. For the purpose of treating a foreign incorporated entity as an inverted domestic corporation these shall not be taken into account in determining ownership: (i) stock held by members of the expanded affiliated group which includes the foreign incorporated entity; or (ii) stock of such entity which is sold in a public offering related to the acquisition described in subsection (b)(1) of Section 835 of the Homeland Security Act, 6 U.S.C 395(b)(1). (2) Plan Deemed In Certain Cases. If a foreign incorporated entity acquires directly or indirectly substantially all of the properties of a domestic corporation or partnership during the 4-year period beginning on the date which is 2 years before the ownership requirements of subsection (b)(2) are met, such actions shall be treated as pursuant to a plan. (3) Certain Transfers Disregarded. The transfer of properties or liabilities (including by contribution or distribution) shall be disregarded if such transfers are part of a plan a principal purpose of which is to avoid the purposes of this section. (d) Special Rule for Related Partnerships. For purposes of applying Section 835(b) of Homeland Security Act, 6 U.S.C. 395(b) to the acquisition of a domestic partnership, except as provided in regulations, all domestic partnerships which are under common control (within the meaning of section 482 of the Internal Revenue Code of 1986) shall be treated as a partnership. (e) Treatment of Certain Rights. (1) Certain rights shall be treated as stocks to the extent necessary to reflect the present value of all equitable interests incident to the transaction, as follows: (i) warrants; (ii) options; (iii) contracts to acquire stock; (iv) convertible debt instruments; and (v) others similar interests. (2) Rights labeled as stocks shall not be treated as stocks whenever it is deemed appropriate to do so to reflect the present value of the transaction or to disregard transactions whose recognition would defeat the purpose of Section 835. (f) Disclosure. The offeror under this solicitation represents that [Check one]: __ it is not a foreign incorporated entity that should be treated as an inverted domestic corporation pursuant to the criteria of (HSAR) 48 CFR 3009.104-70 through 3009.104-73; __ it is a foreign incorporated entity that should be treated as an inverted domestic corporation pursuant to the criteria of (HSAR) 48 CFR 3009.104-70 through 3009.104-73, but it has submitted a request for a waiver pursuant to 3009-104-74, which has not been denied; or __ it is a foreign incorporated entity that should be treated as an inverted domestic corporation pursuant to the criteria of (HSAR) 48 CFR 3009-104.70 through 3009-104.73, but it plans to submit a request for waiver pursuant to 3009.104-74. (g) A copy of the approved waiver, if a waiver has already been granted, or the waiver request, if a waiver has been applied for, shall be attached to the bid or proposal. All responsible sources may submit an offer, which will be considered. Vendors must have a valid Cage Code and DUNS number and be registered in CCR. Offers may be submitted on company letterhead stationary and must include the following information: Solicitation number, the National Stock Number, Nomenclature, Part Number, Unit Price, and Payment terms. (End of provision) NOTICE FOR FILING AGENCY PROTESTS United States Coast Guard Ombudsman Program It is the policy of the United States Coast Guard (USCG) to issue solicitations and make contract awards in a fair and timely manner. The Ombudsman Program for Agency Protests (OPAP) was established to investigate agency protest issues and resolve them without expensive and time-consuming litigation. OPAP is an independent reviewing authority that is empowered to grant a prevailing protester essentially the same relief as the General Accountability Office (GAO). Interested parties are encouraged to seek resolution of their concerns within the USCG as an Alternative Dispute Resolution (ADR) forum, rather than filing a protest with the GAO or some external forum. Interested parties may seek resolution of their concerns informally or opt to file a formal agency protest with the contracting officer or Ombudsman. Informal forum with the Ombudsman. Interested parties who believe a specific USCG procurement is unfair or otherwise defective should first direct their concerns to the cognizant contracting officer. If the contracting officer is unable to satisfy the concerns, the interested party is encouraged to contact the USCG Ombudsman for Agency Protests. Under this informal process, the agency is not required to suspend contract award performance. Use of an informal forum does not suspend any time requirement for filing a protest with the agency or other forum. In order to ensure a timely response, interested parties should provide the following information to the Ombudsman: solicitation/contract number, contracting office, contracting officer, and solicitation closing date (if applicable). Formal Agency Protest with the Ombudsman. Prior to submitting a formal agency protest, protesters must first use their best efforts to resolve their concerns with the contracting officer through open and frank discussions. If the protester’s concerns are unresolved, an independent review is available by the Ombudsman. The protester may file a formal agency protest to either the contracting officer or as an alternative to that, the Ombudsman under the OPAP program. Contract award or performance will be suspended during the protest period unless contract award or performance is justified, in writing, for urgent and compelling reasons or is determined in writing to be in the best interest of the Government. The agency’s goal is to resolve protests in less than 35 calendar days from the date of filing. Protests shall include the information set forth in FAR 33.103. If the protester fails to submit the required information, resolution of the protest may be delayed or the protest may be dismissed. This will not preclude re-filing of the protest to meet the requirement. To be timely, protests must be filed within the period specified in FAR 33.103(e). JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION SOLICITATION HSCG38-09-Q-300027 Pursuant to the requirements of the test program for commercial items as implemented by Section 4202 of the Clinger-Cohen Act of 1996 as implemented by FAR 13.501(a)(ii), this justification for other than full and open competition is supported by the following facts and rationale in the format described at FAR 6.303-2: (1) Identification of the agency and the contracting activity, and specific identification of the document as a “Justification for other than full and open competition.” U.S. Coast Guard, Aviation Logistics Center, Long Range Surveillance Division, Elizabeth City, North Carolina, proposes to issue a purchase order on a basis other than full and open competition. (2) Nature and/or description of the action being approved. Approval is requested to purchase, on a sole source basis, a quantity of thirteen (13) separate Line Items of AE2100D3 Engine Support Equipment. These items are required to support AE2100D3 Programmed Depot Maintenance on the C-130J Aircraft. These items are manufactured for Rolls Royce especially for the Rolls Royce AE2100D3 Aircraft Engine. The proposed contract type is a firm-fixed price purchase order and the vendor is Rolls Royce Corporation, 2001 South Tibbs Avenue, P.O. Box 420, Indianapolis IN 46206-0420. (3) A description of the supplies or services required to meet the agency’s needs (including the estimated value). As the Aviation Inventory Control Point (AICP), ALC must provide effective supply support for all Coast Guard aviation units and for the Programmed Depot Maintenance Program. The Programmed Depot Maintenance on the C-130J Aircraft requires removal and re-installation of the AE2100D3 Engines during the PDM process. These 13 items are required to support this removal and re-installation and some minor maintenance associated with inspection and testing of the AE2100D3 engines. Failure to purchase the required Engine Support Equipment will leave the PDM Line without the capability to remove, store and re-install all four AE2100D3 engines during the whole PDM process, thus adversely impacting the U.S. Coast Guard‘s ability to sufficiently overhaul and Repair C-130J Aircraft. The material and estimated quantities to be procured are based on current mission requirements. (4) An identification of the statutory authority permitting other than full and open competition. The statutory authority permitting other than full and open competition is 10 U.S.C. 2304(c)(1) as implemented by the Federal Acquisition Regulation (FAR) 6.302-1 entitled “Only one responsible source or a limited number of responsible sources and no other type of supplies or services will satisfy agency requirements”. (5) Demonstration that the nature of the acquisition require use of the authority cited. The items to be procured are manufactured for Rolls Royce Corporation to support the AE2100D3 Engines and Rolls Royce holds all proprietary rights to the Engines and manufacturing and drawings of all this equipment. The initial USCG’s purchase for the Aircraft Project Office was solicited on Combined Synopsis/Solicitation Notice HSCG38-06-Q-610014, receiving no other offers. This Equipment is only available from Roll Royce Corporation. (6) Description of efforts made to ensure that offers are solicited from as many potential sources as is practicable. - A combined synopsis/solicitation for commercial items prepared in accordance with the format in FAR Subpart 12.603 will be issued. This procedure combines the synopsis required by 5.102 (a)(6) and 5.2 and the issuance of the solicitation into a single document. (7) Determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable. – It is the Contracting Officer’s opinion that Firm Fixed price for this procurement will be determined fair and reasonable based on comparison with historical pricing. (8) Description of the market research. When conducting market research, the Coast Guard's Aviation Maintenance Management Information System (AMMIS) is checked. This is a database that provides historical data for all parts purchased by ALC. This database includes, but is not limited to, part number, nomenclature, purchase/delivery order number and historical pricing data. As part of the requirements package, a copy of all AMMIS data is included to support the independent Government estimate. Federal Logistics (FEDLOG) is a federally supported program which lists all manufacturers/suppliers by cage code. This program provides a valuable tool for supplier information and is utilized by requirements personnel to determine if alternate sources of supply exist. Information is accessed by National Stock Number, Nomenclature, item name, supplier name, and cage code. Another source is “Parts Base”. This website is used to locate hard to find parts. - Market surveys are continually conducted to identify new sources of supply for the AE2100D3 Engine, components and spare parts. (9) Any other facts supporting the use of other than full and open competition, i.e., proprietary data packages, etc. As stated above, Rolls Royce is the OEM for these items and holds all proprietary rights to the manufacturing and drawings for these items. Similar requirements existed in 2006 and the USCG issued a combined synopsis/solicitation for these commercial items. The unrestricted solicitation was posted to FBO for 15 Days, with ample opportunity for any vendors to submit a proposal that met the USCG's requirement. No other vendors responded aside from Rolls Royce Corporation. (10) Listing of the sources, if any that expressed in writing, an interest in the acquisition. – In accordance with FAR 5.102 and 5.201, the intent to contract for this product will be posted to FEBizOpps. (11) A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required. – Although the USCG does not have, nor have access to, the drawings or patterns to this equipment, continued efforts will be made to find new sources or new developments associated with the AE2100D3 Aircraft Engine tooling, parts and components.
