Description
JUSTIFICATION AND APPROVAL FOR OTHER THAN FULL AND OPEN COMPETITION Air Education Training Command Contracting I. Contracting Activity Department of the Air Force AETC CONS/LGCI 2021 First Street West Randolph AFB, TX 78150-4302 (210) 652-3073 DSN 487-3073 II. Nature and/or Description of Action Being Processed The proposed contract requires Goodrich ISR Systems, to provide training and technology transfer for the Greece Ministry of Defense (MOD) in support of their purchase of the DB-110 Reconnaissance (RECCE) Pod System (component of a major weapon system) for the F-16 C/D Block 52 Peace Xenia IV Program. The Hellenic Air Force (HAF) requested sole source direction for purchase of the DB-110 Reconnaissance System, from the Original Equipment Manufacturer (OEM), Goodrich ISR Systems, using Foreign Military Sales (FMS) Letter of Offer and Acceptance (LOA). However, the training requirement was not included in that sole source request. The required training will be Contractor, Type 1 Special Training, procured by the Air Education and Training Command and presented under the auspices of the Security Assistance Training Program. The contractor will provide training at their facilities and in-country at Araxos Air Base Greece. All training shall be based on data available under the FMS program and developed and presented in accordance with the country configured equipment. Training shall provide the student with the knowledge and skills that will allow them to perform Technical Advisory Role, Airborne RECCE Operation, Mission Planning, Ground Station Operation, DB-110 Airborne Segment Organizational and Intermediate Maintenance, and Ground Segment Maintenance as recommended and authorized by the manufacturer and technical data. This will be a Firm Fixed Price (FFP) contract. III. Description of Supplies/Services Required to meet the Agency's Needs The Airborne Segment of the RECCE System is a pod-based Reconnaissance Sensor that will provide the Hellenic Air Force (HAF) F-16 C/D Block 52M Multi-Role aircraft with a technical RECCE capability in support of multi-role North Atlantic Treaty Organization missions. The system also has a Ground Segment with fixed mobile ground stations to receive/process, exploit the imagery and create intelligence products for critical decision making authorities. The system uses its own mission planning system to plan RECCE missions. Two Technical Advisors will receive RECCE Pod Mobile Ground Station O&I level Training on the airborne segment and the ground segment. Additionally, approximately four months of hands-on will be provided to the Technical Advisors. This training will be completed in time to allow the Technical Advisors to attend the appropriate operator and maintenance classes identified below at Araxos Air Base. DB-110 RECCE Pod Training for the Operators, Maintenance, and Pilot personnel will take place at Araxos Air Base in Greece. Eight students will receive Ground Segment Equipment Operator Training. Eight students will receive Airborne Segment Maintenance O and I-level training. Eight students will receive O&I-level Ground Segment Maintenance training. Eight students (datalink maintainers) will receive IL3 GDLT Operations/maintenance course training. Eight pilot students will receive Airborne Segment Pilot Training to include RECCE Systems; Mission Planning, Preparation, Execution; and Post-flight. In-country training will consist of academics and structured on-the-job training (SOJT). The primary emphasis will be "hands on" practical experience allowing students to complete all trained tasks using approved technical data. The academic phase will consist of lecture/discussion/ demonstration. The SOJT phase will consist of laboratory/hands-on demonstration. The contract will be for one year, estimated value is $1,861,242. IV. Statutory Authority Permitting Other Than Full and Open Competition Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements. In accordance with 10 U.S.C. 2304 (c) (1) implemented by Federal Acquisition Regulation (FAR) 6.302-1(a) (2) "Only one responsible source and no other supplies or services will satisfy agency requirements," and FAR 6.302-1(b) (2) The existence of limited rights in data, patent rights, copyrights, or secret processes; the control of basic raw material; or similar circumstances, make the supplies and services available from only one source. Also, in accordance with Defense Federal acquisition Regulation Supplement (DFARS) Part 207.106, Additional requirements for major systems (b) (1) (A), "The contracting officer is prohibited by 10 U.S.C. 2305(d) (4) (A) from requiring offers for development or production of major systems that would enable the Government to use technical data to competitively reprocure identical items or components of the system if the item or component were developed exclusively at private expense". The justification for other than full and open competition shall be approved in writing. In accordance with FAR 6.304(a) (2), for a proposed contract over $550,000 but not exceeding $11.5 million, the approval is made by the competition advocate for the procuring activity and in accordance with agency procedures. The contracting officer's certification that the justification is accurate and complete to the best of the contracting officer's knowledge and belief will be evidenced by his/her signature on the Coordination and Approval Document. V. Demonstration that the Contractor's Unique Qualifications or Nature of the Acquisition requires the use of the Authority Cited above (Applicability of Authority) This training will be on the operation of specialized equipment, developed and proprietarily controlled by Goodrich ISR Systems. Goodrich ISR states in their letter dated 19 Aug 09, "A point worth noting is that the DB-110 system was developed on Goodrich company funds and therefore the system is proprietary to Goodrich and any source data required to develop training materials that would be required by another training supplier would be considered proprietary" which indicates they are the only source for this training.. Purchasing the proprietary data or limited data rights for other contractors to obtain competition would be cost prohibitive to the HAF. The DB-110 Reconnaissance Pod System, for the Peace Xenia IV program, has already been purchased by the 659 AESS/SKYA at WPAFB, OH, from Goodrich ISR Systems. The contracting officer determines that Goodrich ISR Systems is the only qualified source with the technical experience and know how to perform the required training. Goodrich ISR Systems developed the system and associated training technology and are currently performing this training for the Pease Sky, Poland and Morocco FMS programs. VI. Description of Efforts made to ensure that Offers are solicited from as many potential Sources as deemed practicable This training is for proprietary and unique equipment, purchased by the Greece Ministry of Defense (MOD) for the F-16, Block 52 aircraft. No other company is capable of providing these services. In accordance with FAR 6.302-1(a) (2), "Only one responsible source and no other supplies or services will satisfy agency requirements," and, in accordance with FAR 6.302-1(b) (2), the existence of limited rights in data, patent rights, copyrights, or secret processes; the control of basic raw material; or similar circumstances, make the supplies and services available from only one source. A Sources Sought Notice was posted on the Federal Business Opportunities (FBO) web site on 3Aug 09, seeking information concerning the ability of capable contractors to provide this training. The notice requested responses by 19 Aug 09. The OEM, Goodrich ISR Systems was the only response received. This Justification and Approval document will be posted and publically available per FAR 6.305(a) and FAR 5.301(d). VII. Determination by the Contracting Officer that the Anticipated Cost to the Government will be Fair and Reasonable The Contracting Officer has determined that this requirement does not meet the definition of a commercial item under FAR 2.101 and, as such, will conduct price and cost analysis to determine that the price paid for this requirement will be fair and reasonable. Price analysis will be conducted utilizing the techniques outlined in FAR 15.404(b)(2) to assist in determining the price as reasonable. This is to be accomplished in part through review of similar training and technology transfer contracts that Goodrich ISR Systems has with the US Air Force and other Governmental agencies. Additionally, the Contracting Officer will perform cost analysis in accordance with FAR 15.403-4(b), including acquiring assistance from DCAA to verify the contractor's rates. If determined in the Government's best interest, negotiations will be conducted with the contractor. The resultant determination of price reasonableness will be documented in the Price Negotiation Memorandum (PNM) and a Certificate of Current Cost and Pricing Data will be obtained. VIII. Description of the Market Research Conducted and the Results, or a Statement of Reasons Market Research was not Conducted Extensive research was conducted using the AF EZQuery database, the World Wide Web, search engines such as Google and Yahoo. The Defense Update International online Defense Magazine, F-16.net, Tech.net/SBA.gov and a Subnet search from resources available from U.S. Small Business Administration. The F-16.Net resource indicated the Goodrich ISR reconnaissance pods systems were unique to the OEM Goodrich ISR. This training is for proprietary equipment already purchased and installed on the aircraft. IX. Other Facts Supporting the use of Other Than Full and Open Competition Failure to obtain this training from the OEM will result in the HAF not having the capability to maintain its newly acquired fleet of F-16 Block 52 aircraft. This component is unique to this aircraft and any engineering capability to other F-16 aircraft would not be applicable. X. Unless the HAF upgrade or change their reconnaissance system to another manufacturer the barrier to competition will remain. XII. Contracting Officer's Certification The contracting officer's signature on the Coordination and Approval Document evidences that he/she has determined this document to be both accurate and complete to the best of his/her knowledge and belief). XIII. Technical/Requirements Personnel's Certification As evidenced by their signatures on the Coordination and Approval Document, the technical and/or requirements personnel have certified that any supporting data contained herein, which is their responsibility, is both accurate and complete.
