Description
Signed sole source justification JUSTIFICATION AND APPROVAL TO PROCURE USING OTHER THAN FULL AND OPEN COMPETITION IN ACCORDANCE WITH 41 U.S.C. 253 (C) (1) 1. Identification of Agency and Contracting Activity: The Facilities and Logistics Services Division (FLSD) of the Federal Bureau of Investigation has requested the Facilities Contracts Unit (FCU), Procurement Section of the Finance Division to procure the services of Advanced Power Control (APC) for a yearly support agreement of Heating and Air Conditioning Automated Equipment in FBI Headquarters. 2. Description of Action: The FBI will solicit, award, and administer a base plus four (one year) option periods on a sole source basis with Advanced Power Control (APC) for the maintenance and repair of the Honeywell manufactured BacNet utility control systems at FBI Headquarters. The contract type is a firm-fixed price. 3. Description of Supplies or Services Required: FLSD has the responsibility for providing repair, maintenance, and safekeeping of the FBI facilities. One of the fundamental requirements is to provide a safe and comfortable working environment for government equipment, employees and contract employees working in FBI space. As a result of a competitive procurement action, the FBI started utilizing the Building Automation System in FBI Headquarters in 2005. The Alerton Control System, Envision to BacTalk, provides FLSD with the capacity to remote control the heating, cooling, and ventilation requirements at the J. Edgar Hoover Building. The contractor, Advanced Power Control, is the sole proprietor of this system, its associated upkeep, and warranties. As such, APC has made a business decision that does not permit any other vendor to maintain or provide services to its system. Due to the unique nature of BacNet (the software and hardware make-up) and the critical function it provides, the FBI must ensure that the system is maintained properly. This can only be accomplished through means available with BacNet's proprietor, APC. The anticipated contract value is $645,00 over the base and four, 1-year option periods. 4. Statutory Authority Permitting Other Than Full and Open Competition: In accordance with the Federal Acquisition Regulation (FAR), Part 6.302-1, "When the supplies or services required by the agency are available from only one responsible source, or, for DOD, NASA, and the Coast Guard, from only one source or a limited number of responsible sources, and no other type of supplies or services will satisfy agency requirements, full and open competition need not be provided for." 5. Nature of the Acquisition That Requires Use of the Authority: As stated above, this system can only be maintained by its proprietor, APC, who has sole proprietary rights to maintain and service the equipment. The FBI has spent approximately $3 million for installation of the BacNet system for FBI Headquarters. The FBI has subsequently completed renovation of several floors within the Hoover Building. For each of these renovation efforts, the general contractor recognized that the integrity and reliability of the BacNet system could only be achieved by allowing all mechanical control requirements to be provided by APC. Many general contractors working in the Hoover Building has subcontracted the mechanical control requirements to APC; the entity responsible for the BacNet System. In addition to being the only Honeywell authorized vendor in the region with the rights and authority to maintain this system, APC has an intimate knowledge of the BacNet system, along with the necessary security clearances and high level of familiarity with FBI Headquarters.. 6. Efforts Made to Solicit Offers (Market Survey) and was a Federal Business Opportunities (FBO) Notice Done? A market survey was conducted for this requirement. An RFI was done with vendors on General Services Administration (GSA) schedule for Building Automation Technology (Schedule 84 Subcategory 246 42 2). No vendor was able to meet the requirements set forth in the Government's Scope of Work. Further, on June 11, 2010, the FBI posted to all qualified Small Business Vendors a request to submit interest in receiving the solicitation package for this requirement. The FBI received two requests for the solicitation package. The due date for the solicitation responses was July 14, 2010. In light of the efforts of soliciting responses for this requirement from a large pool of contractors and receiving no responses, it is in the best interest of the FBI to solicit on a sole source basis with APC to meet the ongoing needs of the FBI with regard to this requirement. The sole source justification shall be posted in Fedbizzopps. 7. Determination of Fair and Reasonable Price: Fair and reasonable price determination shall be established before award by completing the appropriate analysis; comparing proposed price/cost to the vendor's commercial price list, other price-related factors available, and/or previous procurement of similar services. Award shall be only be made to APC after pricing and other related information is deemed fair and reasonable and most beneficial to the FBI. 8. Market Research As stated above, the FBI performed a Request for Information utilizing the above mentioned GSA schedule. No responses were received. 9. Other Supporting Data: N/A 10. Nature of Harm to the Government: This requirement involves the rendering of a suitable work environment for FBI equipment/employees/contractors. It impacts the government's ability to maintain the environment necessary for its equipment required to operate and more importantly provide conditions which protects the health and life safety of its employees in order to meets its overall investigative mission of protecting this country and citizens. As this service is only available for one source, the proprietor, not executing this requirement on a sole source basis will negatively impact the government's ability to maintain a $3 million system and damages due to neglect; damages to other government-owned equipment which requires special environments; and most importantly, FBI personnel may be exposed to working in unhealthy work areas which impacts their ability to perform. 11. List of the Sources, if any, that have Expressed, in Writing, an Interest in the Acquisition: None. 12. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition Before any Subsequent Acquisition for the Supplies or Services Required: The main barrier to this requirement being deemed an open and competitive commodity/need is the fact that only APC is authorized by Honeywell, the manufacturer of the Open Protocal system, to perform maintenance on their Building Automation Systems in the Metropolitan DC region. 13. Conclusion: Based on the above findings, it is determined that it is in the best interest of the FBI to proceed with this procurement action without providing for full and open competition in accordance with FAR Part 6.302-1. As such, the needs of the FBI and FLSD, along with the protection of the FBI Headquarters employees, would be best served and accomplished by on a sole source competition acquisition.
