Description
This notice updates the prospectus issued by the National Park Service on February 9, 2010. Business Opportunity, General Description Possessory Interest, page 23 Replace the following text:"Possessory interest is a compensable interest in real property improvements and real property as described in Section 13 of the existing Contract, as amended."With this text:"Possessory interest is a compensable interest in real property improvements as described in Section 13 of the existing Contract, as amended." Business Opportunity, Leasehold Surrender Interest, page 24 Replace the following text:"As set forth in Exhibit A to the Draft Contract, the LSI will depreciate over the term of the Draft Contract."With this text:"As set forth in Exhibit A to the Draft Contract, the LSI value will depreciate over the term of the Draft Contract." Business Opportunity, Deferred Maintenance, page 25 Replace the following text:"This Attachment 2 to Exhibit H (Specific Required Maintenance Projects) will be part of the Draft Contract when forwarded to the selected Offeror for contract execution." With this new text:A list of specific required deferred maintenance projects and applicable completion dates is set forth in Attachment 2 to the Maintenance Plan (Exhibit H of the Draft Contract). Business Opportunity, Term and Effective Date of Draft Contract, page 26 Replace the following text: "This Draft Contract is for a term of approximately15 years (January 1, 2011 - December 31, 2025). The effective date of the Draft Contract is subject to change if determined necessary by the Service. The expiration date of the Draft Contract will also be changed to continue the same term length from any changed effective date. With this new text: "This Draft Contract is for a term of approximately 15 years (January 1, 2012 - December 31, 2026). The effective date of the Draft Contract is subject to change if determined necessary by the Service. The expiration date of the Draft Contract will also be changed to continue the same term length from any changed effective date. Contract Exhibit A- Leasehold Surrender Interest Replace Sec. 1 (f) with the following text: (f) "Fixtures and non-removable equipment" are manufactured items of personal property of independent form and utility necessary for the basic functioning of a structure that are affixed to and considered to be part of the structure such that title is with the Director as real property once installed. Fixtures and non-removable equipment do not include building materials (e.g., wallboard, flooring, concrete, cinder blocks, steel beams, studs, window frames, windows, rafters, roofing, framing, siding, lumber, insulation, wallpaper, paint, etc.). Because of their special circumstances, floating docks (but not other types of floating property) that may be constructed by the Concessioner pursuant to the terms of this Contract are considered to be non-removable equipment for leasehold surrender interest purposes only. Except as otherwise indicated in Exhibit A, the term "fixture" as used herein includes the term "non-removable equipment." A "new fixture" refers to fixtures that are installed during the term of this Contract and that do not replace an existing fixture or fixtures. A "replacement fixture" refers to a fixture that is installed during the term of this Contract that replaces an existing fixture. An "existing fixture" is a fixture in which the Concessioner has a leasehold surrender interest as of the effective date of this Contract. An existing fixture is referred to herein as a "replaced fixture" when replaced by a replacement fixture. Replace Sec. 15 (a) with the following text: a) Subject to subsection 15(b) below with respect to fixtures installed and/or replaced during the term of this Contract, the leasehold surrender interest value in capital improvements in existence as of the effective date of this Contract ("initial leasehold surrender interest value"), including all related structures, fixtures and major rehabilitations as defined in this Contract, is $11,448,186. Subject to subsection 15(b) below with respect to fixture installed and/or replaced during the term of this Contract, such initial leasehold surrender interest value shall be reduced during the term of this Contract on a monthly basis by $23,850 (monthly straight line depreciation based on a 40 year recovery period) such that, upon the termination or expiration of this Contract, as applicable, the initial leasehold surrender interest value in capital improvements in existence as of the effective date of this Contract as reduced in accordance with the above described depreciation formula shall be the leasehold surrender interest value as of the termination or expiration of this Contract, as applicable. Replace Sec. 15 (b) with the following text: (b) The initial leasehold surrender interest value in capital improvements (including new fixtures) installed or constructed during the term of this Contract shall be the initial construction cost of the capital improvement determined in accordance with the terms of this Contract; provided, however, that the initial leasehold surrender interest value in replacement fixtures that are installed during the term of this Contract shall be the construction cost of the replacement fixture less the construction cost of the replaced fixture. The initial leasehold surrender interest value in capital improvements constructed during the term of this Contract shall be reduced, commencing on the date of substantial completion of the related capital improvement and ending as of the date of termination or expiration of this Contract, on an annual basis by 2.496% (annual straight line depreciation based on a 40 year recovery period, except as pro-rated for an incomplete year as of Contract termination or expiration), such that, as of the date of termination or expiration of this Contract, the leasehold surrender interest value in capital improvements constructed during the term of this Contract shall be their construction cost (adjusted as applicable with respect to replacement fixtures as described above) as reduced in accordance with the above described depreciation formula. Contract Exhibit H- Maintenance Plan, page H-18 Replace the following text: Attachment 2: Specific Required Deferred Maintenance Projects [To be provided after proposal selection] With this new text:Attachment 2: Specific Required Deferred Maintenance Projects A copy of Exhibit H-Attachment 2 Specific Required Deferred Maintenance Projects can be retrieved at http://www.concessions.nps.gov/grte003-11.htm. This list is intended to provide specific information concerning existing deferred maintenance. Offerors are reminded to respond carefully to all questions pertaining to deferred maintenance as asked in the proposal package.
