      NOTICE OF SOLICITATION: Odle Management Group (OM) is requesting proposals from interested providers to submit their bids for the following services:   Physician's Services PHYSICIAN RFP# __WY 10-001__________       Schedule of Events Submittal Due Date: January 21, 2011 Submittal Location: Whitney Young Job Corps Center 8460 Shelbyville Road Simpsonville, KY 40067 Nature of the Solicitation: The specifications and descriptions of the services required together with specific terms and conditions are described in the attached " Specifications, Scope of Work or Requirements" that accompanies this notice. Preparation of Proposal: It is the responsibility of the Contractor to examine the entire solicitation and to seek clarification of any requirement that may not be clear. The specifications stated in this solicitation are the minimum level required. All proposals submitted must be for services that meet or exceed the minimum level of all specifications. Any exceptions that are included with the proposal shall be submitted in a clearly identified separate statement by which the Contractor specifically identifies the precise terms to which any exception is made and describes any alternative offer, if applicable. Any exception that is not clearly identified will be without force and effect. An attached preprinted form of contract or the Contractor's standard terms will not be considered to be a specific statement of exception.   Submission of the Proposal: Proposals must be in the actual possession of Odle Management Group or its representative at Whitney Young Job Corps Center (Ms. Jenifa Glore at 502-722-3600) on or prior to the exact time and date indicated in the Schedule of Events. Late proposals will not be considered unless previously approved and negotiated. A proposal may be withdrawn upon the submission of written, signed request submitted by the Contractor prior to the due date and time. A proposal may not be amended or withdrawn after the due date and time. Other Criterion to be Met: Completed (all blanks filled) data sheet with corresponding input requested. Valid licenses to practice in the state of Kentucky Valid DEA license, if applicable. Certificate of Insurance Resume or Curriculum Vitae Statement of related/relevant experience Award of the Contract: OM reserves the right to waive any immaterial defect or informality in a proposal; to reject any or all submittals or portions thereof: to reissue this Notice; and to award this Contract on a partial basis, if in the best interest of the Whitney Young Job Corps Center. This contract will not be awarded not solely on price but will also be based on the following: Experience in providing physician health care to young adults who are socially and economically disadvantaged (minimum of five years experience) Previous practice in settings such as schools, colleges, institutions, military or correctional institutions Academic affiliation with nearby professional schools or colleges Approval of the contractor by the regional Office of Job Corps, U.S. Department of Labor In the event that a contract is awarded in response to this RFQ, the attached Statement of Work, provisions and set forth terms and conditions will be incorporated in their entirety into the contract and become an integral part of the contract when the contract is accepted by the contractor. The most suitable candidate(s) will be interviewed prior to award.   Certification: By signing and submitting this Offer, the Contractor certifies that this submission did not involve any collusion or other anti-competitive practice: that the Contractor will not discriminate against any employee, applicant, or customer in violation of applicable state and federal law. The Contractor further certifies that the individual signing this Proposal has the authority to make a binding legal commitment on behalf of the Contractor to perform and deliver everything that is required in connection with this Proposal. Unless otherwise stated in the Contract Documents, the Offer shall be effective for a period of thirty (30) days. PROPOSAL SHEET Physician Services - may be submitted as one package or individually. In other words one physician may complete the average sixteen hours per week by him/herself. OFFER TO: Odle Management Group (OM) - Whitney Young Job Corps Center (WYJCC) In compliance with the Bid Provision, Scope of Work, Terms and Conditions, and other specifications contained in this RFP, the undersigned hereby proposes to provide Physician Services for the center listed above. Bid Rate (Hourly Rate) The hourly rates herein are no higher than would be quoted to any other customer, either commercial and/or agencies of the United States Government, for similar services. Services will be provided as authorized by the Center Director or his/her representative. Payment for services rendered will be according to the agreed upon hourly rates for: Physician - The base period of performance is February 1, 2011 through November 30, 2012, with three one-year pre-priced option years. Description of Work Contractor will agree to arrange for and/or provide students of the center with the services stated herein. Such services will be provided as authorized by the Center Director or his/her representative, who will provide a schedule of hours and days to be worked weekly. Clinical services will be provided by center staff in emergency situations only. In order to provide quality physician care coverage for the center, the following health services will be provided: Medical Coverage: Role of the Center Physician To implement the Job Corps Policy and Requirements Handbook (PRH) requirements: Engages in the most efficient and cost-effective practice of contemporary, evidence-based medical services possible given available time, resources, and personnel. Agrees to perform its services in accordance with professional standards and the Job Corps policies, procedures, and guidelines as may be established, from time to time, by the Department of Labor and/or the center operator. Contractor further agrees and acknowledges that the Department of Labor and the center operator reserve the right to change, modify, alter, and revoke the said policies, procedures, and guidelines. Agrees that no services under this agreement shall be delegated or subcontracted without the express written permission of the center operator. The center operator may at any time, by written order, make reasonable requests for amendments and additions, with the general scope of this agreement, in the definition of services and tasks to be performed, the time, and the place of performance thereof. Contractor shall maintain confidential health records on each student. These records shall be maintained in accordance with all Department of Labor and Job Corps standards and shall be the property of the Department of Labor. Contractor shall make no public statements with respect to this agreement or its work thereunder and shall issue no public statements or advertising or conduct research related thereto without the prior written approval of the Center Director and the Department of Labor. Contractor shall provide the center operator with current copies of professional licenses and insurance certificates. It is understood and agreed that the services provided by Contractor are subject to monitoring and review by the Department of Labor. This agreement is subject to the terms and conditions of the center operator's prime contract and certain provisions contained therein may be applicable to Contractor. This agreement shall be construed and enforced in accordance with the laws of the State of Kentucky. Contractor further agrees that the medical services provided to students will be of the type and according to the priority system listed in the Policy and Requirement Handbook (PRH) and applicable Technical Assistance Guides (TAGs). These services include but are not limited to: Assessment and diagnosis, to include a cursory inspection within 48 hours by a physician or assistant for conditions needing immediate care. Entrance medical examination by the physician or designee within 14 days after entry. Routine laboratory work that can be done on center, e.g. hemoglobin or hematocrit, urine sugar and albumin, pregnancy. Immunizations as indicated. Tuberculin skin test(Mantoux). Vision and hearing screening. Daily walk-in clinic and appointment system for above and for episodic illness or injury assessment by center physician and/or assistant. Inpatient unit (during office hours) for minor conditions, such as upper respiratory infections, or flu symptoms. Primary emergency care for illness and injury, including first aid and CPR, and secondary care within capabilities, e.g., injection of ephinephrine, and immediate transfer to hospital emergency room for specialized diagnosis and treatment, if needed. Treatment of urgent and other conditions not needing specialized care, within capabilities of center physician and assistant, such as contusions and abrasions. Referral to off-center physicians for detailed specialized assessment regarding on-center management of asthma, uncomplicated diabetes, normal pregnancy, etc. When students need prescriptions not provided in the basic formulary, local pharmacies will be given insurance information whenever possible. Waiver of medical care - a) if a student refuses pelvic exam and/or HIV testing, the center may defer it until after specialized counseling, a disciplinary separation may be necessary. The center physician may waive the pelvic examination if in his or her opinion there is sufficient justification and document as such, b) the center physician may grant waivers of immunization requirements for valid medical and/or religious reasons and documented as such. The Center Director shall meet monthly with the center physician to discuss clinical and organizational issues. Collecting data and preparing reports as required by the Center Director and/or the Department of Labor. Cooperating with corporate and Regional Office center assessments. Staying current on Job Corps policies and procedures via frequent communication with the center's health and wellness manager.       Health Records TERMS AND CONDITIONS Independent Contractor Termination Public Statements Research Projects and Publications Assignability Conflict in Hours Privacy Act Indemnification Insurance Workers' Compensation insurance to cover obligations imposed by federal and state statutes having jurisdiction of its employees engaged in the performance of the services represented by this contract, and Employers' Liability insurance with a minimum limit of $500,000. Evidence of qualified self-insured status shall also suffice for this section. Professional Medical Liability insurance with a minimum combined single limit of $1 million for each occurrence and an aggregate of $3 million. General Liability insurance with a minimum combined single limit of $1 million per occurrence and in the aggregate (or letter, as per below). Where appropriate, Comprehensive Business Automobile Liability insurance with a combined single limit of $1 million per occurrence and in the aggregate. If Contractor does not carry General Liability insurance and Contractor's Professional Liability insurance carrier does not offer General Liability coverage, Contractor will submit a letter from the carrier stating that the carrier does not provide the coverage. Failure to procure and maintain the required insurance and provide proof thereof, in the form of an appropriately executed certificate of insurance prior to the effective date of this contract or within thirty (30) days following the commencement of a new policy period, shall constitute a material breach of the contract. Such certificate shall contain provisions that coverage afforded under the policies shall not be canceled, terminated, or materially altered without at least thirty (30) days prior written notice to the other party. Contractor shall obtain the required insurance from a provider that is rated A- or better by A.M. Best or as acceptable by. NOTE: For further consideration, vendors who are unable to meet any of the above insurance requirements should provide a detailed statement as to why they are unable to comply. DEA License Prime Contract Invoicing Breakdown of hours worked Date(s) services provided Hourly rate for individual services, extended unit price and total Invoice number and date : The contractor shall submit to OMG, on a bi-weekly basis, an invoice for services provided during the covered billing period. The invoice shall include, at a minimum: : OMG is a contractor to the U.S. Department of Labor, Office of Job Corps, for operation of the center under contract #_DOLJ10PA00002_ (the Prime Contract). Contractor shall cooperate with OMG and other contractors to assure performance for the operation of the center in accordance with the Prime Contract. : Upon award of a contract, if Contractor performs any of the contract services at the center and if Contractor has prescriptive abilities, Contractor shall provide and maintain a Drug Enforcement Agency (DEA) license that includes the Contractor's name and the Job Corps center's address for as long as the contract is in force. : Contractor shall provide and maintain and cause its subcontractors to provide and maintain the following insurance coverage until obligations under this contract are satisfied: : Contractor shall defend, indemnify and hold harmless OM and its officers, directors, employees, agents, shareholders, partners, joint ventures, affiliates, successors and assigns from and against any and all liabilities, obligations, claims, demands, suits, losses, expenses, damages, fines, judgments, settlements and penalties, including, without limitation, costs, expenses and attorneys' fees incident thereto, arising out of or based upon contract damages, property damage or bodily injury (including death at any time resulting therefrom) to any person, including Contractor's employees, affiliates, or agents, occasioned by or in connection with (1) Contractor's performance of (or failure to perform) the contract duties hereunder; (2) a violation of any laws or any negligent act or omission by Contractor or its affiliates, subcontractors, agents or employees during the performance of the contract duties hereunder; or (3) a breach of this Agreement by Contractor or any of its affiliates, subcontractors, agents, or employees. The aforesaid obligation of indemnity shall be construed so as to extend to all legal, defense and investigation costs, as well as all other reasonable costs, expenses and liabilities incurred by the party indemnified, from and after the time at which the party indemnified received notification (whether verbal or written) that a claim or demand is to be made or may be made. Contractor's obligation under this section does not extend to any liability caused by the sole negligence of OM. : 1. Contractor (the Provider) agrees: a. To comply with the Privacy Act of 1974 and the rules and regulations issued pursuant to the Act in design, development, or operation of any system of records on individuals in order to accomplish an agency function when the contract specifically identifies (I) the system or systems of records and (II) the work to be performed by the Provider in terms of anyone or combination of the following: design, development, or operation; b. To include the solicitation notification contained in this contract in every solicitation and resulting subcontract and in every subcontract award without a solicitation when the statement of work in the proposed subcontract requires the design, development, or operation of a system of records on individuals to accomplish an agency function; and c. To include this clause, including this paragraph (c), in all subcontracts awarded pursuant to this contract which require the design, development, or operation of such a system of records. 2. In the event of violations of the Act, a civil action may be brought, against the agency involved where the violation concerns the design, development, or operation of a system of records on individuals to accomplish any agency function, and criminal penalties may; be imposed upon the officers or employees of the agency where the violation concerns the operations of a system of records on individuals to accomplish an agency function. For purposes of the Act when the contract is for the operations a system of records on individuals to accomplish an agency function, the contractor and any employee of the contractor is considered to be an employee of the agency. 3. The terms used in this clause have the following meanings: a. "Operation of a system of records" means performance of any of the activities associated with maintaining the system of records including the collection, use, and dissemination of records. b. "Record" means any item, collection, or grouping of information about an individual that is maintained by an agency, including, but not limited to, the individual's education, financial transaction, medical history, and criminal or employment history, and that contains the individual's name, or the identifying number, symbol, or other identifying particulars assigned to the individual such as a finger or voice print or a photograph. c. "System of records" on individuals means a group of any records under the control of any agency from which information is retrieved by the name of the individual or by some identifying number, symbol, or other identifying particular assigned to the individual. : Contractor agrees that he/she will not be entitled to and will not claim compensation for services performed under this contract for any hours of a working day for which he/she has received other compensation funds. For the purpose of this clause, payments by agencies or organizations funded by contracts or grants from the United States will constitute compensation from United States provided funds. It is further agreed by Contractor that any claim for compensation submitted in violation of this clause will, if paid, be recoverable from the contract. : This contract may not be assigned by Contractor, but may be assigned by OMG. This contract sets forth the entire and only contract between OMG and Contractor. Any representation, promise or conditions, whether oral or written, not incorporated herein will not be binding upon either party. : All research projects and/or publications relating to Job Corps health activities will first be cleared through the National Office of Job Corps, Washington, D.C. : Contractor agrees to make no public statements concerning students or Job Corps activities without prior written approval of the Center Director or his/her designated representative. : This agreement may be terminated, with respect to the remaining term of the agreement, at any given time by either party upon a written notice thereof to the other, effective thirty (30) days after acknowledged receipt of said notice. : Under this agreement, Contractor is an independent contractor and not an employee or agent of OM or the Department of Labor, Job Corps. As an independent contractor the physician acknowledge that they would not be covered by Worker's Compensation. Contractor agrees to provide professional insurance to cover Contractor's professional services to students. Contractor agrees to indemnify and save the center harmless from any expenses, including attorney's fees and also claims on account of damage to property or bodily injury (including death) which may be sustained by himself/herself or his/her employees in connection with work performed. (Detailed insurance and indemnification requirements are below.) : The physician acknowledges that student health records belong to and are the sole property of Job Corps, and each shall comply fully with federal HIPAA and state records laws. The physician and/or assistant will document all services rendered in the students' health records. On site - the physician will be present on site at the center Monday through Friday (except on designated holidays) for the number of hours outlined above. Schedules will be determined by the Center Director in conjunction with Contractor. Maximum of sixteen (16) hours per week, on average, forty-eight weeks per year.
