NOTICE OF SOLICITATION: Odle Management Group (OM) is requesting proposals from interested providers to submit their bids for the following services:       Mental Health Services PHYSICIAN and Physician CONSULTANT RFP#_WY10-003_             Schedule of Events Submittal Due Date: January 21, 2011 Submittal Location: Whitney Young Job Corps Center 8460 Shelbyville Road Simpsonville, KY 40067 Nature of the Solicitation: The specifications and descriptions of the services required together with specific terms and conditions are described in the attached "Specifications, Scope of Work or Requirements" that accompanies this notice. Preparation of Proposal: It is the responsibility of the Contractor to examine the entire solicitation and to seek clarification of any requirement that may not be clear. The specifications stated in this solicitation are the minimum level required. All proposals submitted must be for services that meet or exceed the minimum level of all specifications. Any exceptions that are included with the proposal shall be submitted in a clearly identified separate statement by which the Contractor specifically identifies the precise terms to which any exception is made and describes any alternative offer, if applicable. Any expectation that is not clearly identified will be without force and effect. An attached preprinted form of contract or the Contractor's standard terms will not be considered to be a specific statement of exception. Submission of the Proposal: Proposals must be in the actual possession of Odle Management Group or its representative at Whitney Young Job Corps Center (Ms. Jenifa Glore at 502-722-3600) on or prior to the exact time and date indicated in the Schedule of Events. Late Proposals will not be considered unless previously approved and negotiated. A proposal may be withdrawn upon the submission of written, signed request submitted by the Contractor prior to the due date and time. A proposal may not be amended or withdrawn after the due date and time. Other Criterion to be Met: Completed (all blanks filled) data sheet with corresponding input requested. Valid licenses to practice in the state of California Valid DEA license, if applicable. Certificate of Insurance Resume or Curriculum Vitae Statement of related/ relevant experience Award of the Contract: OM reserves the right to waive any immaterial defect or informality in a proposal; to reject any or all submittals or portions thereof: to reissue this Notice; and to award this Contract on a partial basis, if in the best interest of the Whitney Young Job Corps Center (WYJCC). This contract will not be awarded solely on price but will also be based on the following: Experience in providing mental health care to young adults who are socially and economically disadvantaged (minimum of five years experience) Previous practice in settings such as schools, colleges, institutions, military or correctional institutions Academic affiliations with nearby professional schools or colleges Approval of the contract by the regional Office of Job Corps, U.S. Departments of Labor In the event that a contract is awarded in response to this RFQ, the attached Statement of Work, provisions and set forth terms and conditions will be incorporated in their entirety into the contract and become an integral part of the contract when the contract is accepted by the contractor. The most suitable candidate(s) will be interviewed prior to award.   Certification: By signing and submitting this Offer, the Contractor certifies that this submission did not involve any collusion or other anti-competitive practice: that the Contractor will not discriminate against any employee, applicant, or customer in violation of appliance state and federal law. The Contractor further certifies that the individual signing this Proposal has the authority to make a binding legal commitment on behalf of the Contractor to perform and deliver everything that is required in connection with this Proposal. Unless otherwise stated in the Contract Documents, the Offer shall be effective for a period of thirty (30) days. PROPOSAL SHEET   OFFER TO: Odle Management Group (OM) - Whitney Young Job Corps Center (WYJCC) In compliance with the Bid Provision, Scope of Work, Terms and Conditions, and other specifications contained in this RFP, the undersigned hereby proposes to provide Mental Care Services for the center listed above.   Bid Rate (Hourly Rate) The hourly rates herein are no higher than would be quoted to any other customer, either commercial and/ or agencies of the United States Government, for similar services.   The Mental Health Consultant will be an independent contractor. If bidding as an independent contractor, complete only the portions of the Bid Sheet that are applicable. A Psychologist, Psychiatrist or Psychiatric Nurse Practitioner may respond to this solicitation as the Provider for Mental Health Care for this center, complete below as applicable. Services will be provided as authorized by the Center Director or his/her representative. Payment for services rendered will be according to the agreed upon hourly rates for: Mental consultant The base period of performance is Feb 1, 2011 through Nov. 30, 2012, with three one-year pre-priced option years. Description of Work Contractor will agree to provide students of the center with the services herein. Such services will be provided as authorized by the Center Director or his/her representative, who will provide a schedule of hours and days to be worked weekly. Clinical services will be provided by center staff in emergency situations only. In order to provide quality mental health coverage for the center, the following services will be provided: Establishing treatment according to priority classification and within program constraints. Providing basic mental care, as defined by the Job Corps PRH. Establishing an appropriate referral system to ensure the receipt of specialty care as defined in the PRH and within budget constraints. Providing or arranging for 24-hour emergency coverage. Maintaining the accuracy and confidentiality of all required mental health and Wellness records when they are in the Contractor's presence. Reviewing and signing health care guidelines annually in accordance with the Technical Assistance Guide on health care guidelines. Enforcing appropriate student workplace behavior when students are in the Wellness office or waiting area. Arranging appropriate medical separations in conformity with the PRH. Collecting data and preparing reports as required by the Center Director and/or the Department of Labor.   Advising/consulting as requested with the Center Director and center staff on mental health issues. Cooperating with corporate and Regional Office center assessments. Staying current on Job Corps policies and procedures via frequent communication with the center's Health and Wellness manager. Conducts staff development and training in the use of mental health principles and techniques. Arranges off center referrals and treatments (inpatient and outpatient) as needed, according to Job Corps health directives. Provides on-call mental health services for emergencies, 24 hours per days, 7 days a week. MHC may provide services by phone or in person. Contractor may choose arrangements for services on behalf of the Center for appropriate services with Center Director's approval. Performs other duties as assigned pertaining to mental health issues.   TERMS AND CONDITIONS   Independent Contractor:   Termination: Public Statements: Research Projects and Publications: Assignability: This contract sets forth the entire and only contract between OM and Contractor. Any representation, promise or conditions, whether oral or written, not incorporated herein will not be binding upon either party. Conflict in Hours: Privacy Act: To comply with Privacy Act of 1974 and the rules and regulations pursuant to the Act in design, development, or operation of any system of records on individuals in order to accomplish an agency function when the contract specifically indentifies (I) the system or systems of records and (II) the work to be performed by the Provider in terms of anyone or combination of the following: design, development, or operation; To include the solicitation notification contained in this contract in every solicitation and resulting subcontract and in every subcontract award without a solicitation when the statement of work in the proposed subcontract requires the design, development, or operation of a system of records on individuals to accomplish an agency function; and To include this clause, including this paragraph (c), in all subcontracts awarded pursuant to this contract which require the design, development, or operation of such a system of records. In the event of violations of the Act, a civil action may be brought, against the agency involved where the violations concerns the design, development, or operation of a system of records on individuals to accomplish any agency function, and criminal penalties may be imposed upon the officers or employees of the agency where the violation concerns the operations of a system of records on individuals to accomplish an agency function. For purposes of the Act when the contract is for the operations of a system of records on individuals to accomplish an agency function, the contractor and any employee of the contractor is considered to be an employee of the agency. Terms used in this clause have the following meanings: "Operation of system of records" means performance of any of activities associated with maintaining the systems of records including the collection, use, and dissemination of records. "Record" means any item, collection, or grouping of information about an individual that is maintained by an agency, including, but not limited to, the individual's education, financial transaction, medical history, and criminal or employment history, and that contains the individuals name, or the identifying number, symbol, or other indentifying particulars assigned to the individuals such as a finger or voice print or a photograph. "System of records" on individuals mean a group of any records under the control of any agency from which information is retrieved by the name of the individual or by some identifying number, symbol, or other identifying particular assigned to the individual. Indemnification: Contractor shall defend, indemnify and hold harmless OM and its officers, directors, employees, agents, shareholders, partners, joint ventures, affiliates, successors and assigns from and against any and all liabilities, obligations, claims, demands, suits, losses, expenses, damages, fines, judgments, settlements and penalties, including, without limitation, costs, expenses and attorneys' fees incident thereto, arising out of or based upon contract damages, property damage or bodily injury (including death at any time resulting there from) to any person, including Contractor's employees, affiliates, or agents, occasioned by or in connection with (1) Contractor's performance of (or failure to perform) the contract duties hereunder: (2) a violation of any laws or any negligent act or omission by Contractor or its affiliates, subcontractors, agents or employees during the performance of the contract duties hereunder; or (3) a breach of this Agreement by Contractor or any of its affiliates, subcontractors, agents or employees. The aforesaid obligation of indemnity shall be construed so as to extend to all legal, defenses and investigation costs, as well as other reasonable costs, expenses and indemnified received notification (whether verbal or written) that a claim or demand is to be made or may be made. Contractor's obligation under this section does not extend to any liability caused by the sole negligence of OMG. Insurance: Contractor shall provide and maintain and cause its subcontractors to provide and maintain the following insurance coverage until obligations under this contract are satisfied: Workers' Compensation insurance to cover obligations imposed by federal and state statutes having jurisdiction of its employees engaged in the performance of the services represented by this contract, and Employers' Liability insurance with a minimum limit of $500,00. Evidence of qualified self-insured status shall also suffice for this section. Professional Medical Liability insurance with a minimum combined single limit of $1 million for each occurrence and an aggregate of $3 million. General Liability insurance with a minimum combined single limit of $1 million per occurrence and in the aggregate (or letter, as per below). Where appropriate, Comprehensive Business Automobile Liability insurance with a combined single limit of $ 1 million per occurrence and in the aggregate. If contractor does not carry General Liability insurance and Contractor's Professional Liability insurance carrier does not offer General Liability coverage, Contractor will submit a letter from the carrier stating that the carrier does not provide the coverage. Failure to procure and maintain the required insurance and provide proof thereof, in the form of an appropriately executed certificate of insurance prior to the effective date of this contract or within thirty (30) days following the commencement of a new policy period, shall constitute a material breach of the contract. Such certificate shall contain provisions that coverage afforded under the policies shall not be canceled, terminated, or materially altered without at least thirty (30) days prior written notice to the other party. Contractor shall obtain the required insurance from a provider that is rated A- or better by A.M. Best or as acceptable by OM. NOTE: For further consideration, vendors who are unable to meet any of the above insurance requirements should provide a detailed statement as to why they are unable to comply. DEA License: Upon award of a contract, if Contractor performs any of the contract services at the center and if Contractor has prescriptive abilities, Contractor shall provide and maintain a Drug Enforcement Agency (DEA) license that includes the Contractor's name and the Job Corps center's address for as the contract is in force. Prime Contract: OM is a contractor to the U.S. Department of Labor, Office of Job Corps, for operation of the center under contract #_DOLJ10PA00002_(the Prime Contract). Contractor shall cooperate with OM and other contractors to assure performance for the operation of the center in accordance with Prime Contract. Invoicing: The contractor shall submit to OM, on a bi-weekly basis, an invoice for services provided during the covered billing period. The invoice shall include, at a minimum: Breakdown of hours worked Dates(s) services provided Hourly rate for individual services, extended unit price and total Invoice number and date Contractor (the Provider) agrees: Contractor agrees that he/she will not be entitled to and will not claim compensation for services performed under this contract for any hours of a working day for which he/she has received other compensation funds. For the purpose of this clause, payments by agencies or organizations funded by contracts or grants from the United States will constitute compensation from United States provided funds. It is further agreed by Contractor that any claim for compensation submitted in violation of this clause will, if paid, be recoverable from the contract. This contract may not be assigned by Contractor, but may be assigned by OM. All research projects and/or publications relating to Job Corps health activities will first be cleared through the National Office of Job Corps, Washington, D.C. Contractor agrees to make no public statements concerning students or Job Corps activities without prior written approval of the Center Director or his/her designated representative. This agreement may be terminated, with respect to the remaining term of the agreement, at any given time by either party upon a written notice thereof to the other, effective thirty (30) days after acknowledged receipt of said notice. Under this agreement, Contractor is an independent contractor and not an employee or agent of OM or the Department of Labor, Job Corps. As an independent contactor the Mental Health Consultant acknowledges that he/she would not be covered by Worker's Compensation. Contractor agrees to provide professional insurance to cover contractor's professional services to students. Contractor agrees to indemnify and save the center harmless from any expenses, including attorney's fees and also claims on account of damage to property or bodily injury (including death) which may be sustained by himself/herself or his/her employees in connection with work performed. (Detailed insurance and indemnification requirements are below.) Maximum of twenty (20) hours per week, on average, forty-eight weeks per year.
