Justification for Other than Full and Open Competition (JOFOC) for Department of Veterans Affairs Office of Acquisition and Logistics (OAL) eCMS Support Services 1.Contracting Agency (FAR 6.303-2(a)(1)). The contracting agency for this purchase is: Department of Veterans Affairs Office of Acquisition & Logistics (OAL) Electronic Contract Management System Program Management Office (eCMS PMO) P.O. The contracting activity for this purchase is: Department of Veterans Affairs Center for Acquisition Innovation - Austin 1701 Directors Blvd, Suite Austin, TX 78744 Sylvia Thomas, Contracting Officer (512) 981-4464 Sylvia.Thomas2@va.gov 2.Nature and/or Description of Action Being Approved (FAR 6.303-2(a)(2)). This Limited Source Justification and Approval for Other Than Full and Open Competition (JOFOC) sets forth the facts and requests approval for the issuance of a Sole Source, Firm Fixed Price (FFP) commercial services contract to American Engineering & Manufacturing Inc. (AEM), a corporate entity, 8085 Leazitt Road, Amherst, OH, 44001-2711. 3.Description of Supplies or Services Required to Meet the Agency's Needs (including estimated value) (FAR 6.303-2(a)(3)). AEM will provide a full-time resource to deliver information technology (IT) services in support of the VA eCMS user administration. The resource shall be fully-trained with experience in using eCMS, and have knowledge of VA acquisition business processes and have the ability to provide direct support to eCMS users nationwide. The term of this contract will be for one (1) year at an estimated cost of $135,600.00 per year for the base year and option year renewals for continued coverage/renewal of the contract. 4.Statutory Authority (FAR 6.303-2(a)(4)) - Identification of Statutory Authority Permitting Other Than Full and Open Competition. The statutory authority for this justification is FAR 6.302-1 - FAR 6.302-1 Only one responsible source and no other supplies or services will satisfy agency requirements. (a) Authority. (1) Citations: 10 U.S.C. 2304(c)(1) or 41 U.S.C. 253(c)(1). (2) When the supplies or services required by the agency are available from only one responsible source, or, for DoD, NASA, and the Coast Guard, from only one or a limited number of responsible sources, and no other type of supplies or services will satisfy agency requirements, full and open competition need not be provided for. The statutory authority permitting other than full and open competition for a service-disabled, veteran-owned small business (SDVOSB) firm is Public Law 109-461, the Veterans Benefits, Healthcare and Information Technology Act of 2006, Sections 502, as codified at 38 U.S.C. §8127(c) - FAR 19.1406 Sole source awards to service-disabled veteran-owned small business concerns. (a) A contracting officer may award contracts to service-disabled veteran-owned small business concerns on a sole source basis (see 19.501(d) and 6.302-5(b)(6)), before considering small business set-asides (see Subpart 19.5) provided none of the exclusions of 19.1404 apply and- (1) The contracting officer does not have a reasonable expectation that offers would be received from two or more service-disabled veteran-owned small business concerns; (2) The anticipated award price of the contract, including options, will not exceed - (i) $6 million for a requirement within the NAICS codes for manufacturing; or (ii) $3.5 million for a requirement within any other NAICS code; (3) The requirement is not currently being performed by an 8(a) participant under the provisions of Subpart 19.8 or has been accepted as a requirement by SBA under Subpart 19.8; (4) The service-disabled veteran-owned small business concern has been determined to be a responsible contractor with respect to performance; and (5) Award can be made at a fair and reasonable price. (b) The SBA has the right to appeal the contracting officer's decision not to make a service-disabled veteran-owned small business sole source award. 819.7007 Sole source awards to service-disabled veteran-owned small business concerns. (a) A contracting officer may award contracts to SDVOSB concerns on a sole source basis provided: (1) The anticipated award price of the contract (including options) will not exceed $5 million; (2) The requirement is synopsized in accordance with FAR part 5; (3) The SDVOSB concern has been determined to be a responsible contractor with respect to performance; and (4) Award can be made at a fair and reasonable price. (b) The contracting officer's determination whether to make a sole source award is a business decision wholly within the discretion of the contracting officer. A determination that only one SDVOSB concern is available to meet the requirement is not required. (c) When conducting a SDVOSB sole source acquisition, the contracting officer shall ensure businesses are registered and verified as eligible in the VIP database prior to making an award. 5.Rationale Supporting Use of Authority Cited Above (FAR6.303-2(a)(5)). (Demonstration that the proposed contractor's unique qualifications or the nature of the acquisition requires use of the authority cited.) The Department of Veterans Affairs intends to award a sole-source contract to work in collaboration with the eCMS PMO. The contractor offers the following: "E-Mail accessibility "A individual knowledge in eCMS and IT " Internet accessibility " Phone accessibility " Understanding and knowledge of the VA Acquisition policies and procedures " Understanding and knowledge of the VA's eCMS PMO operations and procedures "Can provide eCMS Administrative Support without training 6.Description of Efforts To Ensure That Offers Are Solicited From As Many Potential Sources As Practicable, Including Public Notice Requirements (FAR 6.303-2(a)(6)). (A description of efforts made to ensure that offers are solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies.) Market research was conducted on VetBiz Registry; no other contractors were found who could provide these eCMS support services. 7.Determination of Fair and Reasonable Cost (FAR 6.303-2(a)(7)). (A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable.) The Government will negotiate with AEM to ensure optimal terms and prices for the Government, while appropriately meeting the Veterans First Contracting Program. The contracting officer will perform applicable and appropriate cost or price analysis to determine that the proposed price is fair and reasonable. 8.Market Survey (FAR 6.303-2(a)8)). (A description of the market research conducted (see Part 10) and the results or a statement of the reason market research was not conducted.) Market research was conducted on VetBiz Registry; no other contractors were found who could provide these eCMS support services. 9.Other Facts Supporting the Use of Other Than Full and Open Competition (FAR 6.303-2(a)(9)). (9) Any other facts supporting the use of other than full and open competition, such as: (i) Explanation of why technical data packages, specifications, engineering descriptions, statements of work, or purchase descriptions suitable for full and open competition have not been developed or are not available. (ii) When 6.302-1 is cited for follow-on acquisitions as described in 6.302-1(a)(2)(ii), an estimate of the cost to the Government that would be duplicated and how the estimate was derived. (iii) When 6.302-2 is cited, data, estimated cost, or other rationale as to the extent and nature of the harm to the Government.) AEM has been providing eCMS support services to the VA under contract VA798A-10-PO-0289, and their past performance has been exemplary. An effort to secure another contractor would result in additional administrative costs and cause a disruption in the continuity of services. 10.List of Sources, If Any, That Expressed A Written Interest In The Acquisition (FAR 6.303-2(a)(10)). (A listing of the sources, if any, that expressed, in writing, an interest in the acquisition.) None 11.Actions, If Any, That Are Being Taken to Remove and Overcome Any Barriers to Competition Before Any Subsequent Acquisitions for The Supplies or Services Required (FAR 6.303-2(a)(11)). (A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required.) The Department of Veterans Affairs anticipates limited competition amongst vendors, if deemed appropriate. 12. Technical Requirements Personnel Certification (FAR 6.303-2 (b): I certify that the supporting data under my cognizance, which are included in the justification, are accurate and complete to the best of my knowledge and belief.
