Description
This document is a combined synopsis/solicitation for commercial items prepared in accordance with the format in FAR Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation, proposals are being requested, and a written solicitation will not be issued The proposed contract action is for supplies or services for which the Government intends to solicit and negotiate with only one source under the authority of FAR 6.302-1. Interested persons may identify their interest and capability to respond to the requirement or submit proposals. This notice of intent is not a request for competitive proposals. However, all proposals received prior to April 07, 2011 will be considered by the Government. A determination by the Government not to compete this proposed contract based upon responses to this notice is solely within the discretion of the Government. Information received will normally be considered solely for the purpose of determining whether to conduct a competitive procurement. NAICS code is 311119 and the size standard is 500 employees. ECONOMIC PRICE ADJUSTMENT CLAUSE (Feb 2011) (a) To the extent that contract cost increases are provided for by this economic price adjustment clause, the offeror warrants that the prices in this proposal for any option periods do not include any amount to protect against such contingent cost increases. (b) Index - one index will be used for this order. It is published at http://www.bls.gov/ppi/ by the United States Department of Labor Bureau of Labor Statistics. The index to be used is the Producer Price Index (PPI) for Commodity Code 012, Grains. (c) Base and Replacement Indices, (1) The Base Index, for the purposes of price adjustment under this clause, is the Jan 2011 index for Grains (Commodity Code 012), published Feb 16, 2011 with a value of 227.1. (2) Prior to the exercise of an option year, when the new January 201X PPI is published, the percent change of grain will be calculated using the new PPI. If the percent change between the Base Index and Replacement Index is less than or equal to 15% of the base amount, no adjustment will be made. If the percent change is 15% greater than or less than the base amount, an adjustment will be made and the new PPI for Grain will become the new base index for future calculations. This change greater than positive or negative 15% will hereinafter be called a "triggering event." For example, if the new index for grain is 204.4 or 249.8, no adjustment will be made. If the new index for grain is 193.0 or 261.2 and adjustment will be made and 193.0 or 261.2 would be used as a replacement base for all future adjustments, and the new PPI for Grains 012 will be used to calculate the new base prices, as described in paragraph (d), below. (d) Calculation of Adjusted Prices (1) Laboratory Animal Food - The prices of all laboratory animal products will be adjusted based upon the grain contained therein. No further adjustments will be made for any other ingredient. Specifically, if a triggering event occurs, the price will be adjusted by the percent change from the prior year as calculated in the new PPI for Grains 012, i.e, increase (+) the price by the amount of a positive percent change or decrease (-) the price by the amount of a negative percent change as in the following formula: If the percent change is unavailable, or if a calculation is needed for periods other than 12 months, the following formula shall be used: (2) Non-Food Products - No price adjustments will be made for non-food products (e.g., beddings) (e) The contracting officer shall retain a copy of the Base Index in the contract file and prior to exercising each option year, shall obtain a copy of the PPI for Grain 012. The Contracting Officer shall calculate an adjustment if a triggering event has occurred. If a triggering event has occurred, the contracting officer shall, before the start of the following option year (if exercised) or within ten business days, whichever is later, issue a modification to the contract adjusting the unit prices, as specified in paragraph (d). The adjusted unit or contract prices shall be effective for all order placed or services provided after the effective date of the exercised option as specified in this paragraph (3) until the next contract adjustment. If the contracting officer fails to act, the contractor shall request a contract adjustment in writing and any subsequent adjustment shall be retroactive to the applicable date of contract adjustment specified in this paragraph (e). The contactor's entitlement to price increases for a prior triggering event is waived unless the contractor's written request for an adjustment under this clause received by the contracting officer no later than 30 days following the effective date of the exercised option. The Government's right to contract decreases for prior triggering events is waived unless the contracting officer processes a contract modification no later than 30 days after the effective date of the exercised option. (g) Price adjustments pursuant to this clause, which shall be made by contract modification issued by the contracting officer, shall show the percent change from the PPI Grains 012 (or if no percent change was available, the calculation of the triggering event), the adjusted contract prices (see paragraph (d)), the mathematical calculations used to arrive at the adjusted contract prices, and the effective date of the adjustment (see paragraph (e)). (h) In the event that Bureau of Labor Statistics discontinues, or alters substantially, its method of calculating the indices cited herein, the parties shall mutually agree upon an appropriate substitute for determining the price adjustment described herein. Should the parties fail to agree upon an appropriate substitute, the Contracting Officer may make a unilateral modification to substitute the index. Any dispute of this unilateral modification shall be subject to the "Disputes" clause of this order. If the contracting officer determines that the Index consistently and substantially fails to reflect market conditions, the contracting officer may modify the contract to specify the use of an appropriate substitute index. (i) Any dispute arising under this clause shall be resolved in accordance with and subject to the "Disputes" clause of the order.
