- This is a combined synopsis/solicitation for commercial items prepared in accordance with the Federal Acquisition Regulation (FAR) format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. This requirement is being issued in conjunction with FAR 13.5 Test Program for Certain Commercial Items, as applicable. The solicitation number is 11-223-SOL-00038. This solicitation is issued as a Request for Quote (RFQ). Funds are not presently available for this requirement. Award will be subject to if/when appropriated funds are available. The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2005-51. The associated North American Industry Classification System (NAICS) Code is-334516- Analytical Laboratory Instrument Manufacturing; Small Business Size Standard is 500 employees. The Food and Drug Administration is soliciting for a Transmission Electron Microscope system that meets or exceeds the requirements stated herein. The TEM will be principle piece of equipment in the NCTR/ORA Nanotechnology Core Facility that is supporting the nanotechnology needs of NCTR, the Arkansas Regional Laboratory of the Office of Regulatory Affairs, FDA centers located away from the Jefferson Laboratories Campus and studies conducted under the National Toxicology Program. The NCTR is in need of a second transmission electron microscope (TEM) to provide additional TEM imaging capability for characterization of nano- and micron-scale materials being used in toxicology studies and regulatory analysis and provide a basic instrument for use by laboratory technicians, graduate students, postdoctoral fellows, and staff fellows. Overall system Requirements 1. Transmission electron microscope with electron gun operating at incremental voltage with a maximum of 120 kV. 2. LaB6 electron source 3. Liquid nitrogen cooled stage capable of electron cryomicroscopy (cryo-EM) with a corresponding Anti Contamination Device (ACD) or cryobox. 4. Computer controlled stage capable of automating single particle and tilt series data collection. 5. Interchangeable pole pieces a. high contrast, high tilt pole piece for cryoEM and electron tomography b. high resolution pole piece for high resolution electron microscopy. 6. Single particle automation software included (i.e., Leginon, JADAS, or equivalent) 7. Drift rate no more than 1.5 nm/minute (we understand that this specification is influenced by site of installation) 8. At least 0.4 nm information limit (with the highest number of Thon rings) at high defocus under low dose conditions using carbon film at or below 3000 electrons/nm2/second at liquid nitrogen temperature and at or near 80,000x. 9. Specimen holder should have X-axis tilt angle of +/-70 degrees 10. Camera should be Tietz Tem-Cam F416 or equivalent with the following features: a. 4096x4096 pixels b. 15-16 micrometer square pixels c. 16 bit, 4x10 Mpixel readout d. Readout time at full resolution = 1 sec or better e. Readout time @ 1k x 1k in rolling shutter mode = 0.1 sec or better f. Includes automation software for data collection g. Includes software customization for local operations 11. Installation and on-site training 12. X-ray energy dispersive spectral (EDS) elemental analysis with liquid nitrogen Dewar (EDAX EDX-PV8206/31 Genesis XM2-30 EDS for TEM or equivalent); including aperture and retainer as appropriate. - User friendly computer interface, a highly sensitive detector with high resolution of elemental peaks with high peak to background ratio (signal to noise). - SDD (silicon drift detector) which is liquid nitrogen cooled or thermoelectrically (pettier) cooled. - Stage drift compensation either physical or by software control for long exposures. - Elemental mapping of electron microscope images. 13. Beryllium holder for use with EDS system. 14. Field cancellation system best suited for the location the microscope will be placed and which optimizes our requirements. 15. Two 1-week sessions of formal training by a manufacturer applications specialist on the proper alignment, operation of the instrument and other training that may benefit the operator in the proper use of the instrument. Other requirements- Serial-EM tomography software package (Boulder Laboratory for 3D Electron microscopy of Cells, University of Colorado) for tilt series data collection pre-installed on the system and with training. Future training at any contractor specified facility within the continental United States. The government may need new user training or EM refresher training throughout performance of the contract. The government shall pay for all costs associated with travel but the training class provided by the offeror should be at no cost. The time and place of the training would be determined by the offeror. The optional warranty/service agreement includes the following components: • Electron microscope including all components of the microscope except apertures • Digital and analog imaging devices and all associated components such as software, drivers, controllers and computers. • Specimen holders, associated transfer devices and accessory equipment • Software and software updates The warranty/service agreement shall include the following: • Minimum of one (1) PM visit per contract year; • Unlimited emergency repairs; • Unlimited Priority Telephone Support; • Peak performance maintenance kits; • Software updates; • All labor, travel, and parts (except consumables); • Only new OEM factory certified replacement parts to repair the system. The contractor shall perform all necessary repair service and standard preventative maintenance of the system. Contractor shall perform work related to service bulletins or other manufacturer's stipulated repairs that may occur during the contract period. The offeror may provide statement of coverage with their quote to determine plan acceptability. If relocation of the instrument is needed after the initial set-up but during the performance period which is not covered by the fixed price portion of the contract, this will be accomplished via a modification to the contract to fund the requirement. Scheduled Items include: 1. Transmission Electron Microscope, X-ray energy dispersive spectral (EDS) elemental analysis with liquid nitrogen Dewar which includes inside delivery, installation and on-site training as specified above for the fixed price of $__________. 2. Optional Line Item-Second-year warranty for the fixed price of $_________. (this covers 1 additional year beyond the initial 1 year warranty) 3. Optional Line Item- Third-year warranty for the fixed price of $_________. (this covers 1 additional year beyond the second year warranty) 4. Optional Line Item- Service Contract agreement year 1 on TEM system.( Period of Performance: One (1) year following the end of the third-year warranty period. By the addition of optional item 4 the government will pay the contractor the firm fixed price of $__________. 5. Optional Line Item- Service Contract agreement year 2 on TEM system.( Period of Performance: One (1) year following the end of the year 1 service agreement. By the addition of optional item 5 the government will pay the contractor the firm fixed price of $__________. Note: Warranty and/or service period start/end dates is dependent on delivery/installation and acceptance of the instrument. The estimated date could potentially be as follows: Award of contract- 8/31/11 Instrument delivered/installed and accepted- 200 calendar days ARO 3/18/12. Initial warranty ends on 3/17/13. Second Year warranty begins on 3/18/13. Third year warranty begins on 3/18/14. Service agreement year 1 begins on 3/18/15 Service agreement year 2 begins on 3/18/16. This time frame is only an example of the potential period of performance. Contract Type: Commercial Item-Firm Fixed Price. Simplified acquisition procedures will be utilized. FOB Point destination. To be delivered/installed 200 calendar days or less after receipt of order (ARO) FOB Point of Delivery for Services and Supplies will be the FDA/NCTR located at 3900 NCTR Road, Building 26, Jefferson, AR 72079. Payment terms net 30 days after government acceptance. The price shall include delivery to destination and all associated duties and taxes not otherwise exempt. Standard 1-year commercial warranty is required to include all third party components. The clauses at 52.237-1, Site Visit, is included in the solicitation. Accordingly, offerors are urged and expected to inspect the site where the installation work will be performed. (b) An organized site visit has been scheduled for: Day: Monday Date: May 9, 2011 Time: 1:00 P.M. Local Time Jefferson Laboratory Complex (NCTR) 3900 NCTR Road, building 10, conference room Jefferson, AR, 72079 All firms interested in attending the site visit must submit the following information by email to nick.sartain@fda.hhs.gov no later than May 6, 2011. Full name of individual(s) attending, company name and phone number, all attendees will required to sign in at the security gate and present a driver's license or other government issued identification in exchange for a visitor's identification card. All attendees will require escort to the conference room. In no event shall failure to inspect the site constitute grounds for a claim after contract award. Individual requests for a separate site visit may be considered. The provision at FAR 52.212-1 Instructions to Offerors-Commercial Items applies to this solicitation. The following addenda have been attached to this provision: Addendum Paragraph (c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm until September 30, 2011. The provision at FAR 52.212-2 Evaluation-Commercial Items is applicable to this solicitation. The specific evaluation criteria to be included in paragraph (a) of that provision are as follows: The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be the most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate quotes: (i) Technical capability of the items/services offered to meet or exceed the Government's requirement. (ii) Past Performance (iii) Price. Technical and past performance, when combined, are significantly more important when compared to price in determining the best value to the government; however price remains a significant factor and must be affordable. The proposals will be analyzed to ensure the fulfillment of the minimum technical specifications as specified above. Proposals considered not to meet the minimum specifications may be excluded from further consideration. The specifications described above should be fulfilled, and all information requested should be provided in order to allow for an appropriate determination of best value. Offeror shall furnish sufficient technical information necessary for the Government to conclusively determine that the offered instrument and components meet the technical requirements identified above. Technical capability will be determined by review of information submitted by the offeror which must provide a description in sufficient detail to show that the product and service offered meets the Government's requirement. The government is not responsible for locating or securing any information, which is not identified in the proposal however the Government reserves the right to obtain information for use in the evaluation from any and all sources including sources outside of the Government To ensure information is available, vendors must furnish as part of their proposal all descriptive material necessary for the government to determine whether the product and/or service meets the technical requirements. Offerors shall specifically address the specifications stated above as well as technical specifications, descriptive material, literature, brochures and other information which demonstrates the capabilities of the offeror. Offerors must provide quote along with completing the price in the schedule of items above. Prices shall include all costs associated to include delivery and import duty fees if applicable. Include the firms DUNS number on quote. Prices shall include all costs associated to include delivery and import duty fees if applicable. As technical capability of the instrument becomes essentially equal price may become the ultimate determining factor. Offerors will be sent identical specimens: a grid of carbon film and a solution of Tobacco Mosaic Virus (TMV) (or a similar standard provided by the Government). Carbon film will be imaged by the manufacturers with a 4k camera at or near 80,000x microscope magnification and a through-focus-series collected from -0.5 to -3.0 μm defocus in 0.5 μm increments at dosages no more than 300 electrons per square nm total dose. Thon rings will be evaluated to determine performance at room temperature. The second specimen will be prepared by the manufacturer for cryoEM. Images of TMV in vitrified ice will be collected and layer lines examined to determine performance under low temperature low dose (cryoEM) conditions. Raw images and any analysis performed by the manufactures will be sent to the Government. The time allowed for this analysis by the offeror will be thirty (30) calendar days. Past performance will be evaluated based on information provided by the offeror as to actual sales of the proposed products to industry or government agencies. Past performance will consider the ability of the items to meet technical specifications as advertised by the offeror, past record of meeting delivery schedules, meeting performance specs and service/maintenance reputation. Offerors must include at least three recent contracts within the last 3 years that have purchased the same equipment as currently offered, and identify company name, point of contact name, telephone number and email address for each contract. This includes the TEM and camera. (b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). (c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award. The government reserves the right to make an award without discussions. The Provision at FAR 52.212-3, Offeror Representations and Certifications-Commercial Items (MAR 2011), applies to this acquisition. An offeror should complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically at http://orca.bpn.gov. The Contracting Officer may exercise the option by written notice to the Contractor within the following: Line Item 2 at time of award or anytime prior to the end of the initial warranty; Line Item 3 at time of award or anytime prior to the end of the second year warranty; Line Item 4 anytime prior to the end of the third year warranty; Line Item 5 anytime prior to the end of the service agreement year 1 period of performance. Delivery of added items shall continue at the same rate that like items are called for under the contract, unless the parties otherwise agree. If the supplies or services are acceptable, the COR shall promptly forward a report of inspection and acceptance to the paying office. If the supplies or services are not acceptable, the COR shall document the nonconforming items/services and immediately notify the contracting officer. The COR is responsible for: (1) Monitoring the Contractor's technical progress, including the surveillance and assessment of performance and recommending to the Contracting Officer changes in requirements; (2) Interpreting the statement of work and any other technical performance requirements; (3) Performing technical evaluation as required; (4) Performing technical inspections and acceptances required by this contract; and (5) Assisting in the resolution of technical problems encountered during performance. The Contracting Officer is the only person with authority to act as agent of the Government under this contract. Only the Contracting Officer has authority to: (1) Direct or negotiate any changes in the statement of work; (2) Modify or extend the period of performance; (3) change the delivery schedule; (4) Authorize reimbursement to the Contractor any costs incurred during the performance of this contract; or (5) Otherwise change any terms and conditions of this contract. An original invoice shall be submitted to the attention of the designated Contract Specialist identified below in accordance with the following instructions.
