Description
This sources sought is a request for information prior to releasing any resultant solicitation. The information contained in this sources sought notification is based on the best and most current information available to date, is subject to change, and is not binding on the Government. Any significant changes will be provided in subsequent synopsis, if required. The Defense Security Cooperation Agency (DSCA), a component of the U.S. Department of Defense, supports United States national security and foreign policy by building the skills and capacity of our international partners to improve their own security. We also provide critical humanitarian assistance to our partners during times of crisis. DSCA currently manages over 13,000 foreign military sales cases worth over $320 Billion across over 160 countries. DSCA is exploring specific commercial arrangements as solutions to improve the financial flexibility afforded our foreign partners in meeting large complex purchases of defense articles and services. As part of that effort, the DSCA Office of General Counsel requires a short-term limited engagement with outside counsel for assistance and advice in the development, negotiation, and execution of an international credit transaction. The outside counsel must be expert in international letters of credit, U.S. and international banking law and regulation, and the practice of commercial law, particularly in the Middle East. It is expected that the engagement will involve in-depth review of and advice on forms and enforcement of standby letters of credit, advice on agreements between the issuer and the beneficiary governments of such letters of credit and review of any confirmatory arrangements and other associated issues. It is not expected that travel will be part of this engagement although outside counsel may be called upon to provide supporting advice to negotiating teams in-country. This engagement is in furtherance of a particular transaction and is not expected to be a long term engagement. The outside counsel will be expected to provide oral and written advice to the DSCA General Counsel, advise on potential risks and liability, assist in drafting materials and reviewing materials developed by others, support personnel involved in the negotiation and execution of the transaction including an on-call capability. It is highly desirable that the outside counsel also have offices in the Middle East both for on-call access and for expertise in local jurisdictions. Award of an engagement does not guarantee the selected outside counsel will receive a minimum amount of work. Period of performance is one year from the effective date. The contract shall contain option periods for up to three additional periods not to exceed one (1) year each exercised in accordance with the terms of the contract. All valid e-mail responses from prospective sources must provide the return e-mail address, company name, mailing address, telephone number, facsimile number, and point of contact within the body of their response. In addition, to assist in the acquisition strategy development, please respond to the following questions: 1. Is your business a large business or small business [Small Disadvantaged, Woman-Owned, Service Disabled Veteran Owned, etc.]? (For the purpose of determining your business size, the North American Industry Classification System (NAICS), 541110 with a size standard of $7 million average annual receipts over the past three years, will be utilized for this acquisition). 2. Provide a list of customers (Government/non-Government) within the past 5 years highlighting similar work performed. Include contract numbers, contract type, dollar value of each contract, and point of contact (POC)/addresses/and phone numbers and brief description of the work performed. 3. Provide information relative to past performance that demonstrates the ability to provide professional and technical capabilities in support of the DSCA Office of General Counsel's requirement to obtain outside counsel for advice and assistance in the development, negotiation, and execution of an international credit transaction. 4. Other Pertinent Information: E-mail responses without the aforementioned information will not be recognized as valid. Your response is limited to 10 pages. NO SOLICITATION EXISTS AT THIS TIME. The government reserves the right to conduct oral capabilities demonstrations that will be scheduled at a later date. This is not a commitment on the part of the Government to award a contract as a result of this notice or to pay for any information received.
