- This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, and 13.106, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued; the provisions and clauses incorporated herein are those in effect through Federal Acquisition Circular 2005-23, effective June 12, 2008. The Department of Veterans Affairs Medical Center/Employee Education Resource Center, St. Louis, MO proposes to enter into a firm fixed price, competitive commercial. This solicitation is unrestricted and The North American Industry Classification System (NAICS) is 611430 and the small business size standard is $7.0 million. The requirement of this solicitation is to develop, present and facilitate two, two-day customized interactive presentations that focus on leadership negotiations skills and techniques to support the continued development of VHA leadership. The focus of this program is to learn and practice strategic negotiation skills and then apply those skills and principles to other decision-making situations that commonly arise. VHA attendees/participants will further their abilities to reach understanding, resolve points of difference and bargain for outcomes to satisfy various interests of the parties involved in the negotiation process. Negotiation is the process where each party involved in negotiating tries to gain an advantage by the end of the process which is aimed at compromise. E-Mail responses to this solicitation: William.Singleton2@va.gov PERFORMANCE WORK STATEMENT 1. Title of Contract: Negotiation Leadership Training Services 2. Scope of Work: The contractor shall provide all labor, supervision and other resources required to deliver a two day interactive, case-study based training sessions focused on "Leadership Negotiations" for Veterans Health Administration's (VHA) Healthcare Leadership Institute (HCLI), Health Care Leadership Development Program (HCLDP). The two-day session shall target 60 VHA leaders and 14 VHA Senior Executive Coaches. 3. Background: In support of VHA's pursuit of exemplary leadership, Employee Education System (EES) recognizes the need for negotiation training to strengthen VHA leader's skills. This will help ensure a trained VHA workforce, which will provide essential leadership and a prime knowledge/managerial style for the future. It is recognized that the Department of Veterans Affairs (VA) Strategic Plan will be made operational through its people. The VA Strategic Plan is grounded in the VA Guiding Principles of "people-centric, results oriented, forward looking." These three principles are core to strategic negotiation and are guiding principles, which establish the foundation for initiatives outlined in the strategic plan. To effectively drive transformation, VA leaders recognize that they must collaborate to change the way people work in order to support the delivery of better results for our customers. Integral to that process, especially for Levels 3 and 4 senior leadership positions are training and development opportunities that will prepare leaders to meet the rising expectations of the department, and most importantly, our Veterans. Through these training sessions, senior leaders must learn strategic negotiation skills with specific practice related to involving teams in building consensus, interpersonal effectiveness skills required to achieve cooperation and the impact of these skills on bottom line results. HCLI programming requires a systematic consistent approach each time the training is held. It is imperative each VHA participant is receiving the exacting leadership development and succession planning platforms. 4. Period of Performance: The period of performance shall be one year from date of award, with a one year option. Pre-planning activities begin from contract award with actual presentations to be held in March 2012 and September 2012. The Government has determined that the use of an option year is in its best interest to permit continuity of services by providing VHA leaders with consistent training and instruction. 4.1. Government Recognized Holidays. Unless specifically authorized in writing by the Contracting Officer, no services will be provided and no charges will be incurred and/or billed to any order on this contract on any of the Federal Holidays listed below. Place of Performance: All pre-planning activities shall be performed at the contractor's site and participation in EES pre-planning conference calls will be provided through the Department of Veterans Affairs National Teleconference communication system (commonly referred to as VANTS). Actual presentations are scheduled for March 12-13, 2012 and September 10-11, 2012 and will be held in Washington, District of Columbia metropolitan area. 6. Type of Contract: The Government anticipates award of a Firm Fixed-Price contract. 7. Objectives: Develop, present and facilitate two, two-day customized interactive presentations that focus on leadership negotiations skills and techniques to support the continued development of VHA leadership. The focus of this program is to learn and practice strategic negotiation skills and then apply those skills and principles to other decision-making situations that commonly arise. VHA attendees/participants will further their abilities to reach understanding, resolve points of difference and bargain for outcomes to satisfy various interests of the parties involved in the negotiation process. Negotiation is the process where each party involved in negotiating tries to gain an advantage by the end of the process which is aimed at compromise. The contractor shall provide consultation, design, and presentation services for the tasks identified: 7.1. The contractor shall participate in the HCLDP Leadership conference pre-planning activities with the HCLDP VHA planning team. The contractor shall outline the Leadership Negotiations training synopsis highlighting key learning goals. Pre-planning activities will be conducted via a teleconference. 7.2. The contractor shall provide electronically relevant reading references and training session preparation materials three-weeks in advance of the face-to-face conference. All electronic copies of the material must include written permission for VHA to reproduce copyright materials as training handouts to each participant. 7.3. The contractor shall provide a brief biography (approximately one paragraph) for the formal introduction of the Negotiation Instructor (Contractor's Presenter) to participants three weeks prior to the face-to-face conference. 7.4. The contractor shall deliver two, two day Negotiation Leadership Training Sessions for the HCLDP Program: 7.4.1. The contractor shall deliver the negotiation basics content during the first two hours of the face-to-face conference to participants as the training course foundation. 7.4.2. The contractor shall present one-half day (approximately four to six hours) of content that includes relevant healthcare simulation cases, case studies, including practice with the negotiation skills of claiming value, anchoring, and hard bargaining. This component shall address the influence of conflict management styles to the negotiation process. 7..4.3. The contractor shall include facilitation of a one-quarter day (approximately two hours) discussion on applying negotiation principles and skills and include interactive scenarios for the conference participants. The training focus and specifics will be reviewed with the HCLDP coaches (senior level leaders) on the evening of the first presentation day. 7.4.4. The contractor shall facilitate and incorporate discussions on applying negotiation principles and skills to scenarios presented by program participants. 7.4.5. The contractor shall participate in an on-site follow up meeting immediately following each session to review participant's evaluation feedback, HCLDP Program staff on-site comments and observations regarding each training session. 7.5. The contractor shall provide EES HCLDP program staff quarterly releases of new and cutting edge leadership skills, current and/or trending of issues that are commonly facing leaders and applicable research material regarding negotiation techniques and tools. 8. Contract Award Meeting: The contractor shall not commence performance on the tasks in this Performance Work Statement (PWS) until the Contracting Officer has conducted a kick off meeting or has advised the contractor that the kick off meeting requirement has been waived. 9. General Requirements: 9.1. For every task, the contractor shall identify in writing all necessary subtasks (if any), associated costs by task, and along with associated sub-milestone dates. The contractor's subtask structure shall be reflected in the contractor's technical proposal and supported by a detailed work plan. 9.2. All written deliverables shall be phrased in layperson language. Statistical and other technical terminology shall not be used without providing a glossary of terms. 9.3. Quality Control: The contractor shall develop and maintain an effective quality control program to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, correct, prevent, and ensure non-recurrence of defective services. The contractor's quality control program is the means that the work complies with the requirement of the contract. 10. Formal Acceptance or Rejection of Deliverables: The Government will review each deliverable and provide feedback/comments within 15 business days. The contractor shall have five business days to incorporate feedback/comments and make appropriate revisions. The contractor shall provide the revised version of each deliverable to the Contracting Officer's Technical Representative (COTR). The COTR will review and determine final acceptance by the Government. The COTR will notify the contractor of final acceptance within five business days. 11. Changes to the PWS: Any changes to this PWS shall be authorized and approved only through written correspondence from the Contracting Officer. A copy of each change will be kept in a project folder along with all other products of the project. Costs incurred by the contractor through the actions of parties other than the Contracting Officer shall be borne by the contractor. 12. Travel: 12.1. Travel and per diem is a cost reimbursable item and shall be reimbursed in accordance with VA/Federal Travel Regulations (FTR). Each contractor invoice must include copies of ALL receipts that support the travel costs claimed in the invoice. The contractor is only entitled to actual cost spent while on travel that falls within the perimeters as set forth within the FTR, to include food. Travel must be pre-approved by the COTR. Travel must be priced separately in the price schedule. Local travel within a 50-mile radius from the contractor's facility is considered the cost of doing business and will not be reimbursed. This includes travel, subsistence, and associated labor charges for travel time. Travel performed for personal convenience and daily travel to and from work at the contractor's facility will not be reimbursed. Travel, subsistence, and associated labor charges for travel time for travel beyond a 50-mile radius of the contractor's facility are authorized on a case-by-case basis and must be pre-approved by the COTR. Government Responsibilities: 13.1. The Government will provide audio/visual equipment and any stage set-up required by the contractor at the presentation site. 13.2. Summary of last year's evaluation data from the negotiation session. 13.3. Duplication and mailing of readings and pre-work received from the contractor electronically to participants (one copy per participant). 13.4. Duplication of support materials for each session itself (one set per participant) and purchase and distribution copy-written materials for distribution (on per participant). 14. Contractor Experience Requirements - Key Personnel: 14.1. Key Personnel: Certain skilled experienced professional and/or technical personnel are essential for accomplishing the work to be performed. These individuals are defined as "Key Personnel" and are those persons whose resumes are submitted and marked by the vendor as "Key Personnel." Substitutions shall only be accepted if in compliance with "Substitution of Key Personnel" provision identified below. The Contracting Officer may notify the Contractor and request immediate removal of any personnel assigned to any task by the Contractor that are deemed to have a conflict of interest with the government or if the performance is deemed to be unsatisfactory. The reason for removal shall be documented and replacement personnel shall be identified within three (3) business days of the notification. Employment and staffing difficulties shall not be justification for failure to meet established schedules. 14.2. Substitution of Key Personnel: All Contractor requests for approval of substitutions hereunder shall be submitted in writing to the COTR and the Contracting Officer at least thirty (30) calendar days in advance of the effective date, whenever possible, and shall provide a detailed explanation of the circumstances necessitating the proposed substitution, a complete resume for the proposed substitute, and any other information requested by the Contracting Officer necessary to approve or disapprove the proposed substitution. New personnel shall not commence work until all necessary security requirements, have been fulfilled and resumes provided and accepted. The COTR and the Contracting Officer will evaluate such requests and promptly notify the Contractor of approval or disapproval in writing. 14.3. Contractor Personnel Requirements: Key Personnel proposed shall have knowledge in the following: 14.3.1. Expert knowledge and expertise of negotiating skills training courses that include techniques and tools. Fifteen years of experience in successfully delivering to audiences Negotiation styles, frameworks and techniques. Individual demonstrates capability in defining negotiation processes, implementing negotiation training solutions which include tactics, coaching and training interventions with a vast range of cross cultural, multi faceted industries with special emphasis in the public healthcare sector. Contractor instructor must have an open mind, ability to internalize information, and willing to listen and respond to questions from the participants. Contractor demonstrates exceptional presentation skills using audio-visual tools and programs creating an interactive presentation. 15. Confidentiality and Disclosure: 15.1. It is agreed that: 15.1.2. The preliminary and final deliverables, and all associated working papers, application source code, and other material deemed relevant by VA which have been generated by the contractor in the performance of this contract, are the exclusive property of the U.S. Government and shall be submitted to the Contracting Officer at the conclusion of the contract. 15.1.3. The Contracting Officer will be the sole authorized official to release, verbally or in writing, any data, draft deliverables, final deliverables, or any other written or printed materials pertaining to this contract. No information shall be released by the contractor. Any request for information relating to this contract, presented to the contractor, shall be submitted to the Contracting Officer for response. 15.1.4. Press releases, marketing material, or any other printed or electronic documentation related to this project shall not be publicized without the written approval of the Contracting Officer. 16. 852.273-75 Security Requirements for Unclassified Information Technology Resources. As prescribed in 839.201, insert the following clause: SECURITY REQUIREMENTS FOR UNCLASSIFIED INFORMATION TECHNOLOGY RESOURCES SECTION 508 - ELECTRONIC AND INFORMATION TECHNOLOGY (EIT) STANDARDS The Section 508 standards established by the Architectural and Transportation Barriers Compliance Board (Access Board) are incorporated into, and made part of all VA contracts, solicitations and purchase orders developed to procure Electronic and Information Technology (EIT). These standards are found in their entirety at http//www.section508.gov. A printed copy of the standards will be supplied upon request. The contractor shall comply with the technical standards at 36 CFR 1194.22 Web-based Intranet and Internet Information and Applications, 1194.24, Video and Multimedia products, and 1194.31, Functional Performance Criteria in performing this order.
