SECTION B GENERAL INTENTION: It is the intent of this solicitation to result in a One (1) base with Four (4) option years if exercised Indefinite delivery/indefinite quantity contract with 12 month Economical Price Adjustment for Sheet Steel and Coil Steel to be delivered FOB Destination FCI Milan, Michigan Guaranteed Minimum is $ 10,000.00 over the duration of the contract inclusive of any exercised option years The following information pertains to the Standard Form 1449 Solicitation: Questions regarding this requirement shall be addressed in writing to James Mitchell at jwmitchell@central.unicor.gov. No question will be answered by telephone. All questions must be submitted by 2 pm eastern standard time on November 22, 2011. The question and answers will be submitted as an amendment on the solicitation on FibBizOps. This solicitation closes on December 2, 2011 at 2 pm EST. No proposal will be accepted after that date and time. The initial delivery for sheet steel and coil is thirty (30) days after receipt of delivery order. All other orders will be delivered in 7 days for Sheet Steel and 14 days for Coil Steel after receipt of delivery order. SECTION C Environmentally Friendly to the environment and the workplace (i.e. Green, LEEDS) Offerors shall submit documentation/certification for all products being offered and any new product during contract term. ISO 9001 Certification Offerors facilities must be ISO 9001 certified and must provide proof of ISO9001 certification by submitting the ISO Certificate as part of your written proposal. In addition, offerors manufacturing facilities including any subcontractors must be ISO 9001 certified at time of submission of offers. All processes involved in the production shall be completely documented by providing the ISO certification with the written proposal. In the event the awardee continually fails to deliver products ordered in a timely fashion, the awardee may be required to maintain consignment inventory in the future. If any inventory is held at a UNICOR factory, FPI accepts liability for damage or destruction. Additionally, if UNICOR requires offeror to maintain consignment inventory, there will be discussions with UNICOR and the offeror after award. SECTION D Preservation, packaging, and marking for all items covered by this contract shall be in accordance with commercial practice and adequate to insure acceptance by common carrier and safe arrival at destination. The contract number should be on or adjacent to the exterior shipping label. Each package received must be marked for type and quantity. A Certificate of Conformance must accompany each shipment. ALL SHIPMENTS RECEIVED WITHOUT A CERTIFICATE OF CONFORMANCE (COC) WILL NOT BE PROCESSED FOR PAYMENT UNTIL A COC IS PROVIDED. All shipments should be labeled as follows: a. Vendor name b. Purchase Order number and/or Contract number c. Item description d. Item quantity and weight e. Other pertinent information Due to the volume of trucks that may come through any given UNIOCR warehouse, it is sometimes necessary to make an appointment, therefore warehouse at respective factory should be notified 24 hours prior to delivery to schedule delivery time. Appointments can be scheduled by phone call or fax. Request for appointment shall include point of contact, phone number, fax number and email address. Delivery hours are as follows: Delivery hours are Monday through Friday, 8:00 am to 2:30 pm, excluding Federal Holidays. A CERTIFICATE OF CONFORMANCE MUST ACCOMPANY EACH SHIPMENT OF THIS ITEM OR ITEMS FOR RECEIPT AND PAYMENT. NOV 1991 52.246-15 Certificate of Conformance Certificate of Conformance (Apr 1984) (a) When authorized in writing by the cognizant Contract Administration Office (CAO), the Contractor shall ship with a Certificate of Conformance any supplies for which the contract would otherwise require inspection at source. In no case shall the Governments right to inspect supplies under the inspection provisions of this contract be prejudiced. Shipments of such supplies will not be made under this contract until use of the Certificate of Conformance has been authorized in writing by the CAO, or inspection and acceptance have occurred. (b) The Contractors signed certificate shall be attached to or included on the top copy of the inspection or receiving report distributed to the payment office or attached to the CAO copy when contract administration is performed by the Contracting Officer or his/her designee. In addition, a copy of the signed certificate shall also be attached to or entered on copies of the inspection or receiving report accompanying the shipment. (c) The Government has the right to reject defective supplies or services within a reasonable time after delivery by written notification to the Contractor. The Contractor shall in such event promptly replace, correct, or repair the rejected supplies or services at the Contractors expense. (d) The certificate shall read as follows: I certify that on ______ [insert date], the ____ [insert Contractors name] furnished the supplies or services called for by Contract No._____ via ____ [Carrier] on ________ [identify the bill of lading or shipping document] in accordance with all applicable requirements. I further certify that the supplies or services are of the quality specified and conform in all respects with the contract requirements, including specifications, drawings, preservation, packaging, packing, marking requirements, and physical item identification (part number), and are in the quantity shown on this or on the attached acceptance document. UNICOR does not mail delivery orders. Order confirmation shall be signed and dated in blocks 30a, b and c of the delivery order and confirmation must be made within 24 hours of order receipt. SECTION G - CONTRACT ADMINISTRATION DATA No changes SECTION H - SPECIAL CONTRACT REQUIREMENTS H.1 FPI 1000HI ECONOMIC PRICE ADJUSTMENT Supplement: LCL APPR Twelve (12) months after contract award date, contract prices for the succeeding Twelve (12)months period may be adjusted in accordance with the change in the (Indices) i.e. Producer Price Index, Metal (PCU 331111) from the date of award to the date of adjustment. IT IS THE CONTRACTOR'S RESPONSIBILITY TO REQUEST THIS ADJUSTMENT. Adjustments may be requested for a period not to exceed 30 days after the eligible adjustment date. Requests that are made after the 30-day limit will not be honored and the contract pricing will not be adjusted. The contractor shall submit any requests for adjustments in writing to the contracting officer. Requests shall include a copy of the relevant index and must be within the allowed time period for adjustment. Any adjustments authorized as a result of the adjustment request will not be retroactive. The date the completed request is received by the contracting officer will be the effective date of any changes in price. The contractor also is required to request downward price adjustments. All downward adjustments will be retroactive to the authorized adjustment date as specified in this clause. If downward price adjustments are not requested and this is later revealed through audits or otherwise, the contractor shall reimburse the Government the amount overcharged plus interest. Interest will be computed at the rate set annually by the Secretary of the Treasury for late contract payments. Interest will accrue from the date the adjustment should have been made. In computing any contract price adjustment, the most recently published index as of the date of award will be compared to the most recently published index as of the date of adjustment. No adjustment shall be made if the referenced change is less than 2%. Total upward adjustment for the contract period, including any option periods, are (negotiable), based on the original or option period contract price; downward adjustments are not limited. (h) Certification Regarding Responsibility Matters (Executive Order 12689). (Applies only if the contract value is expected to exceed the simplified acquisition threshold.) The offeror certifies, to the best of its knowledge and belief, that the offeror and/or any of its principals- (1)  Are,  are not presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency; (2)  Have,  have not, within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a Federal, state or local government contract or subcontract; violation of Federal or state antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property; (3)  Are,  are not presently indicted for, or otherwise criminally or civilly charged by a Government entity with, commission of any of these offenses enumerated in paragraph (h)(2) of this clause; and (4)  Have,  have not, within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,000 for which the liability remains unsatisfied. (i) Taxes are considered delinquent if both of the following criteria apply: (A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted. (B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded. (ii) Examples. (A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights. (B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights. (C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment. (D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code). On the basis of those efforts, the offeror certifies that it is not aware of any such use of child labor. (j) Place of manufacture. (Does not apply unless the solicitation is predominantly for the acquisition of manufactured end products.) For statistical purposes only, the offeror shall indicate whether the place of manufacture of the end products it expects to provide in response to this solicitation is predominantly- (1) In the United States (Check this box if the total anticipated price of offered end products manufactured in the United States exceeds the total anticipated price of offered end products manufactured outside the United States); or (2)  Outside the United States. (k) Certificates regarding exemptions from the application of the Service Contract Act. (Certification by the offeror as to its compliance with respect to the contract also constitutes its certification as to compliance by its subcontractor if it subcontracts out the exempt services.) [The contracting officer is to check a box to indicate if paragraph (k)(1) or (k)(2) applies.] [ ] (1) Maintenance, calibration, or repair of certain equipment as described in FAR 22.1003-4(c)(1). The offeror  does  does not certify that- (i) The items of equipment to be serviced under this contract are used regularly for other than Governmental purposes and are sold or traded by the offeror (or subcontractor in the case of an exempt subcontract) in substantial quantities to the general public in the course of normal business operations; (ii) The services will be furnished at prices which are, or are based on, established catalog or market prices (see FAR 22.1003-4(c)(2)(ii)) for the maintenance, calibration, or repair of such equipment; and (iii) The compensation (wage and fringe benefits) plan for all service employees performing work under the contract will be the same as that used for these employees and equivalent employees servicing the same equipment of commercial customers. [ ] (2) Certain services as described in FAR 22.1003-4(d)(1). The offeror  does  does not certify that- (i) The services under the contract are offered and sold regularly to non-Governmental customers, and are provided by the offeror (or subcontractor in the case of an exempt subcontract) to the general public in substantial quantities in the course of normal business operations; (ii) The contract services will be furnished at prices that are, or are based on, established catalog or market prices (see FAR 22.1003-4(d)(2)(iii)); (iii) Each service employee who will perform the services under the contract will spend only a small portion of his or her time (a monthly average of less than 20 percent of the available hours on an annualized basis, or less than 20 percent of available hours during the contract period if the contract period is less than a month) servicing the Government contract; and (iv) The compensation (wage and fringe benefits) plan for all service employees performing work under the contract is the same as that used for these employees and equivalent employees servicing commercial customers. (3) If paragraph (k)(1) or (k)(2) of this clause applies- (i) If the offeror does not certify to the conditions in paragraph (k)(1) or (k)(2) and the Contracting Officer did not attach a Service Contract Act wage determination to the solicitation, the offeror shall notify the Contracting Officer as soon as possible; and (ii) The Contracting Officer may not make an award to the offeror if the offeror fails to execute the certification in paragraph (k)(1) or (k)(2) of this clause or to contact the Contracting Officer as required in paragraph (k)(3)(i) of this clause. (l) Taxpayer Identification Number (TIN) (26 U.S.C. 6109, 31 U.S.C. 7701). (Not applicable if the offeror is required to provide this information to a central contractor registration database to be eligible for award.) (1) All offerors must submit the information required in paragraphs (l)(3) through (l)(5) of this provision to comply with debt collection requirements of 31 U.S.C. 7701(c) and 3325(d), reporting requirements of 26 U.S.C. 6041, 6041A, and 6050M, and implementing regulations issued by the Internal Revenue Service (IRS). (2) The TIN may be used by the Government to collect and report on any delinquent amounts arising out of the offeror's relationship with the Government (31 U.S.C. 7701(c)(3)). If the resulting contract is subject to the payment reporting requirements described in FAR 4.904, the TIN provided hereunder may be matched with IRS records to verify the accuracy of the offeror's TIN. (n) Prohibition on Contracting with Inverted Domestic Corporations. (1) Relation to Internal Revenue Code. An inverted domestic corporation as herein defined does not meet the definition of an inverted domestic corporation as defined by the Internal Revenue Code 25 U.S.C. 7874. (2) Representation. By submission of its offer, the offeror represents that- (i) It is not an inverted domestic corporation; and (ii) It is not a subsidiary of an inverted domestic corporation. (o) Sanctioned activities relating to Iran. (1) Unless a waiver is granted or an exception applies as provided in paragraph (o)(2) of this provision, by submission of its offer, the offeror certifies that the offeror, or any person owned or controlled by the offeror, does not engage in any activities for which sanctions may be imposed under section 5 of the Iran Sanctions Act of 1996. (2) The certification requirement of paragraph (o)(1) of this provision does not apply if- (i) This solicitation includes a trade agreements certification (e.g., 52.212-3(g) or a comparable agency provision); and (ii) The offeror has certified that all the offered products to be supplied are designated country end products. The offeror shall use the list in effect on the date of this solicitation. "Address," as used in this provision, means the address of the offeror as listed on the Small Business Administration's register of small disadvantaged business concerns or the address on the completed application that the concern has submitted to the Small Business Administration or a Private Certifier in accordance with 13 CFR Part 124, subpart B. For joint ventures, "address" refers to the address of the small disadvantaged business concern that is participating in the joint venture. INSTRUCTIONS TO OFFERORS/PROPOSAL REQUIREMENTS Offerors will be evaluated on their proposals, including each of the following parts: 1. Past Performance Information 2. Specifications 3. Price 4. MSDS Sheets 5. Environmentally Friendly to the environment and the workplace 6. ISO 9001 Certification PAST PERFORMANCE INFORMATION Past Performance - Offeror's will be evaluated on their record of relevant, and recent past performance, from the Business Questionnaires submitted, and information received from past contracts and any additional data obtained by the Government, i.e., current contracts. Relevant past performance is defined as having a record of actual performance or accomplishment in the manufacturing of sheet an coil steel on contracts similar in scope to the requirement being evaluated. Recent past performance information is defined as contracts performed within the last three years. The offeror will then be given an overall confidence assessment rating, using the adjectival ratings listed. In evaluating offerors past performance, the Contracting Officer will consider the following: adherence to contract schedules, cooperative behavior and commitment to customer satisfaction, and the timeliness of performance taking into account excusable delays. Offerors may provide information on problems encountered on the identified contracts and the corrective action taken. The Government shall consider this information, as well as information obtained from any other sources, when evaluating the offerors past performance. Prompt corrective action in isolated instances may not outweigh overall negative trends. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror may not be evaluated favorably or unfavorably on past performance. SPECIFICATIONS Offerors proposed product must meet specifications as stated in Section B and comply with the drawings in Section J. Offeror to provide descriptive literature with specifications showing products ability to meet specifications. PRICE PROPOSAL All offerors are required to submit a comprehensive list of prices for items offered in Schedule B. Offerors are to provide this pricing for the base year, and each option year. The price proposal will be evaluated through price competition of this acquisition and as compared to the Government Estimate. Price will be evaluated for fairness and reasonableness. MSDS Sheets All offerors must provide MSDS sheets for products being offered in response to the solicitation. ENVIRONMENTALLY FRIENDLY TO THE ENVIRONMENT AND THE WORKPLACE (i.e. Green, LEEDS, Recyclable, Recoverable) Offerors shall submit documentation/certification for all products being offered and any new product during contract term. ISO 9001 Certification Offerors facilities must be ISO 9001 certified and must provide proof of ISO9001 certification by submitting the ISO Certificate as part of your written proposal. In addition, offerors manufacturing facilities including any subcontractors must be ISO 9001 certified at time of submission of offers. All processes involved in the production shall be completely documented by providing the ISO certification with the written proposal. 52.216-27 Single or Multiple Awards (Oct 1995) UNICOR INTENDS TO MAKE A SINGLE AWARD AS A RESULT OF THIS SOLICITAITON. 52.233-2 Service of Protest. Service of Protest (Sept 2006) (a) Protests, as defined in section 31.101 of the Federal Acquisition Regulation, that are filed directly with an agency, and copies of any protests that are filed with the Government Accountability Office (GAO), shall be served on the Contracting Officer (addressed as follows) by obtaining written and dated acknowledgment of receipt from Tatea R. Cavanaugh, Contracting Officer, 320 First Street NW, 7th Floor, Washington, DC 20534. [ (b) The copy of any protest shall be received in the office designated above within one day of filing a protest with the GAO. SECTION M 52.212-2 Evaluation Commercial Items. Evaluation Commercial Items (Jan 1999) (a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following adjectival ratings shall be used to evaluate offerors proposals. Poor Unfavorable Marginal More unfavorable than favorable Good More favorable than unfavorable Excellent Entirely favorable The following evaluation factors will be evaluated utilizing the adjectival ratings listed above: • Past Performance Information • Specifications (Technical) • Price; The following evaluation factors will be given a rating of pass or fail:; Green Guard Certification; ISO 9001 Certification; MSDS. Any offeror who receives a fail on any one of those evaluation factors may be ineligible to be included in the competitive range. • Environmentally Friendly to the environment and the workplace • ISO 9001 Certification • MSDS Sheets Specifications (Technical) and past performance, when combined, are equal compared to price (b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). (c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award. A written notice of award or acceptance of an offer mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer shall result in a binding contract without further action by either party. Before the offers specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award. The Contracting Officer will make award to the offeror whose proposal represents the best overall expected value and that is considered most advantageous to its interests based on the criteria specified in this solicitation. Offerors are advised that the Government intends to evaluate proposals and award without discussions. Therefore, the initial proposal should contain the offerors best terms from a cost or price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. Tradeoff Process: It may be in the governments best interest to consider award to other than the lowest priced offeror or other than the highest technical rated offeror. This process may include tradeoffs among cost/price and non cost factors and allows the Government to accept other than the lowest prices proposal if the perceived benefits of the higher priced proposal are determined to merit the additional cost.
