DEPARTMENT OF VETERANS AFFAIRS Justification and Approval For Other Than Full and Open Competition Upon the basis of the following justification, the use of other than full and open competition for the proposed contractual action is hereby approved pursuant to the authority of 41 U.S.C. 253 ( c )(1) and FAR 6.302-1. 1. Contracting Activity Department of Veterans Affairs Veterans Health Administration Service Area East, Procurement Contracting Activity in St. Louis Contracting POC: Linda Eley, Contracting Officer 11152 South Towne Square St. Louis, MO 63123 Transaction Number/Funding Document - 777-13-1-1092-0017 FY (13) 2. Nature and/or Description of the Action Being Processed: The proposed action is for a new (12) month firm-fixed price (FFP) with an option for one (1) additional year to provide VISN 11 full organizational membership and access rights to the tools and the resources that can only be provided from memberships to 'Health Care Advisory Board', 'Nursing Executive Center' and the "Clinical Advisory Board". Request a justification and approval for sole source procurement to be issued to The Advisory Board Company, 2445 M Street NW, Washington DC 20037; phone 202-266-5600; www.advisory.com. 3. Description of Supplies/Services Required to Meet the Agency's Needs: The purpose of the contract is to obtain Veteran Integrated Service Network (VISN) 11 three (3) separate organizational membership access that can only be provided from 'The Advisory Board Company". The organization memberships will provide VISN 11access to tools and resources necessary to address the requirements established by performance gaps identified from VISN 11 executive leadership. ""Health Care Advisory Board" ""Nursing Executive Center" ""Clinical Advisory Board" The "Health Care Advisory Board" membership will provide the following: "Research and Insights "National member meetings "On-call expert consultations "Data and analytics "Research studies "Live and on-demand web conferences "Onsite presentations "Daily Briefing - daily email of legislative and industry trends and related activity "Multimedia Presentations "National Webcasts The "Nursing Executive Center" membership will provide the following: "Research and Insights "Access to 'The Advisory Boards' publications oEnhancing the Patient Experience oNursing's Role in Safeguarding Acute Care Margins oThe Patient Experience Toolkit oStrengthening Interdisciplinary Collaboration oInstilling Frontline Accountability "National Meeting Series "Data and Analytics Tools "Expert Insights "The Advisory Board Company's "Webinars - Live and Archived" "Weekly "Alerts and News" "Infographics "Onsite presentations The "Clinical Advisory Board" membership will provide the following: "Research and Insights "Access to 'Clinical Advisory Boards' publications oDelivering on Value oHub of the Enterprise oThe New Quality Compact oPreventing Unnecessary Readmissions oImproving Provider Communication and Patient Transitions "Data and Analytics Tools oCustomized Short Stay Assessment oAvoidable ED Utilization Assessment oLength of Stay Opportunity Assessment oReadmissions Penalty Estimator "Expert Insights "The Advisory Board Company's "Webinars - Live and Archived" "Weekly "Alerts and News" "Infographics "Video library/archive The proposed contract cost is estimated to be $360,571.00. Base Year $175,888.00 Option Year 1 $184,683.00 ________________________ Estimated Total $360,571.00 4. Statutory Authority Permitting Other than Full and Open Competition: FAR 6.302-1(b) (2) only one responsible source and no other supplies or services will satisfy agency requirements: The existence of limited rights in data, patent rights, copyrights, or secret processes doesn't allow for any other company to provide this service. 5. Demonstration that the Contractor's Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): The Advisory Board Company is a global research, technology, and consulting firm partnering with 150,000 leaders in 3,700+ organizations across health care and higher education. Through vast network and innovative membership model, 'The Advisory Board Company' collaborates with healthcare executives and their teams to elevate performance and solve their most pressing challenges. In addition, they provide strategic guidance, actionable insights, web-based software solutions, and comprehensive implementation and management services. The existence of limited rights in data, patent rights, copyrights, or secret processes doesn't allow for any other company to provide this information. The Advisory Board Company is the only firm that offers organizational memberships to any of its various memberships. 6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: This acquisition will be synopsized on FedBizOpps as required in FAR 5.2041. 7. Determination by the Contracting Officer that the Anticipated Cost to the Government will be Fair and Reasonable: The standard commercial rates for the base/award for the three annual memberships would cost $206,928.00 and are as follows: "Health Care Advisory Board Membership $92,232 "Clinical Advisory Board Membership $70,740.00 "Nursing Executive Center $43,956 The standard commercial rate for the award year is $206,928.00 and the option year is $206,928.00 for a total of $413,856.00.The Government rates for the base year on all three annual organizational memberships combined is $175,888.00 and the option year is $184,683.00 for a total of $360,571.00. The standard commercial rate is $413,856.00, and the government rate is $360,571.00 which is a savings of $53,285.00 over the duration of two years. 8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: The Acquisition Liaison Group conducted market research on 12-5-2012 and 12-13-2013 using Google and GSA Advantage to attempt to identify other potential vendors with ability to provide the government required products. Market research discovered that the three memberships identified are the sole property of "The Advisory Board Company". These memberships are proprietary service/materials of 'The Advisory Board Company'; there are no other vendors that can provide the sale of these memberships. Wanakee Strickland (CS) also conducted market research on 01/11/2013 through VetBiz.gov, and SBA.gov and found that there weren't any vendors able to provide the memberships. Wanakee Strickland contacted Alexis Drumheller with the Advisory Board Company on 01/14/2013 to verify that the Advisory Board owns sole rights to the memberships. It has been determined that the Advisory Board is the only company that can provide the memberships. 9. Any Other Facts Supporting the Use of Other than Full and Open Competition: There is no other pertinent information to be considered. 10. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition: There were no other interested parties. 11. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required: Prior to exercising government's Option Year, market research will be conducted to determine and validate if any other vendors have come into the marketplace that can meet the needs of the government. 12.
