- SURGICAL SERVICES TO BE FURNISHED TO THE WILMINGTON VA MEDICAL CENTER, Operating Room, (WVAMC). -------------------------------------------------------------------------------------------- BASE YEAR (Covers period: May 7, 2013 thru Oct 31, 2013) SERVICES ESTIMATED UNIT UNIT TOTAL QUANTITY COST COST 1. Auto Transfusion Services __20__ Each Includes supplies TOTAL ESTIMATED COST: ---------------------------------------------------------------------------------------------------------------------------------------------------- DESCRIPTION/SPECS WORK STATEMENT Contractor will provide Auto transfusion services identified on page one for eligible veterans. Services are to be provided on an as needed basis, Monday through Friday between 8 a.m. to 4:30 p.m., and as required for emergencies and on-call. Payment for Services detailed on page one is explained as follows: Auto Transfusion Services: Payment assumes a minimum of four (4) hours per procedure. Additional Pricing: Auto transfusion Hourly Fee:$ [Hourly Charge after first four (4) Hours] Auto transfusion Standby:$ [2 Hours only - No disposables] Cancellation Fee:$ [< 18 Hours Notice] Emergency and Non-Scheduled Cases:$ [< 18 Hours Notice] General Responsibilities Contractor duties and responsibilities are as follows: A)Contractor agrees to supply Hospital with a complete program of auto transfusion service for Hospital's surgical program, including but not limited to, an adequate number of qualified technicians available on a 24-hour call schedule to support the auto transfusions performed at Hospital. B)Contractor agrees to render in-service training and inventory maintenance and control as necessary to provide Hospital with a complete program of auto transfusion services. C)Contractor agrees to provide disposable supplies required in the performance of auto transfusion services. Contractor makes no separate or independent warranty whatsoever, whether express or implied, as to the condition, fitness for use, or marketability of any disposable supplies provided under this contract. The parties hereby expressly agree that the only warranty of any kind applicable to said disposable supplies is that of the manufacturer. D)Contractor agrees to coordinate the activities of its employees with the following officer of Hospital: O.R. Manager. Said officer or his/her designate shall undertake the complete responsibility for the acceptance or refusal of any technician made available to Hospital by Contractor. Should Hospital refuse any of the technicians provided by Contractor pursuant to this Agreement, Contractor agrees to provide a replacement technician subject to the approval of Hospital within Twenty-four (24) hours. E)Contractor agrees to bill Hospital directly for all services rendered and supplies provided under this contract in accordance with the rate schedule set forth herein. No other charges will be made to the Hospital or the patient by Contractor. 7.HOSPITAL RESPONSIBILITIES A)Hospital agrees to provide free of charge or cost to Contractor appropriate telephone and fax service, hot water, cleaning, electricity, and all other utilities necessary for Contractor to perform its responsibilities under this contract. B)Hospital agrees to allow Contractor personnel reasonable access to all of Hospital's facilities, personnel, and records as may be required by Contractor to perform its responsibilities hereunder. C)Hospital agrees that it shall have the sole responsibility for the billing and collection of patient charges related to the service performed and supplies furnished hereunder. D)Hospital agrees that for a period of one year following the termination of this contract, it shall not employ, permit to practice in any manner within Hospital, or otherwise contract for auto transfusion services directly or indirectly with any persons employed by Contractor during the term of this contract. ? 2. TERM OF CONTRACT: This contract is effective for one year from the date of award with two one-year options. The contract is subject to the availability of VA funds. No service shall be performed by the contractor after this contract is over Oct 31, 2013, until the contracting officer authorizes such services in writing. 3. QUALIFICATIONS: Technicians assigned by the Contractor to perform the services covered by this contract shall be certified. The qualifications of such personnel shall also be subject to review and approval by the VA Facility Director. 4. WORK HOURS: a.The services covered by this contract shall be furnished by the contractor as defined herein. The contractor will not be required, except in emergency, urgent and life threatening illness, to furnish elective services on a national holiday or during off-duty hours as described below. The contractor will provide 24/7 coverage for urgent and emergent cases. 5. PERSONNEL POLICY: The contractor shall be responsible for protecting the personnel furnishing services under this contract. To carry out this responsibility, the contractor shall provide the following for personnel providing services under this contract: "Worker's compensation "Professional liability insurance "Health examinations "Income tax withholding, and "Social security payments. The parties agree that such personnel shall not be considered VA employees for any purpose and shall be considered employees of the contractor. 6. BILLING: NOTICES: All notices and statements provided for in this contract shall be in writing and shall be considered properly given if sent by prepaid mail to the following addresses: VA MEDICAL CENTER 1601 Kirkwood Highway Wilmington, DE 19805
