- ARNG TRADEMARK & LICENSING PROGRAM OVERVIEW INTRODUCTION THIS SOURCES SOUGHT IS BEING ISSUED FOR PLANNING AND MARKET RESEARCH PURPOSES ONLY. THIS IS NOT A SOLICITATION. RESPONSES TO THIS NOTICE ARE NOT CONSIDERED AS OFFERS AND CANNOT BE ACCEPTED BY THE GOVERNMENT TO FORM A BINDING CONTRACT. THE GOVERNMENT WILL NOT BE RESPONSIBLE FOR ANY COSTS INCURRED BY INTERESTED PARTIES RESPONDING TO THIS SOURCES SOUGHT. The Army National Guard brand and its licensing represent a potential recruiting tool. As purchasers of Army National Guard branded products display them in public, other people will see and recognize the brand thereby creating positive and long-lasting impressions that will increase recruiting numbers. However, in order to ensure that its branded merchandise represents values that the Army National Guard finds important, it must exercise control over all articles that display this brand. To accomplish this control, the Army National Guard seeks one company that will be trademark licensor, brand manager, regulator, inspector, and auditor. OBJECTIVES 1.The company shall promote the ARNG's image through the display of Government-approved ARNG-branded merchandising materials equivalent to what should be expected with a Fortune 500 company's licensing program. 2.The company shall update the existing written strategy on how best to create a trademark licensing agency. This will include updated research and analysis of ARNG and intellectual property; an updated brand communication review; updated strategic licensing plan of action, updated matrix development and implementation; updated category analysis and recommendations; updated company target list recommendation; & updated recommended licensing strategic approach. The updated strategy will be implemented by the agency once approved by the contracting officer's representative (COR). 3.The company shall provide an updated version of the current quote mark Brand Style Guide quote mark on how best to market products. It will include an updated retail analysis and recommendations. Once approved by the COR, this updated Brand Style Guide will be developed, implemented, published, and make available to all prospective manufacturers. 4.The company shall provide consulting services and communication between both the COR and between prospective manufacturers. 5.The company will vet potential licensees as directed by the COR. Establish comprehensive article controls especially regarding the article country of origin and its manufacture, and creation of licensed product lines that support the core message of ARNG. 6.The company will police the marketplace to ensure that there is no product infringement. 7.The company shall provide a user-friendly online collaboration tool to allow for expedited and transparent review of all creative and important licensing decisions. This online collaboration tool shall be password protected and have the ability to securely store a record of all relevant creative and licensing decisions. The online collaboration tool must be approved by the COR before it is implemented. Site must allow for ARNG to have full control and approval over all artwork. 8.The company shall develop, build and operate an ecommerce site that is capable of selling merchandise on the internet. The ecommerce site will have 3 audiences; (1) ARNG only, (2) AFFES only, and (3) the general public. This may include co-locating the ecommerce site at www.nationalguard.com in order to facilitate customer activity with recruiting & retention activities. 9.The company shall develop, build and operate an online portal tool to create hang tags and/or holograms to support the designation of quote mark official merchandise quote mark of the Army National Guard (ARNG). The portal should allow for the storage and access of high resolution trademarks and provide accounts to licenses to allow them access to these hang tags and/or holograms. The online portal tool must be password protected password protected and have the ability to securely store a record of all relevant creative and licensing decisions. The online portal tool must be approved by the COR before it is implemented. 10.The company shall conform its business and accounting practices to comply with all DoD guidance (both current and future) related to the financial management of royalty payments associated with the licensing program. NGB will receive royalty money directly from manufacturer. Royalty monies will not flow through the company. 11.Development of comprehensive internal and external marketing and public relations campaigns. 12.Presence at all major trade shows to establish presence in the licensing space while cultivating new trademark licensing opportunities. 13.Conduct a post-award meeting within ten (10) business days of the contract award date. The meeting will introduce the Government to the members of the contractor team responsible for execution of the program. The contractor will address the steps, processes, milestone plan, and other objectives intended to complete the program successfully. The contractor will write and distribute an After-Action Report, within 24 hours after the meeting, to the Government that will define the responsibilities assigned. 14.Write and distribute an After-Action Report to the COR within 24 hours after any and all meetings with the Government. 15.Key personnel: The Government considers a maximum of two (2) personnel critical to the success of this contract and they are therefore considered quote mark Key Personnel. quote mark The key personnel are the individual(s) responsible for the contract oversight within the company's headquarters. These individual(s), titled Subject Matter Expert(s), will be identified by phone, email, and address in the contractor's QA/QC plan. One SME will be responsible for the performance of the work. The name of this person and an alternate who shall act for the contractor when the Responsible SME is absent shall be designated in writing to the KO and designated as key personnel. The SME or alternate shall have full authority to act for the contractor on all matters relating to the daily operation of this contract. The contractor's SME will provide the required information and data that will determine whether performance standards were achieved. This will be provided to the Government in accordance with this SOO. The planned NAICS (North American Industry Classification System) code for this requirement is 533110. All interested Contractors shall provide in writing, a notice stating their positive intention to submit a bid no later than 20 June 2013. This notification, which shall not exceed five (5) typewritten pages, must include: (1) Positive statement of intent to bid. (2) A completed and signed Sources Sought Information Request Form (attached). Contractors should indicate their interest to the Contracting Officer, in writing as early as possible, but no later than 4 p.m., 20 June 2013.
