Executive Development Training Program (Solicitation Number: AA-EDTP 072013) Statement of Work A. Background Adams and Associates, Inc. (Adams) is a 100% employee owned company which manages multiple government human services contracts for the U.S. Department of Labor. Adams is a Reno, Nevada, based company and was formed in 1990 with the sole mission of operating youth and children's programs for local, state and federal governmental agencies. The Company has grown to over 2,000 full, part-time and contract staff members at 18 locations across the country, providing services to over 11,500 young people per year. In addition to our Reno office, we have corporate offices located in Columbia, Maryland and Worcester, Massachusetts. The Company has been awarded over 40 residential and training related contracts. The following is an overview of Company programs and services: Adams operates 14 Job Corps Center locations under contract with the U.S. Department of Labor. The majority of the Job Corps Centers across the country are operated by private-sector subcontractors. This year round residential training program is designed to provide social skills/work ethic, educational and vocational skills to at-risk, disadvantaged young people between the ages of 16 and 24 who lack employability skills and have not been successful in the traditional learning environment. Adams currently operates the Woodland and Woodstock centers in Maryland; IndyPendence and Atterbury centers in Indiana; Shriver and Grafton centers in Massachusetts; Exeter center in Rhode Island; Joliet center in Illinois; Gadsden center in Alabama; Glenmont and Delaware Valley centers in New York; Little Rock center in Arkansas; Treasure Island center in California; and Red Rock center in Pennsylvania. All Job Corps Centers are operated under Federal Job Corps policies and these policies are available to the public and can be downloaded from the following site: http://www.jobcorps.gov/Libraries/pdf/prh.sflb B. Objective Adams is soliciting proposals for the development of a major training program to support the management and leadership performance, growth and development of its employees. The contents of the training program must be company specific and incorporate any Job Corps requirements that maybe necessary. Example of training topics includes the following: Executive/Advanced Management Training components: • Job Corps & Company Overview • Effective staff management, Company HR policies & procedures • Finance & Administration • Social Development • Education & Training • Performance and case management New/Entry-Level Management Training components: • Communication - verbal and written • Time management • Meeting facilitation • Staff motivation • Staff discipline • Management ethics • Teamwork • Interviewing/Hiring skills • Evaluating for quality services • Managing staff to achieve measurable outcomes • Having difficult conversations The project outlined in this RFP is intended to accomplish the following objectives: 1. Develop a training program for new/entry-level management staff that teaches the core management and leadership skills necessary for success. 2. Develop an advanced training program for executive-level management staff that teaches the advanced management and leadership skills necessary for success. 3. Develop and administer a train-the-trainer program so identified Adams staff can teach both the entry and executive levels of the course. C. Proposal Content The Subcontractor must include in their proposal details on how they will develop the deliverables listed below: Proposal details should be formatted in the same order as they appear below and must reference Solicitation Number: AA-EDTP 072013 I. Executive Development Training Program: a. Provide a description of the training modules that will be taught. This information should be presented in two sections: new/entry-level management training; and, executive/advanced management training. b. Describe the delivery of module content. A diverse delivery approach, to include lecture, exercises, role-play, etc. is desired and expected. c. Best practices, examples and discussions should be integrated into the training content. d. It is preferable if the training modules within each section can be presented independently or in conjunction with each other. Flexibility is desired. e. A combination of face-to-face and remote training is desired. f. Each training module should include a mechanism to test/validate the trainee's competency and understanding of the content. This can include individual or group projects that can be completed during the training or as follow-up assignment. g. Each training module should include an evaluation so feedback can be provided to ensure the training meets participant's needs. h. Each component of the training program should be able to be completed within three months. II. Train-the-Trainer Program a. Provide a description of the training modules that will be taught. b. Describe the delivery of module content. c. It is anticipated that this training will be conducted face-to-face and will not exceed 40 hours in duration. d. It is anticipated this training will occur on-site at Adams' Columbia, MD office. III. Past Experience a. A list of past experiences relative to this project b. Client references, including any applicable to this project c. Resume of key staff involved in the development and/or delivery of this project d. Other qualifications IV. Schedule a. Subcontractor will provide the anticipated date of completion and delivery of the Executive Development Training Program. b. Subcontractor will provide the anticipated date for conducting the Train-the-Trainer Program. c. All components must be completed by 11-15-2013. V. Cost Proposal a. Cost information must be presented as requested in Section D. VI. Acknowledgement of Terms Subcontractor will include in their proposal a provision that acknowledges the Terms and Conditions listed in Section J and their agreement to these Terms and Conditions. D. Cost Cost proposals must include all cost associated with the development of the work described in the Section C., Proposal Content. Adams current practice is to make payment upon completion of project within 30 days of an approved invoice. Any deviation to this practice must be detailed in the cost proposal. I. Cost of the development of the Executive Development Training Program a. Include the individual cost for the development of each training module b. Include sub-total costs for each section II. Cost of the development of the Train-the-Trainer Program a. This cost should include any related materials and supplies b. This cost should include any related travel expenses Adams will select the proposal that provides the best value. If all else is evaluated as equal, low bid will be selected. E. Evaluation Proposals will be evaluated using the following criteria: Evaluation Criteria Point Value TECHNICAL 25 QUALITY/CONTENT 25 PAST PERFORMANCE 10 SCHEDULE 10 PRICE 30 TOTAL POINTS 100 If it is determined that an oral presentation is required for offerors determined to be in the competitive range, such information shall be evaluated based on the following points: Additional Evaluation Category Points Possible Understanding of the Work and Unique Characteristics of the Subcontract 20 Maximum Possible Points 120 F. Oral Presentation Adams will establish a competitive range when evaluating proposals. Award may be made on the basis of initial proposals, without discussions. In the event that Adams determines that discussions with offerors are necessary, offerors determined to be within the competitive range may be required to make an oral presentation. The oral presentation will be between 30 and 60 minutes in length and will be held at Adams' Columbia, Maryland office. Upon completion of the presentation, Adams will have an opportunity to ask for clarification on any information provided in the presentation, this process will not exceed 30 minutes. Offeror will provide 3 sets of hardcopies of any electronic visuals presented. The oral presentation team must include the offeror's proposed Lead Project Manager for this project. The oral presentation will describe: • How offeror will develop, presente and manage the Executive Development Training Program. • A sample training presentation. (Offeror will choose one of the topics listed under "New/Entry-Level Training Components in Section B) • Offeror's capabilities, resources and experience to successfully complete this project G. Point of Contact: The point of contact for this project is Greg Weber, Associate Vice President for Operations. H. Pre-Proposal Conference Adams will conduct a pre-proposal conference on Wednesday, July 24, 2013 from 10:00 am-1:30pm to review the RFP, provide available material, information, sample Center and Corporate Organization Charts, Facility layouts, etc. The Pre-Proposal conference will be held at Adams and Associates, Inc. 10400 Little Patuxent Parkway Suite 320 Columbia, Maryland 21044 Bidders must attend this pre-proposal conference. All firms attending must register (a maximum of three people) by e-mailing Greg Weber at gweber@adamsaai.com by July 22, 2013. After the pre-proposal conference, bidders will have 10 days to submit in writing requests for clarification, which will be answered and distributed to all bidders. I. Submission All proposals must be received by Adams on or before COB, 5:00PM EST, August 16, 2013 with the goal of awarding the contract by September 6, 2013. Terms and Conditions 1. Assignment of Copyright: Adams shall own, solely and exclusively, the copyright and all copyright rights to any written or otherwise copyrightable material delivered under this Agreement except as defined and accepted by Adams during the work. 2. Confidentiality: The consultant shall use his or her best efforts to keep confidential any information or material developed through this project until the information or material is used for the purposes of the project. 3. Indemnification: The consultant will agree to indemnify, defend, and hold harmless Adams and its affiliates from and against any loss, cost, liability, claim, expense, injury or harm suffered by Adams by reason of the acts or omissions of the consultant. Termination. Each party shall have the right at any time, with or without cause, to terminate Agreement upon thirty (30) days' prior written notice to the other. Company shall have the further right to terminate this Agreement, at any time without prior notice, if Consultant fails to perform to Company's satisfaction any service requested by Company hereunder; or otherwise engages in conduct which Company, in its sole and absolute discretion, determine to adversely affect either the reputation of Company or its ability to conduct its business. 4. Standard of Performance: Consultant warrants that it has the special skill and professional competence, expertise, and experience to undertake the obligations imposed by this Agreement. Consultant agrees that it will perform in a diligent, efficient, competent, and skillful manner commensurate with the highest standards of its profession, and that it will devote such time as is necessary to perform the services undertaken pursuant to this Agreement. 5. Conflicts of interest: Consultant warrants and represents that it is not presently subject to any agreement with a competitor or potential competitor of Adams and Associates, Inc., or any other contract, oral or written, that will prevent it from performing in full accord with this Agreement. The parties agree that the Consultant shall be free to accept other non-conflicting work during the term hereof. 6. Compliance: Consultant agrees to maintain all licenses, permits certifications and insurance documents required by USDOL, State and local regulatory agencies and laws or ordinances. Consultant agrees to provide current copies to the Company as required. 7. The Company reserves the right to request the replacement or dismissal of any Consultant employee assigned to the subcontract without cause. 8. Arbitration: To ensure rapid and economical resolution of any and all disputes directly or indirectly arising out of or in any way connected with the Agreement and Consultant agrees that any and all disputes, whether of law or any nature whatsoever, shall be resolved by final and binding arbitration held in Reno, Nevada under the procedures set forth in the existing American Arbitration Association ("AAA") arbitration procedures. Company and Consultant acknowledge and agree that any and all rights they may otherwise have to resolve such arbitrable claims by jury trial, by a court, or in any forum other than the AAA are hereby expressly waived. 9. A subcontract shall not be deemed to create any partnership, joint venture or enterprise, or employment relationship between the parties. Under the Agreement, Subcontractor employees providing services for the Company shall be employees of the Subcontractor and not employees or agents of the Company or the USDOL. The Subcontractor shall be responsible for payment of all applicable salaries, fringe benefits and associated payroll taxes for its employees as mandated by Federal and State laws and regulations. 10. Duplication of Effort: The Subcontractor hereby certifies that costs of work to be performed under the subcontract and any subcontract thereunder is not duplicative of any costs charged against any other Government contract, subcontract, or other Government source. 11. Cancellation: Breach of subcontract terms or violations such as Subcontractor misconduct, code of ethics or integrity violations and/or violations of Federal, State and/or Municipal law may result in immediate termination of the Subcontract without written notice. 12. No Acts Against Goodwill: The parties agree that they will not say or do anything intended to harm the goodwill or business reputation of the Company and/or the Subcontractor or anyone affiliated with the Company and/or the Subcontractor. The Company and/or the Subcontractor may, in addition to other available remedies, seek injunctive relief to enforce this provision. 13. Attorney's Fees: In the event suit is brought to enforce or interpret any part of the Agreement, the prevailing party shall be entitled to recover as an element of the costs of suit, and not as damages, reasonable attorney's fees to be fixed by the Court. 14. Waiver, Modification, and Amendment: No provision of the Agreement may be waived unless in writing, signed by all of the parties hereto. Waiver of any one provision of the Agreement shall not be deemed to be a waiver of any other provision. The Company, without invalidating the subcontract, may order changes in the work consisting of additions, deletions, or modifications, the subcontract sum and the subcontract time being adjusted accordingly. All such changes in the work shall be authorized only by written change order signed by both parties to this agreement: the Company President and the Subcontractor. 15. Assignment: Neither the Agreement nor any duties or obligations thereunder shall be assigned or transferred by Subcontractor without the prior written approval of Company. 16. Partial Invalidity: If any provision of the Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions shall nevertheless continue in full force without being impaired or invalidated in any manner. 17. Entire Agreement: The Agreement contains the entire agreement and understanding of the parties with respect to the subject matter hereof, and supersedes and replaces any and all prior discussions, representations, and understandings, whether oral or written. H. General Conditions Adams is issuing this RFP for evaluation purposes and to solicit proposals and reserves the right to abandon and terminate this project without obligation at any time. Adams further reserves the right to include additional steps in the selection process and to negotiate terms and conditions with prospective vendors without any obligation to any other candidate. THIS REQUEST FOR PROPOSAL IS NOT AN OFFER SOLICITING ACCEPTANCE IN ORDER TO CREATE A CONTRACTUAL OBLIGATION. IT IS DELIVERED TO YOU AS A PROPOSAL CANDIDATE ONLY TO SOLICIT A RESPONSE FROM WHICH FURTHER NEGOTIATIONS MIGHT OCCUR. UNDER NO CIRCUMSTANCES WILL A BINDING CONTRACTUAL OBLIGATION RESULT ABSENT EXECUTION BY ADAMS OF A DULY EXECUTED WRITEN AGREEMENT.
