DETERMINATION AND FINDINGS Attachment 2: Request for Sole Source Memo Format DEPARTMENT OF VETERANS AFFAIRS Justification and Approval For Other Than Full and Open Competition 1.Contracting Activity: Department of Veterans Affairs, VISN 11, John D. Dingell VA Medical Center Organizational activity responsible for the proposed contracting action: Purchase of telemetry system. Justification for Other Than Full and Open Competition: DSI is the only company within the USA that provides equipment and supplies for small rodent telemetry (monitoring of biopotential signals such as nerve activity, EEG, EMG, blood pressure, ECG ). Purchase request number: 553-13-3-244-1008 2.Nature and/or Description of the Action Being Processed: This is a new contract (purchase QUOTE -24895-R2F4) for an upgrade to our existing telemetry system that is greater than 10 years old. The contract involves purchase of new equipment for nerve telemetry, a capability that does not presently exist with the current system). Data Sciences International (hereafter DSI) 119-14th Street NW, St Paul, MN 55112. 3.Description of Supplies/Services Required to Meet the Agency's Needs: This telemetry equipment and all its supporting materials (transmitters, receivers, computers and data acquisition and analysis software) plus refurbishment in case of malfunction totals $35900.00. Delivery is anticipated to be no later than 4 weeks after approval from the VA. It is hoped that the actual delivery will not be later than August 15, 2013. The system will function as for research in neuro-cardiovascular and respiratory research from the time of set up through the duration of research on Merit and RR&D grants of the PIs (Drs. Kuhn [2015], Mateika [2014], and Rossi [2016]) as specified. It is anticipated that the upgrade will also permit the PIs to be more competitive for continued funding beyond their current cycles. 4.Statutory Authority Permitting Other than Full and Open Competition: (x) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements per FAR 6.302-1; ( ) (2) Unusual and Compelling Urgency per FAR 6.302-2; ( ) (3) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert Services per FAR 6.302-3; ( ) (4) International Agreement per FAR 6.302-4 ( ) (5) Authorized or Required by Statute FAR 6.302-5; ( ) (6) National Security per FAR 6.302-6; ( ) (7) Public Interest per FAR 6.302-7; 5.Demonstration that the Contractor's Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): a. Only One Responsible Source The DSI nerve telemetry system is a major system for acquisition of real time nerve activities in freely moving rodents within their home cages. Conscious nerve activities of this nature are published by only a few investigators nationally and internationally. Due to the unique number of investigators with skills in this area, the market for more than one USA company to make these devices is highly limited. Telemetric nerve recordings are even more highly specialized. Within the USA, DSI is the only company that makes nerve recording transmitters and the system to support the data recording, acquisition and analysis. The only other company that makes nerve telemetry equipment is located in New Zealand (Telemetry Research, Inc. [TRI]). Several disadvantages apply to TRI at this juncture: (a) Since TRI is outside the USA, accordingly, DSI is the only firm capable of providing the supplies and services described in Section III above without the Veteran's Health Administration experiencing unacceptable delays in fulfilling its requirements," there are unacceptable delays in supplying the equipment and providing timely repair. (b) The TRI system does not interface with our current telemetry system which is from DSI (purchased in 2002) and so only the DSI system can interface and provide the needed upgrade to our current system. Accordingly, DSI is the only firm capable of providing the supplies and services described in Section III above without the Veteran's Health Administration experiencing substantial duplication of cost that could not be expected to be recovered through competition since there would be the additional and substantial cost of obtaining a whole new infrastructure with which the new upgrade would need to be interfaced. 6.Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: Only two sources exist worldwide for small rodent telemetry (DSI and TRI). Only DSI is in the USA. 7.Determination by the Contracting Officer that the Anticipated Cost to the Government will be Fair and Reasonable: The anticipated cost will be fair and reasonable. The final contract price will be fair and reasonable. The items listed in the quotation are offered at the DSI lowest discount that is offered to universities and government institutions. $35,900.00 8.Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: As noted above only two sources of rodent telemetry exist worldwide. Only one is located within the USA. 9.Any Other Facts Supporting the Use of Other than Full and Open Competition: None 10.Listing of Sources that Expressed, in Writing, an Interest in the Acquisition: See Section VI above. 11.A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required: At this point, no actions are planned to remove the barrier to competition. The only solutions would be for (a) the international company (Telemetry Research, Inc.) to locate within the USA or (b) another new company to start up making a competing system. Even if (a) did occur, we have used their system and have found it unacceptable with incision breakdown (due to heating of the implanted transmitter) and quality issues that required overseas shipments with less than satisfactory results in refurbishment (the transmitters were not functional even with repair).
