JUSTIFICATION & APPROVALS FOR FAR SUBPART 16.5 ACQUISITIONS EXCEPTION TO FAIR OPPORTUNITY Multiple Award Schedule (MAS)/ Multiple Award Contract (MAC) Orders under MAC/ Fair Opportunity - FAR 16.505, DFARS 216.505-70, PGI 216.505-70 Purchase Request Number: 38007-21 Contract Number: HC1028-12-D-0024 Task/Delivery Order Number: N/A Procurement Title: Key Management Infrastructure (KMI) Test and Evaluation (T&E) Contracting Office: Defense Information Technology Contracting Organization (DITCO)/PL8315 Estimated Value: $649,473.77 Authority: FAR 16.505(b)(2)(i)C JUSTIFICATION FOR AN EXCEPTION TO FAIR OPPORTUNITY Upon the basis of the following justification, I as the Contracting Officer hereby approve this exception to fair opportunity pursuant to the authority of FAR 16.505(b)(2)(i)(C). 1. REQUIRING AGENCY AND CONTRACTING OFFICE: Requiring agency: Joint Interoperability Test Command (JITC), 2001 Brainard Road, Building 57305, Fort Huachuca, AZ 85670 Contracting Office: Defense Information Systems Agency (DISA)/DITCO Scott, Services and Support Branch (PL831), JITC Support Section (PL8315), 2001 Brainard Road, Building 57305, Fort Huachuca, AZ 85670 2. NATURE/DESCRIPTION OF ACTION(S): This sole source will be a new Cost Plus Fixed Fee task order using Research Development Test & Evaluation (RDT&E) type funding. The period of performance will be a 5 ½ month base period with no options to provide support pending the completion of proposal evaluations and award of competitive Request for Proposal (RFP) 38007-20 currently in process. This will allow JITC to meet its mission of providing critical test support of the KMI program. KMI provides secure ordering, generation, production, distribution, management, and auditing of cryptographic products to the communications security community. It is a Department of Defense (DoD) initiative that includes the armed services, federal and local agencies, and government contractors in support of cryptographic modernization objectives and the Global Information Grid Information Assurance (IA) Strategy. 3. DESCRIPTION OF SUPPLIES/SERVICES: The current KMI CI-2 Spiral 2 test schedule includes (IA and interoperability testing will be embedded in Developmental Test (DT) and Operational Test (OT) efforts): Spin 1 DT&E1 (conducted in the developer's environment): October 2013 Spin 1 DT&E2 (conducted on the Spiral 2 Test Infrastructure (TI)): February 2014 Testing support for the above events will include the following: • Lead OT Analyst responsible for working with the Operational Division's Operational Evaluation Cell to develop the program's evaluation framework [Critical Operational Issues (COIs), Measures of Effectiveness (MOEs), Measures of Suitability (MOSs), Measures of Performance (MOPs) and Measures of System Attributes (MOSAs)]; Design of Experiment/Science Based Test Design (DOE/SBTD) strategy, and Data Source Matrix (DSM). The OT Analyst will be required to submit the evaluation strategy to the OEC for review and approval. All efforts will apply the policies, guidelines and procedures defined within the JITC OT&E Guidebook (https://east.esps.disa.mil/disa/org/JT1/default.aspx) to include the use of relevant JITC OT&E document template formats. In the case where the guidance is unclear or new guidance contradicts the guidebook or the templates, work with the Policy Cell for resolution. • Lead DT Analyst (IA) responsible for ensuring planning, execution, reporting, and resourcing are adequate to evaluate capabilities, identify limitations/design risks, verify the system meets all technical requirements, and certify system readiness for operational testing. All efforts will follow the guidelines in the Defense Acquisition Guidebook and apply the tenets in the Deputy Assistant Secretary of Defense (DASD) DT&E Test and Evaluation Master Plan (TEMP) checklist. • Lead Interoperability Analyst responsible for assessing, testing, evaluating, and certifying KMI CI-2 Spiral 2 for interoperability. All efforts will adhere to DoD interoperability and net-centricity policies and the JITC T&E and certification processes. • Lead IA Analyst responsible for working with the JT1 4. SUPPORTING RATIONALE, INCLUDING A DEMONSTRATION THAT THE PROPOSED CONTRACTOR'S UNIQUE QUALIFICATIONS OR THE NATURE OF THE ACQUISITION REQUIRES USE OF AN EXCEPTION TO FAIR OPPORTUNITY: (16.505(b)(2)(ii)(B)(4). (a) Exception to Fair Opportunity. The following exception apply to exception to fair opportunity accomplished IAW 16.505. Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized. (b) Justification. TASC has been supporting this effort for the last three years. During the past three years, their personnel have obtained the expertise and knowledge on the services needed to accomplish this requirement. Their intimate knowledge of the current KMI test schedule is for contractor support to be fully trained with TS/SCI C-I polygraph access, as well as NSANet and SIPRNet system accesses in place for Spin 1 Release 3 User Test Aug 12-16, 2013 followed by Spin 1 Release 4 User Test occurring Oct 14-18, 2013. Without the appropriate security clearances required, the contractor will not be able to gain access to the required facilities or systems to properly monitor testing and collect data. Training another contractor under a new task could occur within 30 days, but obtaining the required level of clearance can take up to 18 months. With proposal evaluations currently ongoing, it is not expected that a new award will be ready to be executed until REMOVED. This would incur two to three months of delay in testing of the KMI Release capabilities, which in turn would cause two to three months of delay in fielding new KMI capability. The contractor, as the current incumbent supporting this testing, has fully trained subject matter experts with the required communications security and electronic key management capabilities, as well as required clearances and system accesses to be ready to support the upcoming testing schedules with no delay. Award to another source at this time would result in a duplication of costs in the amount of REMOVED that would not be expected to be recovered during the period of performance proposed and would result in an unacceptable break in service. The DITCO-Scott, Services and Support Branch, JITC Support Section, has conducted a full and open competition on Request for Proposal (RFP) 38007-20. The proposal evaluations and award of competitive RFP is currently in process. 5. COST/PRICE FAIR AND REASONABLE DETERMINATION: Rates have been established with the basic contract. All rates set forth in the contract, and used on individual task orders, were based on full and open competition and a price analysis was accomplished. Proposed task order rates and loadings will be compared with the basic contract rates and loadings and verified as fair and reasonable. The total estimated value for this requirement is $649,473.77 (Total estimated value, including options.) 6. MARKET RESEARCH: The current market environment reveals that no other vendor could perform JITC's full-range of test, evaluation, and certification services without substantial duplication of costs and unacceptable delays in fulfilling JITC's mission. Award to another source at this time would result in a duplication of costs in the amount of REMOVED that would not be expected to be recovered during the period of performance proposed and would result in an unacceptable break in service. The government estimate is based on the number of government full-time equivalents and number of business days/hours required prior to award of the competitive task order in process. The incumbent contractor has the infrastructure, resources, expertise, and security clearances in place to provide immediate support without the risk of an unacceptable break in service. The follow-on competitive task order was competed with all 6 contractors under the Test & Evaluation Mission Support Services IDIQ contract and is currently in the proposal evaluation phase. 7. ANY OTHER SUPPORTING FACTS: Not applicable 8. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS THAT LED TO THE EXCEPTION TO FAIR OPPORTUNITY: (a) Procurement History. Fair Opportunity was given to the three JITC Omnibus multiple-award contractors: (a) TASC-N (NBCHC020001); (b) TASC-M (NBCHC020002); and (c) Interop Joint Venture (IJV) (NBCHC020003) during May 2010, May 2011, and Mar 2012. Each competitive award resulted in awarding the following tasks to TASC-N: 1. NBCHC020001 (Bridge I), Task #38007 -12 (Aug 1, 2010 - Aug 30, 2011) - $2,085,061.94 2. NBCHC020001 (Bridge II), Task #38007 -15 (Aug 1, 2011 - Aug 30, 2012) - $662,187.99 3. NBCHC020001 (Bridge III), Task #38007 -18 (Aug 1, 2012 - Aug 15, 2013) - $51,233.38 b) The DITCO-Scott, Services and Support Branch, JITC Support Section, has conducted a full and open competition to award a one-year base task order with 4 one-year option periods and is currently in the proposal evaluation Phase. By awarding a sole source to extend the task for six months, it will allow the necessary time to complete the mission of the task, avoid duplication of costs and unacceptable delays in fulfilling KMI's test schedules. 9. REFERENCE TO THE APPROVED ACQUISITION PLAN (AP): An acquisition plan is not required for this effort.
