Description
This is a market research tool to determine the availability of sources prior to RFP. This announcement is for information and planning purposes only and is not to be construed as a commitment by the USPFO RI, implied or otherwise to issue a solicitation or ultimately award a contract. An award will not be made on the offers received in response to this notice. The Government is not responsible for the cost associated with any effort expended in responding to this notice. All small businesses and large businesses are encouraged to respond. Upon review of the industry responses to this Sources Sought Notice, the Government will determine whether a set-aside acquisition in lieu of a full and open competition is in the Government's best interest. No reimbursement will be made for any costs associated with providing information in response to this announcement or any follow-up information requests. Statement of Capabilities Submittal requirement: The Statement of Capability (SOC) will dtermine the feasibility and/or basis for the Government's decision to proceed with acquisition. Interested firms must submit a SOC, which describes in detail the firm's capability of providing the work described in the SAMPLE Statement of Work. Your SOC shall include the following: (1) full name and address of the firm; (2) name of two prinicipals (including title, phone numbers); (3) copy of any certifications (if 8(a) certified, provide the SBA Business Opportunity Specialist name and phone number assigned); HUB Zone certification, Women Owned Small Business (WOSB) status, and SDVOSB status or Small Business status; (4) DUNS number and CAGE Code; (5) provide information on two (2) similar recent past projects that best illustrate your qualifications for this contract. There is no guarantee that the Government will pursue a solicitation for any of the requirements identified in the future. SAMPLE Statement of Work 1. Request for Proposals: Written proposals are requested from interested publishers who desire to compete for the opportunity to produce the Rhode Island National Guard Quarterly Magazine for distribution through office channels at the U.S. Property and Fiscal Office for Rhode Island (USPFO for RI), Providence and supporting areas. The terms of the agreement will be for a base of two (2) years with options for three (3) additional years. 2. Civilian Enterprise (CE) Publications A. Civilian Enterprise (CE) Publications consist of DOD newspapers, guides and installation maps. They support command internal communications. The Adjutant General or his representative provides oversight and final approval authority for the news and editorial content of the publication. A Civilian Enterprise installation magazine is published under written contract with civilian concern exclusively in the interest of personnel at a particular installation at no cost to the United States Government. CE sell advertising to cover costs and secure earnings, print publications, and may make or part of the distribution. Neither appropriated nor nonappropriated funds shall be used to pay for any part of a CE publisher's costs incurred in publishing a CE publication. B. The Adjutant General or Public Affairs Office provides oversight and final approval authority for the news and editorial content of the magazine. Authorized news and information sources include the Office of the Assistant to the Secretary of Defense for Public Affairs (OASD (PA)), AFIS, the Military Departments, their subordinate levels of command, and other Government Agencies. CE contractor personnel may provide material for use in the magazine if approved by the Adjutant or the Public Affairs Officer. The magazines become property of the command, installation, or intended receipt upon delivery in accordance of this contract. C. The USPFO for RI, Providence, RI is an element of the United States Government. Civilian Enterprise Magazine publishing is authorized under the provisions of DoD Instructions 5120.4 as an exception to the Government Printing and Binding Regulations published by the Congressional Joint Committee on Printing. Although this requirement is not subject to the Federal Acquisition Regulations (FAR) or Defense FAR Supplement (DFARS), FAR clauses useful in protecting the Interests of the Government and implementing those provisions required by law will be included herein. 3. Statement of Work The following are the minimum requirements that must be met by perspective publishers. Any service support or support offered beyond these minimums will be evaluated on a competitive basis by the source evaluation board to determine which offer is in the best interests of the Government. 4. Publication Content a. For and in consideration of the mutual promises of, and mutual benefits derived by, the parties hereto, this contract is made and entered into by and between the contracting officer, USPFO, RI and the publishing company. b. This contract provides for the publisher to produce a quarterly news magazine, hereafter known as The Ocean State Guardian, the magazine of the Rhode Island Army and Air National Guard (until such time as it may be changed or modified by mutual consent.) c. The publication will be CE (Civilian enterprise) product published to provide RING employees, RI Military Department employees, centers of influence, high schools and colleges about the missions of the command and organization - its operations and activities; command, installation or community service available; local geography, history; career opportunities and related information. This publication is subject to State of Rhode Island publishing requirements; and Department of Defense Instruction 5120.4; and the regulations, instructions, and references incorporated therein, and to the conditions and agreements as contained herein. d. The publisher agrees to use the name of the publication resulting from this agreement shall be the Ocean State Guardian, the magazine of the Rhode Island Army and Air National Guard. Said name shall remain the property of the Adjutant General and shall not be subject to registration as a trademark or copyright of the publisher. The use of said name on loan to the publisher shall be for his/her exclusive use and has no authority to permit or authorize other firms or individuals to use said name. The publisher further agrees not to contest ownership by the Government of the name or to make any use directly or indirectly of the name or a name confusingly similar to that name during or subsequent to the term of the contract. e. The masthead shall include the following disclaimer in type not smaller than six point font: 1. quote mark Published by _______________, a private firm in no way connected to the Rhode Island National Guard/Military Department. The Public Affairs Officer must approve all other editorial material, including information about the local area and state. g. Copyrights. The Contractor shall make every effort to ensure that copyright and libel laws are not violated and that the spirit of DOD 5500.7-R and AR 360-81 are maintained. The Contractor is responsible for ensuring that written permission to publish all copyrighted, syndicated or wire material shall be on file at the Public Affairs Office and the Contractor's office before publication. h. No opinion poll, survey, or straw vote on political campaigns, candidates or issues shall be conducted for publication in the Magazine. The Magazine shall not contain political campaigns news, editorials, cartoons or other items which are partisan in nature and not within the mission of the organization and its command information objectives. The magazine shall not carry partisan political advertising or advertising which is political in nature and not pertinent to the mission of the Rhode Island National Guard and its command information objectives as determined by the Government. The Commander reserves the right to prohibit the distribution of the magazine when, as determined by the Public Affairs Office, the magazine includes prohibited political advertising. 5. Public Affairs Requirements. The Public Affairs Office shall: a. Furnish or approve all editorial materials, headlines, cut lines, photographs, graphics, and line art for use in the publication. The Public Affairs Officer assumes responsibility for the security and accuracy of content provided. b. Guarantee non-exclusive use of images and editorial content for first publication and distribution and distribution rights of the editorial content in the publication. c. Specify design and layout of editorial content and may specify advertising layout to enhance communications effectiveness of the publication. d. Review advertisements prior to publication to identify any that are contrary to law, or State of RI, DOD, or National Guard directives. e. Be responsible for final proofreading of al material, checking for accuracy and security of content. f. The RING Public Affairs Office in conjunction with the RING Editorial Board shall provide oversight and final approving authority for news, information, photographs, editorials, and other materials to be used in this DOD publication. Commercial news and opinion sources, such as, AP, UPI, New York Times, etc., are not authorized for use in DOD newspapers except as stated in DOD Instruction 5120.4. 6. Publisher Requirements. The publisher shall: a. Comply with provisions of State of RI requirements, DoD 5120.4, National Guard Public Affairs directives, and the provisions and requirements as contained herein. b. Use only editorial material, photographs and art provided by the Public Affairs Office. c. Furnish the Public Affairs Office galley proofs of all editorial copy to be used in the publications not later than 45 days before publication. d. Furnish the Public Affairs Office galley proofs of all advertising to be used in the publications not later than 45 days prior to publication. Public Affairs will purge any advertisement that may be offensive to the RI National Guard, Military Department, its employees, or its members. e. Be responsible for the make up of each page, subject to the Public Affairs Officer's approval. f. Solicit all advertising and ensure that prospective advertisers are made aware that the directory is an unofficial publication. g. Use color in accordance with appropriate publishing industry standards and specifications. h. The publisher shall provide color reproduction of photographs and artwork throughout the publication. i. The outside back cover, inside front cover and the inside back cover of the magazine may be sold for advertising; if not sold, a color photograph provided by the RING Public Affairs Office may be used. j. Selected artwork and logos will be printed in full color. 7. Specific Requirements of the Magazine a. The magazine will contain a minimum of 16 pages and a maximum of 30 pages for editorial content, saddle-stitched construction and shall be published quarterly. b. The quarterly magazine will be published in the fall, winter, spring and summer. All copies will be delivered within 3 weeks of final product submission by the Rhode Island National Guard. The quantity published shall be a maximum of 5,000 copies. c. The size of the publication shall be 10 inches long by 8 inches wide printed on 80 pound gloss stock or better. The cover stock may be the same as the editorial pages. d. The Magazine shall not exceed 50% devoted to advertising. e. The initial edition shall be issued February 2013; it will include a maximum run of 5,000 copies. The contractor will make every effort to work with the Public Affairs Office to issue the initial edition by February 2013. 8. Advertising: a. Neither the publisher nor his or her representatives shall solicit advertisements in the name of the State of Rhode Island, The RI Military Department, and the Rhode Island National Guard. Active duty military and civilian personnel are prohibited from soliciting, endorsing, or accepting payment for advertisements. b. The publisher shall not accept for publication advertisements that are worded or phrased to give the reader the impression the State of Rhode Island, RI Military Department, the RI National Guard, or any of its' divisions or special programs, in any way endorses, guarantees or sponsors any product or service. Advertising that discriminates or implies discrimination against any person because of race, religion, color, sex, national origin, age, marital status, physical handicap, political affiliation or any other non-merit factor of the purchaser, user or patron shall not be carried. If a violation or rejection of this equal opportunity policy by an advertiser is confirmed, the publisher shall refuse to print advertising from that source until the violation is corrected. Further, the publisher shall not accept for publication advertisements that encourage, support, sustain, or otherwise glamorize the use of tobacco, alcohol, or liquor; or, other products that relate to obviously unhealthy lifestyles. c. The publisher shall not enter into exclusive advertising agreements with any firm, broker or individual. d. Under no conditions shall business establishment listed by the Rhode Island National Guard as quote mark off limits quote mark advertise in the magazine. e. Advertisements offering credit terms must carry a clear statement of the total cash price as well as the total credit costs, including all charges. If payments are shown, the number, amount of each, and the time period shall also be shown. These shall be shown clearly in the advertisements in type no smaller than 6 point. 9. Cost: a. All proceeds from the sale and advertisements for the magazine belong to the publisher, who agrees to look exclusively to such advertising sales for all publishing costs and profits, if any. b. The publisher agrees to bear all costs and expenses of publishing the magazine. It is expressly agreed that neither the State of Rhode Island, the United States, the Adjutant General, or his representatives and successors, nor the RI Military Department shall be liable for any expenses or obligations incurred in publishing and any of these publications. c. No appropriated funds of the State of Rhode Island or the United States shall become due or paid to the publisher by reason of this contract. d. The publisher shall not be required to pay money to the Rhode Island Military Department or to provide goods, services or considerations not directly related to publishing the magazine. 10. Publication and Distribution: a. The magazine shall be published quarterly with 5000 copies furnished. The Contracting Officer may change the number of copies to be furnished when necessitated by significant increases or decreases of military and civilian personnel at the RI Military Department. b. The published copies of the magazine become the property of the RI Military Department upon delivery at the Joint Force Headquarters - RI. c. The publisher shall make distribution of the magazine to the RI JFHQ-PA. The contractor shall distribute not less than 3,000 but not more than 5,000 copies as mutually agreed upon by the Adjutant General and the contractor. The publisher may provide a copy of each publication to an advertiser whose advertisements are carried therein. And retain 250 for marketing purposes. 11. Contract Terms: a.This contract, unless sooner terminated as herein provided, shall run for a period up to two years commencing in February 2013. This contract may be extended by mutual agreement on 1-year basis for a total period not to exceed 5 years. The first issue of the magazine shall commence by February 2013. The cycle listed in paragraph 7b will take place after the initial edition. b. The contracting officer, by written notice, may terminate this contract, in whole or in part, if the service contracted for is no longer required by the government, or when it is the government's interest, such as with installation closures. Any such termination shall be at no cost to the government. QASP QUALITY SURVEILLANCE PLAN QUALITY ASSURANCE SURVEILLANCE PLAN FOR OCEAN STATE GUARDIAN MAGAZINE COMMERICIAL ENTERPRISE (CE) MAGAZINE Rhode Island National Guard 19 Dec 2012 QUALITY ASSURANCE SURVEILLANCE PLAN FOR THE OCEAN STATE GUARDIAN MAGAZINE COMMERICIAL ENTERPRISE MAGAZINE INTRODUCTION This Quality Assurance Surveillance Plan (QASP) has been developed to provide the Quality Assurance Evaluator (QAE) an effective and systematic surveillance method for the performance of listed services in the Statement of Work for the Ocean State Guardian Magazine commercial enterprise magazine. Any non-conformance with contract requirements is a quote mark defect quote mark. The term quote mark defective quote mark is used in reference to a service output that does not meet the Statement of Work requirements. The QASP provides a systematic method to evaluate the services the contractor is required to furnish and not the details of how the contractor accomplishes the work. This surveillance serves as an indication that certain specifications of the contract are being met and does not excuse by exclusion any specification contained in the Statement of Work of the CE magazine contract. This QASP is based on the premise that the contractor, and not the government, is responsible for management and quality control actions to meet the terms of the contract. Good management and use of an adequate quality control plan will allow the contractor to operate within specified performance requirements. QAEs are to be objective, fair, and consistent in evaluating contractor performance against the standards. SURVEILLANCE METHOD The contract administrator will ensure the QAE has determined how the contractor performed during the quarter. Rhode Island National Guard Public Affairs personnel will serve as the QAE and complete a Magazine Evaluation Worksheet ten days following the publication and distribution of an issue of the Ocean State Guardian Magazine. The QAE will use the following certificate of performance statement: quote mark I certify the services have been received and were/were not acceptable on (day, month and year). The Rhode Island National Guard Public Affairs office will provide the contract administrator a copy of the Magazine Evaluation Worksheet with certificate of performance statement ten days following the publication and distribution of an issue of the Ocean State Guardian Magazine. HOW TO USE THE SURVEILLANCE PLAN The QAE will follow the surveillance method and procedures included in this document for each service mentioned on the quote mark Contract Performance Surveillance Summary. quote mark REVISIONS TO QASP. Revisions to this surveillance plan are the responsibility of the functional area chief and the administrative contracting officer. ADDENDUM TO FAR 52.212-4 ADDENDUM TO FAR 52.212-4 ATTACHMENT A-1 ADDENDUM TO FAR 52.212-4 CONTRACT TERMS AND CONDITIONS - COMMERCIAL ITEMS The following contract terms, conditions, and/or changes are hereby incorporated and made a part of this contract. 1. Changes to FAR clause 52.212-4, CONTRACT TERMS AND CONDITIONS -COMMERCIAL ITEMS: (A) Paragraph (l) Termination for the Government's Convenience, add the following: The Contracting Officer, by written notice, may terminate this contract, in whole or in part if the services contracted for are no longer required by the Government, or when it is in the Government's interest, such as with installation closures. Any such terminations shall be at no cost to the Government. (B) Paragraph (m) Termination for Cause, add the following: (a) The Government may, by written notice of default to the contractor, terminate this contract in whole or in part if the contractor fails to: (1) Deliver the commercial enterprise publications in quantities required or to perform the services within the time specified in this contract or by any extension. (2) Make progress; so as to endanger performance of this contract. (3) Perform any of the other provisions of this contract. (b) If the Government terminates this contract in whole or in part, it may acquire, under the terms and in the manner the Contracting Officer considers appropriate, supplies or services similar to those terminated. However, the contractor shall continue the work not terminated. (c) The rights and remedies of the government in this clause are in addition to any other rights and remedies provided by law or under this contract. (C) Paragraph (q) Other Compliances, add the following: NO COST AGREEMENT TERMS AND CONDITIONS 1. EFFECTIVE DATES: The contract is effective for a one year period as specified unless sooner terminated under the provisions of this contract. 2. STATUS OF CONTRACT CLAUSES: The United States Property and Fiscal Office (USPFO) Rhode Island (RI) is an element of the National Guard Bureau, Department of the Army and thereby the United States Government. This agreement is a United States Government contract authorized under the provisions of Department of the Defense Instruction 5120.4 as an exception to the Government Printing and Binding Regulations published by the Congressional Joint Committee on Printing. Although this contract is not subject to the Federal Acquisition Regulation (FAR) or Defense FAR Supplement (DFARS), FAR clauses useful in protecting the interests of the Government and implementing those provisions required by law are included in this contract. 3. OPTION CLAUSE: The Government may extend the term of this contract by written notice to the contractor within 30 calendar days from the date of contract expiration; provided that the Government shall give the contractor a preliminary written notice of its intent to exercise the option at least 60 days before the contract expires. The preliminary notice does not commit the Government to exercise the option. If the Government exercises this option, the extended contract shall be considered to include this option provision. The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years. 4. TERMS FOR TERMINATION: (a) This contract is subject to Army regulations and is intended to conform in all respects with the principles and policies of the Department of the Army or its agencies. When such a contract is in conflict with such regulations, principles, and/or policies, this contract is to be modified by the Contracting Officer to conform therewith. If the Contractor does not agree to such a provision, the contract shall be terminated. (b) Should the commander determine that an emergency exists, such as mobilization, or that situations demand such action, the publication can be suspended or the contract terminated upon written notice to the Contractor by the Contracting Officer. (c) Failure by the Contractor to comply with the terms of this contract shall be grounds for immediate termination for default by the Contracting Officer. (d) The Government may terminate this contract at any time for cause or other Department of Defense commitments. Written notice will be given by the Contracting Officer at least thirty (30) calendar days in advance unless an emergency situation exists as provided in para 4(b) above. The Contractor is responsible for reimbursement of fees paid for advertising not distributed. 5. AUTOMATIC RENEWAL: This contract may be renewed annually without re-solicitation and automatically, with the concurrence of both parties, provided all terms and conditions have been met. To effect renewal, a written modification will be issued by the Contracting Officer. Three renewals are permitted. In no case will renewals extend this contract beyond five (5) years from the date originally signed. 6. EXCLUSIVE ADVERTISING OR DEALING AGREEMENTS (a) The Contractor agrees not to enter into any exclusive advertising or dealing agreements with any firm, broker or individual for the purpose of selling advertising associated with this contract. (b) Exclusive advertising or dealing agreements are defined as those agreements between a printing contractor and a national advertising representative broker or individual. (c) An quote mark exclusive advertising or dealing quote mark agreement exists when this agreement restricts acceptance of advertising from other advertising sources or there is a commitment by a buyer to deal with a particular seller and the contract prevents other potential buyers from competing with the exclusive dealer. 1.TRANSITION PERIOD: Phase-Out. During the thirty (30) calendar day period immediately prior to the end of this contract, the incumbent contractor shall permit his successor and the successor's key personnel to observe and become familiar with any and all operations performed under this contract. Which shall begin on or before the final day of this contract. The contractor shall not defer any requirements for the purpose of avoiding responsibility and transferring such responsibility to the successor contractor or Government.
