Sole/Single Source Justification PRE-SOLICITATION NON-COMPETITIVE (NOTICE OF INTENT) SYNOPSIS INTRODUCTION THIS IS A PRE-SOLICITATION NON-COMPETITIVE (NOTICE OF INTENT) SYNOPSIS TO AWARD A CONTRACT OR PURCHASE ORDER WITHOUT PROVIDING FOR FULL OR OPEN COMPETITION (INCLUDING BRAND-NAME). The National Heart, Lung, and Blood Institute (NHLBI), Office of Acquisitions (OA) on behalf of the Division of Intramural Research (DIR) intends to negotiate and award a purchase order without providing for full and open competition (Including brand-name) to Coherent, Inc., 5100 Patrick Henry Drive for a Coherent Lasers Service Maintenance Agreement. NORTH AMERICAN INDUSTRY CLASSIFICATION SYSTEM (NAICS) CODE The intended procurement is classified under NAICS code 334413 with a Size Standard of 500 Employees. REGULATORY AUTHORITY The resultant contract will include all applicable provisions and clauses in effect through the Federal Acquisition Circular (FAC) 2005-71. This acquisition is conducted under the procedures as prescribed in FAR subpart 13-Simplified Acquisition Procedures at an amount not exceeding the simplified acquisition threshold ($150,000). STATUTORY AUTHORITY This acquisition is conducted under the authority of the Federal Acquisition Regulation (FAR) Part 13-Simplified Acquisition Procedures, Subpart 13.106-1 (b) (1), Soliciting from a single source and is not expected to exceed the simplified acquisition threshold. Contracts awarded using FAR Part 13-Simplified Acquisition Procedures are exempt from the requirements of FAR Part 6-Competition Requirements. DESCRIPTION OF REQUIREMENT Background The Light Microscopy Core provides state-of-the-art equipment, training, and image processing capabilities to assist researchers in experiments involving light microscopy. This facility contains a wide range of instruments that allows for most types of modern imaging techniques from basic wide-field imaging to very high spatial and temporal resolution imaging for fixed and live-cell imaging to imaging organs and tissues in vivo. It is imperative that these high-performance microscopes are regularly and carefully maintained to ensure consistent and accurate results in research. Purpose and Objectives The objective of this procurement is to provide a Service Maintenance Agreement that will support two NHLBI-DIR lasers (one Coherent Chameleon Vision II and one Chameleon Compact OPO) used for two-photon imaging. The SMA will cover parts, labor, and travel for maintaining these lasers. The need of a service agreement is valuable to the government to provide not only timely maintenance but also speedy repair, thus maximizing uptime and productivity and ensuring uninterrupted services to the users. Period of Performance A fixed-price purchase order for a one (1) year period of performance from the time of award. Project Description Independently, and not as an agent of the Government, the Contractor shall furnish all necessary labor, materials, supplies, equipment, and services (except as otherwise specified herein) to perform the work set forth below. All work under this contract shall be monitored by the Project Officer. The Contractor shall maintain the identified instruments in good, working condition according to the liking of the Project Officer throughout the life of the contract Government Responsibilities: The NHLBI will make a good faith effort to make The Equipment available and accessible to the Contractor, and to convey diagnostic and error messages to facilitate service. The NHLBI will make a good faith effort to operate the Equipment according to manufacturer specifications. Upon contractor completion of service and/or maintenance, the Project Officer will determine the technical adequacy of the work performed to ensure that contract standards and specifications are met. Reporting Requirements: The Contractor shall provide regular updates to the Project Officer on all maintenance work. Inspection and Acceptance: Inspection and acceptance shall be performed by the Project Officer or his appointee according to the discretion of the Project Officer. CONTRACTING WITHOUT PROVIDING FOR FULL OR OPEN COMPETITION (INCLUDING BRAND-NAME) DETERMINATION The determination by the Government to award a contract without providing for full and open competition is based upon the Sole/Single Source Justification that is attached to this Notice of Intent. Only Coherent has the proprietary knowledge to fix and maintain these lasers. The repair work for covered equipment shall only be performed by a Coherent factory certified Service Engineer. Coherent, Inc. is the sole manufacturer of the Chameleon laser and only Coherent certified Services Engineers service the equipment to ensure quality control in the repair process. There are no other companies that can provide this service as Coherent does not authorize service performed by 3rd party providers. Therefore this service maintenance agreement is to be purchased through Coherent as a sole source order. CLOSING STATEMENT This synopsis is not a request for competitive proposals. However, interested parties may identify their interest and capability to respond to this notice. Responses to this notice shall contain sufficient information to establish the interested parties' bona-fide capabilities for fulfilling the requirement and include: unit price, list price, shipping and handling costs, the delivery period after contract award, the prompt payment discount terms, the F.O.B. Point (Destination or Origin), the Dun & Bradstreet Number (DUNS), the Taxpayer Identification Number (TIN), and the certification of business size. All offerors must have an active registration in the System for Award Management (SAM) www.sam.gov." A determination by the Government not to compete this proposed contract based upon responses to this notice is solely within the discretion of the Government. The information received will normally be considered solely for the purposes of determining whether to proceed on a non-competitive basis or to conduct a competitive procurement. All responses must be received by 8:00 AM EASTERN TIME January 20, 2013 and must reference number NHLBI-CSB-HL-2014-22-JEF.
