This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. (ii) Solicitation number SECHQ114Q0042 is issued as a Request for Quotation(RFQ). (iii) Solicitation number SECHQ114Q0042 incorporated provisions and clauses are those in effect through Federal Acquisition Circular FAC 2005-72. (iv) Solicitation number SECHQ114Q0042 is a 100% Small Business set-aside. The associated North American Industry Classification System (NAICS) code is 541611 and the Small Business Size Standard is $14 Million. (v) Quoters shall provide labor categories and hourly rates for personnel needed to provide services in accordance with Attachment 1, Performance Work Statement, Equal Employment Opportunity Studies, Analyses and Solutions. Quoters shall also provide total cost and total estimated hours for personnel needed to provide services for Task Order 1 in accordance with Attachment 2, Performance Work Statement, Task Order 1, Workforce Barrier Analysis. This information will be used to issue a Firm Fixed-Price Task Order 1. Refer to Attachment 2, Performance Work Statement, Task Order 1, Workforce Barrier Analysis, section 1.4.1, for information regarding PII. The format for pricing is provided in Attachment 3, Pricing Schedule Format. (vi) Description of requirements for the items to be acquired: The Securities and Exchange Commission (SEC) intends to award a non-personal services Indefinite Delivery Indefinite Quantity (IDIQ) contract to provide Equal Employment Opportunity Studies, Analysis and Solutions in support of equal employment opportunities at the SEC. The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government. The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to complete and deliver the services as defined in accordance with Attachment 1, Performance Work Statement, Equal Employment Opportunity Studies, Analyses and Solutions and Attachment 2, Performance Work Statement, Task Order 1, Workforce Barrier Analysis. (vii) The anticipated contract's period of performance will be for one (1) year from date of award, with two (2) 1-year options. The anticipated Task Order 1's period of performance will be for 120 days, with four (4) 60-day options. Anticipated Contract Type: The Government anticipates awarding an Indefinite Quantify Indefinite Delivery (IDIQ) type contract with firm fixed-price task order(s). Place of Delivery is as follows, unless otherwise indicated at the time of order: U.S. Securities and Exchange Commission, Office of Equal Employment Opportunity, 100 F Street NE, Washington, DC 20549. Delivery is FOB Destination. The anticipated date of contract award is March 28, 2014. The anticipated date of Task Order 1 award is April 3, 2014. (viii) FAR 52.212-1, Instructions to Offerors-Commercial, applies to this acquisition. Quoters may obtain full text versions of these clauses electronically at http://farsite.hill.af.mil/. Parties responding to this solicitation who believe they can provide Equal Employment Opportunity Studies, Analyses and Solutions services may submit their quote in accordance with their standard commercial practices (e.g. on company letterhead, formal quote form, etc.) but must include the following information: a. The Solicitation Number SECHQ114Q0042; b. The time and date specified in the solicitation for receipt of quotes; c. Price and any discount terms in accordance with Attachment 3, Pricing Schedule Format. Note that price quote shall be separate from Vendor's technical approach and understanding (sample barrier analysis), corporate experience and past performance. d. "Remit to" address, if different than mailing address; e. A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the quoter shall complete electronically); f. A copy of System for Award Management (SAM) registration (see https://www.sam.gov/portal/public/SAM/) or a copy of System for Award Management application; g. Acknowledgment of Solicitation Amendments, if applicable; h. Technical Approach and Understanding (Sample Barrier Analysis) in accordance with the requirements in Attachment 4, Sample Barrier Analysis Evaluation, which includes Exhibits 1 - 7. The page limitation for the Technical Approach and Understanding (Sample Barrier Analysis) is twenty (20) pages. i. A description of the services being quoted in sufficient detail to evaluate compliance with the requirements in the solicitation, including corporate experience. The quote shall indicate the firm has a record of prior successful experience for the services indicated in the Performance Work Statement (PWS) of this RFQ. Quoters shall specifically discuss experience and knowledge regarding Equal Employment Opportunity Studies, Analyses and Solutions. Experience with federal agencies is preferred. Quoters shall include statements specifying the extent of responsibility on prior projects and a description of the project's scope and similarity to the projects outlined in the PWS of this RFQ. All experience under this section shall be in sufficient detail to allow an adequate evaluation by SEC. The quoter shall also address the following: 1) History of the company; 2) Location and services performed from each existing branch office involved with contract performance; 3) Approximate total revenue in 2010 for Equal Employment Opportunity Studies, Analyses and Solutions; 4) Largest contract value for Equal Employment Opportunity Studies, Analysis and Solutions in 2007, 2008, or 2009; 5) Company contact person, address, telephone, email address; and 6) Company web page address. j. Narrative addressing: 1) capability to provide Equal Employment Opportunity Studies, Analyses and Solutions, in accordance with the requirements herein, including: a) discussion of the background, objectives, and tasks/ objectives of the PWS; b) discussion of proposed methods and techniques for completing the proposed task; c) discussion which supports how each task will be evaluated for full performance and acceptability of work from the Quoter's perspective; and d) discussion of any anticipated major difficulties and problem areas, along with potential recommended approaches for their resolution: and 2) past performance, including information requested below for up to 5 relevant contracts and subcontracts started or completed within the past 3 years (measured from the date of this solicitation). Relevant is defined as work similar in complexity and magnitude to the work identified in the PWS. Please include the following information: a) Project Title; b) Description of the Project; c) Contract/Task Order Number; d) Contract/Task Order Amount; e) Government Agency/Organization; f) COTR's name, address, phone number and email address; g) Contracting Officer's name, address, telephone number and email address; h) Current status (e.g., completed and/or in progress), start and estimated completion dates; and i) A brief narrative of why your firm believes this reference is relevant to the proposed task. k. A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Quotes that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration; and l. Period for acceptance of quotes. The Quoter agrees to hold the prices in its offer firm for 60 calendar days from the date specified for receipt of quotes, unless another time period is specified in an addendum to the solicitation. (ix) The provision at FAR 52.212-2, Evaluation - Commercial Items (Jan 1999), applies to this acquisition as follows: 52.212-2 Evaluation-Commercial Items (Jan 1999) (a) The Government will award a contract resulting from this solicitation to the responsible quoter whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered. This is a Best Value Procurement. The following factors shall be used to evaluate quotes: 1. Technical Approach and Understanding (Sample Barrier Analysis) 2. Corporate Experience 3. Past Performance 4. Price (non-rated) The Technical Approach and Understanding (Sample Barrier Analysis) will be accorded more weight than Corporate Experience and Past Performance. Technical Approach and Understanding (Sample Barrier Analysis), Corporate Experience and Past Performance, when combined, are significantly more important than price. As the technical quotes become more equal, price becomes more important in making the award determination. In the event that two or more quotes are determined not to have any substantial technical differences, i.e., are technically equivalent, award may be made to the lower priced quote. It should be noted that award may be made to other than the lowest priced quote if the Government determines that a price premium is warranted due to technical merit. The Government may also award to other than the highest technically rated quotation, if the Government determines that a price premium is not warranted. (b) A written notice of award or acceptance of a quote, mailed or otherwise furnished to the successful quoter within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award. (x) Quoters shall include a completed copy of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Items, with its offer, or indicate that representations and certifications are available on-line in the Reps & Certs section of their System for Award Management (SAM) record available at https://www.sam.gov. (xi) FAR 52.212-4, Contract Terms and Conditions-Commercial Items (Sep 2013), applies to this acquisition. (xii) FAR 52.212-5, Contract Terms and Conditions Required To Implement Statutes or Executive Orders-Commercial Items (Jan 2014), applies to this acquisition. The following FAR clauses apply to this procurement: 52.216-1 Type of Contract (Apr 1984). The Government contemplates award of an indefinite delivery indefinite quantity (IDIQ) contract resulting from this solicitation with firm fixed-price task order(s). 52.216-18 Ordering (Oct 1995). (a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued through the period of performance of the contract. (b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control. (c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule. 52.216-19 Order Limitations (October 1995). (a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $1,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract. (b) Maximum order. The Contractor is not obligated to honor- (1) Any order for a single item in excess of $649,000.00; (2) Any order for a combination of items in excess of $649,000.00; or (3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section. (c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section. (d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 30 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source. 52.216-22 Indefinite Quantity (Oct 1995). (a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract. (b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum." (c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations. (d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 3 years of award of contract. MINIMUM AND MAXIMUM QUANTITIES As referenced in paragraph (b) of FAR 52.216-22, Indefinite Quantity, of this solicitation, the contract minimum established is $1,000.00. The contract maximum quantity is hereby established at the total amount of $649,000.00. 52.217-5 Evaluation of Options (July 1990) Except when it is determined in accordance with FAR 17.206(b) not to be in the Government's best interests, the Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options will not obligate the Government to exercise the option(s). 52.217-8 Option to Extend Services (Nov 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within the period of performance of the contract. 52.217-9 Option to Extend the Term of the Contract (Mar 2000) (a) The Government may extend the term of this contract by written notice to the Contractor within the period of performance of the contract; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension. (b) If the Government exercises this option, the extended contract shall be considered to include this option clause. (c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 3 years. (xiv) Defense Priority and Allocations System (DPAS) is not applicable. (xv) The due date and time for Quotes is February 20, 2014 at 2:00 pm local time (Eastern). Late quotes may not be accepted. Quotes shall be delivered via email to Nancy Foster, fostern@sec.gov, and cc'd to Regina Mumford-Rush, mumford-rushr@sec.gov, respectively. (xvi) All questions concerning this RFQ shall be submitted in writing to Nancy Foster at fostern@sec.gov, no later than 3:00 p.m. local time (Eastern), February 10, 2014. Questions will not be answered orally. E-mail submission of questions is required. Questions submitted after the specified time/date may not be addressed.
