- SOW This is a combined synopsis/solicitation for commercial items prepared in accordance with the format at FAR Subpart 12.6, as supplemented with additional information included in this notice, and is being conducted pursuant to FAR Part 12 and Subpart 13.5. The synopsis/solicitation constitutes a RFQ and incorporates provisions and clauses in effect through Federal Acquisition Circular No. 2005-74 dated 5/30/2014. Should the Government issue an order resulting from this RFQ, it will be in the form of a written offer to the supplier and shall require the supplier's acceptance by notification to the Government, in writing, as defined at FAR 2.101. THIS ANNOUNCEMENT CONSTITUTES THE ONLY SOLICITATION; QUOTES ARE BEING REQUESTED AND A WRITTEN SOLICITATION WILL NOT BE ISSUED. The RFQ is 100% set-aside for small business concerns. The associated North American Industry Classification System (NAICS) code is 541620, which has a corresponding size standard of $14.0M or less. The National Oceanic and Atmospheric Administration (NOAA), Eastern Region Acquisition Division, 200 Granby Street, Norfolk, Virginia 23510, on behalf of the National Marine Fisheries Service, Office of Sustainable Fisheries is soliciting quotes for the purchase and installation of Electronic Monitoring (EM) Systems in the Pelagic Longline Fishery. The contractor is responsible for providing all labor, services, materials, shipping and standard commercial warranties for the EM units, in accordance with this RFQ. EM units proposed must meet all characteristics as listed in this RFQ. CAR 1352.270-70 PERIOD OF PERFORMANCE (APR 2010) (Reference 1370.101) The period of performance for this task order is August 29, 2014, or date of award, whichever is sooner, through 12 months thereafter. The resultant task order will contain two, (1) year option periods and one (1) option for continuation of services for an additional 6 months. If an option is exercised, the period of performance shall be extended through the end of that option period. 9. CAR 1352.216-77 CEILING PRICE (APR 2010) (Reference 1316.601-70 and 1316.602-70) (a) The ceiling price of this contract is (to be determined at time of award). The contractor shall not make expenditures nor incur obligations in the performance of this contract which exceed the ceiling amount except at the contractor's own risk. (b) The parties estimate that performance of this contract will not cost the Government more than the ceiling amount specified in the Task Order. The Contractor agrees to use its best efforts to perform the work specified in the Schedule and all obligations under this contract within the ceiling amount. (c) The Contractor shall notify the Contracting Officer in writing whenever it has reason to believe that the costs it expects to incur under this contract in the next 60 days, when added to all costs previously incurred, will exceed 85% of the total amount so far allotted to the contract by the Government. The notice shall state the additional funds required to continue performance for the period specified in the Schedule. (d) The Schedule specifies the amount presently available for payment by the Government and allotted to this contract as well as the items covered. The parties contemplate that the Government will allot additional funds incrementally to the contract up to the full estimated cost to the Government specified in the ceiling amount, provided that funds become available. The Contractor agrees to perform work on the contract up to the point at which the total amount paid and payable by the Government under the contract approximates but does not exceed the total amount actually allotted by the Government to the contract. (e) Except as required by other provisions of this contract, specifically citing and stated to be an exception to this clause -- (1) The Government is not obligated to reimburse the Contractor for costs incurred in excess of the total amount allotted by the Government to this contract; and (2) The Contractor is not obligated to continue performance under this contract or otherwise incur costs in excess of the amount then allotted to the contract by the Government (End of Clause) 10. ADDENDUM TO CAR 1352.216-77 CEILING PRICE - PRICE/OFFER SCHEDULE The Contract Line Item Numbers (CLINs) for labor shall be utilized as fixed-price fully-loaded hourly rates with not to exceed amounts. The hours stated in the schedule for each representative CLIN are for estimation purposes only. Any deviation in the stated hours or other direct costs must be approved by the Contracting Officer's Representative in writing. However, in no case, shall the Contractor make any expenditure nor incur any obligations in excess of the total ceiling price. (End of clause) 11. FIXED PRICE LABOR RATES The fixed labor rates applicable to this contract are identified in the Schedule (See Attachment B), contract line items, and are subject to the conditions in Federal Acquisition Regulation (FAR) clause 52.212-4 Contract Terms and Conditions-Commercial Items (Feb 2012) Alternate I (Aug 2012) Labor Category Definitions are provided in Attachment A. (a) "Direct Labor Hours" are those productive hours expended by Contractor personnel in performing work under this contract that are charged as direct labor under the Contractor's established accounting policy and procedures. The term does not include sick leave, vacation, holiday leave, military leave, or any type of administrative leave and does not include direct labor hours provided under level-of-effort subcontracts. (b) The Contractor shall submit to the Government Contracting Officer, not less than fifteen days after the end of each performance period and prior to submission of any invoice for final payment at Task Order completion, a statement certifying the actual number of direct labor hours expended under this delivery order. The Contractor further agrees to make available to the Contracting Officer such records as the Contracting Officer may reasonably require to determine the number of labor hours expended in the performance of work. (c) The level-of-effort identified in this order is only an estimate and the actual labor hours for each category may fluctuate. The Government may increase the total estimated number of hours up to thirty percent during the base period and each option period, if exercised. The increased hours will be priced in accordance with the hourly rates provided in the Schedule. (d) The Contractor shall provide services to meet the Government's needs as identified in the Statement of Work. These services shall be provided at the hourly rates and within the ceiling prices identified in the Schedule. (e) If at any time during the period of performance the labor rates in the GSA FSS Schedule are less than the rates of this order, the Contractor shall reduce the labor rates in this order accordingly. The Contractor/GSA FSS Schedule holder shall notify the Contracting Officer within five days of the rate reduction and provide NOAA the lower GSA rates for the labor categories quoted for this order; effective on the date those rates were reduced. (End of Clause) 12. NOAA/ERAD LIMITATION OF FUNDS (a) The parties estimate that performance of this contract will not cost the Government more than the ceiling amount specified in the Task Order. The Contractor agrees to use its best efforts to perform the work specified in the Schedule and all obligations under this contract within the ceiling amount. CAR 1352.228-70 INSURANCE COVERAGE (APR 2010) (a) Workers Compensation and Employer's Liability. The contractor is required to comply with applicable federal and state workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 shall be required, except in states with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers. (b) General liability. (1) The contractor shall have bodily injury liability insurance coverage written on the comprehensive form of policy of at least $500,000 per occurrence. (2) When special circumstances apply in accordance with FAR 28.307-2(b), Property Damage Liability Insurance shall be required in the amount of $ 0. (c) Automobile liability. The contractor shall have automobile liability insurance written on the comprehensive form of policy. The policy shall provide for bodily injury and property damage liability covering the operation of all automobiles used in connection with performing the contract. Policies covering automobiles operated in the United States shall provide coverage of at least $200,000 per person and $500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage. (d) Aircraft public and passenger liability. When aircraft are used in connection with performing the contract, the contractor shall have aircraft public and passenger liability insurance. Coverage shall be at least $200,000 per person and $500,000 per occurrence for bodily injury, other than passenger liability, and $200,000 per occurrence for property damage. Coverage for passenger liability bodily injury shall be at least $200,000 multiplied by the number of seats or passengers, whichever is greater. (e) Vessel liability. When contract performance involves use of vessels, the Contractor shall provide, vessel collision liability and protection and indemnity liability insurance as determined by the Government. CAR 1352.209-71 LIMITATION OF FUTURE CONTRACTING ALTERNATE I (APR 2010) (Reference 1309.507-2(a)(2)) (a) The following restrictions and definitions apply to prevent conflicting roles, which may bias the contractor's judgment or objectivity, or to preclude the contractor from obtaining an unfair competitive advantage in concurrent or future acquisitions. (1) Descriptions or definitions: (i) ‘‘Contractor'' means the business entity receiving the award of this contract, its parents, affiliates, divisions and subsidiaries, and successors in interest. (ii) ‘‘Development'' means all efforts towards solution of broadly defined problems. This may encompass research, evaluating technical feasibility, proof of design and test, or engineering of programs not yet approved for acquisition or operation. (iii) ‘‘Proprietary Information'' means all information designated as proprietary in accordance with law and regulation, and held in confidence or disclosed under restriction to prevent uncontrolled distribution. Examples include limited or restricted data, trade secrets, sensitive financial information, and computer software; and may appear in cost and pricing data or involve classified information. (iv) ‘‘System'' means the system that is the subject of this contract. (v) ‘‘System Life'' means all phases of the system's development, production, or support. (vi) ‘‘Systems Engineering'' means preparing specifications, identifying and resolving interface problems, developing test requirements, evaluating test data, and supervising design. (vii) ‘‘Technical Direction'' means developing work statements, determining parameters, (b) In performance of this Task Order, the contractor may be required to assist in the development of specifications, budget plans, and statements of work (SOW) to be used in competitive acquisitions. The contractor shall not furnish any of these specifications nor perform any part of these SOWs either as prime contractor, subcontractor at any tier, or consultant at any tier, or grantee at any tier for the duration of this Task Order, and a period of 12 months after the completion of this Task Order. (c) In performance of this Task Order, the contractor may gain access to NOAA pre-planning information not generally available to the public or to other commercial entities. The contractor, in performance of this Task Orders may participate as an advisor in budgeting, strategic planning, acquisition planning, program reviews, technical assistance, policy development, evaluation of other contractor's performance or contract deliverables, and evaluation of proposals. The performance of types of tasks could result in potential significant biased ground-rules and impaired objectivity organizational conflicts of interest.. The contractor is strictly prohibited from performing as a prime contractor, subcontractor at any tier, consultant at any tier, and cooperative agreement recipient or grant recipient at any tier for any Federal procurement contract, grant, or other requirement for which it has provided, provides, or will provide any measure of advisory and assistance support during the performance of this Task Order. This restriction is in effect for the duration of this Task Order and a period of 12 months after the completion of the Task Order. (End of Clause) 15. CAR 1352.237-74 PROGRESS REPORTS (APR 2010) (Reference 1337.110-71(a)) The contractor shall submit, to the Government, a progress report one month after the effective date of the contract, and every month thereafter during the period of performance. The contractor shall deliver progress reports that summarize the work completed during the performance period, the work forecast for the following period, and state the names, titles and number of hours expended for each of the contractor's professional personnel assigned to the contract, including officials of the contractor. The report shall also include any additional information-including findings and recommendations-that may assist the Government in evaluating progress under this contract. The first report shall include a detailed work outline of the project and the contractor's planned phasing of work by reporting period. (End of Clause) 16. ADDENDUM TO CAR 1352.239-72 SECURITY REQUIREMENTS FOR INFORMATION TECHNOLOGY RESOURCES (APR 2010) The Government has determined that, at this time, Certification and Accreditation are not applicable to this task order as all work is envisioned to be conducted on a Government facility within Government systems and not on contractor-owned systems. FAR 52.227-17 -- RIGHTS IN DATA -- SPECIAL WORKS (DEC 2007) (Reference 27.409(e)) (a) Definitions. As used in this clause-- "Data" means recorded information, regardless of form or the medium on which it may be recorded. The term includes technical data and computer software. The term does not include information incidental to contract administration, such as financial, administrative, cost or pricing, or management information. "Unlimited rights" means the rights of the Government to use, disclose, reproduce, prepare derivative works, distribute copies to the public, and perform publicly and display publicly, in any manner and for any purpose, and to have or permit others to do so. (b) Allocation of Rights. (1) The Government shall have- (i) Unlimited rights in all data delivered under this contract, and in all data first produced in the performance of this contract, except as provided in paragraph (c) of this clause for copyright. (ii) The right to limit assertion of copyright in data first produced in the performance of this contract, and to obtain assignment of copyright in that data, in accordance with paragraph (c)(1) of this clause. (iii) The right to limit the release and use of certain data in accordance with paragraph (d) of this clause. (2) The Contractor shall have, to the extent permission is granted in accordance with paragraph (c)(1) of this clause, the right to assert claim to copyright subsisting in data first produced in the performance of this contract. (c) Copyright- (1) Data first produced in the performance of this contract. (i) The Contractor shall not assert or authorize others to assert any claim to copyright subsisting in any data first produced in the performance of this contract without prior written permission of the Contracting Officer. When copyright is asserted, the Contractor shall affix the appropriate copyright notice of 17 U.S.C. 401 or 402 and acknowledgment of Government sponsorship (including contract number) to the data when delivered to the Government, as well as when the data are published or deposited for registration as a published work in the U.S. Copyright Office. The Contractor grants to the Government, and others acting on its behalf, a paid-up, nonexclusive, irrevocable, worldwide license for all delivered data to reproduce, prepare derivative works, distribute copies to the public, and perform publicly and display publicly, by or on behalf of the Government. (ii) If the Government desires to obtain copyright in data first produced in the performance of this contract and permission has not been granted as set forth in paragraph (c)(1)(i) of this clause, the Contracting Officer shall direct the Contractor to assign (with or without registration), or obtain the assignment of, the copyright to the Government or its designated assignee. (2) Data not first produced in the performance of this contract. The Contractor shall not, without prior written permission of the Contracting Officer, incorporate in data delivered under this contract any data not first produced in the performance of this contract and which contain the copyright notice of 17 U.S.C. 401 or 402, unless the Contractor identifies such data and grants to the Government, or acquires on its behalf, a license of the same scope as set forth in subparagraph (c)(1) of this clause. (d) Release and use restrictions. Except as otherwise specifically provided for in this contract, the Contractor shall not use, release, reproduce, distribute, or publish any data first produced in the performance of this contract, nor authorize others to do so, without written permission of the Contracting Officer. (e) Indemnity. The Contractor shall indemnify the Government and its officers, agents, and employees acting for the Government against any liability, including costs and expenses, incurred as the result of the violation of trade secrets, copyrights, or right of privacy or publicity, arising out of the creation, delivery, publication, or use of any data furnished under this contract; or any libelous or other unlawful matter contained in such data. The provisions of this paragraph do not apply unless the Government provides notice to the Contractor as soon as practicable of any claim or suit, affords the Contractor an opportunity under applicable laws, rules, or regulations to participate in the defense of the claim or suit, and obtains the Contractor's consent to the settlement of any claim or suit other than as required by final decree of a court of competent jurisdiction; and these provisions do not apply to material furnished to the Contractor by the Government and incorporated in data to which this clause applies. B. Past Performance Vendors shall describe relevant performance on other contracts or affirmatively state that it possesses no relevant past performance. "Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture. "Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate- (1) Are conducted under contract directly and exclusively with the regional government of southern Sudan; (2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization; (3) Consist of providing goods or services to marginalized populations of Sudan; (4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization; (5) Consist of providing goods or services that are used only to promote health or education; or (6) Have been voluntarily suspended. Sensitive technology- (1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically- (i) To restrict the free flow of unbiased information in Iran; or (ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and (2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)). "Service-disabled veteran-owned small business concern"- (1) Means a small business concern- (i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and (ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
