Amendment 0001 Pre-Solicitation Notice Building 4, Del Din, Vicenza, Italy W912GB-15-R-0025 Amendment 0001 to Pre-Solicitation: The purpose of this amendment is to answer requests for information and update the pre-solicitation notice. 1.Question: I am contacting you to show some interest in the subject opportunity. We have been analyzing the Solicitation and we are kind of concern about the SOA requirement. As the host country (Italy) belongs to the European Union, you may know that all the Member States are in the Common European Market, so all the countries shall have the fair opportunity to compete for this effort. We would like to remark that Company X has a Branch Office in Italian soil from which it operates in the whole country. However, despite of having all the official documents needed: Documento Unico di Regolarit Contributiva (DURC), Certificato Anti-mafia, Nulla Osta, Registro a la Camera di Commercio etc... we do not hold the Italian SOA because we can use the Spanish classifications, which are equivalent. Being said that, instead of the SOA Certification, which is only for Italian companies, we would like to request the possibility of including in lieu of the SOA Certification, an equivalent document, issued by a competent authority of any member country of the European Union. A third competent party shall certify (in English) that the document is equivalent to the Italian SOA classifications required for this bid, just as we have been addressed to do in other projects within the US Department of Defense. Additionally, we can include the Italian classifications through a Letter of Commitment with a Designated Subcontractor. Answer: The Italian pre-qualification requirements may not be satisfied with the submission of European Union certifications instead of Italian pre-qualification requirements. Therefore, the Offerors must provide copies of its Italian certifications. The SOA registration is required by Italian Law. The SOA registration cannot be avoided and the Offerors must provide copies of its Italian certifications. 2.Question: We would be grateful if you could confirm that the documents requested to demonstrate compliance with the qualification requirements are to be provided at the next stage (prequalification stage) of this procedure. Otherwise, please inform us what documentation we need to submit at this stage. Answer: As stated in the pre-solicitation notice: quote mark Pre-Qualification: All interested firms are requested to demonstrate compliance with the qualification requirements as stated below in this document. Firms shall submit material as stated below that demonstrates that they meet the qualification requirements, not later than 1500 hours Central European Time (CET) on 30 April 2015. quote mark 3.Question: Pursuant to the public notice, all Offerors interested in such procedure must furnish all documentation complying with the following specific clauses: 1. 52.000-4090, 2. 52.000-4091, 3. 52.225-4002. I wanted to know if the following documentation is suffice to meet the requirements set out in the aforementioned clauses or if specific forms have been set out and must be adopted by the Offerors. 1. 52.000-4090 - copy of SOA certification provided by the competent certified body; 2. 52.000-4091 - a declaration ( quote mark autocertificazione quote mark ) signed by the company's legal representative confirming that the company meets such requirements; 3. 52.225-4002 - a declaration ( quote mark autocertificazione quote mark ) signed by the company's legal representative confirming that the company and all the relevant people meet such requirements. Answer: Regarding 52.000-4090: Offerors must provide the S.O.A. Regarding 52.000-4091: Offerors are required to submit self certification and C.C.I.A.A. If the offeror has attempted to obtain the required Certificate and been unsuccessful, a self-certification and explanatory documentation should be provided. Regarding 52.225-4002: Please provide a copy of the certificate. If the offeror has attempted to obtain the required Certificate and been unsuccessful, please include an explanation why not, along with official correspondence from the Chamber of Commerce, if available, as well as a self-certified statement. The Certificato di Iscrizione alla Camera di Commercio, (Chamber of Commerce Certificate of Membership), including the Antimafia Nulla Osta Statement, if available, should be provided. If the offeror has attempted to obtain the required Certificate and been unsuccessful, a self-certification and explanatory documentation should be provided. Applicable clauses are stated below: 52.000-4090 S.O.A.s-Qualification of Firms Pursuant to Italian Decree DPR 00/34 (Decreto Del Presidente Della Republica, January 25, 2000, No. 34.) (APR 2009) Offerors must comply with the requirements of D.P.R. n. 34 of 25 January 2000 and subsequent amendments. Failure to furnish the documents required by this solicitation with your proposal may be cause for elimination of your proposal from competition. Firms must furnish any additional back-up documentation requested by the contracting officer within the time period specified by the Contracting Officer. Failure to provide supporting documentation will subject the Contractor to possible termination for default of the contract. In the event the contract is terminated for default, the offeror is liable for any cost of acquiring the work that exceeds the amount of its offer, and the bid guarantee or letter of assurance or guarantee, if required under the solicitation, is available to offset the difference. Offerors must provide their S.O.A. reflecting eligibility to bid on the work solicited, by work qualification and classification. The prevailing work categories and classification are described in the pre-solicitation notice and in this solicitation. These work categories and classifications will also be described in individual task order requests for proposal and the S.O.A. demonstrating eligibility will be required to be submitted with the task order proposal. (End of Clause) 52.000-4091 Compliance with Italian Decree DPR 554/99, as amended by Article 2 of DPR 412/00 (2009). All offerors must demonstrate compliance with DPR 554/99, notably Article 75, as amended by DPR 412/00, Article 2 and compliance with Article 38 of DPR 163/06 within the timelines specified by the contracting officer. Offerors will: a) self certify the non-existence of the situations at Art. 75 of DPR 554/99 as amended by Art. 2 of DPR 412/00 and Article 38 of DPR 163/06. and b) comply by providing a quote mark Certificato d' Iscrizione al Casellario Giudiziale quote mark for each member of the company and a quote mark Documento Unico di Regolarit Contributiva quote mark pursuant to Art. 2 of Legislative Decree n.210/2002 converted into law n. 266/2002. (End of Clause) 52.225-4002 Anti- Mafia Law Italy (2010) 1. Pre-Award Effect of Anti-Mafia Procedure: Inasmuch as the work of this solicitation is to be performed on land owned by the Italian State, the prospective contractor will be subject to Italian Law No. 646, of 13 September 1982, and subsequent integration and amendments, including Law 252/98. The solicitation data will be made available only to firms that meet the submittal requirements described in paragraph below. As much, in the event that prior to award any disciplinary actions or proceedings for Mafia related matters exist against the apparent low bidder or potential awardee, no award will be made to said offeror/bidder. 2. Termination Under Italian Law No. 646 (Anti-Mafia): If during the life of this contract, any proceeding or disciplinary actions contemplated by Italian Law No. 646 of 13 September 1982 (and subsequent amendments and integration) is undertaken against any component of the Contractor or any Subcontractor, the Government can consider this a failure to execute the work and terminate the Contractor's right to proceed with the work under the quote mark DEFAULT quote mark clause of this contract. 3. Application of Italian Law No. 646 (Anti-Mafia) To Subcontractors: In addition to the requirement in the quote mark Subcontractors quote mark clause if applicable to this contract, before the Contracting Officer can consent to any Subcontractors, the Contractor will be required to certify to the Contracting Officer that no disciplinary actions or proceedings for Mafia related matters exist against such Subcontractors. 4. Submittal Requirements: The offerors are required to submit the following with their proposal: (a) An original copy, un-expired and not older than two months at the time of bid opening or closing date for receipt of proposals, of the Chamber of Commerce Certificate of Membership (Certificato di Iscrizione alla Camera di Commercio). The Certificate must include the statement transcribed below, required by art. 9 and of the D.P.R. no. 252 dated 3 June 1998: quote mark Nulla osta ai fini dell'articolo 10 della Legge 31 Maggio 1965 n. 575, e successive modificazioni. It is up to the discretion of the Contracting Officer to answer questions after this date. ******************************************************************************* Pre-Solicitation Notice Building 4, Del Din, Vicenza, Italy Description: This Pre-Solicitation Notice provides the U.S. Army Corps of Engineers, Europe District (USACE EUD) intent to award one (1) Firm-Fixed-Priced (FFP) design build contract for design completion and repair and restoration of Building 4, Del Din, Vicenza, Italy. This project is design-build in nature; the contractor is responsible for verifying the requirements of the specifications and drawings provided by the Corps of Engineers. In accordance with FAR 36.3, Two-Phase Design-Build Selection Procedures, a two-phase source selection process will be used to evaluate the contractors for award. Building 4 is classified as a quote mark Historical Building quote mark and consists of a five story structure with a volume of approximately 16,300 m3. It has a below ground floor, an elevated ground floor and 4 additional floors. This building shall be devoted to Command & Control Facilities for command and general purpose administration including secure communications and command operations. Tentative Schedule: All dates are tentative and subject to change with no obligation to the Offeror by the government. Phase I Request for Proposal: 8 MAY 2015 Phase I Proposal Due Date: 8 JUN 2015 Phase II Request for Proposal: 15 JUL 2015 Phase II Proposal Due Date15 AUG 2015 Award:28 SEP 2015 Period of Performance: Five hundred (540) calendar days from issue of a separate Notice to Proceed. Magnitude: Per FAR 36.204, Disclosure of the Magnitude of Construction Projects, the estimated price range is more than $10,000,000. Basis for Award: The Government intends to award a lump-sum contract to the Offeror who provides the lowest price technically acceptable proposal. Evaluation of proposals will consist of a combination of price and non-cost/price factors. Availability of Funds: Per FAR 52.232-18, Availability of Funds (Apr 1984), award is subject to the availability of funds. Funds are expected to become available by 1 May 2015. Utilization of Subcontractors: If the Offeror wishes to perform some of the work using subcontractors (subject to the 25% prime contractor work requirement stated in FAR 52.236-1, Performance of Work by the Contractor), the prime contractor may use subcontractors of any nationality providing they submit commitment letters from those subcontractors. The contractor may not change subcontractors without the Contracting Officer's approval. Approval will not be given unless the contracting officer, in the exercise of his/her sole discretion, considers the proposed substitute to be equal in all respects to the originally proposed subcontractor and the contracting officer considers the substitution to be in the best interests of the Government. Site Visit: A pre-proposal site visit will be planned on a date to be determined. Pre-Qualification: All interested firms are requested to demonstrate compliance with the qualification requirements as stated below in this document. The Joint Venture Agreement shall take effect upon the submission of the proposal and remain irrevocable until one year (1) year after the work has been finally inspected and accepted by the Government. The Joint Venture Agreement shall include, at a minimum, the following: a.Name of firms that form the Joint Venture and the name of the Joint Venture; b.Name and title of the corporate officials signing in behalf of each party; c.Contract number; d.Description of the responsibilities in terms of work category for each partner (for example - Firm A performing 70% of OG 1) that sufficiently demonstrates how the joint venture meets the SOA certification requirements of this solicitation; e.The statement quote mark The composition and structure of the Joint Venture will remain unchanged from award to one (1) year after the work has been finally inspected and accepted by the Government quote mark ; and f.Date of issuance of the agreement and notarized signature of the corporate officials signing in behalf of each party. g.Relationship of the JV in terms of ownership, capital contribution, profit distribution/loss sharing; bonding responsibilities; party having overall control, etc. h.The JV agreement must show that joint venture members are jointly and severally liable for any obligations under the contract. Any side agreements, silent consortiums or other memoranda not presented to the Government with the proposal will have no validity in the execution of this contract and shall not constitute a defense against performance of contract requirements by JV partners.
