CONTRACTOR'S PERFORMANCE ASSESMENT REPORTING SYSTEM (CPARS) Contracts and orders for supplies and services, in accordance with FAR 42.1502; that exceed the simplified acquisition threshold ($150,000), shall be entered into the Contractor Performance Assessment Reporting System (CPARS) by the VA contracting officer. The contractor shall appoint and submit with its proposal, a designated individual to be assigned the role of "contractor representative" (CR) within CPARS; responsible for managing reports under applicable contracts. CPARS is a Government-wide reporting tool for the collection of contractor Past Performance Information (PPI). PPI (including the ratings and supporting narratives) is relevant information, for future source selection purposes, regarding a contractor's actions under previously awarded contracts or orders. It includes, for example, the contractor's record of: (1) Conforming to contract requirements and to standards of good workmanship; (2) Forecasting and controlling costs; (3) Adherence to schedules, including the administrative aspects of performance; (4) Reasonable and cooperative behavior and commitment to customer satisfaction; (5) Reporting into databases; (6) Integrity and business ethics; and (7) Business-like concern for the interest of the customer. Reporting PPI through CPARS facilitates compliance with the requirements of Office of Federal Procurement Policy (OFPP) memorandum, "Improving the Collection and Use of Information about Contractor Performance and Integrity". After award, the contractor's CR will be granted access to the applicable contracts' CPARS record. The CR will ensure that their contact information is accurate in CPARS at all times. The contracting officer/contracting officer representative will evaluate the contractor's performance, generally every 365 days to coincide with option renewal, and at the end of contract performance. Reports shall be assigned in CPARS to the contractor's designated CR for comment. The contractor's CR will have 30 days to submit any comments and then re-assign the report to the VA contracting officer acting as the Assessing Official (AO) within CPARS. Failure to register and respond within the 30 days will result in the Government's evaluation being placed on file in the database with a statement that the contractor failed to respond. It is the responsibility of the contractor to notify the contracting officer of any updates made to CPARS information if, at any time during the life of the contract, the individual assigned as the CR changes. A contract is formed, in accordance with the terms and conditions of this agreement, when VA agrees to place a patient for home care services and the Home Care Agency (HCA) agrees to accept the patient. Upon acceptance by the contractor of beneficiaries of Department of Veterans Affairs (VA), all terms and conditions of this agreement shall apply during such time as VA patient remains under home care at the expense of VA. Upon acceptance of a VA patient by the HCA, if and when requested by the Contracting Officer or authorized representative, the contractor shall furnish all supplies and services herein described, at the rates specified below. VA is obligated only to the extent authorized placements of patients are made under this agreement. Contractor(s) shall provide Home Care Services as described herein to veterans in the Martinsburg WV catchment area below who have been referred by the Department of Veterans Affairs (VA), Martinsburg WV, for the performance period Date of award through (12)-twelve month's performance period with four one-year options following. Agencies can furnish Home Health Aides, Personal Care Aides, Homemaker Service or all. The minimum standard for agencies furnishing services under this contract shall be as per definitions of ADLs/IADLs; Homemaker Services; Home Health Aide Services; and all other terms and conditions as described in the latest edition of VHA Directive 96-031 (or its replacement). VA beneficiaries shall not, under any circumstances, be charged nor their insurance companies charged for services rendered by the contractor even if the VA does not pay for those services. This provision shall survive the termination or ending of the contract. This rate is all-inclusive (including all travel costs). No additional costs shall be paid to the contractor. The standard of care the contractor provides should be equal to that provided by the VAMC COUNTIES IN VAMC MARTINSBURG CATCHMENT AREA Frederick, VAHampshire, WV Shenandoah, VAMineral, WV Clark VA B.3. DESCRIPTION/ SPECIFICATIONS/WORK STATEMENT I. PURPOSE: This document stipulates the agreement to purchase home care/home health services, for a per diem rate, or in certain approved situations for prospective payment, for eligible, enrolled Veterans. This Agreement includes, as indicated, nursing, homemaker/home health aide, personal care aide, respite care and other approved services. This Agreement sets forth conditions under which VA will pay for home care. II. TERMS OF AGREEMENT AND PRICING: This Agreement is effective from (date of award whichever is latest) with the option to renew for 4 one-year periods. The agreement is subject to the availability of VA funds. III. PRICING/RATE DETERMINATION: VA uses negotiated rates based on Medicare as the maximum reimbursement rates to purchase home care services. The rate reflects fair market value for services. The per diem charge shall be an all-inclusive rate for services related to the Veteran's care and included in the Home Care Agency's plan of care. The rate(s) shall apply throughout the term of this Agreement, including option period(s). The rate(s) may be adjusted only to reflect a change in the Medicare rate established by Centers for Medicare and Medicaid Services (CMS) for both Urban and Rural Areas, when published and provided by Department of Veterans Affairs Office of Geriatrics/Extended Care. IV. DEFINITIONS: 1. ADL's (Activities of Daily Living): Bathing, dressing, toileting, transferring, feeding, and continence. 2. IADL's (Instrumental Activities of Daily Living): Shopping, meal preparation, light housekeeping, medication management, financial management, mobility (ability to leave home) and using telephone. 3. Homemaker Services: Services that is necessary for the maintenance of the patient in the home. Services may include housekeeping, laundry, meal preparation, grocery shopping, escorting the patient to appointments, assuring patient safety, personal care supervision and other services that are consistent with homemaker's level of responsibility and the patient's care plan. 4. Home Health Aide Services: Personal care services provided in the home. Services may include assistance with ADL's, aid in ambulation and/or transfers, active and passive exercises. Assist with medical equipment and routine health monitoring (non-skilled). Services may include household tasks to maintain a safe environment in areas of the home used by the patient (e.g., changing the bed and doing laundry essential to the cleanliness of the patient). These services are provided by the persons who have successfully completed appropriate training and education consistent with the State Law and regulations, as well as the POC. 5. Personal Care Services: Personal Care Services may include, but are not limited to the following levels of assistance to the patient: help with care of teeth and mouth, grooming care of hair including shampoo (non-prescription, non-medicated), shaving and the ordinary care of nails, bathing in bed, in a tub and in a shower, assisting a patient on and off bedpan, commode and toilet, transferring the patient from bed to chair, support with wheelchairs and in walking, helping the patient with eating, help with dressing, prepare and serve meals according to instructions, making and changing beds, dusting and vacuuming the rooms the patient uses, dishwashing, tidying kitchen/bedrooms/bathroom, listing needed supplies, shopping for patient if no other arrangement is possible, assisting with patient's personal laundry if no family member is available or able (this may include necessary ironing and mending), send linens to laundry and assuring patients safety. V. RESPONSIBILITIES OF THE HOME CARE/HOME HEALTH SERVICES AGENCY: 1. License/Certification: A Home Care Agency is licensed or otherwise state-approved or is certified by Medicare or Medicaid as a home care provider. Home Care Agency personnel shall be qualified in all states in which such personnel provide services. Home Care Agency shall maintain all other licenses and certificates as required by law. Home Care Agency shall promptly notify the VA of the commencement of any action or proceeding against it with respect to its license, certification or other legal authorizations. 2. The Home Care Agency shall work cooperatively with the VA so that VA patients referred for home care meet the criteria for admission, as defined by the Home Care Agency. 3. The Home Care Agency shall coordinate with VA staff to ensure timely communication regarding changes in the condition of VA patients, need for updated or new orders, or any other change necessitating physician consultation for implementation of the plan of care. 4. All level of care changes shall be submitted to the referring VA for authorization. If a VA beneficiary requires more than the level of care authorized by the VA, the Home Care Agency shall discuss the Veteran's status with the VA community programs coordinator. The Home Care Agency shall work cooperatively with the VA in all level of care reviews. 5. At the time of a VA beneficiary's death, the Home Care Agency shall promptly notify the VA liaison that authorized the home care. 6. The Home Care Agency shall submit to VA an initial plan of care with initial billing after RN initial assessment/visit is made, and a discharge summary within 14 days of Veteran's death/discharge from the Home Care Agency. The Home Care Agency owns the care plan. 7. All medical records concerning VA beneficiaries' care in the Home Care Agency shall be readily accessible to VA. Patient records shall be maintained in conformance with the Privacy Act (5 U.S.C. 552a) and the Health Insurance Portability and Accountability Act (HIPAA) - Privacy Rule (45 CFR Part 160 and 164). 8. The Home Care Agency shall have no obligation to render services requested by VA beneficiaries which are not identified or required to be provided in Veteran's care plan. The agency staff will not operate outside of their scope of practice for any reason per state guidelines. Homecare agencies will not provide skilled care services under this contract. VI. VA PROCEDURES: 1. Upon referral for home care/home health services, the VA will provide all relevant medical information, including the following, to the Home Care Agency. Release of information is performed in accordance with disclosure policies outlined in VHA Handbook 1605.1 (a) Name and telephone number of the VA contact person making the referral (b) Patient and family demographic information and payment source (c) Name and telephone number of the surrogate decision-maker, if applicable (d) Admitting diagnosis and prognosis, current medical information. 2. All referrals for home care will be approved by a VA health care professional. When a VA physician agrees to remain the attending of record, VA staff will obtain physician signatures for renewal and additional orders, and review treatment plans, renewals and orders for appropriateness and medical necessity, as well as coordinate follow-up with the Veteran's physician as appropriate. 7. Duly authorized representatives of the VA may provide follow-up supervisory visits to Veterans and vendors to ensure the continuity of care. The Home Care Agency shall submit progress reports to the VA, with their invoices for beneficiaries receiving services under this Agreement. 8. VA reserves right to remove VA beneficiaries from home care at any time, when removal is determined to be in best interest of the VA or the Veterans, without additional charges to the Government. To the extent that this agreement is terminated, VA will be liable only for payment for services rendered prior to the effective date of termination. VII. SERVICE AREAS: The VA services a large area encompassing multiple geographic areas. Participating Home Care Agencies will only be required to provide care in service areas where they are licensed. As a result, VA anticipates multiple agreements to cover all areas and to provide Veterans with a choice. VIII. DESIGNATION OF LIAISONS: The VA and the Home Care Agency shall each designate a representative to serve as a liaison between VA and the Home Care Agency to facilitate collaborative efforts in performance of their respective obligations under this Agreement and to assure the coordination and continuity of quality services for the patient. IX. INVOICES: 1. The Home Care Agency must submit invoices promptly to authorizing facility 15 calendar days following the end of the month in which services were rendered on original CMS 1500 or UB-04 forms. All invoices must include full name and address of the Home Care Agency, the Veteran's name, social security number, number of days billed, level of care category, and contracted per diem rate. Failure to accurately complete the CMS 1500 or UB-04 form will result in delayed payments. 2. Authorizations for homemaker home health aide services will be accomplished on VA Form 10-7079, Authorization and Invoice for Medical and Hospital Services. Each authorization validity period will be from the initial effective date to disposition. Any extension to the original authorization validity period, regardless of the number of days, requires a new VA Form 10-7079. 3. Payments made by VA, under any contract pursuant to this agreement, constitute total cost of home care. No additional charges shall be billed to the beneficiary or his/her family, either by the Home Care Agency or any third party furnishing services or supplies required for such care, unless and until specific prior authorization in writing is obtained from VA facility authorizing home care. The Home Care Agency shall not solicit contributions, donations, or gifts from family members during the patient's lifetime. 4. Proof of service for each invoice (i.e. ticket or visit note signed by Veteran/caregiver) will be maintained by the agency and may be requested by VAMC for verification. 5. Invoices are to be submitted before the 15th calendar day of each month to the following address or submitted through EDI: Martinsburg Department of Veterans Affairs Medical Center 510 Butler Ave. Attn: Fee Basis GA-111 Martinsburg, WV 25405 6. Claims submitted through EDI will require a list to be submitted to the Program Coordinator by the 15th calendar day of each month with the names of the Veterans billed and their amount; and with the total amount due to the agency for the previous month. X. ON-GOING ASSESSMENT: The need for H/HHA Care services will be reviewed and documented by the VA Primary Care Physician and primary care social worker no less than every 6 months. The program office and NVCC office will also be reviewing clinical data and invoicing from the agency to ensure services are being provided appropriately. The Home Health Agency providing aide care will: "Provide an RN assessment and care plan of the client initially; at 6 months and annually. This assessment and care plan will be submitted promptly with agency invoicing. "Report any significant changes in the client's medical, emotional, or family condition to the VA contact person (i.e. falls, hospitalizations, moves, deaths, transitions to a higher level of care, links to other community resources or programs) "Review/Revise the Plan of Care, as required by the State and/or as necessary, according to changes in the client's condition. "Provide a copy of the Updated Plan of Care to the Martinsburg VAMC for administrative and/or fiscal recertification and authorization purposes. XI. COORDINATION, SUPERVISION, AND EVALUATION OF CARE: The Home Health Care Agency will: "Provide appropriate orientation to Home Health Aides and RNs assigned to a Veteran's care, and retain proof of orientation checklist for staff. Provide copies of checklist to Martinsburg VAMC on active patients and provide written copy to VAMC yearly. "Obtain and retain proof of current certification for home health aides assigned to Veteran care, and provide copies to Martinsburg VAMC and provide written copy to VAMC yearly. "Provide RN supervision of the home health aide's services. "Provide VA with documentation of supervisory activities that relate to the VA patients. "Provide VA with annual reports, or as requested, of Agency Performance Improvement activities and evidence of compliance to Joint Commission standards if applicable. "Adhere to Joint Commission Standards and/or state guidelines for non-skilled Home Care and will submit evidence to Martinsburg VAMC at least annually if applicable. "Attend meeting by conference call or by person annually or as requested. " Ensure all persons providing care (both supervisory RN and the aide) have annual PPD tests or a chest X-ray if this is a state requirement. The care providers will also have successfully completed appropriate orientation and yearly continuing educational programs and competencies consistent with the agency and State and Federal guidelines for licensing. Appropriate infection control standards will be adhered to when providing care to all Veterans. XII. SCHEDULING OF VISITS/HOURS: The number of authorized hours per week and dates of authorization will be determined by the VA. The Home Care Agency will be responsible for scheduling the homemakers, home health aides and the RN Assessment to provide the services as outlined in the POC. XIII. SERVICE AREA: The VA services a large area encompassing multiple counties; however, participating Home Care Agencies will only be required to provide care in service areas where they are licensed. As a result, VA anticipates multiple agreements to cover all areas and to provide veterans with a choice. XIV. PLACE OF PERFORMANCE: Services identified herein shall be provided by the Contractor at the patient's residence. If a Veteran is hospitalized or moves to a different level of care the agency must not continue to provide the in home aid support unless given specific authority by Martinsburg VAMC. XV. MANAGEMENT, SUPERVISION AND TRAINING: (a) The contracted agency shall be responsible for the supervision of the daily services provided under this contract by agency staff. (b) The contracted agency shall have written policies and procedures regarding staff credentials. All home health care services shall be performed by a competent professional who is familiar with the nature of the services involved and fully qualified under the laws of the given state of jurisdiction. A copy of each employee's certification/training shall be provided to the Contracting Officer's Representative (COR) upon request. (c) Contracted agency shall supervise and ensure the competency of their staff according to agency policy, and/or JCAHO, state standards, and Centers for Medicare/Medicaid regulations. (d) Contracted agency shall provide appropriately trained and oriented staff to cover in the absence of their onsite staff regularly assigned to the Veteran. (e) Contracted agency shall provide orientation to designated VAMC staff regarding the agencies policies and procedure, and any agency processes necessary to cooperative fully with the VAMC. Up-dates and refreshers shall be provided upon request and when policy, procedures or processes change. (f) VAMC will provide orientation for assigned Contracted agency onsite staff to expected duties and any VAMC policy, procedures, and processes necessary to cooperative functioning between the agency and VAMC. (g) Contracted agency shall be responsible for supervising the daily services provided under this contract; and shall provide and document competencies, orientation and training programs for all employees including safety, equipment management, and patient confidentiality appropriate to the service provided. (h) Contracted agency RN shall perform admission and 6 month supervisory visits. Contracted agency shall communicate feedback re: initial home visit/services planned. (i) Contracted agency shall complete background investigations to ensure that employees do not have a record of criminal offenses or substantiated incidents of patient abuse; and, if required to perform their duties, employees are properly licensed and insured to operate motor vehicles. XVI. ACCREDITATION: (a) Proof of state licensure shall be furnished to the CO and COR. (b) Agencies should meet Home Care and/or Accreditation Standards, if accredited. (c) Certificate of insurance, evidencing that the required coverage has been obtained, shall be furnished to the CO. (d) Contracted agency shall participate in those activities designated by the VAMC to ensure quality of VAMC contracted services. XVII. PERSONNEL POLICY: The contractor shall be responsible for protecting the personnel furnishing services under this contract. To carry out this responsibility, the contractor shall provide the following for these personnel: Worker's compensation Professional liability insurance Health examinations - Only required by VA if required by CMS or State Income tax withholding Social security payments The parties agree that such personnel shall be considered employees of the contractor. XVIII. NOTICE: The Government may evaluate the quality of professional and administrative services provided, but retain no control over the medical, professional aspects of services rendered (e.g. professional judgments, diagnosis for specific medical treatment), in accordance with FAR 37.401(b), Policy. XIX. CONTRACTING OFFICER (CO) AND CONTRACTING OFFICER'S REPRESENTATIVE (COR) MONITORING PROCEDURES: 1. The CO is responsible for the overall administration of this contract: 2. The Contractor is advised that only the CO, or his/her designee, acting within the scope of his/her duties and responsibilities and, after advice and consultation from the COR, has the authority to make changes to the contract which affect: 1) Contract Prices, 2) Quality, 3) Quantity, or 4) Delivery Terms and Conditions. 3. After contract award, the COR appointed in writing will be responsible for monitoring the contractor's performance. The COR is authorized to clarify technical requirements and to review, request and approve work, which is clearly within the scope of the contract. COR will also be responsible for certifying all invoices in coordination with the VA Clinician requesting services under this agreement. He/she is not authorized to make any commitments or changes pursuant to the contract, which will affect price, quantity, and quality or delivery terms. The CO must authorize all changes to the contract. The COR will be: Kimberly K. KEY PERSONNEL AND TEMPORARY EMERGENCY SUBSTITUTIONS: During the first ninety (90) days of performance, the Contractor shall make NO substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment. The Contractor shall notify the Contracting Officer, in writing, within 15 calendar days after the occurrence of any of these events and provide the information required by paragraph (c) below. After the initial 90 day period of the contract, the Contractor shall submit the information required by paragraph (c) to the Contracting Officer at least 15 days prior to making any permanent substitutions. The Contractor shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the Contracting Officer. Proposed substitutes shall have comparable qualifications to those of the persons being replaced. The Contracting Officer will notify the Contractor within 15 calendar days after receipt of all required information of the decision on the proposed substitutes. The contract will be modified to reflect any approved changes of key personnel. For temporary substitutions where the key person will not be reporting to work for three (3) consecutive work days or more, the Contractor will provide a qualified replacement for the key person. This substitute shall have comparable qualifications to the key person. Any period exceeding two weeks will require the procedure as stated above.
