- STATEMENT OF WORK (SOW) Title: Repair and Maintain a Becton Dickinson (BD) FACS Canto Machine 1.Background: BD FACS machine was idle for more than 10 months. This period of inactivity has affected the machine, resulting in it not being fully functional. BD FACS Canto machine is critical for research at the Manhattan VA Medical Center, which focuses on further study of the thromboregulatory enzyme CD39/NTPDase1. Research studies the regulation of CD39 activity by alternately spliced variants, establishes parameters of platelet reactivity and blood cell activation that can be predictive for stroke (re)-occurrence, and examines differences in CD39 expression and activity in leukocytes of stroke and stroke-prone subjects. BD FACS Canto machine is required to achieve all of goals that involve flow cytometry. These studies include the expression of platelet, neutrophil, and monocyte activation markers, and platelet, endothelial, and monocyte microparticles. They also include determination of CD39 surface expression on leukocytes of stroke subjects versus controls. 2.Equipment: Contractor shall provide repair and maintenance on the following equipment: Becton Dickinson (BD) FACS Canto Machine Model: BD FACSCanto Flow Cytometer Serial Number: V07300038 3.Place of Performance: VA New York Harbor Healthcare System Manhattan VA Medical Center 423 E. 23rd St. New York, NY. 10010 4.Period of Performance: This procurement is base plus four (4) option years. Base year is for twelve (12) months from the date of award. 5.Requirements: a.Contractor shall provide all resources including but not limited to labor, equipment, tools, materials, preventive maintenance service, and parts necessary to accomplish repair and maintenance and other deliverables described in this statement of work (SOW), except as may otherwise be specified. b.Contractor shall ensure the equipment functions in conformance with the latest published editions of NFPA-99, OSHA, CDRH and Manufacturer Conformance Standards. All parts supplied shall be compatible with existing equipment. The contractor shall use the Original Equipment Manufacturer (OEM) new parts only. Contractor coverage the following but not limited to: priority scheduling for service calls priority remote service response, equipment planned maintenance services per Original Equipment Manufacturer (OEM) specification performed during standard hours of coverage, proprietary operating system software enhancements without hardware changes, unlimited technical services & clinical applications telephone support, remote service, utilization reports and on-board system diagnostics. c.Contractor shall have access to the Original Equipment Manufacturer (OEM) software and shall properly install and test in accordance with OEM standards. Contractor shall have access to factory diagnostic software tools which resides in the system and access to the latest factory-issued circuit and software revisions and updates. Contractor shall provide experienced, qualified, and factory-trained Field Service Engineers (FMS) who has full understanding of the entire system to provide maintenance inspections and comply with repair requirements. d.All repairs and maintenance includes unlimited visits from a BD service technician 24/7. Contractor must respond to the Biomedical Engineering Designee and/or Contracting Officer Representative (COR) with a phone call within [two (2) hours] [24 hours per day], after receipt of telephoned service call notification. e.All parts supplied shall be compatible with existing equipment. The contractor shall use OEM new parts only. New parts shall be furnished by the contractor and guaranteed against defects and/or failure for a period of 1 year from the date of completed installation of the component. Used parts, shall not be installed without approval by the COR. f.Government property shall remain the property of the Government in all respects, including but not limited to hard drives; ePHI (electronic patient healthcare information), etc. Parts replaced become the property of the Government. The contractor shall take all reasonable precautions, as directed by the Government, or in the absence of such direction, in accordance with sound industrial practices, to safeguard and protect Government property. 6.Access to VA Information and VA Information Systems: a.A contractor/subcontractor shall request logical (technical) or physical access to VA information and VA information systems for their employees, subcontractors, and affiliates only to the extent necessary to perform the services specified in the contract, agreement, or task order. b.Information made available to the contractor or subcontractor by VA for the performance or administration of this contract or information developed by the contractor/subcontractor in performance or administration of the contract shall be used only for those purposes and shall not be used in any other way without the prior written agreement of the VA. This clause expressly limits the contractor/subcontractor's rights to use data as described in Rights in Data - General, FAR 52.227-14(d) (1). c.VA information should not be co-mingled, if possible, with any other data on the contractors/subcontractor's information systems or media storage systems in order to ensure VA requirements related to data protection and media sanitization can be met. If co-mingling must be allowed to meet the requirements of the business need, the contractor must ensure that VA's information is returned to the VA or destroyed in accordance with VA's sanitization requirements. VA reserves the right to conduct on-site inspections of contractor and subcontractor IT resources to ensure data security controls, separation of data and job duties, and destruction/media sanitization procedures are in compliance with VA directive requirements. d.The contractor/subcontractor must receive, gather, store, back up, maintain, use, disclose and dispose of VA information only in compliance with the terms of the contract and applicable Federal and VA information confidentiality and security laws, regulations and policies. If Federal e.or VA information confidentiality and security laws, regulations and policies become applicable to the VA information or information systems after execution of the contract, or if NIST issues or updates applicable FIPS or Special Publications (SP) after execution of this contract, the parties agree to negotiate in good faith to implement the information confidentiality and security laws, regulations and policies in this contract. f.The contractor/subcontractor shall not make copies of VA information except as authorized and necessary to perform the terms of the agreement or to preserve electronic information stored on contractor/subcontractor electronic storage media for restoration in case any electronic equipment or data used by the contractor/subcontractor needs to be restored to an operating state. If copies are made for restoration purposes, after the restoration is complete, the copies must be appropriately destroyed. g.If VA determines that the contractor has violated any of the information confidentiality, privacy, and security provisions of the contract, it shall be sufficient grounds for VA to withhold payment to the contractor or third party or terminate the contract for default or terminate for cause under Federal Acquisition Regulation (FAR) part 12. h.Except for uses and disclosures of VA information authorized by this contract for performance of the contract, the contractor/subcontractor may use and disclose VA information only in two other situations: (i) in response to a qualifying order of a court of competent jurisdiction, or (ii) with VA's prior written approval. The contractor/subcontractor must refer all requests for, demands for production of, or inquiries about, VA information and information systems to the VA contracting officer for response. i.Notwithstanding the provision above, the contractor/subcontractor shall not release VA records protected by Title 38 U.S.C. 5705, confidentiality of medical quality assurance records and/or Title 38 U.S.C. 7332, confidentiality of certain health records pertaining to drug addiction, sickle cell anemia, alcoholism or alcohol abuse, or infection with human immunodeficiency virus. If the contractor/subcontractor is in receipt of a court order or other requests for the above mentioned information, that contractor/subcontractor shall immediately refer such court orders or other requests to the VA contracting officer for response. "All contractor employees and subcontractors under this contract or order are required to complete the VA's on-line "VA Privacy and Information Security Awareness and Rules of Behavior Training" - TMS Code "10176" Contractors must provide signed certifications of completion to the Contracting Officer Representative (COR) during each year of the contract. This requirement is in addition to any other training that may be required of the contractor and subcontractor(s)." The C&A requirements do not apply, and that a Security Accreditation Package is not required 7.Proposal Evaluation Process: Lowest Price Technically Acceptable (LPTA) shall be used to evaluate offers for this procurement. The following factors and sub-factors shall be used to determine acceptability: a.Technical Capabilities: i.UNDERSTANDING OF THE REQUIREMENT - The Government will evaluate the offeror's understanding of the requirement in accordance with the Statement of Work (SOW). The offeror shall submit a proposal that demonstrates its understanding of work described in the SOW. ii.KEY PERSONNEL - The offeror's offer shall reflect the experience and qualifications of all contractor personnel. b.Past Performance: The offer shall provide a list of Past Performance references. This list shall be submitted with the proposal when responding to the solicitation. Offerors are advised that the Government may use past performance information obtained from centralized past performance databases and sources other than those identified by the offeror and the information obtained may be used for both the responsibility determination and the best value decision. Contracts listed may include those entered into with Government agencies or private sectors. c.Technical and past performance, when combined, are the basis for technical acceptability.
