- FAR 52.212-3, “Offerors Representations and Certifications–Commercial Items” INTRODUCTION AND AUTHORITY This is a combined synopsis/solicitation (CSS) for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) subpart 12.6, "Streamlined Procedures for Evaluation and Solicitation for Commercial Items," as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotations are being requested, and a written solicitation document will not be issued. The Government intends to issue a firm fixed price purchase order using simplified acquisition procedures under the authority of FAR subpart 13.5, "Test Program for Certain Commercial Items." This solicitation is a request for quotations (RFQ). The solicitation number is HHS-NIH-NIDA-SSSA-CSS-15-686. The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-83, dated August 3, 2015. The resultant purchase order will include all applicable provisions and clauses in effect through this date. The National Center for Advancing Translational Sciences (NCATS) is seeking to purchase a multiwell multielectrode array (MEA) system for use in the Therapeutics for Rare and Neglected Disease (TRND) biology laboratory. NORTH AMERICAN INDUSTRY CLASSIFICATION SYSTEM (NAICS) CODE AND SET-ASIDE STATUS The associated North American Industrial Classification System (NAICS) code for this procurement is 334516, with a small business size standard of 500 employees. This acquisition is 100% set aside for small businesses. Only small businesses registered in SAM.gov with the listed NAICS code and size standard are invited to submit a quotation. DESCRIPTION OF REQUIREMENT Purpose The purchase of a Multielectrode Array (MEA) system is being requested by the TRND biology group in order to evaluate the electrical response and ion channel properties of neuronal cells and cardiomyocytes differentiated from patient derived induced pluripotent stem cells in a high-throughput manner and in plate-attached intact cell format. Background The National Center for Advancing Translational Sciences (NCATS), Therapeutics for Rare and Neglected Diseases (TRND) section is requesting to purchase a multielectrode array (MEA) system for use in the TRND biology laboratory, located at 9800 Medical Center Drive. TRND has a stem cell program which continues to grow at a rapid pace. In keeping with our mission to stay at the cutting edge of research by evaluating and using new technologies, we need the ability to rapidly differentiate stem cells into mature cells, specifically neuronal cells and cardiomyocytes from patient-derived induced pluripotent cells (iPSCs) that are used as disease models for drug development. Therefore, TRND needs an instrument capable of rapidly characterizing differentiated neuronal cells and cardiomyocytes from iPSCs through the use of electrical stimulation in the 96-well plate format. This instrument has to be able to perform experiments in the plate-attached cells that have been cultured in the same assay plates up to 30 days. For TRND's work with neurons, we require a minimum of 8 electrodes per well in a 96 well plate format in order to obtain high-quality neuronal measurements. All interested companies shall provide quotations for the following: 1.A multi-well multielectrode array system with high electrode channel count, capable of producing data for high-throughput screening. The system must feature: a.Ability accommodate 12-, 48-, and 96-well, SBS-compliant plates for experiments directly using plate-attached cells that have been cultured in the same assay plates up to 30 days and should not use the suspension cells. b.A minimum of 8 electrodes per well in a 96-well plate format c.A CO2 and temperature controlled plate chamber with plate mask for extended experiments. d.Compatibility with a variety of different in-vitro cell types, e.Capability of producing high-quality neuronal measurements. f.Capability of producing data on cells at the network level. g.Suitability for real-time data observation and data capture. h.Automated data acquisition software without the need for third-party software for data analysis. i.A compatible desktop computer and monitor. j.A USB connection from the MEA system to the computer. 2.Compatible MEA plates: •one-hundred (100) of 96-well plate, 8 microelectrodes per well; •ten (10) of 48-well plate, 16 microelectrodes per well; and •fifty (50) of 12-well plate, 64 microelectrodes per well 3.Installation and Training: Encompasses 2 days, and includes on-site installation, immediately followed by training for 4 people. 4.Service plan with preventive maintenance, to include a warranty. DELIVERY AND ACCEPTANCE The desired delivery date is 60 days after award of the purchase order. Delivery shall be provided for inspection and acceptance during normal working hours (from 8:00 AM to 5:00 PM local prevailing time, Monday through Friday). Installation and training will be scheduled at the discretion of NCATS. PLACE OF PERFORMANCE Address:9800 Medical Center Drive Room 313W Rockville, MD Postal Code:20850 Country:UNITED STATES CONTRACTING OFFICER'S REPRESENTATIVE (COR) The following Contracting Officer's Representative (COR) will represent the Government for the purpose of this contract: [To be specified prior to award] The COR is responsible for: (1) monitoring the Contractor's technical progress, including the surveillance and assessment of performance and recommending to the Contracting Officer changes in requirements; (2) interpreting the statement of work and any other technical performance requirements; (3) performing technical evaluation as required; (4) performing technical inspections and acceptances required by this contract; and (5) assisting in the resolution of technical problems encountered during performance. The Contracting Officer is the only person with authority to act as agent of the Government under this contract. Only the Contracting Officer has authority to: (1) direct or negotiate any changes in the statement of work; (2) modify or extend the period of performance; (3) change the delivery schedule; (4) authorize reimbursement to the Contractor for any costs incurred during the performance of this contract; (5) otherwise change any terms and conditions of this contract; or (6) sign written licensing agreements. Any signed agreement shall be incorporated by reference in Section K of the contract The Government may unilaterally change its COR designation. (50) 52.232-33, Payment by Electronic Funds Transfer- System for Award Management (Jul 2013) (31 U.S.C. 3332). ---------- The following solicitation provisions apply to this acquisition: 1.FAR 52.212-1, "Instructions to Offerors-Commercial Items" (April 2014) 2.FAR 52.212-2, "Evaluation of Commercial Items" (October 2014) (a) The Government will award a purchase order resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. In addition to price, the following factors shall be used to evaluate offers: Factor 1: Technical Capability (75%) The Offeror shall detail in its technical proposal how it shall meet each of the project requirements. This shall include the specifications of the offered equipment. Subfactors included in the evaluation are: compatibility with research needs, including compatible plate densities; quality of data produced; density of electrodes per well; and suitability for studying cells at the network level. Factor 2: Quality Assurance (15%) The Offeror shall detail in its technical proposal how it shall meet the delivery, installation, and ongoing maintenance support described in the solicitation. Factor 3: Past Performance (10%) Offerors shall identify one (1) contract completed in the past five years and a list of all contracts currently underway that are similar in size and scope to the requirements outlined in the "DESCRIPTION OF REQUIREMENT." Contracts listed may include those entered into by the Federal Government, agencies of state and local governments, non-profit entities, and commercial concerns. Offerors that are newly formed entities without prior contracts should list contracts and subcontracts for key personnel. Include the following information for each contract identified: •Name of contracting organization •Contract number •Contract type •Total contract value •Narrative of specific responsibilities of the offeror as they relate to this RFQ The Government will consider the currency and relevance of the information, source of the information, context of the data, and general trends in contractor's performance. The lack of a relevant performance record may result in an unknown performance risk assessment, which will neither be used to the advantage nor disadvantage of the offeror. The major evaluation factors for this solicitation, listed in order of importance, include technical (which encompasses experience and past performance) and price factors. All evaluation factors other than cost or price, when combined, are significantly more important than price. (b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). (c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award. 3.FAR 52.212-3, "Offerors Representations and Certifications-Commercial Items" (March 2015), attached at Appendix A. The Defense Priorities and Allocations System (DPAS) are not applicable to this requirement. POST AWARD EVALUATION OF CONTRACTOR PERFORMANCE a.Contractor Performance Evaluations Interim and Final evaluations of Contractor performance will be prepared on this contract in accordance with FAR Subpart 42.15. The Final performance evaluation will be prepared at the time of completion of work. In addition to the Final evaluation, Interim evaluation(s) will be prepared Annually as follows on August 31. Interim and Final evaluations will be provided to the Contractor as soon as practicable after completion of the evaluation. The Contractor will be permitted thirty days to review the document and to submit additional information or a rebutting statement. If agreement cannot be reached between the parties, the matter will be referred to an individual one level above the Contracting Officer, whose decision will be final. Copies of the evaluations, Contractor responses, and review comments, if any, will be retained as part of the contract file, and may be used to support future award decisions. b.Electronic Access to Contractor Performance Evaluations Contractors may access evaluations through a secure Web site for review and comment at the following address: http://www.cpars.gov. REQUESTS FOR CLARIFICATION Any questions or concerns regarding this solicitation should be forwarded in writing via e-mail to the contract specialist, Matthew Antonini, at Matthew.Antonini@nih.gov by or before 12:00 p.m. EST on 8/18/2015. Late questions will not be accepted. Questions will be anonymized and answered, with the answers being posted to this solicitation notice by amendment. QUOTATION SUBMISSION Quotes are due on 8/24/2015, no later than 12:00 p.m. EST. All responses must be submitted via email to Matthew.Antonini@nih.gov and reference solicitation number HHS-NIH-NIDA-SSSA-CSS-15-686. Responses to this solicitation must include clear and convincing evidence of the offeror's capability of fulfilling the requirement. The offeror must submit a technical response and a separate price quotation. The technical response should be prepared in reference to the evaluation criteria identified in this solicitation and shall not exceed 10 single-sided pages. The price quotation must include pricing for each numbered requirement (1-4) listed under "Description of Requirement." Responses to this solicitation must include sufficient information to establish the interested parties' bona-fide capabilities of providing the product or service. The price quote shall include: unit price, list price, shipping and handling costs, delivery days after contract award, delivery terms, prompt payment discount terms, F.O.B. Point (Destination or Origin), product or catalog number(s); product description; and any other information or factors that may be considered in the award decision. Offerors must provide their Company Name, Dun & Bradstreet Number (DUNS), Taxpayer Identification Number (TIN), Business Size, Physical Address, and Point of Contact Information in their responses. All offerors must have an active registration in the System for Award Management (SAM). Late submissions shall be treated in accordance with the solicitation provision at FAR 52.212-1(f).
