This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in FAR Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. This solicitation VA259-15-R-0597 is issued as a request for proposal (RFP).This solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2005-83, effective 3 Aug 2015. No telephone requests will be accepted. Only written requests received directly from the offeror are acceptable. The associated North American Industry Classification System (NAICS) code for this procurement is 624120, with a small business size standard of $11M. Services shall be performed by the Contractor's employees employed by Contractor. Contractor shall maintain current records of Contractor's employees including training certifications, background checks, drug screen results, immunizations, and TB tests. Such records shall be made immediately available to VAMC site upon request. 3.Contractor's Obligations. Contractor shall provide professional services that VAMC site requires to be provided through the Department. Contractor and Contractor's employee shall: 3.1.Notify the VAMC site when any Contractor's employee has been involved in an iatrogenic or other quality issue that has been reported, and VAMC site shall be permitted access to any investigation, reports, or other documentation of the handling of the incident by Contractor. 3.2.Demonstrate effective communication skills, cooperation, and teamwork with independent physicians and VAMC site staff. 3.3.Contractor shall strive to meet or exceed the quality and performance goals established by VAMC site and communicated in writing to Contractor from time to time. 3.4.Maintain a high level of patient satisfaction. 4.Schedule. Contractor shall employ or engage a sufficient number of Contractor's employees to provide the Services pursuant to the following schedule: As necessary and during those days and times that VAMC site determines, to be necessary for the efficient operation of the Department in order to properly address patient needs and effectively coordinate with other operations, with no maximum of hours per month. VAMC shall call Contractor's main office contact number to request Services. Contractor shall arrange for a live person to answer calls 24 hours per day, 7 days per week. In the event a call is not answered, VAMC site will leave a message and Contractor will return the call to the VAMC site within thirty (30) minutes. Contractor shall require VMAC to provide a minimum of two (2) hours' notice to provide services to VAMC site. 5.Removal of Contractor's employee. VAMC site may, in its sole discretion and for any reason, request the cessation of services of any Contractor's employee. Upon VAMC Site's written request, Contractor shall not schedule for professional services such Contractor's employee whose services were requested by VAMC Site to cease. 6.Third Party Reimbursement Programs. Contractor shall not negotiate participation in any third party reimbursement for services provided at VAMC location. Contractor and any Contractor's employee are prohibited from seeking such third-party reimbursement programs for services provided onsite at VAMC site as used in this Agreement. The term "third-party reimbursement program" shall include, without limitation, employer groups, health maintenance organizations, preferred provider organizations, private health insurance companies, the federal Medicare program, and the state Medicaid program. 7.Duty to Cooperate. Contractor shall promptly notify VAMC site of any occurrence or circumstance that may result in a claim against VAMC site, Contractor or any Contractor's employee. Contractor and each Contractor's employee shall cooperate with VAMC site as legally appropriate whenever any claim or lawsuit is filed against either. Such cooperation may include the presentation of a joint defense. In the event of the termination or expiration of this Agreement, Contractor and each Contractor's employee shall complete all medical records, cooperate with VAMC site with respect to any action filed against VAMC site and otherwise satisfy all responsibilities and obligations assumed herein. 8.Compensation. 8.1.Contractor shall bill only for the hours of care provided at the established hourly rate. Contractor will bill on a monthly basis for the Services provided in the week prior. 8.2.Any change to the hourly rate must be approved in advance by VISN 19 Contracting office. All of the following shall apply: i.VAMC site shall be responsible for billing patients for services rendered in the Service, including Contractor's charges for the professional services and VAMC site's charge for its services and the use of its equipment and supplies. Contractor hereby designates as its/his/her true and lawful agent and reassigns its/his/her rights to VAMC site to bill and collect monies due for all Services provided hereunder at VAMC site by Contractor and any Contractor's employees. All collections from such Services provided by Contractor and Contractor's employees shall belong to VAMC site. Contractor shall not submit claims or otherwise attempt to collect for such Services. ii.Contractor shall in a timely manner provide VAMC site with all necessary billing and collection information within its possession, including but not limited to time logs, employee time sheets for services provided, and records of calls or digital communications requesting services by VAMC staff. iii.Contractor shall execute any and all authorizations necessary to verify VAMC site's right to receive collections under this Agreement. VAMC site will be solely responsible for all billing to third party payers for payers or patient copayment related to care provided. iv.VAMC site shall maintain patient billing records for claims submitted pursuant to this Section. All such records shall be the property of VAMC site. Contractor shall, at all no times, have reasonable access to bills and claims submitted by VAMC site in connection with the Services provided under this Agreement. v.Contractor shall not bill or collect from any patient or payors for Services provided by Contractor or any Contractor's employee pursuant to the terms of this Agreement. 9.The parties hereby acknowledge and agree that the fees paid hereunder are the product of bona fide, arms-length negotiations and represent commercially reasonable and fair market value payment for the Services to be furnished hereunder, without regard to the volume or value of any federal health care program business or any other business generated by or among the parties. 10. National Holidays: New Year's Day Dr. Martin Luther King Jr.'s Birthday Washington's Birthday Memorial Day Independence Day Labor Day Columbus Day Veterans Day Thanksgiving Day Christmas Day *And any other day specifically declared a National Holiday by the President of the United States 10.1 When one of the above designated legal holidays falls on a Sunday, the following Monday will be observed as a legal holiday. When a legal holiday falls on a Sunday, the preceding Friday is observed as a holiday by US Government Agencies. 11. Point of Contact: The primary Point of Contact (POC) will be determined at time of award. The foregoing is not to be construed as authorization to interpret or furnish advice and information to the Contractor relative to the financial or legal aspects of the contract. Enforcement of contract terms and conditions is the responsibility of the Contracting Officer. The provision at FAR 52.212-1, INSTRUCTION TO OFFERORS -- COMMERCIAL ITEMS, applies to this acquisition; with the following addendum. FAR 52.203-98, PROHIBITION ON CONTRACTING WITH ENTITIES THAT REQUIRE CERTAIN INTERNAL CONFIDENTIALITY AGREEMENTS-REPRESENTATION (FEB 2015) a.In accordance with section 743 of Division E, Title VII, of the Consolidated and Further Continuing Resolution Appropriations Act, 2015 (Pub. L. 113-235), Government agencies are not permitted to use funds appropriated (or otherwise made available) under that or any other Act for contracts with an entity that requires employees or subcontractors of such entity seeking to report fraud, waste, or abuse to sign internal confidentiality agreements or statements prohibiting or otherwise restricting such employees or subcontractors from lawfully reporting such waste, fraud, or abuse to a designated investigative or law enforcement representative of a Federal department or agency authorized to receive such information. b.The prohibition in paragraph (a) of this provision does not contravene requirements applicable to Standard Form 312, Form 4414, or any other form issued by a Federal department or agency governing the nondisclosure of classified information. c.Representation. By submission of its offer, the Offeror represents that it does not require employees or subcontractors of such entity seeking to report fraud, waste, or abuse to sign internal confidentiality agreements or statements prohibiting or otherwise restricting such employees or subcontractors from lawfully reporting such waste, fraud, or abuse to a designated investigative or law enforcement representative of a Federal department or agency authorized to receive such information. (End of provision) FAR 52.204-16, Commercial and Government Entity Code Reporting (NOV 2014) FAR 52.204-17, Ownership or Control of Offeror (NOV 2014) The provision at FAR 52.212-2, EVALUATION -- COMMERCIAL ITEMS, applies to this acquisition. (a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: 1.Technical: The offer shall be evaluated on the conformance to the requirements listed in the Statement of Work. 2.Past Performance: Offeror shall provide three references of organizations in which they have provided the same or similar type of service. References shall include a point of contact, position held by the point of contact, company name, telephone number, mailing address and email address. 3.Price: Offeror's price shall be evaluated to determine its fair and reasonableness. Technical and past performance, when combined, are more significant than price. (b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). (c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award. (End of provision) A completed copy of the provision at FAR 52.212-3, OFFEROR REPRESENTATIONS AND CERTIFICATIONS - COMMERCIAL ITEMS shall be submitted with the offer. The clause at FAR 52.212-4 CONTRACT TERMS AND CONDITIONS -- COMMERCIAL ITEMS, applies to this acquisition, with the following addendum: FAR 52.217-8 Option to Extend Services (NOV 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within sixty (60) days of the expiration date of the current contract period. (End of clause) FAR 52.217-9 Option to Extend the Term of the Contract (MAR 2000); a) The Government may extend the term of this contract by written notice to the Contractor within thirty (30) days of the expiration date of the current contract period; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least sixty (60) days before the contract expires. The preliminary notice does not commit the Government to an extension. (b) If the Government exercises this option, the extended contract shall be considered to include this option clause. (c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years. (End of clause) FAR 52.232-19 Availability of Appropriated Funds for the Next Fiscal Year (APR 1984) Funds are not presently available for performance under this contract beyond SEPTEMBER 30, 2015. The Government's obligation for performance of this contract beyond that date is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise for performance under this contract beyond SEPTEMBER 30TH OF ANY FISCAL YEAR, until funds are made available to the Contracting Officer for performance and until the Contractor receives notice of availability, to be confirmed in writing by the Contracting Officer. (End of clause) VAAR 852.203-70 Commercial Advertising (JAN 2008); VAAR 852.237-70 Contractor Responsibilities (APR 1984); The contractor shall obtain all necessary licenses and/or permits required to perform this work. He/she shall take all reasonable precautions necessary to protect persons and property from injury or damage during the performance of this contract. He/ she shall be responsible for any injury to himself/herself, his/her employees, as well as for any damage to personal or public property that occurs during the performance of this contract that is caused by his/her employees fault or negligence, and shall maintain personal liability and property damage insurance having coverage for a limit as required by the laws of the State of COLORADO. Further, it is agreed that any negligence of the Government, its officers, agents, servants and employees, shall not be the responsibility of the contractor hereunder with the regard to any claims, loss, damage, injury, and liability resulting there from. (End of Clause) and VAAR 852.273-76 Electronic Invoice Submission (Interim - October 2008). LIMITATIONS ON SUBCONTRACTING - MONITORING AND COMPLIANCE: This solicitation includes FAR 52.219-6, Notice of Total Small Business Set-Aside. Accordingly, any contract resulting from this solicitation will include this clause. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) retained by VA to assist in assessing the contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to contractor's offices where the contractor's business records or other proprietary data are retained and to review such business records regarding the contractor's compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an "Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement" to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the contractor to protect proprietary information as required by FAR 9.505-4, Obtaining access to proprietary information, paragraph (b). The contractor is required to cooperate fully and make available any records as may be required to enable the CO to assess the contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.
