- ***AMENDMENT 0004: UPDATE PROPOSAL DUE DATE TO 30 OCTOBER 2015, UPDATE SOLICITATION DOCUMENTATION (SECTIONS A, B, H, and L), AND PROVIDES GOVERNMENT RESPONSES TO [OPEN] INDUSTRY QUESTIONS RECIEVED AS OF 30 SEPTEMBER 2015*** Amendment 0004 updates the proposal due date to 12:00PM (noon) Eastern Standard 30 October 2015, updates Sections A, B, H and L, and provides Government responses to [open] industry questions received as of 30 September 2015. Any question(s) received by 30 September 2015 that are not answered in this amendment shall be addressed in a subsequent amendment. Solicitation Documentation Changes: Section A has been updated to reflect a proposal due date of 12:00PM NOON 30 October 2015 (see Question #49 below for details). Section B, CLINs 0016, 0016AA, and 0016AB have been updated to correct the SOW paragraph reference for quote mark Measurement Interface Equipment quote mark (see Question #37 below for details). Section H, Special Contract Requirements, 52.211-11, Liquidated Damages-Supplies, Services, or Research and Development has been modified to update the consideration formula (see Question #39 below for details). Section L, Paragraph 1.1.2.1 Volume 1 - Offer has been revised to update point of contact information for NCI (see Question #40 below for details). W91CRB-15-R-0024 Amendment 0004 QUESTIONS AND ANSWERS Question #37 Reference Section B, CLINs 0016, 0016AA and 0016B SOW Reference which states, quote mark...Measurement Interface Equipment, IAW SOW paragraph 3.3.2.2.3 quote mark. There is no paragraph 3.3.2.2.3 in the SOW. Please confirm that SOW paragraph 3.3.2.2.2. Measurement Interface Equipment, is the correct reference for these CLINs. Response to Question #37 SOW paragraph 3.3.2.2.2. Measurement Interface Equipment, is the correct reference for CLINs 0016, 0016AA, and 0016AB. Section B has been updated accordingly. Question #38 Reference Section H-Special Contract Requirements, 52.211-11, Liquidated Damages-Supplies, Services, or Research and Development which states, quote mark (a) If the Contractor fails to deliver the supplies or perform the services within the time specified in this contract, the Contractor shall, in place of actual damages, pay to the Government liquidated damages of new FWS-CS units delivered to the Government, including coverage of transportation and shipping fees, or other goods/services agreed upon by the Government. Consideration shall be resolved between the contractor and the Government within 30 days after first missed delivery against the contract baseline schedule, unless otherwise agreed upon by the Government. Consideration may require the initiation of a new delivery order from the Government to close consideration. The consideration formula is as follows: _(i=1)^n (Unit Cost * Total Systems Delinquent for Monthi * Fielding Factor for Monthi) The fielding factor for a given month's delinquent delivery will be determined based on the following criteria: Fielding Factor Number of Days Until Fielding 1% 180 2% 90- 179 3% 32-89 5% 31 quote mark Please confirm our calculation of Liquidated Damages based upon the following scenario: Schedule Date: 8/31/2016 Fielding Date: 9/30/2016 Delivery Date: 8/31/2017 System Unit Price of $1 Number of Systems: 10 Total Contract Price for 10 systems: $10 Liquidated Damages are calculated to be $6. If our interpretation of this clause is correct, doesn't it operate more as a penalty clause than one that compensates the Government for its reasonable damages for late delivery? Response to Question #38 Based on the consideration formula as cited, the calculation of liquidated damages for the scenario described would be $6 to compensate the Government for a one year delay in delivery. Would the Government consider eliminating the quote mark fielding factor quote mark component as that factor is beyond the control of the contractor and in its place tie it to a quote mark delivery factor quote mark which would be tied to the contractual delivery schedule? b. Would the Government consider limiting the total amount of Liquidated Damages that can be assessed under the contract to $1,000,000? c. Would the Government consider limiting the amount of Liquidated Damages that can be assessed under the contract to 5% of the price of the delinquent unit? Response to Question #39 The formula in Section H has been modified to eliminate the fielding factor. The updated formula is related to the expected 10 year system life of the FWS-CS. For every 30 days (or portion thereof) a system is late, the formula calculates the value of one month of a 120 month (10 year) system life.
