SOURCES SOUGHT U.S. ARMY RDECOM-TARDEC AUTOMOTIVE OTHER TRANSACTION AGREEMENT (OTA) DEVELOPMENT Description of Intent This is a Sources Sought request; however, the Government intends to either (1) select one respondent with whom to enter into negotiations to establish an Other Transaction Agreement (OTA), or (2) establish potential offerors for limited competition based on the responses received to this Sources Sought. Response to this Sources Sought is voluntary and no reimbursement will be made for any costs associated with providing information in response or any follow-up information requests. No solicitation document exists at this time, and calls requesting a solicitation will not be answered. General Information The Government's explicit intent, in this Sources Sought, is to not receive from respondents any proprietary data, trade secrets, business sensitive information, or information considered CONFIDENTIAL under 18 U.S.C. §1905. The Government's constraint does not in any way relieve respondents from their responsibility to properly mark proprietary data when it is provided, in accordance with DFARS 252.227-7013, nor does it alleviate any requirement for the Government to protect marked data. The Government is not obligated to protect unmarked data. Respondents shall ensure that any material and data that is provided is marked appropriately to ensure proper handling of all information. Unless otherwise noted herein, anything submitted in response to this Sources Sought will not be returned to the sender. Respondents will not be notified of the results of the Sources Sought or results of information submitted, nor will the Government respond to telephone or email inquiries. NOTE: The Government is not asking you to develop or provide drawings or develop any technical data in response to this Sources Sought. Please note that Other Transaction Agreements (OTAs) are not required to comply with the Federal Acquisition Regulation (FAR), its supplements (i.e. DFARS), or laws that are limited in applicability to procurement contracts. To be eligible for an OTA, the proposing contractor must be a non-traditional defense contractor or have at least one non-traditional defense contractor participating to a significant extent OR provide a one-third cost share (see Department of Defense (DoD) Other Transactions (OT) Guide for Prototype Projects). Introduction/Objective The Army Contracting Command - Warren (ACC-WRN), in support of the U.S. Army Tank Automotive Research, Development, and Engineering Command (TARDEC), is seeking to enter into a Section 815 Other Transaction (OT) for Prototypes under the authority of 10 U.S.C. 2371 with an entity primarily comprised of commercial automotive manufacturers, suppliers, non-profits, and associations with their principal place of business, corporate headquarters, or major research and engineering facilities located in Southeast Michigan (Wayne, Macomb, Oakland, Washtenaw, and Monroe Counties). The automotive industry within Southeast Michigan has made substantial financial, infrastructure, and technological investments in vehicle technologies to include: (1) Automotive Cyber Security, (2) Vehicle Safety Technologies, (3) Vehicle Light Weighting, (4) Autonomous Vehicles and Intelligent Systems, (5) Connected Vehicles, and (6) Advanced Energy Storage Technologies, which TARDEC seeks to leverage through creation of the proposed OTA instrument. The employment of the proposed OTA structure is the most efficient, economical, and practicable means to encourage non-traditional defense contractors to engage with the U.S. Army in a collaborative research environment, allowing TARDEC to leverage industry advancements in automotive technologies. DEFINITION: ‘Non-traditional defense contractor' is defined as a business unit that has not, for a period of at least one year prior to the date of the OT agreement, entered into or performed on (1) any contract that is subject to full coverage under the cost accounting standards prescribed pursuant to Section 26 of the Office of Federal Procurement Policy Act (41 U.S.C. 422) and the regulations implementing such section; or (2) any other contract in excess of $500,000 to carry out prototype projects or to perform basic, applied, or advanced research projects for a Federal agency that is subject to the Federal Acquisition Regulation (FAR). The intended period of performance for this OTA is seven years for a total estimated value of $700M. Responding entities shall meet the following requirements: A. Has prior OTA management experience or an established teaming plan with an entity that has OTA management experience; B. Membership is comprised of a majority of non-traditional defense contractors (see definition above) or, if a current membership does not exist, has an established plan to recruit a majority of non-traditional defense contractors, as defined above; C. Membership is comprised of a majority of commercial automotive manufacturers, suppliers, non-profits, and associations with their principal place of business, corporate headquarters, or major research and engineering facilities located in Southeast Michigan (Wayne, Macomb, Oakland, Washtenaw, and Monroe Counties) or, if a current membership does not exist, has an established plan to recruit the aforementioned commercial organizations; D. Membership, or plan to establish membership, with the expertise and experience to perform research, development, and engineering activities, which address the Army's long-range goals, in the following Technology Areas: (1) Automotive Cyber Security: Offensive and defensive technologies designed to protect a connected, autonomous, or vehicle network from outside threats or hacks. (2) Vehicle Safety Technologies: Advanced technologies and vehicle system/subsystems designed to minimize occurrences and consequences associated with collisions, rollovers, and explosions. (3) Vehicle Light Weighting: The concept of designing vehicles that are lighter in weight in order to achieve better fuel efficiency, transportability, and handling. (4) Autonomous Vehicles and Intelligent Systems: Technologies associated with a self-driving or robotic vehicle that is capable of sensing its environment and navigating without human input. (5) Connected Vehicles: Vehicles that are equipped with internet or network access wired or wirelessly. These technologies allow the vehicle to share information about itself, other platforms it is connected to, or allows the vehicle to become an access point to a network for other devices. (6) Advanced Energy Storage Technologies: The concept of converting electricity into energy, storing it, and then converting it back into usable electricity at a later time. Responses may include, as backup/support, company marketing materials, reports, and/or other materials that were prepared for purposes other than this Sources Sought. You do not have to repeat the question in your response. 3. If you cannot answer a question, please indicate "No Response." 4. Include relevant company literature, if appropriate. Up to three recent OTAs that the proposed OTA manager has successfully managed. ***Note: Each respondent should only answer either Part III or Part IV, not both, depending on the current status of its membership to fulfill the requirements of this Sources Sought. Part III: Entity with an Existing Membership Please respond to each of the following questions only if your entity currently has an existing, active membership that fulfills the requirements of this Sources Sought: 1) Please provide a complete list of all current members within your entity (the list may be included as an attachment to your response). a.
