It is operated by Education Training Corporation (EMC) under contract #J12SA20047 with the Department of Labor. ResCare Inc. is a subcontractor to EMC and has responsibility over the Health and Wellness Department for which the services of the Mental Health Consultant falls under. THIS SUBCONRACT AGREEMENT WILL BE BETWEEN RESCARE and THE AWARDEE Phoenix Job Corps provides vocational and academic training to disadvantaged youth 16 to 24 years old. Phoenix Job Corps Center operates 24/7 with 353 students. DESCRIPTION OF SERVICE REQUIRED SCOPE OF WORK CENTER MENTAL HEALTH CONSULTANT The center mental health provider (CMHP), referred to henceforth as the center provider or Contractor, agrees to provide students of the Phoenix Job Corps Center, referred to henceforth as the center, with the services stated herein. Services will be provided as authorized by the Center Director or his/her representative, who will provide a schedule of hours and days to be worked. Payment for services rendered will be according to the agreed upon hourly rate for a maximum of twenty one (21) hours per week, on average, fifty (50) per year. This number is based upon the PRH requirement of a minimum of 6 hours per 100 students. The period of performance is June 1, 2016 - September 30, 2016 with One year option from October 1, 2016 to September 30, 2017 The center and the CMHP hereby agree that the services to be provided will include, but will not be limited to, those mental health services specified in the Job Corps Federal Regulations (Title 20 Code of Federal Regulations, Part 670.525) in the Job Corps Policy and Requirements Handbook (PRH) Chapter 6, and applicable Technical Assistance Guides (TAGS) and Desk Reference Guides (DRGs), which can be found on the Job Corps Health and Wellness website. Overview of Responsibilities The emphasis of the Mental Health and Wellness Program must be on prevention, early detection, identification of mental health problems, and helping students overcome barriers to employability. The program utilizes an Employee Assistance Program (EAP) approach, which includes short-term counseling with an employability focus, referral to center support groups, and crisis intervention. The CMHP is part of the Health and Wellness team and collaborates closely with the Health and Wellness Manager, Counseling Manager, TEAP specialist, Disability Coordinator, and Center Physician. Breakdown of Center Mental Health Provider Responsibilities: 1. Assessment and Care Management: Involvement in the applicant file review process and weekly Reasonable Accommodation Committee meetings, including providing assessments and recommendations for Job Corps applicants. The provider will provide support to the Disability Coordinator to ensure students with mental health disabilities are accurately reflected in the data system with accommodations, when appropriate. Review of Social Intake Form (SIF) or intake assessment performed by counseling staff of students who indicate mental health history, current mental health problems, or who request to see the center mental health provider (must be done within one week of student arrival). Complete mental health intakes, evaluation, and/or case management of referred students. Provider will review the referral and heath records prior to the student intake interview. After the interview, the provider will document findings, including a working DSM diagnosis, barriers to employability, and determined treatment needs. If the student needs assistance, then a written management plan will be developed and elements of the plan will be shared with appropriate staff. Establish a written referral/feedback system with documentation in the student health record for both on- and off-center treatment, including medication management. The maintenance, confidentiality, and safeguarding of all necessary mental health records will be assured. 2. Mental Health Promotion and Education Coordination with management staff, wellness manager, and other departments/programs on center to develop integrated promotion and education services for staff and students. At least one annual center-wide mental health promotion and education activity. Of the minimum required coverage per week, 50 percent must be used for a combination of the following activities: mental health promotion, prevention, and education for students and staff; consultation to Center Director and staff; annual trainings; disability program support; or TEAP support. Except for emergencies or consults by a psychiatrist, all mental health clinical services defined as basic health care in PRH Exhibit 6-4 must be provided on center by the CMHC and/or designated intern, extern, or practicum graduate student. 3. Staff Development and Consultation Documented monthly clinical consultation meetings with Center Director (CD) to discuss the status of the mental health program. The center provider may serve as a technical advisor and assist the CD and senior staff with identifying center trends. Participate in weekly meetings with TEAP specialist to provide support for difficult cases and consult regarding medical separations. Care coordination should be documented in the Student Health Record (SHR). Staff development on using mental health principles and techniques. This may include ways to improve student motivation, improving interpersonal difficulties in the dorms, coping with problems of alcohol and drug use, sexuality, aggressive behavior and communication skills. Assist health education instructors on the implementation of the health education program to include mental health and wellness. Consultation with center health staff, counselors, day advisors, instructors, and other appropriate staff concerning the ongoing mental problems of students. Provide annual staff trainings on adolescent growth and development. If needed, participate in orientation sessions for admission counselors by making presentations on the center mental health and wellness program, the role of the center provider in Job Corps, and mental health-related review concerns. These presentations should be aimed toward helping admission counselors understand their role and the importance of getting complete information. 4. Intervention and Treatment: Short-term counseling defined as no more than 6 sessions with mental health checks as needed. The focus of these sessions should be on retention and behaviors that represent employability barriers. Preparing case management plans that identify specific expectations of staff and the student, with the focus on employability skills. In limited situations, performing or arranging psychological testing services as needed and authorized. Collaboration with TEAP Specialist in the short term counseling of students with co-occurring conditions of mental health and substance use. Collaboration with center physician and health and wellness staff on psychotropic medication monitoring of stable students, with the advice of consulting psychiatrist, if appropriate. Develop a counseling component to the mental health and wellness program that focuses on students' individual needs and progress in personal and social development, basic education, and vocational training. Collaborate with counseling staff to develop and/or lead psycho-educational skill building groups to promote mental health (e.g., relaxation training, anger management, mood regulation, assertiveness skills, handling relationships, sleep hygiene, etc.). These counseling services are to be provided by the career counselors, residential living staff, and other appropriate staff with the guidance and support of the CMHP. Information exchange through regular, weekly, documented case conferences between the Center Mental Health Provider, counselors, and other appropriate staff based on individual student needs. In the event of a mental health emergency, the mental health provider or the center physician will conduct a mental health evaluation as soon as possible and, when necessary; refer the student for psychiatric care. If neither the provider nor physician is available, the student will be referred immediately to the closest emergency facility. Students who are a danger to themselves or others must be supervised continuously until the disposition of their cases is resolved, which should be as soon as possible. Students may be referred to off-center mental health professionals or agencies in instances where their mental health needs are beyond the basic care provided by JC. 5. Ongoing Education, Support and Building Job Corps Community: Participate in monthly Regional Office Teleconferences with the Regional Mental Health Specialist as required. Make an effort to attend the annual National Health and Wellness Conference. The center provider agrees to adhere to the policies, procedures, and guidelines established by Job Corps. The center provider, under the Center Director's guidance and approval, will have primary responsibility to implement the program outlined above and may be assisted by the Job Corps National Office and/or health providers. The center provider, with the approval of the Center Director, may delegate by written and dated standing orders any of his/her responsibilities set forth in this contract to appropriate qualified staff. The center provider may delegate provider responsibilities set forth in this contract to any other full- or part-time provider only with the Center Director's prior written approval and a prior review of the secondary provider's qualifications by the Regional Director and Regional Mental Health Specialist. The center provider will be assisted by the Job Corps National Health Staff (NHS) and lead regional health specialists. The latter will act under guidance and direction from the NHS. STANDARD CONTRACT TERMS AND CONDITIONS ResCare Inc. standard Terms and Conditions are included with this RFQ. It is the Contractor's responsibility to verify ResCare's current Terms and Conditions at the time services and/or goods are provided. ADDITIONAL TERMS AND CONDITIONS Independent Contractor: Under this agreement, the Mental Health Consultant is an independent contractor and not an employee or agent of ResCare Inc. or the Department of Labor, Job Corps. As an independent contractor the CMHC acknowledges that he/she would not be covered by Worker's Compensation. The center CMHC agrees to provide professional insurance to cover the medical provider professional's services to students. The CMHC agrees to indemnify and save the center harmless from any expenses, including attorney's fees and also claims on account of damage to property or bodily injury (including death) which may be sustained by himself/herself or his/her employees in connection with work performed. (Detailed insurance and indemnification requirements are below.) Termination: This agreement may be terminated, with respect to the remaining term of the agreement, at any given time by either party upon a written notice thereof to the other, effective thirty (30) days after acknowledged receipt of said notice. Public Statements: The CMHC agrees to make no public statements concerning students, ResCare Inc. or Job Corps activities without prior written approval of the Center Director or his/her designated representative. Research Projects and Publications: All research projects and/or publications relating to Job Corps health activities will first be cleared through the National Office of Job Corps, Washington, D.C. Assignability: This contract may not be assigned by the center CMHC, but may be assigned by ResCare Inc. This contract along with any accompanying materials referenced in the ResCare RFQ-sets forth the entire and only contract between ResCare Inc. and the CMHC. Any representation, promise or conditions, whether oral or written, not incorporated herein will not be binding upon either party. Governing Law: This agreement shall be construed and enforced in accordance with the laws of the State of Arizona. Conflict in Hours: The CMHC agrees that he/she will not be entitled to and will not claim compensation for services performed under this contract for any hours of a working day for which he/she has received other compensation funds. For the purpose of this clause, payments by agencies or organizations funded by contracts or grants from the United States will constitute compensation from United States provided funds. It is further agreed by the CMHC that any claim for compensation submitted in violation of this clause will, if paid, be recoverable from the contract.       Privacy Act:  1. Contractor (the Provider) agrees: To comply with the Privacy Act of 1974 and the rules and regulations issued pursuant to the Act in design, development, or operation of any system of records on individuals in order to accomplish an agency function when the contract specifically identifies (I) the system or systems of records and (II) the work to be performed by the Provider in terms of anyone or combination of the following: design, development, or operation; To include the solicitation notification contained in this contract in every solicitation and resulting subcontract and in every subcontract award without a solicitation when the statement of work in the proposed subcontract requires the design, development, or operation of a system of records on individuals to accomplish an agency function; and To include this clause, including this paragraph (c), in all subcontracts awarded pursuant to this contract which require the design, development, or operation of such a system of records. 2. In the event of violations of the Act, a civil action may be brought, against the agency involved where the violation concerns the design, development, or operation of a system of records on individuals to accomplish any agency function, and criminal penalties may; be imposed upon the officers or employees of the agency where the violation concerns the operations of a system of records on individuals to accomplish an agency function. For purposes of the Act when the contract is for the operations a system of records on individuals to accomplish an agency function, the contractor and any employee of the contractor is considered to be an employee of the agency. 3. The terms used in this clause have the following meanings: a. "Operation of a system of records" means performance of any of the activities associated with maintaining the system of records including the collection, use, and dissemination of records. b. "Record" means any item, collection, or grouping of information about an individual that is maintained by an agency, including, but not limited to, the individual's education, financial transaction, medical history, and criminal or employment history, and that contains the individual's name, or the identifying number, symbol, or other identifying particulars assigned to the individual such as a finger or voice print or a photograph. c. "System of records" on individuals means a group of any records under the control of any agency from which information is retrieved by the name of the individual or by some identifying number, symbol, or other identifying particular assigned to the individual. Indemnification: Contractor shall defend, indemnify and hold harmless ResCare and its officers, directors, employees, agents, shareholders, partners, joint ventures, affiliates, successors and assigns from and against any and all liabilities, obligations, claims, demands, suits, losses, expenses, damages, fines, judgments, settlements and penalties, including, without limitation, costs, expenses and attorneys' fees incident thereto, arising out of or based upon contract damages, property damage or bodily injury (including death at any time resulting there from) to any person, including Contractor's employees, affiliates, or agents, occasioned by or in connection with (1) Contractor's performance of (or failure to perform) the contract duties hereunder; (2) a violation of any laws or any negligent act or omission by Contractor or its affiliates, subcontractors, agents or employees during the performance of the contract duties hereunder; or (3) a breach of this Agreement by Contractor or any of its affiliates, subcontractors, agents, or employees. The aforesaid obligation of indemnity shall be construed so as to extend to all legal, defense and investigation costs, as well as all other reasonable costs, expenses and liabilities incurred by the party indemnified, from and after the time at which the party indemnified received notification (whether verbal or written) that a claim or demand is to be made or may be made. Contractor's obligation under this section does not extend to any liability caused by the sole negligence of Job Corps Contractor ResCare. Insurance: Workers' Compensation insurance to cover obligations imposed by federal and state statutes having jurisdiction of its employees engaged in the performance of the services represented by this contract, and Employers' Liability insurance with a minimum limit of $500,000. Evidence of qualified self-insured status shall also suffice for this section. Professional Medical Liability insurance with a minimum combined single limit of $1 million for each occurrence and an aggregate of $3 million. General Liability insurance with a minimum combined single limit of $1 million for each occurrence and an aggregate of $3 million. (or letter, as per below). Where appropriate, Comprehensive Business Automobile Liability insurance with a combined single limit of $1 million per occurrence and in the aggregate. ResCare/Phoenix Job Corps Center must be listed as an 'addition insured' as their interest may appear, on both the Professional Medical Liability and General Liability insurance. If Contractor does not carry General Liability insurance and Contractor's Professional Liability insurance carrier does not offer General Liability coverage, Contractor will submit a letter from the carrier stating that the carrier does not provide the coverage. Failure to procure and maintain the required insurance and provide proof thereof, in the form of an appropriately executed certificate of insurance prior to the effective date of this contract or within thirty (30) days following the commencement of a new policy period, shall constitute a material breach of the contract. Such certificate shall contain provisions that coverage afforded under the policies shall not be canceled, terminated, or materially altered without at least thirty (30) days prior written notice to the other party. Contractor shall obtain the required insurance from a provider that is rated A- or better by A.M. Best or as acceptable by ResCare Inc. NOTE: For further consideration, vendors who are unable to meet any of the above insurance requirements should provide a detailed statement as to why they are unable to comply. Prime Contract Invoicing: Contractor shall submit to ResCare Inc. on a bi-weekly basis, an invoice for services provided during the covered billing period.
