- LIMITED SOURCES JUSTIFICATION ORDER >$150,000 FAR PART 8.405-6 Acquisition Plan Action ID: VA256-15-AP-8337 This acquisition is conducted under the authority of the Multiple Award Schedule Program. The material or service listed in par. 3 below is sole source, therefore, consideration of the number of contractors required by FAR Subpart 8.4 - Federal Supply Schedules, is precluded for the reasons indicated below. Restricted to the following source: Provide original manufacturer's name for material or contractor's name for service. (If a sole source manufacturer distributes via dealers, ALSO provide dealer information.) Manufacturer/Contractor: Sword & Shield Enterprise Security, Inc. (1) AGENCY AND CONTRACTING ACTIVITY:Department of Veterans Affairs Michael E. DeBakey VA Medical Center 2002 Holcombe Blvd. _______________ Houston, TX 77030 Purchasing and Contracting NCO 16 VISN: (2) NATURE AND/OR DESCRIPTION OF ACTION BEING APPROVED: Request approval to limit competition to a single manufacturer/source. This acquisition will result in the award of a firm-fixed price purchase order for commercial items. (3)(a)A DESCRIPTION OF THE SUPPLIES OR SERVICES REQUIRED TO MEET THE AGENCY'S NEED: This request is for the renewal of the Theradoc Software Contract. The MEDVAMC has had in place the TheraDoc software for the previous four fiscal years. This contract is for the continuation of the TheraDoc license and the annual maintenance and support of the TheraDoc system which is proprietary software held by Sword & Shield Enterprise Security, Inc. This software is already compatible with our systems and is currently in use. Contract will continue to be firm-fixed price. Previous years' contract numbers are 580C10017 (FY11), 580C20228 (FY12), 580C30190 (FY13 plus 2 option years). Software being acquired include the TheraDoc Expert System Platform (ESP) Extra Large Hospital Software License, TheraDoc Infectious Disease Suite Extra-large Hospital software subscription, TheraDoc Additional Knowledge Module Extra Large Hospital Software subscription-Clinical Alerts Assistant, TheraDoc Expert system platform embedded database software, TheraDoc Expert System Platform embedded database software, ColdFusion Standard, per server software subscription, and annual maintenance and support that go with the aforementioned items. (b)ESTIMATED DOLLAR VALUE: $1,559,227.21 total $282,180.59 base year (c)REQUIRED DELIVERY DATE: 04/01/2016 (4)IDENTIFICATION OF THE JUSTIFICATION RATIONALE (SEE FAR 8.405-6), AND IF APPLICABLE, A DEMONSTRATION OF THE PROPOSED CONTRACTOR'S UNIQUE QUALIFICATIONS TO PROVIDE THE REQUIRED SUPPLY OR SERVICE. (CHECK ALL THAT APPLY AND COMPLETE) 1Specific characteristics of the material or service that limit the availability to a sole source (unique features, function of the item, etc.). Describe in detail why only this suggested source can furnish the requirements to the exclusion of other sources. Sword & Shield Enterprise Security, Inc. is the only distributor of the proprietary TheraDoc software. The TheraDoc software cannot be procured from, or supported by any other Contractor. The Contract Specialist posted a sources sought notice on SEWP (#13078) which revealed no other Contractor that could support this product for the VA. The MEDVAMC Infectious Disease staff is very cognizant of products on the market for these types software systems and, although no other Contractors are currently able to provide this software, the VA is continuously looking for other Contractors to provide this software to the Government in order to promote competition. 1A patent, copyright or proprietary data limits competition. The proprietary data is: (If FAR 8.405-6(a)(2)iii before posting. Do not include specific proprietary data. Only mention the type of equipment, procedure, etc. to show that proprietary supplies or services are being procured.) The proprietary data, which is compatible with the current system, is the TheraDoc system. Sword & Shield Enterprise Security, Inc. is the only Contractor with rights to this proprietary data and is the only one who may perform maintenance on this system. 0These are "direct replacements" parts/components for existing equipment. N/A____________________________________________________________________________ 1The material/service must be compatible in all aspects (form, fit and function) with existing systems presently installed/performing. Describe the equipment/function you have now and how the new item/service must coordinate, connect, or interface with the existing system. The Michael E. DeBakey VA Medical Center is currently utilizing the TheraDoc software and it is compatible with the system. This would be a continuation of the utilizing the same TheraDoc software. 0The new work is a logical follow-on to an original Federal Supply Schedule order provided that the original order was placed in accordance with the applicable Federal Supply Schedule ordering procedures. The original order must not have been previously issued under sole source or limited source procedures. N/A 0An urgent and compelling need exists, and following the ordering procedures would result in unacceptable delays. N/A (5) DESCRIBE WHY YOU BELIEVE THE ORDER REPRESENTS THE BEST VALUE CONSISTENT WITH FAR 8.4 TO AID THE CONTRACTING OFFICER IN MAKING THIS BEST VALUE DETERMINATION: The TheraDoc system is proprietary software. It is held only by Sword & Shield Enterprise Security, Inc. and they are the only authorized distributor of the software for the VA. The TheraDoc software cannot be procured from, or supported by any other vendor and given the mandatory memo from June 1, 2007 this procurement must utilize SEWP since it involves IT. This software is compatible and already in use at the Michael E. DeBakey VA Medical Center. (6) DESCRIBE THE MARKET RESEARCH CONDUCTED AMONG SCHEDULE HOLDERS AND THE RESULTS OR A STATEMENT OF THE REASON MARKET RESEARCH WAS NOT CONDUCTED: The Contract Specialist posted a sources sought notice on SEWP (#13078) that resulted in only one response which was from Sword & Shield Enterprise Security, Inc. Sword & Shield Enterprise Security, Inc. is the current Contractor, recommended Contractor, and the only Contractor able to provide the Government with this proprietary software which is already in use and compatible with the system. The Contract Specialist also posted an Intent to Sole Source on SEWP (#17470) stating the intention to sole source to Sword & Shield Enterprise Security, Inc. and no responses were received. SEWP was utilized based on the mandatory memo from the Assistant Secretary for Information and Technology which requires all IT procurements to use SEWP. The MEDVAMC Infectious Disease staff is very cognizant of products on the market for these types software systems. At this time, Sword & Shield Enterprise Security, Inc. is the only distributor of the proprietary TheraDoc software. Currently, the TheraDoc software cannot be procured from, or supported by any other Contractor but, the VA is continuously searching for other Contractors, especially small business Contractors, who are able to provide this software in the future. (7) ANY OTHER FACTS SUPPORTING THE JUSTIFICATION: Since the TheraDoc software is proprietary, is compatible with our current system and, approved to work with VISTA/CPRS, only one Contractor is able to provide the requested software to the Government. The proprietary TheraDoc software is held only by Sword & Shield Enterprise Security, Inc. The TheraDoc software cannot be procured from, or supported by any other Contractor. Although the TheraDoc system is currently proprietary software, and only available from one source, the VA is continuously looking for other Contractors, especially small business Contractors, who will be able to provide this in the future in order to promote competition. Originally, this requirement was to be awarded on 01/01/2016. In order to allow more time for the review process, the current contract was extended and the new award date is 04/01/2016. (8) A STATEMENT OF THE ACTIONS, IF ANY, THE AGENCY MAY TAKE TO REMOVE OR OVERCOME ANY BARRIERS THAT LED TO THE RESTRICTED CONSIDERATION BEFORE ANY SUBSEQUENT ACQUISITION FOR THE SUPPLIES OR SERVICES IS MADE: Although currently the TheraDoc software is available only from Sword & Shield Enterprise Security, Inc. the VA is continuously looking for other Contractors, especially small business Contractors, who are able to provide this software in the future in order to promote competition. (9) REQUIREMENTS CERTIFICATION: I certify that the requirement outlined in this justification is a Bona Fide Need of the Department of Veterans Affairs and that the supporting data under my cognizance, which are included in the justification, are accurate and complete to the best of my knowledge. I understand that processing of this limited sources justification restricts consideration of Federal Supply Schedule contractors to fewer than the number required by FAR Subpart 8.4.
