- DEPARTMENT OF VETERANS AFFAIRS Justification and Approval for Other than Full and Open Competition Acq Plan: VA262-15-AP-0840 RLP: VA262-15-R-0134 Lease: VA262-15-L-0043 1. Contracting Activity: Department of Veterans Affairs, SAO West, Network Contracting Office (NCO) 22, 4811 Airport Plaza Drive, Long Beach, CA 90815. 2. Nature and/or Description of the Action Being Processed: NCO 22 intends to award a Succeeding Lease in accordance with GSAM 570.420 on behalf of VA Readjustment Counseling Services to support the Ventura Vet Center. According to documentation in eCMS, the Ventura Vet Center (Lease # VA262-R-0203) has been located at 790 E. Santa Clara Street, Ventura CA 93001 since February 1, 2003. The lease premises comprise approximately 3,187 Rentable Square Feet (RSF) with an established expiration date of January 31, 2015. The lease is currently under Standstill Agreement with a term February 1, 2015 through January 31, 2016. Delineated area: North: Poli Street. East: N. Kimball Road/Telephone Road/Ramelli Ave/Bristol Road/Johnson Drive. South: Highway 101/1/Market Street/Leland Street, and West: Highway 33. 3. Description of Supplies/Services Required to Meet the Agency's Needs: The requirement includes a statement of continuing need/commitment/expansion request memo from the requesting/requiring service for 3,900 RSF/3120NUSF (revised from 3600 RSF by requesting/requiring service on 5/15/2015) of clinical office space for readjustment and mental health counseling services within the delineated area in the City of Ventura. The expansion request is for total of 713 RSF (current lease premises is 3187 RSF), and the estimated Tenant Improvement (TI) costs for the expansion within the current Lease Premises are between $10.00-$20.00 sq. ft. ($7,130.00 to $14,260.00). If sound proofing is required, the estimated (TI) costs would be between $20.00-$50.00 sq. ft. ($14,260.00 to $35,650.00). 4. The space requirement includes twenty (20) surface parking spaces. The requested lease term is ten (10) years with unilateral Government termination rights after the first five (5) years. The annual average unserviced lease cost is anticipated to be $87,272.17 over the 10 year term. 5. Statutory Authority Permitting Other than Full and Open Competition: (X) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements per FAR 6.302-1; 6. Demonstration that the Contractor's Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): The leased space currently occupied under Lease VA262-R-0203 supports the current and ongoing need to provide Veterans and their families readjustment counseling services. Market research did not reveal any suitable locations available in the delineated area which met the Ventura Vet Center's square footage and parking requirements without substantial improvements or modifications. In addition to the cost of modifications, any relocation would result in Government incurred relocation expenses, voice/IT infrastructure re-installation costs, delays due to required modifications and operational disruption expenses. Based on a cost benefit analysis pursuant to GSAM 570.402-5 it is in the best interest of the Government to execute a Succeeding Lease to remain in place as the substantial duplication of costs to the Government are not expected to be recovered through competition (see attached cost benefit analysis). Accordingly, the existing Ventura Vet Center is the only location capable of providing the necessary leased space requirements described in Section III above without the Veteran's Health Administration experiencing substantial duplication of cost that could not be expected to be recovered through competition and unacceptable delays in fulfilling its requirements. 7. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: NCO 22 issued a Sources Sought Synopsis conforming to GSAM 570.402-2 on the Federal Business Opportunities (FBO) web site on February 6, 2014 to obtain potential offerors interested in providing leased space conforming to stated requirements. The response period was from February 6, 2014 through March 26, 2014. No responses were received. To ensure that potential offerors' were aware of the VA's space requirements in the City of Ventura within the delineated area, a second Sources Sought notice to obtain potential offerors interested in providing leased space conforming to stated requirements was published on FBO October 28, 2014. The response period was from October 28, 2014 to November 14, 2014. No responses were submitted. 8. Determination by the Contracting Officer that the Anticipated Cost to the Government will be Fair and Reasonable: Based on market research, current market rates for commercial leased space within the delineated area and the existing lease rates, the anticipated cost of the resultant lease will be fair and reasonable. The final negotiated rates will be confirmed based upon a fair market appraisal or waiver as applicable. Certified cost pricing data are not required for this lease procurement. The Ventura Vet Center Succeeding Lease falls within Simplified Lease guidelines. As a result, in lieu of a pre-award appraisal to establish price reasonableness, NCO 22 will prepare and request an appraisal waiver. 9. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: Between February and October 2014, assessments of the availability of commercial office space within the delineated area which could meet the Vet Center's needs was conducted. Market research of current commercial office lease rates was conducted utilizing LoopNet, and verified during the GSA Lease Delegation approval process. There were no suitable locations available that met the Ventura Vet Center's current or expansion space requirements. As described in Section IV above, market research was conducted by synopsis of the proposed acquisition, advising industry of the pending acquisition and soliciting inquiries from interested parties, however no suitable locations or responses were received. 10. Any Other Facts Supporting the Use of Other than Full and Open Competition: None. 11. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition: There were no expressions of interest received as a result of the February 6, 2014 Sources Sought published on FBO. Although a potential offeror indicated they planned on responding to the October 28, 2014 Sources Sought Notice, no response was received within the timeframe specified despite NCO 22 follow-up. As of December 16, 2014, no expressions of interest have been received. 12. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required: The agency will continue to utilize market data and seek available sources for future requirements. 13. Requirements Certification: I certify that the requirement outlined in this justification is a Bona Fide Need of the Department of Veterans Affairs and that the supporting data under my cognizance, which are included in the justification, are accurate and complete to the best of my knowledge and belief.
