J&A No: 15-001716 Contract No: HQ0147-15-R-0048 JUSTIFICATION AND APPROVAL FOR OTHER THAN FULL AND OPEN COMPETITION 1. Introduction. Upon the basis of the following justification, I, as the Missile Defense Agency (MDA) Competition Advocate, hereby approve the issuance of the contractual action discussed below using other than full and open competition, pursuant to the authority cited herein. 2. Agency and Contracting Activity (FAR Part 6.303-2(b)(1)). This Justification and Approval (J&A) is for the MDA Consolidated Support Program Office to procure Facility and Life Cycle Management Support for a period of one year in order to maintain operational and site activation schedules for the Facilities, Military Construction, and Environmental Management Directorate (MDA/DPF). The contracting activity is MDA/DACM. The point of contact for this action is, Contracting Officer, at. 3. Nature and Description of the Action Being Approved (FAR Part 6.303-2 (b)(2)). The action being approved by this J&A is award of a Sole Source, Cost Plus Fixed Fee (CPFF) contract to Parsons Government Services, Incorporated for 12 months to support execution of European Phased Adaptive Approach (EPAA) site activation activities in Romania, support completion of construction award EPAA Poland, support construction of Missile Field 1 Mechanical-Electrical Building (MEB), initial design activities for Long Range Discrimination Radar (LRDR), and to ensure audit readiness of MDA real property accountability. This effort is currently performed on contract HQ0147-10-D-0024-0006 which expires on June 21, 2016. This follow-on contract is necessary to allow for continuity until June 2017, in order to support completion of sustainment planning for the Aegis Ashore Complex in Romania (December 2016), support completion of the construction of the Mechanical-Electrical Building in Missile Field 1 (Spring 2017), support the award and initiation of construction activities for the Aegis Ashore Complex in Poland (May 2017), and support final site activation of the LRDR site inclusive of related facility planning and sustainment activities (May 2017). 4. Description of the Supplies and/or Services Required to Meet the Agency Needs (including the estimated value) (FAR Part 6.303-2(b)(3)). The Missile Defense Agency's Director of Facilities, MILCON, and Environmental Management requires the continuation of support from Parsons on the following tasks: a. Facility and Infrastructure Planning, Programming, and Real Property Asset Management: Support the infrastructure planning for the EPAA, site activation for the Aegis Ashore Complex in Deveselu, Romania, site security evaluations and implementation of punch list and seam/gap requirements against the initial construction phase of EPAA in order to ensure smooth transition from construction to warfighter occupancy and system stand-up/operations. Support the completion of the design work and construction contract award already started for the $200M Aegis Ashore Missile Defense Complex in Redzikowo, Poland. Supports completion of the Mechanical-Electrical Building construction in Missile Field 1, and completes the design concept for the LRDR facilities. b. Real Property Asset Management: Supports the Real Property Financial Improvement and Audit Readiness (FIAR) requirements. Supports completion of property accountability MDA-wide in response to Government Accountability Office (GAO) audit requirements and recommendations. Research Memorandum of Agreements (MOAs), Inter-Service Support Agreements (ISSAs), Service Support Agreements (SSAs), and Memorandum of Understanding (MOUs) for external support requirements and transactions regarding MDA's Life-Cycle Facility support requirements. c. Support to Procurement and Government Purchase Card Transactions and maintain associated facilities, infrastructure, environmental operations, and integration databases. Estimated cost for this effort is $9.88M for 12 months. 5. Statutory Authority Permitting Other than Full and Open Competition (FAR Part 6.303-2(b)(4)). The statutory authority permitting other than full and open competition is 10 USC 2304(c)(1), as implemented by Federal Acquisition Regulation (FAR) 6.302-1(a)(2), Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements. Continued provision of these specialized services are required to prevent a significant increase to program costs, unacceptable delays in program schedules, and adversely affect continuity of the MDA mission. The Presidentially mandated and Congressionally supported EPAA site initial design and sustainment activities and MDA-wide facility support requirements are on-going projects for which Parsons has provided highly specialized services to MDA to assist with the completion of the initial design for the Aegis Ashore site in Poland and the LRDR concept design activities; completion of site/facility sustainment planning for the Aegis Ashore site in Romania; and completion of the MEB construction in Ft Greely for Missile Field 1. Delays resulting from transition from Parsons to another contractor would severely impact the operations of the Ballistic Missile Defense System (BMDS) and the successful deployment of EPAA and other operational assets. 6. Demonstration of Contractor's Unique Qualifications or the Nature of the Acquisition Requires Use of the Authority Cited (FAR Part 6.303-2(b)(5)). Parsons has both intimate knowledge of the experience in managing the design, construction, fit-out, check-out, and sustainment of the Romanian and Polish Aegis Ashore facilities. Aegis Ashore is a unique, one-of-a-kind facility adapted from an Aegis deck house to land based operations for the targeting, tracking, and firing of Standard Missile Interceptors in the defense of the U.S. Homeland and our Allies. Parsons has the unique knowledge and combined expertise in local (international) construction contracts and sub/prime relationships, the political landscape, and intimate knowledge of the construction of the Aegis Ashore facility. Parsons is intimately involved with all aspects of facility/site related Congressionally/ GAO mandated MDA facilities and activities. The Agency is at a schedule and program stage for these efforts that the loss, even temporarily, of this expertise would result in significant schedule and cost increases associated with the Site Activation, Operation, and sustainment of the EPAA sites and the completion MDA Facility construction and related documentation. 7. Description of Market Research Conducted (FAR 6.303-2 (b)(6)(8) and (10)). a. This sole source action is follow-on for continuation of existing work. Market research was conducted at time of initial contract award for the MiDAESS contract. Since that time, Parsons has been the contractor providing the specialized services. b. A notice of intent to sole source was published on the FedBizOpps website on 12 August 2015. No responses/comments were received. c. Per FAR Part 6.305(a), the MDA will also electronically post a copy of this approved justification to the FedBizOpps stating the Agency's intent to award a sole source contract to the incumbent for mission-essential professional, scientific, engineering, technical, and support services for a period of up to 12 months. 8. Determination of Fair and Reasonable Cost (FAR 6.303-2 (b)(7)). The Government retains detailed data on the incumbent contractor's performance on current contracts and has access to cost/pricing data on other contractors who perform similar service contracts using comparable labor categories. Thorough price analyses of proposed prices for the bridge period will be conducted. This analysis will include comparisons of proposed prices to prices previously incurred under these contracts, as well as market analyses for similar services performed by other contractors. These efforts will provide the Contracting Officer with sufficient data to determine overall price reasonableness of the intended sole source award. 9. Actions Taken to Remove Barriers to Competition (FAR 6.303-2(b)(11)). There are no known barriers to future competition. MDA will re-compete this effort using competitive procurement procedures under the TEAMS acquisition strategy. The extension of current work proposed in this J&A for a sole source, 12 month follow-on contract, will allow an opportunity to complete critical Agency activities without unduly impacting cost or schedule while also supporting the transition to the competitive TEAMS acquisition in 2017. The TEAMS acquisition is ongoing and the positive feedback from over 400 participants in the February 2015 industry day indicates an understanding of and support for the TEAMS acquisition strategy.
