- SUBJECT: Pharmaceutical and Medical Supplies SOLICITATION NUMBER: Request for Proposal (RFP) #2016-N-17843 RESPONSE DUE DATE/TIME: July 22, 2016, before 5:00 pm (16:30) EASTERN TIME SECTION A - DESCRIPTION This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. This solicitation is a Request for Proposal (RFP). The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 05-40. The associated North American Industrial Classification System (NAICS) code for this procurement is 325412 - Pharmaceutical Preparation Manufacturing with a Standard Size of 1,250 employees. The Government intends to award a Firm Fixed-Price contract as a result of this solicitation that will include the terms and conditions that are set forth herein. Attachment A - RFP 2016-N-17843 Attached to this notice is a listing of the medical/surgical supplies required, Appendix A RFP 2016-N-17843. The spreadsheet outlines the yearly quantities, respective manufacturer part number and National Drug Code (NDC) for the five year period of performance, and a section for yearly pricing breakout. The spreadsheets have been left unlocked to allow vendors to copy portions of the spreadsheet and create their own, but we request you keep the Line Item List, Model #s and description formatting and order the same. (Section B.1) B.2. Summary of Key Factors If you have an alternate NDC#, Manufacturer #, UOM, Eaches, or dimension, please reflect such in your proposal and on the spreadsheet. Any alternate proposal model #s or UOM should be highlighted and obvious. Any alternative model #'s must include supporting documentation (such as product information pages) indicating that they meet the required technical specifications, absence of which will result in ineligibility for those Line Items. They should be easily recognizable and well defined. Offerors are not required to propose on all line items in order to be considered for award; however the Government will consider additional administrative costs in its price evaluation. The part numbers, where identified, are provided for specification purposes and responses may be either for the specified product or equal item. You may respond by either using the attachment or submitting your own list of products proposed. *Note: If no TAA Compliant product is proposed or technically acceptable, we will award to the lowest price technically acceptable non-TAA compliant product. Any potential subcontracting plans must also be documented and clear. B.2.1 Authorized Manufacturer/Distributor/Reseller In order to be considered for award, the offeror shall demonstrate itself to be at least one of the following: 1) the manufacturer of the products, 2) an authorized distributor of the manufactured products or 3) an authorized reseller of the manufactured product. Acceptable authorized distributor or reseller documentation includes letters and/or agreements from the product manufacturer. Failure to address authorization will result in the proposal's exclusion from consideration. Multiple awards are anticipated and will be made if in the Government's best interest after consideration of the additional administrative costs. (See Section D.1.1) B.3 Shipping and Delivery For purposes of proposing shipping prices, the Offeror shall use a uniform cost assumption of shipping from its manufacturing facility to a destination approximately 1200 miles away (United States' State or Territory within the OCONUS/CONUS). The shipping costs shall be included in the total cost of the contract. Shipping will be to a major city in one of the following States/Territories: California, Georgia, Guam, Utah, Mississippi, Hawaii, Kentucky, Maryland, Indiana, and Texas. The exact locations cannot be given until a contract is in place and a NDA is signed. In your response, shipping costs should be included with the UoM price. B.3.1 Method of Delivery Unless otherwise specific by the Contracting Officer, delivery of the items other than those identified in Line Items to be furnished to the government under this contract (including invoices) shall be made by first class mail, overnight carrier or e-mail. B.3.2 Packaging Where applicable, packaging shall be consistent with the FDA approved labeling and packaging for this product at the time of manufacture. Packaging specifications and dimensions shall meet those detailed in Attachment A. B.4 Inspection and Acceptance B.4.1 Inspection and acceptance of the articles, services, and documentation called for herein shall be accomplished by the Contracting Officer or his duly authorized representative (who for the purposes of this contract shall be the Project Officer/COR) at the destination of the articles, services or documentation. B.4.2 The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or re-performance of nonconforming services at no increase in contract price. The Government must exercise its post-acceptance rights: (1) Within a reasonable time after the defect was discovered or should have been discovered; and (2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item. (End of Clause) B.4.3 Contractor Inspection Requirements The Contractor is responsible for performing or having performed all inspections and tests necessary to substantiate that the supplies or services furnished under this contract conform to contract requirements, including any applicable technical requirements for specified manufacturers' parts. This clause takes precedence over any Government inspection and testing required in the contract's specifications, except for specialized inspections or tests specified to be performed solely by the Government. (End of Clause) B.5 Additional Requirements • At time of delivery to the Government, the Contractor is expected to provide 90% or greater of shelf life dating remaining. • Vendor shall provide shelf-life description and dating for each pharmaceutical product. • No Partial Case or Packages quantities will be accepted, unit of measure ordered cannot be broken down further. • No Mixed Lot #'s per Case or per Packages will be accepted • Manufactured sealed full case quantities only. • One Lot number per pallet. The last pallet will be able to contain multiple lot numbers per PO; Lots must be clearly identified. • Item description, NDC/Part number, Lot numbers and quantities shall be included on the packing list. • All pallets are to be Grade A/Heat Treated and have the identical TyHi stack pattern except for the last final pallet • All product to be delivered on standard 48" by 40" pallet, not to exceed 60" in height, stretch wrapped (clear) and secured to pallet for safe transport • The Government COR will contact the vendor's designated POC to develop a delivery schedule • Vendor shall place storage requirements on all packing lists • Vendor shall separately invoice each delivery/shipment within 10 days of warehouse receipt o Invoices shall coincide with what was actually delivered B.6 Key Dates All questions/inquiries must be submitted to the contracting officer via electronic mail (e-mail) not later than 12:00 Noon EDT on July 9, 2016. Inquiries submitted via telephone will be re-directed to an e-mail submission. Submit offers and/or any questions to the attention of Tessa Buffington at vsr3@cdc.gov. Questions will be answered on an individual basis and responses will be posted to FBO. Proposals are due on July 22, 2016 5:00 PM EDT. Offerors who fail to complete and submit the requirements of this combined synopsis/solicitation may be considered non-responsive. Proposals received prior to the RFP closing date and time (July 22, 2016 5:00 PM EDT) will be considered by the CDC. Late proposals will not be accepted. B.7 Option for Increased Quantity - Separately Priced Line Items The Government may require the delivery of the numbered line items, identified in the schedule in Attachment A as option items, in incremental quantities at the price stated in the award, up to the maximum quantity identified for each numbered line item. Each option line item may be exercised more than once, until the cumulative number of units to be delivered under each option is delivered. The total units hereunder shall not exceed the respective line item unit maximums over the 5 year period of performance, unless changed by formal modification to the contract. The amount of funding for each instance of exercising an option CLIN can be calculated as follows: number of units X price per unit for the CLIN being exercised = funding amount. The Contracting Officer may exercise the option by written notice to the Contractor. The Contractor will be notified in writing, by letter or email, at least one (1) business day before the option to acquire more product is exercised. After that written notification, a funded, unilateral modification will be issued to actually exercise the option and order the doses. SECTION C - CONTRACT CLAUSES 52.212-4 -- Contract Terms and Conditions -- Commercial Items (May 2015) (a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights -- (1) Within a reasonable time after the defect was discovered or should have been discovered; and (2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item. (b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C.3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract. (c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties. (d) Disputes. This contract is subject to 41 U.S.C. chapter 71,Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at FAR 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract. (e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference. (f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence. (g) Invoice. (1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include -- (i) Name and address of the Contractor; (ii) Invoice date and number; (iii) Contract number, contract line item number and, if applicable, the order number; (iv) Description, quantity, unit of measure, unit price and extended price of the items delivered; (v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading; (vi) Terms of any discount for prompt payment offered; (vii) Name and address of official to whom payment is to be sent; (viii) Name, title, and phone number of person to notify in event of defective invoice; and (ix) Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the invoice only if required elsewhere in this contract. (x) Electronic funds transfer (EFT) banking information. (A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract. (B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer- System for Award Management, or 52.232-34, Payment by Electronic Funds Transfer-Other Than System for Award Management), or applicable agency procedures. (C) EFT banking information is not required if the Government waived the requirement to pay by EFT. (2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315. (h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings. (i) Payment. (1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract. (2) Prompt Payment. The Government will make payment in accordance with the Prompt Payment Act (31 U.S.C. 3903) and prompt payment regulations at 5 CFR Part 1315. (3) Electronic Funds Transfer (EFT). If the Government makes payment by EFT, see 52.212-5(b) for the appropriate EFT clause. (4) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made. (5) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall- (i) Remit the overpayment amount to the payment office cited in the contract along with a description of the overpayment including the- (A) Circumstances of the overpayment (e.g., duplicate payment, erroneous payment, liquidation errors, date(s) of overpayment); (B) Affected contract number and delivery order number, if applicable; (C) Affected contract line item or subline item, if applicable; and (D) Contractor point of contact. (ii) Provide a copy of the remittance and supporting documentation to the Contracting Officer. (6) Interest. (i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the Treasury as provided in 41 U.S.C. 7109, which is applicable to the period in which the amount becomes due, as provided in (i)(6)(v) of this clause, and then at the rate applicable for each six-month period at fixed by the Secretary until the amount is paid. (ii) The Government may issue a demand for payment to the Contractor upon finding a debt is due under the contract. (iii) Final decisions. The Contracting Officer will issue a final decision as required by 33.211 if- (A) The Contracting Officer and the Contractor are unable to reach agreement on the existence or amount of a debt within 30 days; (B) The Contractor fails to liquidate a debt previously demanded by the Contracting Officer within the timeline specified in the demand for payment unless the amounts were not repaid because the Contractor has requested an installment payment agreement; or (C) The Contractor requests a deferment of collection on a debt previously demanded by the Contracting Officer (see 32.607-2). (iv) If a demand for payment was previously issued for the debt, the demand for payment included in the final decision shall identify the same due date as the original demand for payment. (v) Amounts shall be due at the earliest of the following dates: (A) The date fixed under this contract. (B) The date of the first written demand for payment, including any demand for payment resulting from a default termination. (vi) The interest charge shall be computed for the actual number of calendar days involved beginning on the due date and ending on- (A) The date on which the designated office receives payment from the Contractor; (B) The date of issuance of a Government check to the Contractor from which an amount otherwise payable has been withheld as a credit against the contract debt; or (C) The date on which an amount withheld and applied to the contract debt would otherwise have become payable to the Contractor. (vii) The interest charge made under this clause may be reduced under the procedures prescribed in 32.608-2 of the Federal Acquisition Regulation in effect on the date of this contract. (j) Risk of loss. Unless the contract specifically provides otherwise, risk of loss or damage to the supplies provided under this contract shall remain with the Contractor until, and shall pass to the Government upon: (1) Delivery of the supplies to a carrier, if transportation is f.o.b. origin; or (2) Delivery of the supplies to the Government at the destination specified in the contract, if transportation is f.o.b. destination. (k) Taxes. The contract price includes all applicable Federal, State, and local taxes and duties. (l) Termination for the Government's convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work hereunder and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges the Contractor can demonstrate to the satisfaction of the Government using its standard record keeping system, have resulted from the termination. The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor's records. The Contractor shall not be paid for any work performed or costs incurred which reasonably could have been avoided. (m) Termination for cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience. (n) Title. Unless specified elsewhere in this contract, title to items furnished under this contract shall pass to the Government upon acceptance, regardless of when or where the Government takes physical possession. (o) Warranty. The Contractor warrants and implies that the items delivered hereunder are merchantable and fit for use for the particular purpose described in this contract. (p) Limitation of liability. Except as otherwise provided by an express warranty, the Contractor will not be liable to the Government for consequential damages resulting from any defect or deficiencies in accepted items. (q) Other compliances. The Contractor shall comply with all applicable Federal, State and local laws, executive orders, rules and regulations applicable to its performance under this contract. (r) Compliance with laws unique to Government contracts. The Contractor agrees to comply with 31 U.S.C. 1352 relating to limitations on the use of appropriated funds to influence certain Federal contracts; 18 U.S.C. 431 relating to officials not to benefit; 40 U.S.C. chapter 37, Contract Work Hours and Safety Standards; 41 U.S.C. chapter 87, Kickbacks; 41 U.S.C. 4712 and 10 U.S.C. 2409 relating to whistleblower protections; 49 U.S.C. 40118, Fly American; and 41 U.S.C. chapter 21 relating to procurement integrity. (s) Order of precedence. Any inconsistencies in this solicitation or contract shall be resolved by giving precedence in the following order: (1) The schedule of supplies/services. (2) The Assignments, Disputes, Payments, Invoice, Other Compliances, Compliance with Laws Unique to Government Contracts, and Unauthorized Obligations paragraphs of this clause. (3) The clause at 52.212-5. (4) Addenda to this solicitation or contract, including any license agreements for computer software. (5) Solicitation provisions if this is a solicitation. (6) Other paragraphs of this clause. (7) The Standard Form 1449. (8) Other documents, exhibits, and attachments. (9) The specification. (t) System for Award Management (SAM). (1) Unless exempted by an addendum to this contract, the Contractor is responsible during performance and through final payment of any contract for the accuracy and completeness of the data within the SAM database, and for any liability resulting from the Government's reliance on inaccurate or incomplete data. To remain registered in the SAM database after the initial registration, the Contractor is required to review and update on an annual basis from the date of initial registration or subsequent updates its information in the SAM database to ensure it is current, accurate and complete. Updating information in the SAM does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document. (2) (i) If a Contractor has legally changed its business name, "doing business as" name, or division name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in Subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day's written notification of its intention to: (A) Change the name in the SAM database; (B) Comply with the requirements of Subpart 42.12 of the FAR; (C) Agree in writing to the timeline and procedures specified by the responsible Contracting Officer. The Contractor must provide with the notification sufficient documentation to support the legally changed name. (ii) If the Contractor fails to comply with the requirements of paragraph (t)(2)(i) of this clause, or fails to perform the agreement at paragraph (t)(2)(i)(C) of this clause, and, in the absence of a properly executed novation or change-of-name agreement, the SAM information that shows the Contractor to be other than the Contractor indicated in the contract will be considered to be incorrect information within the meaning of the "Suspension of Payment" paragraph of the electronic funds transfer (EFT) clause of this contract. (3) The Contractor shall not change the name or address for EFT payments or manual payments, as appropriate, in the SAM record to reflect an assignee for the purpose of assignment of claims (see FAR Subpart 32.8, Assignment of Claims). Assignees shall be separately registered in the SAM database. Information provided to the Contractor's SAM record that indicates payments, including those made by EFT, to an ultimate recipient other than that Contractor will be considered to be incorrect information within the meaning of the "Suspension of payment" paragraph of the EFT clause of this contract. (4) Offerors and Contractors may obtain information on registration and annual confirmation requirements via SAM accessed through https://www.acquisition.gov. (u) Unauthorized Obligations. (1) Except as stated in paragraph (u)(2) of this clause, when any supply or service acquired under this contract is subject to any End Use License Agreement (EULA), Terms of Service (TOS), or similar legal instrument or agreement, that includes any clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti-Deficiency Act violation (31 U.S.C. 1341), the following shall govern: (i) Any such clause is unenforceable against the Government. (ii) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an "I agree" click box or other comparable mechanism (e.g., "click-wrap" or "browse-wrap" agreements), execution does not bind the Government or any Government authorized end user to such clause. (iii) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement. (2) Paragraph (u)(1) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures. (v) Incorporation by reference. The Contractor's representations and certifications, including those completed electronically via the System for Award Management (SAM), are incorporated by reference into the contract. As used herein, technical directions are directions to the Contractor which fill in details, suggests possible lines of inquiry, or otherwise completes the general scope of work set forth herein. These technical directions must be within the general scope of work, and may not alter the scope of work or cause changes of such a nature as to justify an adjustment in the stated contract price/cost, or any stated limitation thereof. In the event that the Contractor feels that full implementation of any of these directions may exceed the scope of the contract, he or she shall notify the originator of the technical direction and the Contracting Officer in a letter separate of any required report(s) within two (2) weeks of the date of receipt of the technical direction and no action shall be taken pursuant to the direction. (End of Clause) CDC42.0002 Evaluation of Contractor Performance Utilizing CPARS (April 2013) In accordance with FAR 42.15, the Centers for Disease Control and Prevention (CDC) will review and evaluate contract performance. FAR 42.1502 and 42.1503 requires agencies to prepare evaluations of contractor performance and submit them to the Past Performance Information Retrieval System (PPIRS). The CDC utilizes the Department of Defense (DOD) web-based Contractor Performance Assessment Reporting System (CPARS) to prepare and report these contractor performance evaluations. All information contained in these assessments may be used by the Government, within the limitations of FAR 42.15, for future source selections in accordance with FAR 15.304 where past performance is an evaluation factor. The CPARS system requires a contractor representative to be assigned so that the contractor has appropriate input into the performance evaluation process. The CPARS contractor representative will be given access to CPARS and will be given the opportunity to concur or not-concur with performance evaluations before the evaluations are complete. The CPARS contractor representative will also have the opportunity to add comments to performance evaluations. The assessment is not subject to the Disputes clause of the contract, nor is it subject to appeal beyond the review and comment procedures described in the guides on the CPARS website. [End of Clause] SECTION D - SOLICITATION PROVISIONS 52.212-1 -- Instructions to Offerors -- Commercial Items (Oct 2015) (a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees. (b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation "DUNS" or "DUNS+4" followed by the DUNS or DUNS+4 number that identifies the offeror's name and address. The DUNS+4 is the DUNS number plus a 4-character suffix that may be assigned at the discretion of the offeror to establish additional SAM records for identifying alternative Electronic Funds Transfer (EFT) accounts (see FAR Subpart 32.11) for the same concern. If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one. The offeror should indicate that it is an offeror for a Government contract when contacting the local Dun and Bradstreet office. (k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov. (l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable: (1) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer. (2) The overall evaluated cost or price and technical rating of the successful and debriefed offeror and past performance information on the debriefed offeror. (3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection. (4) A summary of rationale for award; (5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror. (6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency. (End of Provision) Evaluation Factors E.1 Instructions, Conditions, and Notices to Offerors E.1.1 Technical Proposal Instructions (a) The technical proposal should be in enough detail to reflect a clear understanding of the nature of the work being undertaken and should address each of the Technical Evaluation Criteria in Section E.1. (b) The technical proposals must not contain reference to cost; however, information such as packaging dimensions/specifications and substitute documentation must be referenced in the technical proposal so the Government has sufficient information to evaluate the product. The narrative plan shall include a general approach and key deadline dates. Provide detailed information to support a Government determination of suitability and sizing of product and specific shipping information. The technical proposal should succinctly address the evaluation criteria at Section E and shall not exceed 20 pages in length. Dimensions, specifications, packaging, and product information do not count against the maximum length of 20 pages. All electronic submissions must be compatible with MS Office 2003 (1 copy) and Adobe 8.0 (1 copy). In addition, vendor shall provide the following in their proposal for consideration; if this documentation is not submitted, vendor will be deemed ineligible for award and/or award of particular line item(s): The following MUST be included in offeror's technical proposal in order to be considered for award (See chart below E.3.6): A- Documentation or proof that you are one of the following: 1) the manufacturer of the products, 2) an authorized distributor of the manufactured products or 3) an authorized reseller of the manufactured product. This may be a letter and/or an agreement from the manufacturer. If you are the manfacturer, then this could be a statement that you are the manufacturer. This is applicable to each item you are proposing. B- The NDC #/Manufacturer #/Part #, Product Name and Description, UoM and Packaging UoM for each item you are proposing. C- Shelf-life data for each item you are proposing D- TAA Compliance with country of origin for each item you are proposing. In addition to the above for item proposed that the offeror has determined to be an equal to the item requested in the solicitation, the vendor must provide enough documentation to support a brand name or equal determination. This documentation may include product information pages such as a catalog page. A submission of only the alternate NDC #/Manufacturer #/Part # and product name will not be sufficient for determination. All products will be subject to FAR Part 25 (Buy American Act). Waivers will be considered on a case to case basis. Preference will be given to products that are TAA compliant. The Government understands that some product listed cannot be TAA compliant. Vendors are welcome to propose both TAA compliant and non-compliant. If a vendor is proposing a TAA non-compliant product, please provide any information that may assist the Government in determining whether a waiver should be granted for that product. E.1.2 Business Proposal Instructions The business proposal shall not exceed 50 pages and shall reflect all cost information per proposed upon CLIN as delineated in the spreadsheet, Attachment A. All shipping costs shall be included in the per unit price. E.2 Past Performance Evaluation Past performance information will be evaluated in the following manner: E.2.1 Each Offeror shall be evaluated on its past performance under current and prior contracts. By past performance, the Government means the Offeror's record of conforming to specifications and to standards of good workmanship; the Contractor's record of forecasting and controlling costs; the Offeror's adherence to contract schedules and terms, including the administrative aspects of performance; the Offeror's reputation for reasonable and cooperative behavior and commitment to customer satisfaction; and generally, the Offeror's business like concern for the interest of the customer and the degree of quality of deliverables and performance. E.2.2 Past performance will not be scored, but the Government's conclusions about overall quality of the Offeror's past performance will be highly influential in determining the relative merits of the Offeror's proposal and in selecting the Offeror whose proposal is considered the most advantageous/best value to the Government. E.2.3 The Government will focus on information that demonstrates quality of performance for similar services relative to the size and complexity of the procurement under consideration. E.2.4 The Government will evaluate the quality of the Offeror's past performance based on collaborated past performance evaluations included in the Offeror's proposal and/or other information obtained from references provided by the Offeror, as well as other relevant past performance information obtained from other sources known to the Government. The Government may or may not survey all contracts listed by the Offeror, and reserves the right to perform customer surveys only for those contracts deemed by the Government to be most relevant to this procurement. The information provided by the Offeror in accordance with provision "E.10 Submission of Past Performance Information" will be used by the Government to gather required past performance evaluations. E.2.5 Evaluation of past performance will be a subjective assessment based on a consideration of all relevant facts and circumstances. It will not be based on absolute standards of acceptable performance. E.2.6 The assessment of the Offeror's past performance will be used as a means of evaluating the relative capability of the Offeror and the other competitors. Thus, an Offeror with an exceptional record of relevant past performance may receive a more favorable evaluation than another whose record is acceptable and/or less relevant, even though both may have acceptable technical and business proposals. E.2.7 An Offeror without a record of past performance or for whom information on past performance is not available will not be evaluated favorably or unfavorably. E.2.8 Information provided by Offerors, as requested under Section L herein, relating to problems encountered on the identified contracts and the Offeror's corrective actions will be considered when unfavorable reports of past performance are received. If award will be made without conducting discussions, Offerors may be given the opportunity to clarify certain aspects of past performance information (e.g. relevance of an Offeror's past performance information and averse past performance which the Offeror has not previously had an opportunity to respond). Communications may be held with Offerors to obtain additional information regarding adverse past performance when required for making a competitive range determination. If discussions are held, Offerors will be given an opportunity to address unfavorable reports of past performance. Recent contracts will be examined to ensure that corrective measures have been implemented. E.2.9 Past performance will be evaluated for only those Offerors remaining in the competitive range after completion of the review of the business proposals and technical proposals. E.2.10 Evaluation of past performance information will be reflected in terms of the following degrees of performance assessment: E.2.10.1 Excellent: A significant majority of the sources of information are consistently firm in stating that the Offeror's performance was superior and that they would unhesitatingly do business with the Offeror again. Complaints are negligible or unfounded. The Offeror has no record of criminal conduct, civil fraud, or negligence, or the record is old and the Offeror has demonstrated by more recent performance that corrective action has made the likelihood of such conduct in the future highly improbably. No doubt exists that the Offeror will successfully perform the Government's requirements as stated in the RFP. E.2.10.2 Good: Most sources of information state that the Offeror's performance was good, better than average, etc., and that they would willingly do business with the Offeror again. Complaints, though perhaps well-founded, are few and relatively minor. The Offeror has no record of criminal conduct, civil fraud, or negligence, or the record is old and the Offeror has demonstrated by more recent performance that corrective action has made the likelihood of such conduct in the future highly improbable. Little doubt exists that the Offeror will successfully perform the Government's requirements as stated in the RFP. E.2.10.3 Neutral: Either no past performance history exists for the corporation, predecessor companies, key personnel, or major/critical subcontractors, or the Offeror's record of past performance was neither predominantly favorable nor unfavorable. In the latter case, sources of information are roughly divided over the quality of the Offeror's performance. While some state that they would do business with the Offeror again, others are doubtful or would not. Complaints are balanced by reports of good work. The Offeror has no record of criminal conduct, civil fraud, or negligence, or the record is old. E.2.10.4 Marginal: Many sources of information made unfavorable reports about the Offeror's performance and either express serious doubts about doing business with the Offeror again or state that they would refuse to do so. However, there are some favorable reports, and some sources of information indicate that they would do business with the Offeror again. There are many significant, serious, and well-founded complaints, but there are some reports of very good performance. The Offeror may have been indicted, pled guilty, or may have been found guilty in matters of criminal conduct, but the issues are either unresolved, relatively minor, or do not reflect a company-wide or managerial pattern of wrongdoing. The Offeror may have lost civil suits for fraud or negligence, but there is no company-wide or managerial pattern of fraudulent, negligent, or criminal conduct. Some doubt exists that the Offeror will successfully perform the Government's requirements as stated in the RFP. E.2.10.5 Poor: A significant majority of sources of information are consistently firm in stating that the Offeror's performance was entirely unsatisfactory and that they would not do business with the Offeror again under any circumstances. Customer complaints are substantial or numerous and are well founded. Or, although not debarred or suspended, the Offeror is under indictment or has been convicted of criminal conduct, or has been found civilly liable for fraud or negligence. The Offeror either has presented no persuasive evidence of having taken appropriate corrective action that will guard against such conduct in the foreseeable future, or it appears unlikely that the corrective action will be effective. Serious doubt exists that the Offeror will successfully perform the Government requirements as stated in the RFP. (End of Provision) E.3 Evaluation of Technical Proposal E.3.1 The Government will perform a qualitative technical review of proposals. The technical evaluation will be performed in accordance with the following criteria: E.3.2 Relationship between Cost or Price and Technical Strength - Offerors are advised that in proposal evaluation, paramount consideration shall be given to technical rather than cost. Furthermore, price will be evaluated on the basis of price reasonableness. E.3.3 The Contract shall be awarded to the vendor whose proposal (technical and business) is determined to be the most advantageous and the best value to the Government, price and other factors (identified below) considered. Technical factors will be greater than cost in this evaluation as the criteria is Pass/Fail. Only vendors who pass technical criteria will be considered. Preference will be given to the best value in relation to the proposed costs and length of shelf-life (price per month of shelf-life). E.3.4 Alternate UoM: If you have an alternate NDC#, Manufacturer #, UOM, Eaches, or dimension, please reflect such in your proposal and on the spreadsheet. Any alternate proposal model #s or UOM should be highlighted and obvious. Any alternative model #'s must include documentation indicating that they meet the required technical specifications. They should be easily recognizable and well defined. While not generally a critical factor, alternative model #s with UoMs that depart excessively from the requested UoM can impact CDC mission and will be considered in making a best value determination. E. 3.5 Technical Evaluation Chart The technical evaluation sub-factors and evaluation criteria are as follows: Criteria Product re-sell authorization letter/agreement PASS/FAIL Product Specifications PASS/FAIL TAA Compliance Product re-sell authoriztion letter/agreement: Contractors are to provide documentation to support that they are authorized to sell the product to the Government as either the manufacturer, an authorized distributor, and/or an authorized reseller. This documentation may take the form of one of the following: 1) a statement that the offeror is the manufacturer of the product(s) proposed, 2) a distributor agreement for each of the product(s) proposed, 3) written documentation from the manufacturer of each proposed product that the offeror is authorized to sell their product. This documentation shall be included in your technical proposal. Failure to do so will result in vendor being ineligible for award of those Lines/Clins. Product Specifications: Contractors are to provide brand name or equal products. If the proposed item does not have the same NDC # as the one provided, the Contractor must submit enough information to allow the Government to make a determination that the substituted item is of equal specifications. Failure to do so will result in vendor being ineligible for award of those Lines/CLINS. This criterion will be evaluated on a Pass/Fail basis. In order to be considered for award, the offeror must pass this criterion. TAA Compliance: Products will be subject to FAR Part 25 (Buy American Act). Waivers will be considered on a case to case basis. Preference will be given to products that are TAA compliant over a non-TAA compliant lower cost. If there is a mixed TAA response on a line item, we will award to the compliant response. The Government understands that some products listed cannot be TAA compliant. Vendors are welcome to propose both TAA compliant and non-compliant options for any line. Indication of whether a line proposed is compliant or not shall be included in the vendor's proposal including country of origin. If a vendor is proposing a TAA non-compliant product, please provide any information that may assist the Government in determining whether a waiver should be granted for that product. If no TAA compliant product is proposed or technically acceptable for that line, we will award to the best value non-TAA compliant product. If there is a mix of TAA compliance and non-compliance items propose, the Government will award to the best value compliant line. E.4 Evaluation of Business Proposal E.4.1 The Government will evaluate the Offeror's proposed prices to determine price reasonableness for proposed work. E.4.2 Individual awards shall be for the items or combination of items that result in the lowest aggregate cost to the Government, including the administration costs. E.4.3 On line items where offerors propose products with varying shelf life, the Government may take into account the cost per month of valid shelf life to help determine the best value to the Government when taking shelf life information into account. E.4.4 A written notice of award or acceptance of an offer mailed or otherwise furnished to the successful Offeror within the time for acceptance specified in the offer shall result in a binding contract without further action by either party. Before the Offeror's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award. Evaluation of Proposals for Multiple Awards In addition to other factors, proposals will be evaluated on the basis of advantages and disadvantages to the Government that might result from making more than one award (multiple awards). Individual awards will be for the items or combinations of items that result in the lowest aggregate cost to the Government, including the administrative costs. (End of provision) CDC Provisions: CDC42.0001 Contractor Performance Assessment Reporting System (CPARS) Requirements (April 2013) In accordance with FAR 42.15, the Centers for Disease Control and Prevention (CDC) will review and evaluate contract performance. FAR 42.1502 and 42.1503 requires agencies to prepare evaluations of contractor performance and submit them to the Past Performance Information Retrieval System (PPIRS). The CDC utilizes the Department of Defense (DOD) web-based Contractor Performance Assessment Reporting System (CPARS) to prepare and report these contractor performance evaluations. All information contained in these assessments may be used by the Government, within the limitations of FAR 42.15, for future source selections in accordance with FAR 15.304 where past performance is an evaluation factor. The CPARS system requires a contractor representative to be assigned so that the contractor has appropriate input into the performance evaluation process. The CPARS contractor representative will be given access to CPARS and will be given the opportunity to concur or not-concur with performance evaluations before the evaluations are complete. The CPARS contractor representative will also have the opportunity to add comments to performance evaluations. The assessment is not subject to the Disputes clause of the contract, nor is it subject to appeal beyond the review and comment procedures described in the guides on the CPARS website. Refer to: www.cpars.gov for details and additional information related to CPARS, CPARS user access, how contract performance assessments are conducted, and how Contractors participate. Access and training for all persons responsible for the preparation and review of performance assessments is also available at the CPARS website. The contractor must provide the CDC contracting office with the name, e-mail address, and phone number of their designated CPARS representative who will be responsible for logging into CPARS and reviewing and commenting on performance evaluations. The contractor must maintain a current representative to serve as the contractor representative in CPARS. It is the contractor's responsibility to notify the CDC contracting office, in writing (letter or email), when their CPARS representative information needs to be changed or updated. Failure to maintain current CPARS contractor representative information will result in the loss of an opportunity to review and comment on performance evaluations.
