Seeking Interest in the Use of Available Land and Facilities at NASA Michoud Assembly Facility (MAF) for Renewable Energy Projects PUROSE OF THIS NOTICE The National Aeronautics and Space Administration (NASA) is seeking to facilitate the use of certain under-utilized property at NASA's Michoud Assembly Facility (MAF), which is located at 13800 Old Gentilly Road in New Orleans, Louisiana, for renewable energy research or production purposes. This notice is issued by NASA's Marshall Space Center (MSFC) in Huntsville, Alabama, which has responsibility for the management of MAF. NASA seeks, through this notice, to (1) provide industry and other non-federal public or private entities with broad awareness and visibility of opportunities to partner with NASA in use of certain NASA land and other facilities at MAF for renewable energy research or production purposes; and (2) obtain responses, in the form of Partnership Plans, from industry and other entities who have a specific interest in negotiating an arrangement with NASA for the use of Available Facilities, as defined herein. NASA will make facilities available only if deemed in the Government's best interests. NASA reserves the right to proceed with development and negotiation of real property agreements or other agreements with respondents to this notice, or to take no action. Responses to this NOA place NASA under no obligation to proceed with any partnering arrangements. As noted herein, NASA may initially issue a Letter of Intent to a Partner in lieu of entering into a legally binding agreement. NASA is not precluded from entering into agreements with other Federal entities, or for deciding to use the property for NASA purposes, regardless of expressions of interest and proposed uses that NASA may receive from industry or other entities pursuant to this notice. AVAILABLE FACILITIES The following land area has been identified as available for potential use by Partners under this NOA: Approximately 200 acres of open land located at the Michoud Assembly Facility in New Orleans East. The land is generally flat and without trees, located within the MAF security perimeter, and within the protection of MAF levees. This land includes approximately 85 acres that are in a designated buffer zone for certain testing that occurs at MAF. This land does not include locations at MAF that are most suitable for the construction of office buildings, manufacturing facilities, or other habitable buildings. A diagram of MAF, showing the approximate location of the available land, is included as Attachment 1. In addition to this land area, other land, facilities, or services may be made available at the discretion of NASA, if requested by a Respondent in support of the Respondent's Partnership Plan. SUBMISSION OF PARTNERSHIP PLANS Respondents wishing to partner with NASA in the use of any portion of the Available Facilities at MAF should submit a Partnership Plan to the NASA Point of Contact designated below. A Partnership Plan, as originally submitted, need not be in great detail, but should provide enough information for NASA to understand the general parameters of the plan, including in general terms such things as the facilities desired, the planned use of the facilities, the desired timetable and duration of the proposed lease or other agreements, the proposed compensation to NASA, and any services expected to be needed from NASA. Respondents should address the degree to which their project at MAF would be a certainty or is conditioned on factors such as obtaining financing, receiving a contract award from a third party, or verifying site conditions. Respondents should also provide company information sufficient to enable NASA to make an initial assessment of company capabilities and suitability as a partner, and provide the name, address, e-mail address, and telephone number for the primary point of contact for the company (or other entity). NASA and the Respondent may further develop the Partnership Plan through discussions. However, Respondents are cautioned that NASA has no obligation to enter into any discussions with respect to a Partnership Plan, so plans that do not demonstrate significant merit as submitted may not receive any further consideration. Additionally, NASA may choose to move forward immediately (issue a Letter of Intent or negotiate a formal agreement) on plans that do demonstrate greater merit as originally submitted (potentially eliminating other incompatible plans that seek to use some of the same land or other facilities). The initial deadline for submissions of Partnership Plans is July 20, 2016. NASA intends to give priority consideration to plans received by that date. However, if the Available Facilities are not fully committed, NASA may, at its discretion, consider new Partnership Plan submissions under this NOA until June 30, 2018, unless NASA sooner decides to cancel, amend, or supersede the NOA. Submission by e-mail is satisfactory. GOVERNMENT'S RIGHT TO APPLY CRITERIA: NASA reserves the right to apply criteria for assessing the "best fit" for alternative uses and users which may be considered for the Available Facilities identified in this announcement. Such criteria may include, but not be limited to: * Compatibility with other ongoing and planned operations and activities at MAF. * Returns to MAF, NASA and other U.S. Government interests, including (but not limited to) proposed compensation rates, in-kind consideration; and other financial impacts to NASA, as well as advancement of the Government's renewable energy objectives. * Risks to MAF, NASA and other U.S. Government interests, including (but not limited to) an assessment of costs risks and the environmental, safety and security impacts of the proposed user or proposed use. * An assessment of the financial capability, responsibility, and past performance of the proposed user, and the likelihood that the project will come to fruition and endure for a long term. Ultimately, in determining which Partnership Plans to move forward with, NASA may choose to proceed with the plan or combination of plans that is determined to be in the Government's best interest, or may choose not to proceed with any plan. FOLLOW-ON AGREEMENTS: The first phase of the partnering process, if successful, may result in the issuance by NASA of a Letter of Intent (LOI) to the Respondent, if such a letter is needed by the Respondent prior to the execution of a formal agreement. A LOI is a letter signed by a NASA official formally documenting NASA's intent to partner with a Respondent by making certain facilities and services at the Michoud Assembly Facility available to the Respondent. While the Letter of Intent (LOI) will not constitute a binding commitment of NASA resources, it will manifest NASA's intent to provide to the Respondent the facilities and services identified in the LOI, provided the parties can agree on a mutually acceptable formal agreement. A formal agreement will have to be negotiated as the process moves forward. NASA has the legal authority to enter into various types of agreements, and will utilize the type of agreement deemed most appropriate for the particular circumstance. It is anticipated that a renewable energy project may require a long-term lease or similar type of agreement, under which rent and/or other consideration would be paid to NASA. (It should be noted that NASA currently has "enhanced use lease" authority that permits NASA to accept in-kind consideration for leases entered into for the purpose of developing renewable energy production facilities. See 51 U.S.C. §20145.) Prior to the execution of a long-term lease agreement, the Respondent may need NASA to undertake certain activities or support certain activities of the Respondent, such as site investigations or environmental assessments, with respect to the Available Facilities or other aspects of the Partnership Plan. As a general rule, NASA will expect the Respondent in those circumstances to enter into a reimbursable agreement with NASA under which the Respondent will reimburse NASA for the full cost of the support required from NASA. ADDITIONAL INFORMATION Proposed uses of land and facilities at MAF under a Partnership Plan may require environmental analysis in accordance with the National Environmental Policy Act (42 U.S.C. §4321 et seq.). This NOA is not to be construed as a commitment by the Government to enter into any contract or agreement, or into the negotiation of any contract or agreement. NASA will not pay for any information provided. NASA will not be obligated to respond or provide the results of any evaluations. The terms "partner" and "partnership" as used herein are used in the informal, generic sense, and are not intended to denote any kind of general partnership, limited partnership, joint venture, or any kind of formal business organization. It is not NASA's intent to publicly disclose proprietary information obtained through this NOA; therefore, if proprietary information is included, it should be clearly marked. Consistent with its statutory obligations and to the extent permitted under the Freedom of Information Act, NASA will protect such data from public disclosure.
