- INTRODUCTION THIS IS A PRE-SOLICITATION NON-COMPETITIVE (NOTICE OF INTENT) SYNOPSIS TO AWARD A PURCHASE ORDER WITHOUT PROVIDING FOR FULL OR OPEN COMPETITION. The National Heart, Lung, and Blood Institute (NHLBI), Office of Acquisitions (OA), intends to negotiate and award a purchase order on a noncompetitive sole source basis to Carl Zeiss Microscopy, LLC, 1 Zeiss Drive, Thornwood, NY, 10594-1939, to trade-in a used Zeiss 510 microscope and procure a new Zeiss LSM 880 microscope. BACKGROUND The NHLBI Light Microscopy Core (LMC) is the Division of Intramural Research (DIR)'s main source for a wide variety of microscopy services. The LMC's most utilized service is confocal microscopy. The LMC has two main confocal microscopes which receive a lot of use from DIR investigators. One of them is a 16-year-old Zeiss 510. Due to the age of this instrument, the manufacturer will no longer provide maintenance support services for it beyond September 2016. The LMC cannot allow any DIR researcher to use a microscope that is not covered under an active maintenance contract. Additionally, the Zeiss 510 has outdated sensitivity and experimental flexibility needed for modern experiments performed by DIR researchers. Therefore, the LMC's Zeiss 510 will become effectively useless to the DIR community after September 2016. PURPOSE The purposes of this acquisition are to trade-in the Light Microscopy Core's old Zeiss 510 microscope, and procure a new Zeiss LSM 880 microscope. The LSM 880 is a state-of-the-art system unique to Zeiss which already has a proven track record in the DIR community. The LMC has a similar system which is overused by DIR researchers. A new LSM 880 system will take the load off of the other microscope and allow users to move seamlessly between microscopes thus maintaining the needed consistency in their sensitive research. PROCUREMENT The contractor shall perform the following tasks: •The Contractor shall schedule a day/time with the NHLBI Project Officer for the Contractor to pack and deliver the LMC's Zeiss 510 microscope (S/N 3280004544) to Zeiss facilities to process the trade-in. •The contractor shall manufacture an LSM 880 3-channel microscope according to the specs referenced in Zeiss Quote no. 109-96600142-11 and deliver said microscope to the following location: 10 Center Drive Building 10, Room 6N309 Bethesda, MD 20892 •The Contractor shall install and ensure proper function of the new LSM 880 system at the above location. •The Contractor shall maintain the new LSM 880 system for a period of 12 months following installation in accordance with its standard warranty terms. JUSTIFICATION Only Zeiss is capable of fulfilling the work requirements of this contract. Although Zeiss has third-party resellers for its products, Zeiss will not authorize one of its third-party resellers to conduct this trade-in. Any attempt of executing such a trade-in with any other company will void the 12-month OEM standard warranty for the new LSM 880 system. This trade-in represents a significant cost-savings to the Government as Zeiss is offering $127,202.17 off of the purchase price of the LSM 880 with the trade-in. As a result, no other company is capable of meeting the work requirements of this contract. REGULATORY AUTHORITY This acquisition is conducted under the authority of the Federal Acquisition Regulations (FAR) Subpart 13.106-1(b), soliciting from a single source (for purchases not exceeding the simplified acquisition threshold) and only one responsible source and no other supplies or services will satisfy agency requirements. ADDITIONAL INFORMATION Industry Classification (NAICS) Code is 334516, Analytical Laboratory Instrument Manufacturing, and the Small Business Size Standard is 1,000 employees. The acquisition is being conducted under FAR Part 13, Simplified Acquisition Procedures, therefore the requirements of FAR Part 6, Competitive Requirements, are not applicable (FAR Part 6.001). The resultant award will include all applicable provisions and clauses in effect through the Federal Acquisition Circular (FAC) 05-88 (June 15th, 2016). This synopsis is not a request for competitive proposals. However, interested parties may identify their interest and capability to respond to this notice. Responses to this notice shall contain sufficient information to establish the interested parties' bona-fide capabilities for fulfilling the requirement and include: unit price, list price, shipping and handling costs, the delivery period after contract award, the prompt payment discount terms, the F.O.B. Point (Destination or Origin), the Dun & Bradstreet Number (DUNS), the Taxpayer Identification Number (TIN), and the certification of business size. All offerors must have an active registration in the System for Award Management (SAM) www.sam.gov. A determination by the Government not to compete this proposed contract based upon responses to this notice is solely within the discretion of the Government. The information received will normally be considered solely for the purposes of determining whether to proceed on a non-competitive basis or to conduct a competitive procurement. All responses must be received by August 5, 2016 at 9:00AM EST and must reference synopsis number NHLBI-CSB-(HL)-2016-234-KMA. Responses shall be submitted to the National Heart, Lung, and Blood Institute, Office of Acquisitions, COAC Services Branch, 6701 Rockledge Drive, Room 6127, Bethesda, Maryland 20892-7902, Attention: Kevin Alvarez.
