- List of contract line items with quantities and descriptions. This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in FAR Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested and a written solicitation will not be issued. The request for quote (RFQ) number is 284P1651319 and is being conducted as a %100 Small Business Set Aside, under the procedures of Part 12 and 13 for a brand name or equal purchase. The North American Industrial Classification System (NAICS) number is 511210. United States Patent and Trademark Office (USPTO) intends to award a firm fixed price contract for maintenance and licensing renewals for Prime Recognition OCR Software Maintenance, list of product details are attached. Requested items have been identified by a brand name or equal description and shall be quoted as such. This justification is based on compatibility. The required maintenance is for previously procured software, however, quotes offering "equal" products (including products of the brand name manufacturer other than the one described by the brand name) will be considered if such products are clearly identified in the quote and it is determined by the USPTO to meet fully the salient characteristics of the products in the attached list. Unless the vendor clearly indicates in their quote that they are offering an equal product, the quote shall be considered as offering a brand name product of the product to be furnished shall be provided in the quote. If requested by the USPTO, each offeror shall submit a sample of the items he/she proposes. Award shall be made as low price - technically acceptable. The provision at FAR Clause 52.212-1, Instructions to Offerors and addendum is incorporated. ADDENDUM to 52.212-1, modify (b) Submission to offers: 'Submit signed and dated offers to the attention of Katie Reeder, Contract Specialist, via email to: Katie.reeder@uspto.gov. All quotes are due by 4:30PM EST, Monday Aug, 8, 2016. Delivery of items/services shall commence on September 1, 2016 - August 31 st, 2017. CLAUSES AND PROVISIONS & USPTO Instructions This solicitation incorporates provisions and clauses that are in effect through Federal Acquisition Circular 05-89 dated July 14, 2016.. FEDERAL ACQUISITION REGULATION (FAR): 52.204-7, 52.209-2, 52.209-10, 52.211-6, 52.212-1, 52.212-3, 52.212-4, 52.213-2, 52.217-9 (fill-ins = 60/30 respectively) 52.233-4, 52.219-6, 52.219-28, 52.222-3, 52.222-19, 52.222-21, 52.222-26, 52.222-35, 52.222-37, 52.222-36, 2.222-40, 52.222-41, 52.222-50, 52.223-18, 52.232-33, 52.233-1, 52.233-2, 52.233-3, 52.233-4, 52.239-1, DEPARTMENT OF COMERCE FAR SUPPLEMENT: CAR 1352.239-70 Software Addendum PTO 30 Release of Residual Funds (<100) (May 2016) Upon completion of the contract period of performance and receipt and payment of the final invoice, it is understood and agreed that all outstanding obligations incurred on the above-referenced contract have been satisfied. If residual funds on the contract total $100 or less, the government will automatically de-obligate the residual funds without further communication with the vendor. Therefore, it is further understood and agreed that the government shall not be liable for the payment of any future invoices that may be submitted under the above-referenced contract. Nothing in this clause is intended to limit or restrict any claim or remedy otherwise available. PTO 30 RELEASE OF RESIDUAL FUNDS (>$100) If funds greater than $100 remain on this contract after completion of the contract period of performance and receipt and payment of the final invoice, the government will de-obligate the remaining funds as follows: For time and material (T&M) or labor hour (LH) awards, or awards containing T&M or LH CLINs: It is understood and agreed that all outstanding obligations incurred on T&M or LH contract CLINs have been satisfied. Therefore, the government shall not be liable for the payment of any future invoices that may be submitted under the above referenced contract, and the government will automatically de-obligate the residual funds without further communication with the vendor. For firm-fixed price (FFP) awards, or awards containing FFP CLINs: The government will issue a bilateral modification to authorize release of those funds. The Contractor's signature on the modification will constitute understanding and agreement that all outstanding obligations incurred on this contract have been satisfied. The government shall not be held liable for the payment of any further invoices submitted under this contract. The Contractor will have up to 30 calendar days after issuance of the modification to sign the modification and return it. Further, failure to sign and return the modification within the stated time period shall be considered acceptance of the government's intent to de-obligate the residual funds, and releases the government from any future liability stemming from or related to this contract. Nothing in this clause is intended to limit or restrict any claim or remedy otherwise available.
