Description
This Amendment is in Response to an inquiry from a potential vendor and further clarification of the need to acknowledge ALL listed requirements in the solicitation. Dear MX. XXXXX, Thank you for your interest in this acquisition.     I also welcome your attendance at the walk through on Jan 9, 2017 @ 10am in front of Building @ at the Bedford VAMC.     Answers to questions from the vendor community are posted as Amendments (5) to the FBO portal ( Amendment to a Previous Combined Solicitation) at www.fbo.gov in the near term. But, In the interests of swiftly responding to your question: The FAR (Federal Acquisition Regulation) clauses and provisions are driven by (guided by) the regulations that prescribe (require) the respective clause or provision. This is called the prescription. For the two clauses you reference in your email I have set forth below each clause a link and text of its prescription. [ XX ] (16) 52.219-8, Utilization of Small Business Concerns (NOV 2016) (15 U.S.C. 637(d)(2) and (3)). This clause is prescribed (required) at FAR 19.708(a) http://www.ecfr.gov/cgi-bin/text-idx?SID=12e37bf63c3301f8df925c8789635a0d&mc=true&node=se48.1.19_1708&rgn=div8 (please see CFR hyperlink) This clause is important because the clause contains important common definitions; The clause also articulates the standard of good faith that any prime large business should meet in carrying out the policy of commerce with small business to the extent practicable by affording subcontracting opportunities for small business. However  prime small business are not required to carry out the policy of helping Small businesses, because the small business is, after all, small.   [XX ] (22) 52.219-28, Post Award Small Business Program Representation (JUL 2013) (15 U.S.C. 632(a)(2)).) This clause is prescribed in FAR 19.309( c) http://www.ecfr.gov/cgi-bin/text-idx?SID=12e37bf63c3301f8df925c8789635a0d&mc=true&node=se48.1.19_1309&rgn=div8 The principal purpose of this clause is for the case when a firm (a small business firm) Is merged, bought or acquired by another firm, or when there is a change in ownership or structure, As for example in a novation situation. From this   brief discussion on mergers, acquisitions, novation etc. you will conclude the US Government contracts are written, as any good contract is written, so as to encompass contingencies, unknowns and events that may arise in the future or may never arise. An excellent reference and resource for all Small Business is the State or Commonwealth PTAC (Procurement Technical Assistance Center) in your state. Every state has at least one PTAC and the PTAC is an invaluable resource for the SB community.
