- This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in FAR Subpart 12.603-Streamlined solicitation for commercial items under FAR Part 13 as supplemented with additional information included in this notice. Request for Quotation number NEEN6100-17-00244 is issued with the attached enclosures. This announcement constitutes the only solicitation; quotations are being requested. This Request for Quotation incorporates provisions and clauses in effect through Federal Acquisition Circulars 2005-95. The National Environmental Information Center under The U.S. Department of Commerce, National Oceanic and Atmospheric Administration (NOAA), requires the annual renewal of the following Liebert UPS Maintenance Renewal for a base period of twelve months beginning 03/02/2017 - 03/01/2018; *Note-This is a name brand procurement with the justification attached mark as attachment 2 -Substitute Liebert Equipment Preventative Maintenance will not be considered. oThe Vendor must hold a current, active Liebert Factory Certification to perform work on the Liebert Systems (see Scope above). oAll Preventative maintenance and repairs must be performed by Liebert factory trained Engineers. CAR 1352.239-70 Software license addendum (APR 2010) (a) This Addendum incorporates certain terms and conditions relating to Federal procurement actions. The terms and conditions of this Addendum take precedence over the terms and conditions contained in any license agreement or other contract documents entered into between the parties. (b) Governing Law: Federal procurement law and regulations, including the Contract Disputes Act, 41 U.S.C. Section 601 et. seq., and the Federal Acquisition Regulation (FAR), govern the agreement between the parties. Litigation arising out of this contract may be filed only in those fora that have jurisdiction over Federal procurement matters. (c) Attorney's Fees: Attorney's fees are payable by the Federal government in any action arising under this contract only pursuant to the Equal Access in Justice Act, 5 U.S.C. Section 504. (d) No Indemnification: The Federal government will not be liable for any claim for indemnification; such payments may violate the Anti-Deficiency Act, 31 U.S.C. Section 1341(a). (e) Assignment: Payments may only be assigned in accordance with the Assignment of Claims Act, 31 U.S.C. Section 3727, and FAR Subpart 32.8, "Assignment of Claims." (f) Invoices: Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. Section 3903) and Office of Management and Budget (OMB) Circular A-125, Prompt Payment. (g) Patent and Copyright Infringement: Patent or copyright infringement suits brought against the United States as a party may only be defended by the U.S. Department of Justice (28 U.S.C. (End of clause) CAR 1352.270-70 Period of performance (APR 2010) (a) 1 Year from 02MAR2017-01MAR2018 (End of clause) The Following NOAA Acquisition Clauses and Provisions apply; NAM 1330-52.203-71 Notice of Post-Government Employment Restrictions (OCT 2015) By submission of an offer in response to a NOAA solicitation or acceptance of a contract, the contractor acknowledges the restriction on current NOAA employees regarding contact with offerors regarding prospective employment and the corresponding obligations for contractors who engage them. The contractor further acknowledges that it has provided notice to former NOAA employees who will provide service to NOAA under the contract of post-Government employment restrictions that apply to them. NAM 1330-52.242.70 Submittal of Invoices (FEB 2011) The Contractor shall prepare and submit an invoice to the COR for approval [with a copy to the contracting officer for information]. All invoices shall be submitted by the 10th day of the subsequent month. To constitute a proper invoice, the contractor's invoice shall be prepared in accordance with, and contain all elements specified in, the paragraph titled, "Contractor's Invoice," of the applicable prompt payment provision of the contract. For contracts and orders for commercial items and services, paragraph (g) of FAR 52.212-4, titled, "Invoices," applies. If the invoice does not comply with the applicable prompt payment provision of the contract, the COR will return it to the contractor within seven days after the date the designated office received the invoice along with a statement as to the reasons why it is not a proper invoice. NOTICE FOR FILING AGENCY PROTESTS NOAA, Office of Grants and Acquisitions: The Ombudsman for Agency Protests investigates agency protest issues and resolves them without expensive and time consuming litigation. The Ombudsman is an independent reviewer. Interested parties are encouraged to seek resolution of their concerns within the NOAA as an Alternative Dispute Resolution (ADR) forum rather than filing a protest with the GAO or some external forum. Interested parties may seek resolution of their concerns informally or opt to file a formal agency protest with the Contracting Officer or Ombudsman. Informal Forum with the Ombudsman. Interested parties who believe a specific NOAA procurement is unfair or otherwise defective should first direct their concerns to the applicable Contracting Officer. If the Contracting Officer is unable to satisfy their concerns, interested parties are encouraged to contact the NOAA Ombudsman for Agency Protests. Under this informal process the agency is not required to suspend contract award performance. Use of an informal forum does not suspend any time requirement for filing a protest with the agency or other forum. In order to ensure a timely response, interested parties should provide the following information to the Ombudsman: solicitation/contract number, contracting office, Contracting Officer, and solicitation closing date (if applicable). Formal Agency Protest with the Ombudsman. Prior to submitting a formal agency protest, protesters must first use their best efforts to resolve their concerns with the Contracting Officer through open and frank discussions. If the protester's concerns are unresolved, an Independent Review is available by the Ombudsman. The protester may file a formal agency protest to either the Contracting Officer or as an alternative to that, the Ombudsman. Contract award or performance will be suspended during the protest period unless contract award or performance is justified, in writing, for urgent and compelling reasons or is determined in writing to be in the best interest of the Government. Protests shall include the information set forth in FAR 33.103(d) (2). If the protester fails to submit the required information, resolution of the protest may be delayed or the protest may be dismissed. To be timely protests must be filed within the period specified in FAR 33.103(e).
