Description
RFP for sole source legal services contract The Overseas Private Investment Corporation (OPIC) is the U.S. Government's Development Finance Institution. OPIC's mission is to provide loans, guaranties, political risk insurance, and investment funds to assist American businesses expand into emerging markets. This is a notice issued as required by FAR 5.203. Because this procurement will be for commercial services and have a not-to-exceed value of below the $7,000,000, OPIC intends to award this sole source contract under the authority of FAR 13.501(a)(1). OPIC requires legal counsel to represent and advise OPIC in connection with decisions regarding potential remedies regarding a distressed project borrower affiliated with the Los Santos I solar project in Villa Ahumada, Chihuahua, Mexico. It is essential for OPIC to engage a law firm that has existing knowledge of and experience with this transaction in order to facilitate an orderly and swift restructuring to minimize risk of serious financial injury to OPIC in its recovery prospects under its project loan. In order to perform this work, a law firm must have attorneys directly employed by the firm who have provided representation or counsel in connection with the OPIC-financed Los Santos Solar I project and who are experienced in analyzing legal rights and potential liabilities in a suit to foreclose on project assets and exercise rights under trust and pledge agreements. The North American Industry Classification System (NAICS) code for this requirement is 541110 with the size standard of $11 million. This notice of intent is not a request for proposals or quotes; however, all responsible and capable sources may submit statements of capabilities, which, if received within seven calendar days of publication of this notice, shall be considered by OPIC. A determination by the Government not to open the requirement to competition based upon the responses to this notice is solely within the discretion of the Government. Information received will be considered solely for the purpose of determining whether to conduct a competitive procurement.
