Description
JUSTIFICATION FOR AN EXCEPTION TO FAIR OPPORTUNITY 1. Contracting Activity: Department of Veterans Affairs (VA) Office of Acquisition Operations Technology Acquisition Center 23 Christopher Way Eatontown, NJ 07724 2. Description of Action: The proposed action is for a firm-fixed-price delivery order to be issued under the National Aeronautics Space Administration (NASA) Solutions for Enterprise Wide Procurement (SEWP) V Governmentwide Acquisition Contract (GWAC) for the renewal of brand name International Business Machine, Inc. (IBM) P8 FileNet suite software maintenance and support. 3. Description of the Supplies or Services: The VA, Office of Information & Technology, has a requirement to renew annual software maintenance for the existing IBM P8 FileNet suite of software products supporting the Veterans Benefits Administration (VBA) information technology (IT) applications. These VBA IT applications require the IBM P8 FileNet suite of software products to support the following benefit entitlement programs: Veterans Benefits Management System paperless claims processing (VBMS); Virtual VA (VVA - Imaging system to be migrated into VBMS), and Loan Guaranty Program (LGY) supporting Veterans acquiring VA backed home loans. This suite of software allows for all claims and evidence to be collected and stored electronically, which is required for electronic claims processing. Software maintenance and support is required for the IBM P8FileNet suite of products in order that the products remain operational and defend against security risks, thus ensuring the continuing operational success of the VBA, VVA and LGY applications that utilize this suite of software products. Software maintenance includes help desk support on 24 x 7 basis to include trouble shooting from IBM engineers, software patches, training, updates, and version upgrades. Upgrades are implemented as determined by the software developer and are a standard inclusion in the commercial software maintenance offering from this developer. Software maintenance and support is required for the following IBM FileNet products that support the aforementioned benefit entitlement programs: Image Manager eForms Manager Business Process Manager Content Services Capture Toolkit Search Forms Manager Records Manager Archival and Retention P8 System Toolkit Business Activity Monitoring Development Business Activity Monitoring Federation / Integration The base period of performance shall be for 12 months beginning July 1, 2017 through June 30, 2018, with four 12-month option periods. VA holds perpetual licenses to the IBM P8 FileNet suite of software products and intends to continue to utilize them for a minimum of five years. Therefore, in order to ensure the continued success of the VBA IT applications utilizing this software, VA must have the ability to acquire the aforementioned software maintenance and support for five years. 4. Statutory Authority: The statutory authority permitting this exception to fair opportunity is 41 U.S.C. 4106(c)(2) as implemented by the Federal Acquisition Regulation (FAR) Paragraph 16.505(b)(2)(i)(B), entitled Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized. 5. Rationale Supporting Use of Authority Cited Above: Based on market research, as described in paragraph 8 of this document, it was determined that limited competition is available among authorized resellers for the renewal of brand name IBM P8 FileNet suite of software maintenance and support. Since Fiscal Year (FY) 2007 IBM FileNet P8 has been used to support the Virtual VA; VBMS, and LGY IT applications. In FY 2010 the IBM P8 software licenses were procured as perpetual software licenses, providing VA perpetual use. However, the software, including the source code, and its technical data are proprietary to IBM. While VA has the perpetual right to utilize the software, it must be maintained in order to remain operational and address any security vulnerabilities. Since IBM holds the proprietary rights to the source code, IBM through its authorized resellers of maintenance is the only vendor that can provide troubleshooting, updates, fixes and patches, and upgrades to meet the VA s requirements. These services are provided by IBM through a value added reseller of the brand name maintenance. No other vendor has the ability to modify the source code in order to provide software maintenance nor does any other vendor have access to the source code necessary to ensure all services provided on the software is properly configured. This continued software maintenance is required to maintain the integrity and security of the software. Additionally, because IBM holds the proprietary rights to the software necessary to perform the maintenance, no other vendors are able to troubleshoot support for the software. Finally, this source code is required to ensure all services provided on the currently fielded IBM items are properly configured and updates are pushed through. 6. Efforts to Obtain Competition: Market research was conducted, details of which are in the market research section of this document. This effort did not yield any additional sources that can meet the Government s requirements. It was determined however that limited competition is viable among authorized resellers for this brand name item. In accordance with FAR 16.505(a)(4)(iii)(A)(2), this justification will be provided with the solicitation to all appropriate NASA SEWP V GWAC holders. This action will be synopsized at award on the Federal Business Opportunities Page and the justification will be made publicly available. 7. Actions to Increase Competition: The Government will continue to conduct market research to ascertain if there are changes in the market place that would enable future actions to be competed. Specifically, VA will continue to engage IBM to determine whether the source code may be released in open source so vendors could potentially access the source code and provide software maintenance. 8. Market Research: Market research was conducted in November 2016 to ascertain the ability of any source other than IBM to provide the aforementioned software support. The research consisted of VA technical representatives reviewing similar software products and software maintenance and support from Open Text and Documentum, reviewing industry trade publications, and conducting internet research. The Government s technical experts confirmed through this market research that while these similar software products exist in the marketplace, each vendor provides maintenance only for its suite of products that it owns the proprietary rights for. Based on these reviews, VA s technical experts could not find any other sources that could provide the aforementioned software maintenance and support without access to the proprietary technical data and source code for the IBM software. While other software developers provide similar software products, they only provide the maintenance and support for their own products. No other software developer has access to the proprietary technical data and source code of the IBM software in order to be able to provide the required troubleshooting, updates, and patches. 9.
